Suspended seller account, blocked listings, funds withheld on an online marketplace
Marketplace lawyer in Paris: challenging the suspension of your seller account.
A deactivated seller account, listings removed after a report, a frozen sales balance or a notice of closure: the marketplace must set out its reasons, provide a complaints route and comply with the contract. As a marketplace lawyer in Paris, the firm examines the notification, the general terms and the evidence of the alleged breach before choosing between an internal complaint, a formal notice and an urgent application (référé).
Every day of blockage weighs on turnover and on the ranking of your listings. Keep the notification, screenshots of the seller area, the balance statement and the sales history now, then reply to the platform without any hasty admission.

Suspended seller account: what decides the outcome

What a marketplace lawyer in Paris does
- Paris Bar
- Digital law
- Marketplace sellers
Reda Kohen, lawyer at the Paris Bar, acts for businesses that sell on an online marketplace and whose account, listings or payments have been restricted.
The suspension of a seller account is neither always wrongful nor always lawful. The firm first reads the statement of reasons received, then compares it with the general terms, the reports relied on and the documents the seller can produce to challenge the alleged breach.
Where a seller established in the Union offers products to consumers located in the Union, Regulation (EU) 2019/1150, known as the P2B Regulation, requires the provider of an online intermediation service to give reasons for the restriction and to observe thirty days' notice before a total termination, subject to limited exceptions. Article L. 442-1, III, of the French Commercial Code (Code de commerce) makes the provider liable for the loss resulting from a failure to comply with these obligations.

The exact reason
The platform must state the precise facts and the clause of the general terms on which the measure is based, including the content of a report made by a third party.
The burden of proof
Where the seller disputes the alleged breach, the platform must establish the fact it attributes to the seller, under the general rule in Article 9 of the French Code of Civil Procedure (Code de procédure civile).
The urgent-applications judge
The president of the commercial court may order the restoration of the previous position to prevent imminent damage or to put an end to a manifestly unlawful disturbance, and may award an interim payment where the obligation is not seriously disputable.
The rules
Suspension, termination, blocking: the applicable rules
Five rules govern the platform's decision and the seller's remedy.
- A restriction or suspension must be supported by a statement of reasons on a durable medium no later than when it takes effect, and a total termination at least thirty days beforehand, unless there is a legal obligation, a compelling reason or proven repeated breaches (Article 4 of Regulation (EU) 2019/1150). In a case concerning a termination carried out without allowing users to clarify the facts through the internal complaints procedure, the urgent-applications judge of the Paris economic activities court (tribunal des activités économiques) held that “the defendants' decision is abrupt and endangers the claimants' business” (our translation) (TAE Paris, réf., 11 February 2026, No. 2026007039).
- The provider of an online intermediation service that fails to comply with the obligations expressly laid down by that Regulation incurs liability and must make good the loss caused (Article L. 442-1, III, of the Commercial Code). Where the suspension of the account or of payments rests on the unlawful nature of the listings or on their incompatibility with the general terms, the hosting provider must also give a clear and specific statement of reasons (Article 17 of Regulation (EU) 2022/2065).
- The contract allows suspension only in the cases it provides for, and those cases must be established. In a deactivation case based on a disputed messaging screenshot, the judge held that “the suspension of the CNER account without a valid contractual reason constitutes a manifestly unlawful disturbance” (our translation) (TAE Paris, réf., 8 July 2026, No. J2026000518), and then ordered the account to be reactivated on the basis of Article 873 of the Code of Civil Procedure.
- Suspension remains lawful where the seller's own activity is unlawful. The Court of Cassation holds that, by applying a clause providing for prompt suspension for legal reasons, “a hosting provider does not create a significant imbalance within the meaning of Article L. 442-6, I, 2°, now Article L. 442-1, 2° of the Commercial Code” (our translation) (Cass. com., 4 September 2024, No. 22-12.321). This decision, given in relation to a paid referencing service, is unfavourable to the suspended user.
- Disputes based on Article L. 442-1 fall within courts designated by decree (Article L. 442-4, III, of the Commercial Code and Article D. 442-2), whose decisions are brought before the Paris court of appeal. The Court of Cassation specifies that this designation “establishes a rule of exclusive jurisdiction by subject matter and not a plea of inadmissibility” (our translation) (Cass. com., 18 October 2023, No. 21-15.378).
A platform may lawfully suspend a seller who sells an unlawful product or fails to provide the information required. A challenge has serious prospects only if the alleged breach can be disputed on the documents or if the procedure for giving reasons and for complaints was not followed.
Your documents
What to gather, depending on your situation
The notification, the contract and the account history make it possible to check the reason and to measure the harm done.
Situation A
Your account is suspended or deactivated
- Notification of suspension or deactivation and all messages from seller support, dated
- General terms accepted, in the version applicable on the date of the measure
- Screenshots of the seller area: performance indicators, alerts, balance and transfer status
- Supplier invoices, conformity certificates, brand authorisations and identity documents submitted
Situation B
Your listings were blocked following a report
- Removal notice stating the right relied on, the complaint number and, if disclosed, the person who made the report
- Title and origin documents for the products: purchases, distribution chain, own creations
- Sales history by item before and after the blocking, margin and tied-up stock
- Exchanges with the holder of the right relied on or with their advisers
Do not delete or edit product pages, reviews or messages until proof of the state of the account has been preserved. A reply to support that admits a non-existent breach may later be used against you.

The method
How the firm supports you
Read the reason, keep the evidence, then choose the quickest route that remains proportionate.
Step 1
Reading the notification and the contract
The firm identifies the measure taken, the clause relied on, the entity that manages the account and the one that holds the funds, then checks that the time limits for giving reasons and notice were observed.
Step 2
A structured internal complaint
The reply sent to the platform sets out the facts, attaches the relevant documents, disputes the alleged breach where it is inaccurate and requests a review under the internal system provided for by the legislation.
Step 3
Formal notice and mediation
Failing a useful response, a formal notice specifies the reason to be communicated, the time limit for reinstatement, the fate of the balance and the preservation of data, and may propose one of the designated mediators.
Step 4
Urgent application or action on the merits
If the business is under threat, the firm prepares an urgent application (référé) for reactivation or an interim payment before the competent court, then, depending on the file, an action for compensation of the loss.
The choice of defendant matters as much as the legal basis. The company that operates the seller service, the one that holds the funds and the French subsidiary do not play the same role, and a mistake can cause the claim to fail.
The timetable
The timeline of a contested suspension
From the notification to reactivation or the judge's decision.
Notification
Day of the measure. Record the notification, the account status, the balance and the listings concerned before any reply.
Analysis of the reason
Compare the alleged breach with the general terms and check whether the statement of reasons mentions precise facts and a third party's report.
Internal complaint
File a documented complaint through the channel provided, keeping proof of its sending and of the reply received.
Formal notice
Request reinstatement in writing, disclosure of the full reason and release of the undisputed balance.
Mediation or urgent application
Depending on the urgency, propose one of the designated mediators or apply to the urgent-applications judge for a measure restoring the previous position or an interim payment.
Merits and compensation
An action on the merits allows the lawfulness of the measure to be argued and compensation to be obtained for the loss established item by item.
The checks
What the firm checks before acting
An action against a platform is prepared on the documents, never on the loss of access alone.
- Nature of the measure: restriction of listings, temporary suspension, deactivation or total termination, and the date it takes effect.
- Reasons received: precise facts, clause relied on, content of a third party's report, durable medium.
- Basis of the alleged breach: product, identification documents, performance indicators, customer reviews or intellectual property right.
- Entities involved: the company that operates the seller service, the institution that holds the funds, the French subsidiary, the person who made the report.
- Jurisdiction and loss: jurisdiction clause, specialised jurisdiction, lost sales, stock, search ranking and costs, each tied to a document.
Summary
Situation, evidence, response
Common situations help to set the first priority in the case.
Situation
Deactivation over a disputed customer complaint
Decisive evidence: The notification, the document relied on by the platform, and material showing that the message or the order did not come from the seller.
Time limit: Challenge quickly and keep proof of the complaint, so as to document the disagreement and limit the effects of the blocking.
Useful action: Complaint, formal notice, then an urgent application (référé) for reactivation if the alleged breach is not established.
Situation
Termination without notice
Decisive evidence: Date of the notification, effective date, reason relied on and history of warnings received.
Time limit: The thirty-day notice period is checked against the announced effective date.
Useful action: Dispute the exception relied on by the platform and quantify the loss attributable to the lack of notice.
Situation
Sales balance withheld
Decisive evidence: Balance statement, suspended transfers, identity verification requests and the replies given.
Time limit: Answer verification requests without delay, keeping a record of each submission.
Useful action: Request release of the undisputed balance, then an interim payment through an urgent application if the obligation is not seriously disputable.
Situation
Listings blocked after a competitor's report
Decisive evidence: Removal notice, right relied on, origin of the products, sales before and after the blocking.
Time limit: Challenge promptly with the platform and gather proof that the product is lawful.
Useful action: Counter-notice, then a liability action against the author of an unjustified report.
Situation
Suspension for missing documents
Decisive evidence: List of the information requested, documents supplied, the platform's acknowledgements of receipt.
Time limit: Complete the file without waiting: if the requested traceability information is not corrected, the platform must suspend the service until the position is regularised.
Useful action: Regularise first, then challenge a suspension maintained despite a complete file.
Situation
Performance indicators exceeded
Decisive evidence: Rate of delays, cancellations or complaints, logistical causes, corrective measures.
Time limit: Document the causes before the warning becomes a deactivation.
Useful action: A reasoned corrective plan and, if the measure appears disproportionate, a complaint followed by negotiation.
Frequently asked questions
Your questions: seller account and marketplace
Can a marketplace suspend a seller account without explanation?
No, in principle. Where the seller is established in the Union and sells to consumers located in the Union, Regulation (EU) 2019/1150 requires the provider of an online intermediation service to send the statement of reasons for a restriction or suspension on a durable medium, before it takes effect or at the time it takes effect. That statement must mention the specific facts or circumstances, including the content of reports made by third parties, as well as the ground drawn from the general terms. The text dispenses with the statement in only two cases: a legal or regulatory obligation prohibits communicating these elements, or the platform proves repeated breaches of the general terms that led to the termination of all of its services. Regulation (EU) 2022/2065 adds, for the hosting provider, the obligation to provide a clear and specific statement of reasons where the suspension of the account or of payments is based on the unlawful nature of the information provided or on its incompatibility with the general terms. An automated message that merely refers to a general policy does not always meet these requirements. The firm compares the notification received with these texts and with the general terms, then makes a request for full reasons. A lack of reasons does not always suffice to obtain reactivation, but it weakens the platform's position and may open an action for compensation on the basis of Article L. 442-1, III, of the Commercial Code.
What notice must the platform give before a permanent closure?
Where the provider decides to terminate all of its services to a business user, Article 4(2) of Regulation (EU) 2019/1150 requires the statement of reasons to be sent at least thirty days before the termination takes effect. That period does not apply where the platform is bound by a legal obligation to terminate sooner, where it exercises a right of termination for a compelling reason provided for by national law, or where it proves that the seller has repeatedly infringed the general terms. In those cases, the statement of reasons is still owed without undue delay, except where the law prohibits communicating it or the termination results from proven repeated breaches, situations in which Article 4(5) dispenses with it. A distinction must therefore be drawn between temporary suspension, which may take effect immediately if reasons are given, and total termination, which in principle requires this notice. The label chosen by the platform is not decisive: although the Regulation provides for no automatic conversion into a termination, the practical effects of a suspension that continues may be argued as a termination, even a partial one, of an established commercial relationship within the meaning of Article L. 442-1, II, of the Commercial Code. The firm notes the date of notification, the effective date and the exception relied on, then checks that the platform really holds proof of the repeated breaches it alleges. These elements then determine the compensable loss.
How do you use the platform's internal complaints procedure?
The P2B Regulation requires the provider to offer an internal complaint-handling system that is accessible and provided without charge, that handles complaints within a reasonable time and that communicates an individualised outcome (Article 11 of Regulation (EU) 2019/1150). This obligation does not apply to providers that are small enterprises within the meaning of the European recommendation. For its part, the Digital Services Act opens, for at least six months from the day the seller is informed of the decision, an internal complaint system against the suspension of the account, of the service or of the ability to monetise based on the unlawful nature of the information or its incompatibility with the general terms, and requires that the decision on the complaint be taken under the supervision of qualified staff and not solely by automated means (Article 20 of Regulation (EU) 2022/2065). That section of the Regulation does not apply to platforms that are micro or small enterprises, unless they have been designated as very large online platforms (Article 19). A useful complaint answers the alleged breach point by point, attaches the documents that contradict it and expressly requests a review. It avoids general admissions of breach, which the platform could treat as repeated breaches. The firm drafts or reviews this complaint, keeps proof of its filing and makes it the first document in any formal notice or urgent application.
When should you apply to the urgent-applications judge to have the account reactivated?
The president of the commercial court may, even where there is a serious dispute, prescribe the measures restoring the previous position that are needed to prevent imminent damage or to put an end to a manifestly unlawful disturbance (Article 873 of the Code of Civil Procedure). In a case decided in Paris, the judge noted that “urgency remains for CNER to be able to regain normal use of its Amazon account, which is for it a channel for distributing its products and a source of turnover” (our translation) (TAE Paris, réf., 8 July 2026, No. J2026000518), and ordered reactivation within eight days of service of the order, without a daily penalty. The urgent application is not, however, a safe route. In another case concerning the suspension of a professional account on a cultural booking platform, the same court held that there were no grounds for an urgent ruling because the documents and statements “show the existence of serious disputes that exclude the powers of the urgent-applications judge” (our translation) (TAE Paris, réf., 12 June 2026, No. 2025083533). The firm takes this route only if the alleged breach can be disputed on the documents and if the harm to the business is shown by the account's figures.
Can the platform keep the sales balance after deactivation?
The withholding of the balance is open to argument in light of the contract, the verification obligations that bear on the payment institution and whether or not the claim is disputed. In the Paris order of 8 July 2026, the payment company relied on the failure to complete the identity checks required under anti-money-laundering rules. The judge held those checks legitimate, while finding that “the obligation of AMAZON PAYMENTS EUROPE to pay the sum of €60,033.91 to CNER is not seriously disputable” (our translation) (TAE Paris, réf., 8 July 2026, No. J2026000518). The judge ordered the interim payment of that sum into the CARPA account of the seller's lawyer, who is in turn subject to vigilance obligations. This case-specific outcome shows two practical points: the claim targets the entity that actually holds the funds, and the seller must prove that it tried to satisfy the verification requests. Regulation (EU) 2022/2065 also treats the suspension of payments as one of the restrictions that call for a statement of reasons, where it is based on the unlawful nature of the information provided by the seller or its incompatibility with the general terms. The firm reconstructs the balance, the suspended transfers and the verification exchanges before requesting release of the undisputed sums.
Who must prove the breach alleged against the seller?
Each party must prove the facts necessary to succeed in its claim (Article 9 of the Code of Civil Procedure). Where the platform suspends an account by relying on a clause that refers to a serious or repeated breach by the seller, it must, if this is disputed, establish that the breach is attributable to the seller. In the case decided on 8 July 2026, the deactivation rested on a screenshot of a conversation that the seller claimed was fabricated. The judge held that “Amazon cannot, equally and in the name of a possible prior privilege that its standard-form contract would confer on it, reverse the burden of proof” (our translation) (TAE Paris, réf., 8 July 2026, No. J2026000518), and noted that the platform's counsel was unaware of the checks carried out on the authenticity of the document. The outcome depends on the case: if the platform produces consistent evidence, the seller's challenge may fail. The firm looks for what casts doubt on the document relied on, for example the chronology of the order, the customer's address or the consistency of the messages, and asks the platform to produce the report on which its decision is based.
A competitor had my listings blocked: can it be ordered to pay damages?
Yes, where the blocking obtained was not justified. The Paris judicial court (tribunal judiciaire) held that, when it comes from a person with a commercial interest, “a notification to a digital service provider seeking to stop the sale of a product is made at the risk of its author” (our translation) (TJ Paris, 3e ch. 2e sect., 21 November 2025, No. 23/05116). It specifies that such a notification is wrongful if the prohibition sought would not have been ordered by a judgment on the merits, irrespective of the author's good faith, and ordered the author of the blocking requests to pay €43,000 in damages. The same judgment nevertheless rejected the application for an injunction to unblock. The reasoning draws on the case law on disparagement: concerning a letter sent by a copyright holder to a competitor's resellers, the Court of Cassation holds, in the absence of any court decision finding acts of copyright infringement, that “the mere fact of informing third parties of a possible infringement of those rights amounts to disparagement of the products alleged to be infringing” (our translation) (Cass. com., 15 October 2025, No. 24-11.150), a judgment of partial cassation with referral. The firm checks the existence, validity and scope of the right relied on before holding the author of the report liable under Article 1240 of the Civil Code.
Is the clause giving jurisdiction to the courts of Luxembourg binding?
The general terms of several marketplaces designate a foreign court. Their effect depends on the basis of the action and the stage of the proceedings. In a case where companies holding customer accounts and gift-voucher credits, rather than seller accounts, accused the platform of a sudden termination of commercial relations, the Nanterre economic activities court set the clause aside in favour of the French courts, holding that where the dispute concerns tort liability, the court of the place of the harmful event prevails; it then stated that “the court will declare itself without jurisdiction and refer the whole case to the Paris economic activities court” (our translation) (TAE Nanterre, 20 October 2026, No. 2024F02216), the court designated for the application of Article L. 442-1. In another case, the president of the same court accepted jurisdiction in urgent proceedings because an earlier, unchallenged order had already accepted it (TAE Nanterre, réf., 21 January 2025, No. 2024R01152). These outcomes are not a general rule: they depend on the basis relied on and the stage of the proceedings. The firm chooses the basis and the court before the writ of summons is issued, because a mistake can cost several months.
Can a sudden termination of an established commercial relationship be invoked against the platform?
Paragraph II of Article L. 442-1 of the Commercial Code penalises the sudden termination, even partial, of an established commercial relationship without sufficient written notice, but reserves the right to terminate without notice where the other party fails to perform its obligations. The Paris urgent-applications judge ordered a subscription to a classified-ads site to be maintained until 31 December 2026 under a daily penalty, relying in particular on the fact that the relationship had lasted more than twelve years (TAE Paris, réf., 11 February 2026, No. 2026007039). Conversely, the Lille commercial court dismissed the claim of a seller whose catalogue had been removed from a marketplace, after finding a termination without notice, on the ground that “this is due to the failure over several years by BEOWERS to perform its obligations under the Marketplace services contract” (our translation) (TC Lille Métropole, 6 March 2025, No. 2023013520). This decision is unfavourable to the seller: repeated written warnings from the platform carry great weight. The firm measures the length and regularity of the flow of business, lists the warnings received and checks whether they concerned real breaches before relying on this basis.
Which company in the group should be sued?
The large marketplaces divide their activities among several companies: one operates the seller service, another holds the funds as a payment institution, and a French subsidiary sometimes performs commercial support functions. The choice of defendant determines the outcome. In a case decided by the Paris court of appeal, a seller whose account had been closed for a shipping-delay rate above the tolerated threshold could pursue only the French subsidiary, the Luxembourg companies having been excluded on jurisdiction; the court held that the emails produced did not establish “the existence of a regular, significant and stable flow of business characterising an established commercial relationship with Amazon France Services” (our translation) (CA Paris, pôle 5 ch. 4, 26 October 2022, No. 20/17089). The seller's claim was dismissed, and the decision is unfavourable to the seller. In the 2026 Paris order, the French subsidiary was likewise dismissed from the case, reactivation being ordered against the operating company and the interim payment against the payment company (TAE Paris, réf., 8 July 2026, No. J2026000518). The firm identifies each entity from the general terms and the statements before drafting the writ of summons.
Can a suspension for missing information about the seller's identity be challenged?
Regulation (EU) 2022/2065, Article 30 requires platforms that allow consumers to conclude distance contracts with traders, other than micro or small enterprises (Article 29), to collect, before any offer for sale, the trader's name, address, contact details, an identification document, payment account details, any registration, and a self-certification of the conformity of the products. Where the platform has reason to believe that an item of information is inaccurate, incomplete or out of date, it asks the trader to remedy it and, failing that, promptly suspends its service until the request has been fully complied with. Such a suspension is therefore first of all an obligation of the platform, and challenging it without having regularised the file has little chance of success. It becomes open to argument where the seller has supplied complete and reliable documents, where the platform does not specify the item it considers insufficient, or where it maintains the measure without review. The suspended trader keeps the right to lodge a complaint through the platform's internal system and before a certified out-of-court dispute settlement body (Article 30(4)). The firm reconstructs the list of requests, the documents sent and the acknowledgements of receipt, then makes a complaint that identifies the information in question precisely and requests the lifting of the suspension within a set time.
How do you quantify the loss caused by the suspension?
The loss is shown item by item from the account data and the seller's accounts: margin lost during the blocking, stock tied up or made unsaleable, logistics costs incurred, interrupted advertising campaigns, loss of ranking and customer reviews, and costs incurred for the complaint. The basis chosen affects the assessment: compensation for failure to comply with the P2B Regulation obligations (Article L. 442-1, III, of the Commercial Code), lack of notice in the event of sudden termination, fault of the author of an unjustified report (Article 1240 of the Civil Code) or breach of contract, the contract having to be performed in good faith (Article 1104 of the Civil Code). A general claim of lost turnover is not enough: the length of the interruption and the sales that could really have been made must be established. Where the evidence is held by the platform or by the author of the report, an investigative measure may be sought before any trial (Article 145 of the Code of Civil Procedure). The firm prepares a table of sales by item before and after the measure, ties each head of loss to a document and sets aside those that cannot be proved. For an example involving a major operator, see also our analysis of the suspended Amazon account.

What our clients say
Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN
Translated from French
Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
