Articles of association drafting: founders and shareholders

Articles of association lawyer in Paris: protecting governance before the first dispute.

Articles of association are not a template: they set out who decides, how, by what majority, and what happens in a deadlock. As your articles of association lawyer in Paris, the firm drafts bespoke articles, tests each sensitive clause and aligns the articles with a shareholders' agreement signed the same day.

Correcting a missing clause after registration often requires unanimity, which is no longer achievable once relations have soured. Careful drafting has to happen now.

What an articles of association lawyer in Paris does

  • Paris Bar
  • Company law
  • Firm in Paris 17th

Lawyer at the Paris Bar: company law and drafting of legal documents.

Standard articles cover the particulars required by Article L. 210-2 and ignore the clauses that matter: approval of transfers, exclusion, pre-emption, limits on the manager's authority to commit the company, and anti-deadlock mechanisms. A leonine clause is deemed unwritten under Article 1844-1 of the French Civil Code (Code civil) and abusive decisions can be annulled. The split between public articles and a confidential agreement is a strategic choice: valuation, drag-along, tag-along and arbitration belong in the shareholders' agreement, signed the same day.

Mandatory particulars, and the rest

Article L. 210-2 of the French Commercial Code (Code de commerce) requires six particulars: form, term, name, registered office, purpose and share capital. The real value of the articles lies elsewhere: approval of transfers, exclusion, powers and anti-deadlock provisions.

Defined powers for the manager

Towards third parties, the manager binds the company by any act within the corporate purpose. The counterweight is a precise list of acts requiring the shareholders' prior authorisation.

Early exit

Approval of share transfers (Article L. 223-14 for the SARL), an exclusion clause adopted by a collective decision of the shareholders under the conditions set by the articles (Articles L. 227-16 and L. 227-19 for the SAS), the fate of shares on death: each scenario needs to be drafted.

Clauses

The clauses that really decide

Four rules structure the drafting.

  1. Mandatory particulars under Article L. 210-2: form, term (99 years at most), name, registered office, purpose, share capital. This is the administrative baseline, never the added value.
  2. Leonine clause deemed unwritten (Article 1844-1 of the Civil Code): exempting a shareholder from all losses or depriving them of all profits destroys the security you thought you were buying.
  3. Approval of transfers: in a SARL, a majority of the shareholders representing at least half of the shares (Article L. 223-14), with an obligation to buy out the shares within three months in case of refusal, at the price set by the expert under Article 1843-4.
  4. Exclusion in a SAS: the articles may require a shareholder to transfer their shares and suspend their non-pecuniary rights (Article L. 227-16). The clause is adopted or amended by a collective decision of the shareholders under the conditions set by the articles (Article L. 227-19).

General meetings are the first line of defence: notice, quorum, majorities and minutes are drafted to withstand challenge. A systematic policy of retaining profits in reserves without justification of sound management exposes the decisions to annulment for abuse of majority (Cass. com., 17 June 2008, No. 06-15.045): clear distribution rules avoid that ground.

Your documents

What to provide for the drafting

The drafting starts from the actual cap table and the intended exits.

Position A

Founders

  • Identity, marital status, matrimonial property regime
  • Share capital split and planned contributions
  • Intentions to sell and financing timetable
  • Term sheet or letter of intent, if any

Position B

Governance plan

  • Desired bodies: chairmanship, executive management, committee
  • Acts requiring prior authorisation
  • Decision thresholds and intended majorities
  • Planned exit clauses: approval of transfers, pre-emption, exclusion

Common mistake: reusing articles found online. Amending them later costs several thousand euros and often requires a unanimity that has become impossible.

The firm also drafts:

  • Parallel shareholders' agreement
  • Preference shares and founder share warrants
  • Arbitration clause
  • Temporary inalienability (10 years maximum in a SAS)

The method

How the firm supports you

Each sensitive clause is legally tested before signing.

Step 1

Scoping the project

Understanding the business model, the cap table, the governance rules you want and the fundraising timetable.

Step 2

Structure and first draft

Reasoned choice of company form, outline of the articles, drafting of the mandatory particulars, powers and governance.

Step 3

Deciding on sensitive clauses

Approval of transfers, exclusion, pre-emption, withdrawal right, anti-deadlock mechanisms: each clause is tested against dispute scenarios.

Step 4

Alignment with the agreement

Parallel drafting, consistency checked article by article, signing on the same day, filing with the INPI (French intellectual property office) and follow-up until registration.

Public articles, confidential agreement: put too much in the articles and competitors can read your exit strategy; put too much in the agreement and its enforceability against new shareholders becomes uncertain.

The timetable

The timeline of a drafting project

An orderly sequence avoids back-and-forth and forgotten clauses.

  1. Scoping

Days 1-3. Business model, shareholders, intentions to sell, financing timetable.

  2. Structure

Days 3-5. Choice of company form reasoned in writing, outline of the articles, planned alignment with the agreement.

  3. First draft

Week 2. Mandatory particulars, manager's powers, governance, meeting rules.

  4. Sensitive clauses

Weeks 2-3. Approval of transfers, exclusion, pre-emption, anti-deadlock: decisions agreed with the founders.

  5. Consistency with the agreement

Week 3. Article-by-article check, hierarchy between the two instruments clarified.

  6. Signing and filing

Week 4. Articles and agreement signed on the same day, filing with the INPI one-stop shop, follow-up until registration.

The checks

What the firm checks before signing

Nothing is signed until these points are validated.

  • Complete mandatory particulars and a corporate purpose compatible with the business, which may be regulated.
  • No leonine clause and no contradictory provisions between the articles and the shareholders' agreement.
  • Manager's powers: list of acts requiring authorisation, thresholds calibrated to turnover.
  • Exit: approval of transfers, pre-emption, exclusion, fate of securities on death, expert price under Article 1843-4.
  • General meetings: notice, quorum, majorities, proof of decisions.
  • Spouse under a community property regime: written notification and waiver.

Frequently asked questions

Your questions: articles of association drafting

Can I reuse articles of association found online?

It is legally possible but risky. Online templates cover the mandatory particulars of Article L. 210-2 of the French Commercial Code (Code de commerce) but ignore the sensitive clauses: approval of transfers, exclusion, pre-emption, limits on the manager's authority to commit the company. Standard drafting leaves you exposed at the first dispute. Amending the articles later to correct a missing clause costs several thousand euros and often requires unanimity, which can no longer be obtained once relations have soured.

Which clauses are mandatory in articles of association?

Article L. 210-2 of the Commercial Code requires six particulars: the form, the term (ninety-nine years at most), the company name, the registered office, the corporate purpose and the amount of share capital. For the SARL, the rules on transfers and approval are added (Article L. 223-14). For the SAS there is greater freedom, but the articles must at a minimum designate the chairman and set the rules for collective decision-making.

What is the difference between the articles of association and a shareholders' agreement?

The articles are public, enforceable against third parties and filed with the Trade and Companies Register. A shareholders' agreement is a private contract, signed between all or some of the shareholders, more flexible and confidential. The agreement deals with what the articles cannot say with the same precision: priced exits, valuation, detailed governance, drag-along, tag-along and enhanced information rights.

Can the articles of association be amended after registration?

Yes, by a collective decision of the shareholders under the majority rules set by the articles. Any amendment must be filed with the Trade and Companies Register and published in a legal notices newspaper. Cost and timing increase with complexity: change of purpose, transfer of the registered office to another département, conversion into another form. Certain clauses can be amended only by unanimity (inalienability in a SAS under Article L. 227-19 of the Commercial Code).

Is a shareholder exclusion clause valid in a SAS?

Yes. Article L. 227-16 of the Commercial Code allows the articles of a SAS to provide that a shareholder may be required to transfer their shares, and to suspend their non-pecuniary rights until they have made that transfer. The clause must, however, be adopted by a collective decision of the shareholders under the conditions set by the articles (Article L. 227-19) and specify the grounds for exclusion, the procedure (often adversarial) and the terms of the buy-back of the securities.

What happens in the case of a leonine clause?

Article 1844-1 of the French Civil Code (Code civil) deems unwritten any clause that wholly excludes a shareholder from profit, allocates all of the profit to them or places all of the losses on them. The leonine clause is neutralised and the rest of the articles remain in force. The risk is to believe you have secured a guaranteed return or protection against losses, and to discover before the judge that the clause cannot be relied upon.

How does approval of share transfers work in a SARL?

Article L. 223-14 of the Commercial Code requires the approval of a majority of the shareholders representing at least half of the shares for any transfer to a third party. The proposed transfer is notified to the company and to the other shareholders. The company has three months to refuse. In case of refusal, the shareholders must buy the shares, or have them bought, within the following three months, at a price set by the expert under Article 1843-4 of the Civil Code. If no buy-out takes place within that period, the original transfer is deemed to have been agreed.

Should the articles of a SAS include an approval clause?

It is not mandatory but strongly advisable to preserve the balance of the cap table. Since the SAS leaves broad scope for drafting, the articles can provide for approval by simple majority, qualified majority or unanimity, depending on the level of protection wanted. The clause sets out the procedure, the response time and the fate of the shares in case of refusal (buy-back by the company or by the other shareholders).

What powers should the articles give the manager?

Towards third parties, the manager binds the company by any act within the corporate purpose, even without authorisation. This rule is mandatory. However, the articles can limit the manager's powers as between shareholders, through prior authorisations with set thresholds (borrowing above a threshold, long leases, security interests over assets, senior hires). A precise list avoids abuses and clarifies the manager's liability if the limits are exceeded.

What majority is needed to adopt or amend clauses in the articles?

For the SARL, amendments to the articles by default require two thirds of the shares held by the shareholders present or represented (Article L. 223-30 of the Commercial Code). For the SAS, the articles freely set the majority, except where the law requires unanimity (inalienability clause, exclusion following a change of control of a corporate shareholder: Articles L. 227-13, L. 227-17 and L. 227-19). Vague drafting on majorities creates a dispute at every amending meeting.

What role does a shareholders' agreement play alongside the articles?

The agreement deals with what must remain confidential or cannot appear in the articles: priced valuation, exit timetable, drag-along, tag-along, enhanced information rights for the minority shareholder, non-compete undertakings, arbitration. The agreement is drafted in parallel with the articles and signed the same day. Its consistency with the articles is checked article by article.

Should the articles of association include an arbitration clause?

Yes for companies with a high risk of deadlock (50/50 ownership, founders and investors with diverging interests). The arbitration clause refers disputes to an arbitrator rather than to the commercial court. The Commercial Chamber has held that the public-policy nature of Article 1843-4 of the Civil Code does not rule out arbitrability (Cass. com. 10 October 2018 No. 16-22.215). Arbitration is faster and confidential but costs more.

How much does it cost to have a lawyer draft articles of association?

Standard drafting for a SAS or SARL with one or two shareholders starts at around €2,500 incl. VAT. Complex drafting (multiple shareholders, anticipated fundraising, preference shares, BSPCE, sophisticated shareholders' agreement) falls between €4,500 and €8,000 incl. VAT. The quote is a fixed fee and is given in writing before work begins, with the scope specified.

How long does it take to draft complete articles of association?

Allow two to three weeks between the first appointment and signing, with about ten days devoted to drafting and then to back-and-forth on the sensitive clauses. Urgent matters can be completed in one week if all decisions are ready. A matter involving an investor takes four to six weeks, the time needed to align the articles, the agreement and the term sheet.

Which court has jurisdiction over a dispute about the articles of a Paris company?

Disputes between shareholders and those relating to the running of the company fall within the jurisdiction of the commercial court of the registered office, that is, the Paris commercial court for a company registered in the capital. The articles can include an arbitration clause that derogates from this jurisdiction. The firm regularly pleads before this court.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
