Commercial agent — agents and principals
Commercial agent lawyer in Paris: contract, commissions, termination indemnity.
For a commercial agent, a lawyer in Paris looks first at status, which depends not on the title of the contract but on the reality of the relationship. On termination, the end-of-contract indemnity — usually two years of commissions — turns on the characterisation of the relationship, on serious misconduct and on a one-year notification deadline that allows no leeway.
The agent has one year from the end of the contract to notify the principal of their intention to assert their rights (Article L. 134-12 of the French Commercial Code, the Code de commerce): after that period, the indemnity is lost through forfeiture.

What a commercial agent lawyer in Paris does
- Paris Bar
- Business law
- Firm in Paris 17th arrondissement
Lawyer at the Paris Bar — agency contracts and commercial litigation.
Three criteria define the agent: independence, permanence, and a mission to negotiate in the name and on behalf of the principal. Notice is one month in the first year, two in the second and three thereafter (Article L. 134-11). On termination, the indemnity must be notified within the year on pain of forfeiture; the serious misconduct that deprives the agent of it is strictly assessed. Commissions on later transactions remain due where the transaction is mainly attributable to the agent's activity (Article L. 134-7).

A broadened status
An independent intermediary instructed on a permanent basis to negotiate (Article L. 134-1): since the alignment with European case law, negotiating no longer requires the power to change the principal's prices.
A protected indemnity
The compensatory indemnity makes good the loss caused by the end of the contract (Article L. 134-12) — in practice the courts most often award two years of gross commissions, based on the average of the last three years.
Serious misconduct, strictly assessed
Only an established breach, contemporaneous with the termination and which actually caused it, removes the right to the indemnity (Article L. 134-13). An old grievance that was tolerated is not enough.
Status
Characterisation, commissions, termination: how it works
Four rules structure commercial agency disputes.
- Characterisation rests on reality: an independent intermediary, with no contract of employment, instructed on a permanent basis to negotiate (Article L. 134-1 of the French Commercial Code) — the notion of negotiation is aligned with the European case law in Trendsetteuse (Cass. com., 2 December 2020, No. 18-20.231).
- Commissions must be proved: basis, rate, territory, time of entitlement — and they remain due after the end of the contract where the transaction is mainly attributable to the agent's activity (Article L. 134-7).
- Notice: one month in the first year, two in the second, three from the third (Article L. 134-11) — never shortened by contract.
- Serious misconduct that removes the indemnity is strictly assessed: a refusal to provide information, dating back a year and a half and not relied on afterwards, does not amount to it (Cass. com., 12 February 2013, No. 12-12.371).
The termination timetable is unforgiving: notification to the principal within the year following the end of the contract, on pain of forfeiture of the indemnity. The amicable phase most often ends in a settlement; failing that, the Paris commercial court is the natural forum.
Your documents
What to send, depending on your position
Reconstructing three years of commissions underpins the calculation of the indemnity.
Position A
Commercial agent
- Agency contract and amendments, or evidence of the relationship (oral contract)
- Commission statements for the last three years
- Termination letter, envelope kept, reason given
- Correspondence with the principal
Position B
Principal
- Contract and scope entrusted to the agent
- Documented grievances contemporaneous with the termination
- Commission account and proof of payment
- Any post-contract non-competition clause (two years maximum, Article L. 134-14)
Common mistakes: letting the one-year notification period lapse; alleging serious misconduct based on old, tolerated grievances.
The firm also handles:
- Requalification as VRP or agent
- Agent companies
- Post-contract commissions
- Post-contract non-competition
The method
How the firm supports you
The calculation comes before the negotiation; notification protects the rights.
Step 1
Characterising the case
Review of the contract, verification of status, timeline of the relationship, reciprocal grievances.
Step 2
Quantification
Reconstruction of three years of commissions, end-of-contract indemnity, notice not respected, commission arrears.
Step 3
Notification and negotiation
Written notification within the year, formal notice with a calculation, settlement phase.
Step 4
Court proceedings if necessary
Paris commercial court, submissions on characterisation, serious misconduct and quantum, enforcement of the judgment.
Benchmarks: usual indemnity of two years of gross commissions; three months' notice from the third year; post-contract non-competition capped at two years.
The timetable
The timeline of a commercial agency contract termination
Several time limits run in parallel; the most binding is the one-year notification.
Termination
Day 0. Receipt of the letter: precise dating, keeping the envelope, identifying the reason given and the notice period.
Review
Weeks 1-3. Clause-by-clause review, reconstruction of commissions, projection of the indemnity.
Notification
Within 1 year. Registered letter to the principal: intention to assert the right to the indemnity, on pain of forfeiture.
Amicable phase
Months 2-4. Exchanges between the parties, discussion of quantum, possible settlement.
Writ of summons
Months 4-6. Commercial court, submissions on status, serious misconduct and quantum.
Proceedings and aftermath
Hearing, judgment, enforcement, possible appeal.
The checks
What the firm checks before acting
No action is taken until these points have been validated.
- Reality of the status: independence, permanence, mission to negotiate.
- Commission account: basis, rate, post-contract transactions under Article L. 134-7.
- Notification within the year: date of termination, proof of dispatch.
- Alleged serious misconduct: established, contemporaneous, causal.
- Notice respected, or a separate indemnity to be calculated.
- Non-competition clause: legal limits and compensation.

Frequently asked questions
Your questions: commercial agent
What is the difference between a commercial agent, a VRP and an employee?
A commercial agent is an independent intermediary. They negotiate on behalf of a principal, without legal subordination, and are paid mainly by commission (Article L. 134-1 of the French Commercial Code). A VRP (a salaried travelling sales representative) is an employee within the meaning of Article L. 7311-3 of the French Labour Code (Code du travail), bound by an employment contract and subject to the employer's authority. A mere service provider or business introducer does not have the permanent mission to negotiate, which rules out the status. The distinction turns on the reality of the relationship, not on the title of the contract.
How is commercial agent status established where there is doubt?
The main criterion is the existence of a power to negotiate within the meaning of Directive 86/653/EEC and Article L. 134-1. The Court of Cassation aligned French law with European case law in its judgment of 2 December 2020 (No. 18-20.231), which confirms that an intermediary negotiating on behalf of the principal can be classed as a commercial agent even without the power to change prices. The courts weigh a body of indicators: autonomy of action, a permanent mission, remuneration by commission and prospecting in the principal's name.
How are a commercial agent's commissions calculated?
The contract sets the basis (turnover excluding tax, or margin), the rate and the time of entitlement. Failing a stipulation, the remuneration customary in the sector applies (Article L. 134-5). Commission is due on transactions concluded during the agency and, subject to conditions, on those concluded after the end of the contract where the transaction is mainly attributable to the agent's activity (Article L. 134-7 of the French Commercial Code). The principal must provide a detailed quarterly commission statement.
What end-of-contract indemnity is a commercial agent entitled to?
Article L. 134-12 of the French Commercial Code gives a right to a compensatory indemnity for the loss suffered. In practice the courts most often set this indemnity at two years of gross commissions, calculated on the average of the last three years. This rule is not a statutory ceiling but a settled professional practice. The amount may be adjusted upwards where the contract lasted exceptionally long or the loss is particular, or downwards if the agent quickly finds equivalent activity.
What is the deadline for taking action against the principal?
Article L. 134-12, paragraph 2, requires the commercial agent to notify the principal of their intention to assert their rights within one year of the end of the contract, on pain of forfeiture. This notification is separate from the writ of summons. Beyond that, the action for payment is subject to the ordinary five-year limitation period. Best practice is to notify within six months and to prepare the writ of summons straight afterwards if the amicable phase fails.
What criteria establish serious misconduct that removes the indemnity?
Article L. 134-13 of the French Commercial Code excludes the indemnity where the agent has committed serious misconduct. The Court of Cassation interprets this strictly: the breach must be contemporaneous with the termination, sufficiently established and have actually caused the end of the contract (Cass. com. 12 February 2013, No. 12-12.371). An old grievance that was already tolerated cannot justify loss of the indemnity. The principal who alleges serious misconduct bears the burden of proof before the commercial court.
What notice must the principal give?
Article L. 134-11 requires one month for the first year of the contract, two months for the second year once begun and three months for the third year and beyond. The parties may lengthen the notice period, never shorten it. The notice period ends at the end of a calendar month, unless otherwise agreed. Notice does not apply in the event of force majeure or serious misconduct by the other party. Failure to give notice gives rise to an indemnity separate from the end-of-contract indemnity.
Is a post-contract non-competition clause valid?
Yes, under strict conditions. Article L. 134-14 of the French Commercial Code requires a written clause, a defined geographical area, a precise type of goods or services and a maximum duration of two years after the end of the contract. The clause must reflect the terms of the agency. In practice, validity is often made conditional on financial compensation, although the law does not expressly require it. The firm systematically checks the validity of the clause before enforcing or challenging it.
Is the indemnity payable during a trial period?
Yes. In a judgment of 23 January 2019 (No. 15-14.212), the Court of Cassation aligned its case law with the CJEU judgment of 19 April 2018. The indemnity provided for in Article L. 134-12 applies even where the agency contract ends during the trial period stipulated in the contract. This rule prevents principals from using a long trial period to deprive the agent of their right to an indemnity.
Can an agent represent several principals?
Yes, unless exclusivity is expressly stipulated. The contract may provide that the agent does not represent a competing company. The principal may then require disclosure of the list of other principals to check that there is no conflict. A persistent refusal may justify termination, but must be contemporaneous and established to amount to serious misconduct (Cass. com. 12 February 2013, No. 12-12.371). The duty of loyalty applies in both directions (Article L. 134-4).
Which court has jurisdiction in a dispute?
Disputes between the commercial agent and the principal fall in principle within the commercial court for the principal's registered office. Where the agent is an individual who is not a trader, the agent may choose between the commercial court and the judicial court. For agent companies, the commercial court has exclusive jurisdiction. The Paris commercial court regularly hears these cases where the principal or the agent company has its registered office in the capital.
What is the limitation period for unpaid commissions?
The action for payment of commissions is subject to the five-year limitation period of Article 2224 of the French Civil Code (Code civil). The starting point is the date on which the agent knew or should have known the facts enabling them to bring an action. For quarterly commissions, time runs from each contractual due date. Keeping the quarterly statements and reminders is essential to interrupt the limitation period and quantify the claim.
Can a VRP become a commercial agent after dismissal?
Yes, provided that the new contractual relationship meets the criteria for commercial agent status (independent intermediary, no subordination, permanent mission to negotiate). The transition must settle the rights attached to the employment contract (dismissal payments, leave, the VRP clientele indemnity under Article L. 7313-13 of the French Labour Code). The firm secures the transition to avoid later requalification or an accumulation of claims.
Is an oral commercial agency contract valid?
Yes. Commercial agent status applies in the absence of a written contract where the reality of the relationship meets the criteria of Article L. 134-1. Proof of the scope, the commission rate and the duration is reconstructed from statements, invoices, emails and instructions received. The absence of a written contract nonetheless weakens the agent's position in a dispute. The firm systematically recommends formalising the contract before any lasting relationship.
How much does a consultation with the firm cost?
The first consultation to analyse the case starts at €300 incl. VAT. Contract drafting or indemnity calculation assignments are offered at a fixed fee. Litigation before the commercial court is quoted in detail according to the complexity of the case, the number of heads of claim and the procedural stage. The firm provides a written quote before any commitment.

What our clients say
Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN
Translated from French
Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
