Shareholder disputes — majority and minority shareholders

Shareholder disputes lawyer Paris: deadlock, abuse, negotiated exit

Abuse of majority, abuse of minority, withheld information, a disputed valuation: every corporate crisis begins with a precise diagnosis of the point of deadlock. As a shareholder disputes lawyer in Paris, the firm maps the balance of power, sets the tempo and pleads before the commercial court of Paris (tribunal de commerce).

An action to annul a corporate decision is subject to a short limitation period, and the value of the company erodes during the deadlock: the dispute has to be characterised in the first days, not after the summons.

What a shareholder disputes lawyer in Paris does

  • Paris Bar
  • Company law
  • Firm in Paris 17th

Lawyer at the Paris Bar — shareholder disputes and urgent company applications.

The diagnosis comes before the action: what exactly is blocking — the vote, information, approval of a transfer, valuation? The company interest under Article 1833 of the French Civil Code (Code civil) is the yardstick. The weapons: an action for nullity for abuse of majority, an ad hoc agent against abuse of minority, compelled disclosure of corporate documents, a valuation by an expert under Article 1843-4 for the exit, and, as a last resort, dissolution for paralysing disagreement (Article 1844-7, 5°). Structured mediation almost always precedes the summons.

Abuse of majority can be annulled

A decision contrary to the company interest taken for the sole purpose of favouring the majority: systematic retention of profits is the classic example, sanctioned by annulment and damages.

Abuse of minority can be worked around

A minority shareholder who blocks a decision essential to the survival of the company without a legitimate interest risks the appointment of an ad hoc agent who votes in their place.

The exit is quantified

Failing agreement on the value of the company rights, the expert under Article 1843-4 of the Civil Code is required — with a valuation at the date closest to actual repayment.

Abuses

Majority, minority, information: the three fronts

Four rules structure shareholder disputes.

  1. Abuse of majority: a decision contrary to the company interest, taken for the sole purpose of favouring the majority — systematic retention of profits without economic justification is annulled (Cass. com., 17 June 2008, No. 06-15.045, Marina Airport case).
  2. Abuse of minority: blocking a decision essential to the survival of the company without a legitimate interest — the judge may appoint an ad hoc agent who votes in place of the minority shareholder (Cass. com., 9 March 1993, No. 91-14.685).
  3. The right to information: communication of the accounts, reports and resolutions at least fifteen days before the meeting in an SARL (Articles L. 223-26 and R. 223-18); a refusal justifies a court-appointed agent or suspension of the meeting.
  4. Fraud: fraudulent collusion by the majority shareholders engages their liability, irrespective of a characterised infringement of the company interest (Cass. com., 30 September 2020, No. 18-22.076).

For the exit, the expert under Article 1843-4 values at the date closest to actual repayment: using another date is a gross error that sets the report aside (Cass. com., 15 January 2013, No. 12-11.666). Dissolution for disagreement remains the last resort: it requires effective paralysis and penalises everyone, the winner included.

Your documents

What to send to characterise the dispute

The map of the deadlock is built on corporate acts, not on feelings.

Position A

Minority shareholder

  • Articles of association and shareholders' agreement, current version
  • Minutes of the last three financial years and annual accounts
  • Letters requesting information and evidence of refusals
  • Written exchanges with the manager and the other shareholders

Position B

Majority shareholder or company

  • Economic justification for the contested decisions
  • Management reports and related-party agreements (conventions réglementées)
  • History of distributions and shareholder current accounts
  • Amicable proposals already made

Common mistake: letting time run out — short periods for nullity of corporate decisions, five years for a liability action.

The firm also uses:

  • Derivative action
  • Management expert appraisal
  • Ad hoc agent
  • Interim administrator

The method

How the firm supports you

A hasty summons hardens the opponent; an endless negotiation freezes the balance of power.

Step 1

Review and characterisation

Full reading of the articles of association, the shareholders' agreement, the minutes and the accounts. Mapping of the deadlock and of the alliances.

Step 2

Formal notices

Formal demand to provide the documents, to convene a meeting or to vote, depending on the deadlock identified.

Step 3

Structured mediation

Attempt at an amicable settlement under a confidential protocol, unless urgency justifies an urgent application (référé).

Step 4

Urgent application, then the merits

An ad hoc agent who votes, an Article 1843-4 expert on the valuation, then a summons on the merits: nullity, damages, dissolution as a last resort.

Benchmarks: prior communication fifteen days in advance in an SARL; short limitation periods for nullity, five years for civil liability.

The timetable

The sequence of a dispute between shareholders

The most frequent chain of events, from the first signal to the exit.

  1. Review

Weeks 1-2. Articles of association, shareholders' agreement, minutes, accounts: characterisation of the deadlock.

  2. Formal notices

Weeks 2-4. Formal demands to provide documents, to convene a meeting or to vote, with proof of dispatch.

  3. Mediation

Months 2-3. Confidential protocol, sometimes under the auspices of the commercial court.

  4. Urgent application

Months 3-4. Ad hoc agent who votes, or Article 1843-4 expert valuation.

  5. Merits

Months 4-12. Summons for nullity, for liability, for contractual exclusion or for dissolution.

  6. Exit

Negotiated sale at the expert's price, buy-out, or enforcement of the court decision.

The checks

What the firm checks before acting

No writ of summons before these points have been checked.

  • Exact characterisation of the deadlock: management, vote, information, approval, valuation.
  • Whether the contested decision complies with the company interest under Article 1833.
  • Time limits: limitation periods for nullity and liability, calculated from each decision.
  • Written evidence of requests and refusals: letters, formal demands, certificates of default.
  • Economics of the exit: realistic valuation, cost of the expert appraisal, tax on the sale.
  • Collateral effects: dissolution penalising everyone, shareholders' agreement and exit clauses available.

Frequently asked questions

Your questions: shareholder disputes

What is the difference between abuse of majority and abuse of minority?

Abuse of majority is a decision taken by the majority shareholders against the company interest and for the sole purpose of favouring them to the detriment of the minority shareholders (Cass. com., 17 June 2008, Marina Airport). Abuse of minority is the opposite attitude: a minority shareholder uses their vote to block a decision essential to the survival of the company, without being able to justify a legitimate interest (Cass. com., 9 March 1993, No. 91-14.685). The first allows annulment and compensation. The second can lead to the appointment of an ad hoc agent who votes in place of the minority shareholder.

How is the company interest defined?

The company interest, mentioned in Article 1833 of the Civil Code, is the company's own interest, distinct from the sum of the individual interests of the shareholders. It is assessed according to the economic durability of the company, its ability to meet its commitments, to grow and to employ its staff. The PACTE Act of 2019 added that the company is managed taking into consideration the social and environmental issues of its activity. The judge reviews the company interest to characterise a possible abuse.

What is the ut singuli action and who can bring it?

The ut singuli action is the civil liability action brought by one or more shareholders against the manager on behalf of and for the benefit of the company (Article 1843-5 of the Civil Code). It is useful where the company, run by the person under challenge, refuses to act against them. Any shareholder may bring it, alone or with others. The compensation goes to the company. The costs are advanced by the claimant shareholders and reimbursed by the company if the action succeeds. The firm checks shareholder status, the limitation period and the substance of the faults alleged.

What is a shareholder's right to information?

Every shareholder has a standing right to disclosure of corporate documents (articles of association, accounts, lists of shareholders) and a prior right before any general meeting (report, resolutions, related-party agreements). For an SARL, Articles L. 223-26 and R. 223-18 of the Commercial Code require disclosure fifteen days before the annual general meeting. For an SAS, the organisation is more flexible but the fundamental right to information remains. A refusal to provide documents justifies applying to the president of the commercial court in urgent proceedings to obtain compelled disclosure under a penalty payment.

How does the Article 1843-4 expert valuation work?

Article 1843-4 of the Civil Code provides that, failing amicable agreement on the price of company rights in cases where a transfer or buy-back is provided for, an expert is appointed either by the parties or by judgment of the president of the competent judicial court or commercial court, ruling under the accelerated procedure on the merits and without any possible appeal. The valuation is in principle binding on the parties. The value of the rights must be determined at the date closest to actual repayment (Cass. com., 15 January 2013, No. 12-11.666). A gross error in the method allows the report to be set aside. The cost of the expert is generally shared.

What is an ad hoc agent and when should one be requested?

An ad hoc agent is an independent third party appointed by the president of the commercial court to carry out a precise and temporary task within the company: convening a meeting, voting in place of a blocking shareholder, overseeing a sensitive transaction. The request is made in urgent proceedings. Since Cass. com., 9 March 1993, No. 91-14.685, the agent may vote in place of an abusive minority shareholder on a decision consistent with the company interest. The firm first checks that the task is precise, temporary and consistent with the company interest, failing which the application fails.

Can disagreement lead to judicial dissolution?

Yes. Article 1844-7, 5° of the Civil Code provides for judicial dissolution where disagreement between shareholders paralyses the operation of the company. The paralysis must be effective and lasting, not a mere disagreement. Proof comes from the minutes of failed general meetings, reports of lack of quorum, and the inability to approve the accounts or appoint a manager. Dissolution is the last resort, because it leads to liquidation and the loss of going-concern value. The firm favours other routes (agent, mediation, negotiated exit) before considering this option.

Should mediation always be attempted before taking action?

It is almost always preferable, unless urgency is established. Mediation is confidential, faster than a trial, and preserves the possibility of continuing to work together. The commercial court of Paris has affiliated mediation centres. Some shareholders' agreements impose a mandatory prior mediation clause, the breach of which makes the court action inadmissible. The firm examines the articles of association and the shareholders' agreement before any formal notice in order to identify such clauses.

What is the limitation period for actions between shareholders?

Subject to the specific provisions governing mergers, demergers and changes in share capital, an action for nullity of the company, of corporate decisions subsequent to its formation or of contributions is time-barred after two years from the day on which the nullity is incurred (Article 1844-14 of the Civil Code). A civil liability action against the directors or the chief executive officer of an SA is time-barred after three years from the harmful act or its disclosure (Article L. 225-254 of the Commercial Code). For other civil liability actions, the ordinary five-year limitation period applies (Article 2224 of the Civil Code). A prompt consultation avoids forfeiture.

Can an exclusion clause deprive the excluded shareholder of their voting right?

No. The Court of Cassation has held that any provision of an exclusion clause whose object or effect is to deprive the shareholder concerned of the right to vote on that proposal is deemed unwritten (Cass. com., 29 May 2024, No. 22-13.158, on the basis of Articles 1844 and 1844-10 of the Civil Code and L. 227-16 of the Commercial Code). The shareholder must therefore be able to vote, even against their own exclusion. This rule, laid down for the SAS, invalidates contrary provisions of the articles of association.

How is the loss caused by an abuse of majority quantified?

The loss is calculated from the actual loss suffered by the minority shareholder: dividend not received, reduced valuation, loss of a chance of a sale at a better price. It is necessary to produce the annual accounts, comparable distribution policies in the sector, the valuation of the shares before and after the disputed decision, and an expert report where the amount claimed exceeds a few tens of thousands of euros. The court generally awards between 30% and 80% of the theoretical undistributed dividend.

Does the commercial court of Paris have jurisdiction over shareholder disputes?

Yes, for disputes between shareholders relating to the operation and management of a commercial company whose registered office is in Paris (Article L. 721-3 of the Commercial Code). For a civil company, the judicial court has jurisdiction. An arbitration clause in the articles of association or the shareholders' agreement may displace these jurisdictions in favour of an arbitral tribunal. The firm regularly pleads before the commercial court of Paris and handles urgent proceedings before the president of the chamber.

Which documents should be sent to the firm for the first appointment?

Up-to-date articles of association with all amendments, signed shareholders' agreement, minutes of the last three general meetings, annual accounts for the last three financial years, approved related-party agreements, lists of shareholders and the breakdown of the share capital, written exchanges with the other shareholders and the manager (emails, letters, formal notices), notification of any disputed notice of meeting with its acknowledgment of receipt. The firm uses these documents to characterise the dispute and determine the strategy.

How much does a shareholder dispute cost?

Fees are quoted case by case according to the stakes, the complexity, the number of proceedings and the foreseeable duration. A pre-litigation strategy with formal notice and negotiation is generally priced from €3,500 incl. VAT. Urgent proceedings for an ad hoc agent or an expert appraisal are priced between €5,000 and €12,000 incl. VAT depending on the difficulty. A summons on the merits requires a more substantial budget, often above €15,000 incl. VAT. The firm provides a written quote after reading the documents.

How long do shareholder dispute proceedings last?

Urgent proceedings for disclosure of documents or the appointment of an ad hoc agent obtain a hearing within four to eight weeks, and a decision soon afterwards. A summons on the merits before the commercial court of Paris generally lasts between ten months and two years, depending on the complexity of the case and the attitude of the parties. A court-ordered expert appraisal can extend the proceedings by a further six to twelve months. Most cases are settled by agreement before the hearing on the merits, once the balance of power becomes clear.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
