Share capital changes — founders, investors, creditors

Share capital lawyer in Paris: increase, reduce or restructure without weakening the shareholders.

Increase, reduction, accordion operation (coup d'accordéon), share premium: every capital operation directly affects each shareholder's stake. As a share capital lawyer in Paris, the firm secures the valuation, the resolutions and the formalities, and defends diluted minority shareholders.

Losses exceeding half of the share capital? The general meeting must rule within four months of the approval of the accounts (Article L. 225-248 of the French Commercial Code, or Code de commerce), failing which judicial dissolution is possible.

What a share capital lawyer in Paris does

  • Company law
  • Firm in the 17th arrondissement of Paris

Lawyer at the Paris Bar — capital operations and fundraising.

A capital increase is a matter for the extraordinary general meeting (AGE) and may be carried out within five years (Article L. 225-129); the share premium absorbs the real value of the company, and any waiver of the preferential subscription right (droit préférentiel de souscription) should be documented. A reduction not motivated by losses opens a twenty-day creditors' right of opposition. A fraudulent undervaluation that dilutes a minority shareholder engages the liability of the majority shareholders. An action for nullity of a decision to increase capital is subject to a three-month limitation period (Article L. 225-149-4).

Increase without diluting blindly

Cash, in kind, incorporation of reserves, conversion of debts: the AGE decides (Article L. 225-127), the share premium protects the valuation and the preferential subscription right protects the existing shareholders.

Reduce under control

Motivated by losses or not: a reduction not motivated by losses opens a twenty-day creditors' right of opposition and may not infringe the equality of shareholders (Articles L. 225-204 and L. 223-34).

The accordion operation within limits

Reduction to zero followed by an immediate increase: the operation restructures the shareholder base but must be justified by the corporate interest and documented so as to withstand a challenge by the diluted minority shareholder.

The rules

Increase, reduction, accordion: three regimes

Four rules structure capital operations.

  1. An increase is made by issuing ordinary or preference shares, or by raising the nominal value (Article L. 225-127 of the Commercial Code); the AGE decides and may delegate, and the operation is carried out within five years (Article L. 225-129).
  2. The share premium (Article L. 225-128) absorbs the gap between nominal value and economic value: without it, the investor enters at nominal value and artificially dilutes the existing shareholders.
  3. A reduction is authorised by the AGE without infringing the equality of shareholders (Articles L. 225-204 and L. 223-34); where not motivated by losses, it opens the creditors' right of opposition for twenty days.
  4. Where losses bring shareholders' equity below half of the share capital, the meeting rules within four months (Article L. 225-248).

The fraudulent collusion of majority shareholders who undervalue the securities in order to dilute a minority shareholder engages their civil liability, even independently of an established harm to the corporate interest (Cass. com., 30 September 2020, No. 18-22.076). Any waiver of the preferential subscription right should be documented so as to withstand a challenge.

Your documents

What to provide depending on the operation

The capitalisation table and the valuation are the key documents.

Position A

Increase / fundraising

  • Current articles of association and shareholders' agreement
  • Up-to-date capitalisation table and post-money simulation
  • Investor's term sheet, agreed valuation
  • Reports of the chairman and of the statutory auditor, where applicable

Position B

Reduction / accordion

  • Last two balance sheets and statement of shareholders' equity
  • Minutes of previous meetings
  • List of creditors likely to oppose
  • Economic justification for the operation

Frequent errors: deliberating without a post-money simulation; launching a reduction not motivated by losses without running the twenty-day opposition period.

The firm also defends:

  • Diluted minority shareholders
  • Opposing creditor
  • Waivers of the preferential subscription right
  • Anti-dilution clauses in the shareholders' agreement

The method

How the firm supports you

Reversing the order of the steps exposes the operation to nullity or to a block at the registry.

Step 1

Scoping and trade-offs

Accounting audit, capitalisation table, choice of method: increase, reduction, accordion operation.

Step 2

Documents and resolutions

Report of the board or the chairman, draft resolutions, amendment of the articles of association, alignment with the shareholders' agreement.

Step 3

Meeting and formalities

Valid notices of meeting, vote by qualified majority, waivers of the preferential subscription right (DPS) obtained, minutes, filing with the court registry.

Step 4

Publicity and follow-up

Legal notice, BODACC (official bulletin of civil and commercial announcements), amending registration, handling of creditors' oppositions.

Benchmarks: creditors' opposition within twenty days (Article R. 225-152); nullity of a decision to increase capital subject to a three-month limitation period (Article L. 225-149-4).

The timetable

The timeline of a capital operation

The typical steps of an increase with an incoming investor.

  1. Prior decision

Weeks 1-2. Reasoned report of the board or the chairman, validation of the valuation and of the share premium.

  2. Notice of meeting

Weeks 2-3. AGE convened within the periods set by the articles of association, reports provided.

  3. AGE

Week 4. Vote by qualified majority, DPS waivers, signed minutes.

  4. Court registry

Week 4. Filing of the minutes: starting point of the twenty-day opposition period for reductions not motivated by losses.

  5. Publicity

Weeks 5-6. Legal notice, BODACC, updated articles of association, amending registration with the Trade and Companies Register (RCS).

  6. Follow-up

Payment of subscriptions, update of the capitalisation table and of the share registers.

The checks

What the firm checks before the vote

No capital-related AGE should be held before these points have been validated.

  • Valuation and share premium: documented method, shared post-money simulation.
  • Preferential subscription right: retention, reasoned removal or individual written waivers.
  • Equality of shareholders in a reduction, documented corporate interest for an accordion operation.
  • Shareholders' equity and the obligation to rule within four months in case of losses (L. 225-248).
  • Timetable of creditors' opposition for reductions not motivated by losses.
  • Consistency with the shareholders' agreement: anti-dilution clauses, ratchet, right of first refusal.

Frequently asked questions

Your questions: share capital changes

What is the difference between a capital increase and a capital reduction?

An increase raises the share capital by creating new shares (in cash, in kind, or by incorporation of reserves) or by raising the nominal value of the existing securities (Article L. 225-127 of the French Commercial Code, or Code de commerce). A reduction lowers the capital either to absorb losses (a motivated reduction) or to buy back securities and return cash to the shareholders (a reduction not motivated by losses). The regimes differ considerably, notably as regards creditors' opposition.

What is an accordion operation in company law?

The accordion operation is a combined transaction: the share capital is reduced to zero (or almost zero) to absorb losses, immediately followed by an increase through subscription of new contributions. This technique restores shareholders' equity without insolvency proceedings. It may fully dilute the shareholders who do not subscribe to the increase. The Court of Cassation accepts the reduction of the capital of a company limited by shares to zero only if it is decided subject to a condition precedent, namely an effective capital increase bringing the capital to at least the legal or statutory minimum (Cass. com., 4 January 2023, No. 21-10.609). The reduction may also not undermine the equality of shareholders (Article L. 225-204).

What is the share premium and why provide for it?

The share premium is the difference between the issue price of the new shares and their nominal value (Article L. 225-128 of the Commercial Code). It absorbs the real economic value of the company, which generally exceeds the share capital recorded in the articles of association. Without a premium, the incoming investor would acquire securities at their nominal value although the company is worth far more, which artificially dilutes the existing shareholders.

How can dilution be avoided in a capital increase?

There are three levers. First, exercise the preferential subscription right to subscribe in proportion to one's holding. Second, negotiate the share premium so as to set a fair valuation. Third, provide for contractual clauses in the shareholders' agreement (anti-dilution, ratchet, right of first refusal). If there is disagreement over the valuation, an independent expert assessment may be requested.

What is the period for creditors to oppose a capital reduction?

The period is twenty days from the filing with the court registry of the minutes of the meeting that decided on the reduction (Article R. 225-152 of the Commercial Code). The opposition is brought before the commercial court (tribunal de commerce). During this period, and until the decision at first instance where applicable, the reduction may not begin. This rule applies only to reductions not motivated by losses.

Does a creditor's opposition block the reduction permanently?

No. The court may reject the opposition if it considers that the reduction does not harm the creditor's rights. It may also order either immediate repayment of the debt or the provision of sufficient security (bank guarantee, pledge, mortgage). Once that condition is met, the reduction may resume. The timetable is generally pushed back by four to eight weeks.

What happens if shareholders' equity falls below half of the share capital?

Article L. 225-248 of the Commercial Code requires the board to convene an extraordinary general meeting within four months of the approval of the accounts showing the loss. The AGE decides either on early dissolution or on continuing the business, with the obligation to restore shareholders' equity before the close of the second financial year following. Failing that, any interested party may seek judicial dissolution.

What formalities follow a capital increase or reduction?

Five steps: filing of the minutes with the court registry, amendment of the articles of association, legal notice, publication in the BODACC, and amending registration with the Trade and Companies Register. For a reduction not motivated by losses, add the creditors' opposition period. The company must also update the capitalisation table, the register of share transfers and the subscription forms.

Can the preferential subscription right be removed?

Yes, by decision of the extraordinary general meeting and under the conditions of Article L. 225-135 of the Commercial Code. The removal may be total or reserved for named persons. It requires a detailed report from the board and a special report from the statutory auditor (commissaire aux comptes). Without these reports, the operation may be annulled. An individual waiver is also possible and more common in practice.

What is the risk of a capital increase being annulled?

There are several grounds for annulment: irregular notice of meeting, absence of a prior report, breach of the preferential right, fraudulent undervaluation amounting to an abuse of majority, absence of the resolution reserved for employees (Article L. 225-129-6). An action for nullity of a decision to increase capital is subject to a three-month limitation period (Article L. 225-149-4). In the case of a formal irregularity, regularisation is often possible before judgment.

What does abuse of majority cover in a capital increase decision?

Abuse of majority arises where the decision is contrary to the corporate interest and taken with the sole aim of favouring the majority shareholders to the detriment of the minority. Deliberately undervaluing the company in order to dilute a minority shareholder artificially is an example sanctioned by the Court of Cassation (Cass. com., 30 September 2020, No. 18-22.076). The sanction is annulment of the resolution and the liability of the majority shareholders.

How much does a share capital change cost?

Legal costs (registry, publication, BODACC) range between €250 and €500 depending on the nature of the operation. Fees for assistance vary with the complexity: a simple cash increase with two shareholders is handled from €2,800 incl. VAT. A Series A fundraising with an incoming investor and a redraft of the shareholders' agreement generally costs between €6,500 and €15,000 incl. VAT, depending on the amount and the number of investors.

Is a statutory auditor needed for a capital reduction?

If the company has a statutory auditor, the draft reduction must be communicated to them within the period set by decree. The auditor informs the meeting of their assessment of the causes and conditions of the reduction. Failing communication, or if the report is manifestly deficient, the resolution may be annulled. For SARLs and SASs without an auditor, this formality is not required.

Can a capital increase be decided by the chairman of an SAS?

Yes, but only by delegation from the shareholders collectively. Authority in principle belongs to the extraordinary general meeting (Article L. 225-129 of the Commercial Code, applicable to the SAS by cross-reference). The articles of association of the SAS freely organise the arrangements: signature by the shareholders, written consultation, unilateral decision by the chairman within a ceiling. The resolution must be formalised in writing.

Which court has jurisdiction over a dispute about a capital operation?

The commercial court for the registered office rules on actions for nullity of a resolution, abuse of majority or minority rights, creditors' opposition to a reduction, and liability actions against company officers. For a company registered in Paris, this is the Paris commercial court. The articles of association may provide for an arbitration clause that displaces this jurisdiction.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
