General meetings: company officers and shareholders

Shareholders meeting lawyer in Paris: notice, voting and minutes.

The agenda fixes what the meeting may vote on, the notice determines validity, and the minutes serve as evidence for years. As a shareholders meeting lawyer in Paris, the firm secures meetings on the company officer's side and challenges irregular decisions on the shareholder's side.

Notice given less than fifteen days ahead in an SARL, a resolution slipped in during the meeting, a shareholder's address not updated: each is a potential nullity. The checks are made before the notice goes out, not after the vote.

Lawyer at the Paris Bar — governance and disputes over corporate decisions.

A secure meeting follows a discipline: a clear agenda attached to the notice, notice sent by registered post at least fifteen days beforehand in an SARL, documents made available, attendance sheet, a vote resolution by resolution, and complete, signed minutes. On the challenge side: nullity within two years (Article 1844-14 of the French Civil Code, the Code civil), civil liability within five years.

A locked agenda

Only items on the agenda may be voted on: any new resolution introduced during the meeting is irregular, even if passed unanimously (Articles L. 223-27 and R. 223-20 of the French Commercial Code, the Code de commerce).

Precise quorum and majorities

SARL after 2005: a quorum of one quarter of the shares on first notice, a two-thirds majority for amendments to the articles of association (Article L. 223-30). SA: two-thirds at an extraordinary general meeting (Article L. 225-96). SAS: freedom set by the articles of association.

The minutes, evidence that lasts

Date, those present, shares represented, agenda, result of each vote, signature of the chair of the meeting: the first document the judge examines, sometimes years later.

The rules

Agenda, notice, vote: the discipline

Four rules govern the regularity of meetings.

  1. The agenda, clearly worded and attached to the notice, limits the vote: a resolution proposing an appointment different from the one listed is new and the deliberation is irregular (Cass. com., 14 February 2018, No. 15-16.525).
  2. In an SARL, notice is sent by registered post at least fifteen days before the meeting (Article R. 223-20); in an SAS, the articles of association set the rules freely within the limits of public policy.
  3. Quorum and majority depend on the decision: one quarter of the shares and two-thirds of the votes for amendments to the articles of association of an SARL after 2005 (Article L. 223-30), two-thirds at an extraordinary general meeting of an SA (Article L. 225-96).
  4. Every shareholder has the right to take part in collective decisions (Article 1844 of the Civil Code): depriving a shareholder of that right, even through negligence, exposes the decision to annulment.

Abuse of majority opens a second front: the systematic allocation of profits to reserves without economic necessity, voted solely in the majority's interest, is annulled and makes those who voted liable (Cass. com., 17 June 2008, No. 06-15.045).

Your documents

What to send, depending on your position

The meeting file can be reconstructed in full: notice, agenda, attendance sheet, minutes.

Position A

Company officer (securing the meeting)

  • Articles of association and shareholder register up to date (addresses checked)
  • Draft agenda and resolutions
  • Annual accounts and management report
  • Notice templates and proof of dispatch

Position B

Shareholder (challenging)

  • Notice received and agenda attached
  • Attendance sheet and minutes
  • Register of meetings
  • History of distributions and accounts

Common errors: postal address not updated before dispatch; a question added during the meeting that is not on the agenda; minutes not signed.

The firm also secures:

  • Approval of the accounts
  • Related-party agreements at the meeting
  • Videoconference and remote voting
  • Meeting officers and attendance sheet

The method

How the firm supports you

Procedural discipline reduces the risk of nullity and equips the defence if a decision is challenged.

Step 1

Preparing the agenda

Resolutions identified, with the applicable quorum and required majority checked for each resolution.

Step 2

Regular notice

Registered post sent within the time limits, a clear agenda, the address register checked.

Step 3

Documents and conduct of the meeting

Accounts, report and resolutions made available; meeting officers, attendance sheet, a vote resolution by resolution.

Step 4

Minutes and follow-up

Complete signed minutes, register of meetings, Trade and Companies Register (RCS) formalities where applicable; defence if a decision is challenged.

On the challenging side: first a complete reconstruction of the documents — notice, agenda, attendance sheet, minutes — then the choice of legal basis and time limit.

The timetable

The timeline of a secure meeting

A precise sequence, from the agenda to the formalities.

  1. Preparation

30 days before. Resolutions, quorum and majorities checked, shareholder register updated.

  2. Notice

15 days before. Registered post to all shareholders with a clear agenda (SARL); time limit set by the articles of association in an SAS.

  3. Documents

15 days before to Day 0. Annual accounts, management report and draft resolutions available at the registered office.

  4. Conduct of the meeting

Day 0. Meeting officers appointed, attendance sheet signed, quorum checked, a vote resolution by resolution.

  5. Minutes

Day 0 to Day 8. Complete minutes signed by the chair of the meeting, entry in the register of meetings.

  6. Follow-up

RCS formalities for decisions that amend the company's details, and retention of the complete file as evidence.

The checks

What the firm checks before the meeting

No notice goes out until these points are validated.

  • A precise agenda, with no reference to annexed documents, and complete resolutions.
  • Time limit and form of notice, shareholders' addresses checked against the register.
  • Quorum and majority applicable to each resolution according to the company's form and date of incorporation.
  • Every shareholder's right to take part preserved (Article 1844).
  • Economic justification for sensitive resolutions: distributions, reserves, remuneration.
  • Minutes: minimum content, signature, register, follow-up formalities.

Frequently asked questions

Your questions: company general meetings

Who can call a company general meeting?

For an SARL, notice is given by the manager or, failing that, by the statutory auditor if there is one (Article L. 223-27 of the Commercial Code). Any shareholder holding half of the shares or, together with others, one tenth of the shares if they represent at least one tenth of the shareholders, may ask for a meeting to be held. If there is no manager or the company is deadlocked, any shareholder may apply to the court for the appointment of an agent to call the meeting. For an SAS, the articles of association designate the competent body.

What is the notice period for an SARL meeting?

At least fifteen days before the date of the meeting, by registered letter, in accordance with Article R. 223-20 of the Commercial Code. The notice states the agenda. The period is reduced to eight days in the particular case of the death of the sole manager. For an SA, the notice of meeting likewise observes a fifteen-day period for registered shareholders, under the rules specific to that form. For an SAS, the articles of association set the applicable period.

What quorum is required for a meeting to deliberate validly?

For an SARL incorporated after 2 August 2005, Article L. 223-30 of the Commercial Code requires, on first notice, that the shareholders present or represented hold at least one quarter of the shares, and one fifth on second notice. For an SA at an extraordinary meeting, Article L. 225-96 likewise sets one quarter on first notice and one fifth on second. For an SAS, the articles of association set the applicable quorum, within the limits of public policy.

What majority is needed to amend the articles of association?

For an SARL incorporated after 2005, amendments to the articles of association require a two-thirds majority of the shares held by the shareholders present or represented (Article L. 223-30 of the Commercial Code). The Commercial Chamber confirmed in 2025 (No. 23-10.763) that the articles of association cannot provide for a lower majority. For an SA, Article L. 225-96 likewise sets two-thirds of the votes cast. For an SAS, the articles of association set the majority freely, except where the law requires unanimity.

Can the agenda be changed during the meeting?

No. Any resolution not on the agenda sent with the notice is new and therefore irregular. The Commercial Chamber restated this in a decision published in the Bulletin on 14 February 2018 (No. 15-16.525), citing Articles L. 223-27 and R. 223-20 of the Commercial Code. Only 'any other business' items, provided they remain of minor importance, may be raised without prior inclusion on the agenda.

Is voting by proxy always possible?

Yes in most cases. For an SARL, a shareholder may be represented by their spouse, unless the company has only the two spouses as shareholders, or by another shareholder unless the articles of association provide otherwise. For an SAS, the articles of association set the rules. The proxy must be written and dated. A blank proxy, without the name of a representative, is generally deemed to be given to the chair to vote in the direction proposed.

Are the minutes of a meeting mandatory?

Yes. They record the date, the place, the identity of those present, the number of shares represented, the agenda, the text of each resolution put to the vote and its result. The minutes are signed by the chair of the meeting and kept in the register of meetings, initialled by the court registrar (greffier). A missing signature does not automatically lead to nullity but considerably weakens the evidential value of the document if it is challenged.

What is the time limit for challenging a general meeting decision?

Article 1844-14 of the Civil Code, in the wording resulting from the ordinance of 12 March 2025, provides that actions for nullity of corporate decisions are time-barred after two years from the day the nullity is incurred. Article L. 235-9 of the Commercial Code, which provided for a three-year period, has been repealed since 1 October 2025. An action for compensation for the harm caused by an abuse of majority, based on civil liability, is subject to a five-year limitation period.

What should be done if a shareholder was not given notice of the meeting?

Failure to give a shareholder proper notice leads to nullity of the deliberations if the irregularity deprived them of their right to take part and was capable of affecting the outcome of the vote. The Commercial Chamber, in a decision published in the Bulletin on 11 February 2026 (No. 24-18.524), specifies that this assessment is made in concrete terms, especially in two-shareholder companies in conflict. The shareholder who was not given notice must act quickly, within the limitation period of Article 1844-14 of the Civil Code.

Does a missing signature on the minutes lead to nullity?

No, in principle. Recent case law, in co-ownership as in company law, holds that a missing signature weakens the evidential value of the minutes without automatically annulling them, unless a statutory provision or a specific clause in the articles of association provides otherwise. Regularisation is possible. But the risk falls on whoever relies on the minutes: a challenging shareholder can then more easily rebut the presumption.

What is an abuse of majority?

Abuse of majority refers to a decision voted by the majority solely in their own interest, against the company's interest and to the detriment of the minority shareholder. The typical case is the systematic allocation of profits to reserves, without economic necessity, which deprives the minority shareholder of any dividend. The Commercial Chamber annulled several meetings on this basis in the Marina Airport judgment of 17 June 2008 (No. 06-15.045, published in the Bulletin). The sanction is annulment of the resolution and compensation for the harm.

What is an abuse of minority?

Abuse of minority is the opposition by a minority shareholder to a decision essential to the company's interest, in their own interest alone and with disregard for that of the shareholders as a whole. The typical case is the blocking of a share capital increase needed for the company's survival. The Commercial Chamber, in the Vitama judgment of 14 January 1992 (No. 90-13.055), holds that where shareholders' opposition to a share capital increase amounts to an abuse of right, there are solutions other than an award of damages that allow the company's interest to be taken into account.

Can a meeting held without notice be valid?

Yes, provided that all the shareholders without exception are present or represented. The last paragraph of Article L. 223-27 of the Commercial Code states that an action for nullity of an irregularly convened meeting is inadmissible where all the shareholders were present or represented. This tolerance applies only if attendance is real and documented by the attendance sheet. Otherwise, the absence of a single shareholder is enough to expose the decision to annulment.

How much does it cost to be assisted by a lawyer for a general meeting?

A full review of a notice and the drafting of the draft resolutions start at around €1,500 incl. VAT for an ordinary meeting of a standard SARL or SAS. The lawyer's attendance at the meeting and the drafting of the minutes are additional. For a complex meeting amending the company (change of corporate purpose, merger, share capital) or a heated meeting with a foreseeable challenge, the fee is set after the file has been scoped. The quote is written and signed before any work begins.

Which court has jurisdiction to challenge a meeting of a Paris company?

Disputes between shareholders and actions for nullity of a corporate deliberation fall within the jurisdiction of the commercial court (tribunal de commerce) of the registered office, that is, the Paris commercial court for a company registered in the capital. The articles of association may provide for an arbitration clause (clause compromissoire) that displaces that jurisdiction in favour of arbitration. The firm regularly pleads before this court and advises companies on the choice between court proceedings and arbitration.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
