Share transfers — sellers and buyers

Share transfer lawyer in Paris: price, approval and warranty.

For SARL shares and SAS shares, the regimes, formalities and tax treatment are entirely different. As a share transfer lawyer in Paris, the firm defines the scope, clears approval and pre-emption, negotiates the price and the warranty and indemnity agreement, and defends clients after closing.

A transfer signed without clearing the approval procedure is exposed to nullity or to being unenforceable against the company. The notification of the proposed transfer and the collection of the votes always come before signature.

Lawyer at the Paris Bar — share transfers and warranty and indemnity agreements.

Before signing: define the scope (shares, shareholder current accounts, guarantees), clear approval — in an SARL, the consent of a majority of the members representing half of the shares, with a forced buy-out within three months if consent is refused, at the price set by the expert under Article 1843-4 — and pre-emption. At closing: sale and purchase agreement, warranty and indemnity agreement, share transfer form or service on the company, and publicity formalities. Tax: 3% duty on SARL shares (with an allowance of €23,000), 0.1% on SAS and SA shares; for an individual, capital gains taxed at the 31.4% flat tax (PFU).

Send what you have, even if incomplete: the firm will prioritise and complete the file with you. In an emergency, call +33 6 46 60 58 22.

Two transfer regimes

SARL shares: written deed, service on the company, publication at the Trade and Companies Register (RCS), statutory approval for third parties (Article L. 223-14). SAS and SA shares: share transfer form and entry in the share account, with approval under the articles optional.

A price that is rarely fixed

Base price, indexed additional payment (earn-out), escrow, vendor financing: the transfer remains valid provided the price is determinable on the date of the promise.

The warranty, the central document

Scope, duration, cap, deductible: the warranty and indemnity agreement protects the buyer against prior liabilities revealed after closing — and the seller's fraudulent concealment means the buyer's error is always excusable.

The rules

Scope, approval, price: how it works

Four rules structure a share transfer.

  1. The scope is defined first: shares, shareholder current accounts, guarantee commitments, a closed accounting position — a poorly defined transfer is paid for in post-closing litigation.
  2. In an SARL, a transfer to a third party requires the consent of a majority of the members representing at least half of the shares (Article L. 223-14); if consent is refused, a buy-out must take place within three months at the price set by the expert (Article 1843-4 of the French Civil Code, the Code civil).
  3. In an SAS, approval is provided for in the articles of association (Article L. 227-14); in an unlisted SA, it may be stipulated for registered shares (Article L. 228-23) — a transfer in breach of the clause is null.
  4. The price may be merely determinable: the promise becomes a sale once the option is exercised if an agreed formula allows it, the expert only completing a contract that has already been formed (Cass. com., 28 May 2025, No. 24-13.902).

On warranties, the intentional concealment of decisive information amounts to fraudulent misrepresentation and the resulting error is always excusable: the buyer's lack of diligence does not save the seller (Cass. com., 18 September 2024, No. 23-10.183). The warranty and indemnity agreement is negotiated on four parameters: scope, duration, cap, deductible.

Your documents

What to send according to your role

The share transfer register and the cap table are authoritative.

Position A

Seller

  • Articles of association, shareholders' agreement and share transfer register
  • Accounts for the last three financial years
  • Statement of current accounts and personal guarantees
  • Draft sale and purchase agreement and warranty and indemnity agreement

Position B

Buyer

  • Legal, tax and employment due diligence reports
  • Cap table and chain of title to the shares
  • Applicable approval and pre-emption clauses
  • Financing plan and payment mechanism

Frequent mistakes: signing before the approval procedure has been cleared; neglecting the share transfer register, the absence of which paralyses future transactions.

The firm also structures:

  • Earn-out and additional price payments
  • Escrow and vendor financing
  • Pledge of shares
  • Assignment of shareholder current accounts

The method

How the firm supports you

The approval and pre-emption rights are always cleared before signature.

Step 1

Scoping and confidentiality

Letter of intent, NDA, controlled disclosure of information, indicative timetable.

Step 2

Audit and negotiation

Due diligence, negotiation of the price and the payment mechanism, tax simulation for the seller.

Step 3

Clearance and agreement

Notification of the proposed transfer, collection of the approval votes, clearance of pre-emption, sale and purchase agreement and warranty and indemnity agreement with conditions precedent.

Step 4

Closing and formalities

Satisfaction of conditions, payment, share transfer form or service on the company, publicity, post-closing follow-up.

Tax benchmarks: 3% duty on SARL shares after a pro rata allowance of €23,000, 0.1% on unlisted shares; 31.4% flat tax (PFU) on an individual's capital gain.

The timetable

The timeline of a share transfer

From the letter of intent to closing.

  1. LOI and NDA

Weeks 1-2. Letter of intent, confidentiality agreement, timetable for the transaction.

  2. Due diligence

Weeks 2-6. Legal, tax and employment audit of the target, negotiation of the price and payment.

  3. Clearance

Weeks 4-8. Notification of the proposed transfer, approval votes, replies within the time limits set by the articles and by law.

  4. Agreement

Weeks 6-10. Sale and purchase agreement, warranty and indemnity agreement, escrow, conditions precedent.

  5. Closing

Satisfaction of conditions, payment, share transfer form or service on the company, entry in the share account.

  6. Post-closing

Publication at the Trade and Companies Register (RCS), tax registration, monitoring of the warranty and of additional price payments.

The checks

What the firm checks before signature

No agreement without these points having been validated.

  • Exact scope: shares, current accounts, guarantees, reference accounting position.
  • Chain of title to the shares and an up-to-date transfer register.
  • Approval and pre-emption cleared in the proper form and within the time limits.
  • Price determined, or determinable by a robust formula; Article 1843-4 expert clause properly calibrated.
  • Warranty and indemnity agreement: scope, duration, cap, deductible, information mechanism and escrow.
  • Seller's tax position simulated before signature, registration duties anticipated.

Frequently asked questions

Your questions: share transfers

What is the difference between transferring SARL shares and SAS or SA shares?

SARL shares require a written deed, service on the company and publication in the commercial register, as well as an approval procedure in the case of a transfer to a third party (Article L. 223-14 of the French Commercial Code, the Code de commerce). SAS or SA shares are transferred by a share transfer form and entry in the shareholder account, with an approval clause that is possible but optional in the articles of association (Articles L. 227-14 and L. 228-23 of the Commercial Code). Registration duties differ sharply: 3 per cent on SARL shares against 0.1 per cent on unlisted shares.

Is the approval of the other shareholders always required?

For an SARL, approval is mandatory for a transfer to third parties outside the company. The articles of association may require a stronger majority than half, but cannot remove the approval requirement (Article L. 223-14 of the Commercial Code). For an SA and an SAS, approval is optional and applies only if it appears in the articles of association. Shareholders' agreements often add a contractual pre-emption or approval right, enforceable only against the signatories.

How is the transfer price set?

There are three main methods: valuation based on revalued equity, the comparables method, and the discounted cash flow (DCF) method. In practice, the price results from a negotiation that combines several approaches. It may be fixed at signature, or include an additional price payment (earn-out) indexed to future performance. A clear calculation formula in the sale and purchase agreement avoids later disputes.

What happens if there is a disagreement on the price?

Where the parties do not agree on the price but have provided for a calculation method, the expert appointed under Article 1843-4 of the French Civil Code (Code civil) decides. The Commercial Chamber reiterates (Cass. com. 28 May 2025, No. 24-13.902) that a unilateral promise becomes a sale as soon as the option is exercised, provided the price is determinable under an agreed formula. The expert does not create the contract but completes a contract that has already been formed. The matter is brought by summons before the president of the commercial court, ruling under the accelerated procedure on the merits.

What is the purpose of an escrow of the price?

Escrow is a blocked account held by a trusted third party (notary, lawyer, bank) that retains part of the price for the duration of the warranty and indemnity agreement. If the buyer invokes the warranty for a liability that comes to light, the escrow is called on first, which spares the seller from having to repay funds already spent and the buyer from having to pursue an insolvent seller. It is generally 10 to 20 per cent of the price.

What is the warranty and indemnity agreement?

It is the seller's undertaking to indemnify the buyer for any liability revealed after the transfer whose cause predates it (tax reassessment, employment tribunal claim, forgotten debt), or for any reduction in assets of the same origin. Four parameters are negotiated: the scope covered, the duration (often two to five years, extended to the limitation period for tax matters), the overall cap and the deductible per claim. The firm systematically negotiates these clauses before signature.

Can the seller set up or join a competing company after the transfer?

The seller is bound by the statutory warranty against eviction resulting from the seller's own acts (Article 1626 of the Civil Code), even without a non-compete clause. In practice, the seller cannot restart an activity that diverts the customers of the company sold or that makes it impossible to carry on the business acquired. The sanction may go as far as an order to cease the competing activity, together with compensation. In practice, a precisely drafted non-compete clause defines the boundaries and makes proof easier.

What formalities make the transfer enforceable against the company?

For SARL shares, the transfer is enforceable against the company by service by a commissaire de justice (judicial officer) or by filing an original of the transfer deed at the registered office (Article 1690 of the Civil Code for assignments of claims, supplemented for shares). For SAS and SA shares, enforceability results from entry in the shareholder account in the share transfer register. Publication at the court registry makes the transfer enforceable against third parties.

What tax applies to the seller?

For an individual seller, the capital gain is subject to the single flat-rate levy (PFU) of 31.4 per cent (12.8 per cent income tax and 18.6 per cent social charges), with an option for the progressive scale. For shares acquired before 2018, relief for length of holding may apply if the progressive scale is chosen. A company director retiring may benefit from a fixed allowance of €500,000 under strict conditions (Article 150-0 D ter of the General Tax Code).

Who pays the registration duties?

Unless otherwise agreed, the buyer bears the registration duties. For SARL shares, the rate is 3 per cent after an allowance of €23,000 calculated pro rata to the number of shares transferred out of the total number of shares. For shares in unlisted companies, the rate is 0.1 per cent. For shares in companies whose assets are predominantly real estate, the rate is 5 per cent of the real value of the buildings.

How does the closing of a transfer work?

Closing is when the shares are actually transferred and the price paid. The documents signed at closing are: the share transfer form (SAS and SA shares) or the deed of transfer (SARL shares), the warranty and indemnity agreement, the release of the seller's personal guarantees, the escrow agreement if there is one, the resignations from corporate offices and the minutes appointing the new directors. The firm organises the closing as a precise roadmap.

What can be done if a buyer does not pay the price?

If the contract so provides, the transfer may be terminated automatically under a termination clause, after an unsuccessful formal notice. The seller recovers the shares but must return the sums already received. Failing that, court proceedings for termination or for specific performance are required. To limit this risk, the parties provide in advance for payment in cash, vendor financing secured by a pledge of the shares or by a bank guarantee, and a clear termination clause.

Can a transfer be annulled after signature for fraudulent concealment?

Yes, if the seller concealed decisive information. The Commercial Chamber reiterates (Cass. com. 18 September 2024, No. 23-10.183, published in the Bulletin) that an error resulting from fraudulent misrepresentation is always excusable, thereby ruling out any argument based on the buyer's lack of diligence. The time limit for bringing an action is five years from discovery of the fraud. The consequences may be annulment of the transfer or damages.

What role does the Paris commercial court play in a dispute?

Disputes between shareholders and between seller and buyer fall within the jurisdiction of the commercial court of the registered office. For a company registered in Paris, this is the Paris commercial court. The articles of association or the shareholders' agreement may provide for an arbitration clause that overrides this jurisdiction. The firm regularly pleads before this court in post-closing disputes, warranty claims and challenges to approval.

How much does assistance with a share transfer cost?

Fees vary with complexity (value of the transaction, number of sellers, presence of an earn-out, scope of the warranty and indemnity agreement, ongoing litigation). For a simple transfer between two shareholders without heavy audit work, full assistance (audit, negotiation, drafting, closing) generally starts at €4,800 incl. VAT. For a transaction of more than €500,000 with a full warranty and escrow, the fixed fee is adjusted to the scope. The firm provides a written quote after scoping.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
