Business sale — a corporate transaction
Business sale lawyer in Paris: valuation, escrow and warranties.
Customers, contracts, employees, social and tax liabilities: a business sale lawyer in Paris treats the sale of a business as a business transfer transaction. The firm defines the scope, conducts the audit, calibrates the warranties and secures the escrow.
A buyer who pays the seller before the opposition period expires is not discharged as against third parties, under Article L. 141-17 of the French Commercial Code (Code de commerce): the price is paid in full into escrow.

- Firm in Paris 17th
Lawyer at the Paris Bar — business transfers and sales of businesses.
The timetable protects creditors: publication within fifteen days (Article L. 141-12), opposition during ten days (Article L. 141-14), price held in escrow and then released once creditors are settled and the joint tax liability is cleared. The seller's warranty against eviction is statutory and perpetual (Article 1626 of the French Civil Code); the non-compete clause defines it in time and space. On fraudulent misrepresentation: concealing the real turnover leads to annulment, since an error induced by fraud is always excusable.
A business sale lawyer steps in before the letter of intent: they compare the sale of the business with a sale of shares, audit the lease, the contracts, the employees and the permits, draft the deed, organise the publications and secure the price. In Paris, send over the draft, the balance sheets, the lease and the staff list first.
Send what you have, even if incomplete: the firm will prioritise and complete the file with you. In an emergency, call +33 6 46 60 58 22.

A composite asset to define
Intangible elements (customers, trade name, licences, intellectual property) and tangible ones (equipment, stock) — but not real estate, receivables or debts unless stipulated: the scope determines valuation and rights.
Employees transferred by operation of law
Current employment contracts pass automatically to the buyer (Article L. 1224-1 of the French Labour Code), together with seniority, accrued leave and pending employment tribunal disputes.
A joint tax liability to clear
The buyer is liable for the seller's tax for ninety days, reduced to thirty under conditions (Article 1684 of the French General Tax Code): the seller notifies the tax authorities of the sale within forty-five days, then files its income return within sixty days (Article 201 of the CGI).
The framework
Scope, timetable, warranties: the corporate mechanics
Four rules shape a business sale on the corporate side.
- The particulars required by Article L. 141-2 of the Commercial Code: a statement of monthly turnover referred to in the deed, and accounting books kept available for three years.
- Payment: a buyer who pays before the ten-day opposition period expires is not discharged as against third parties, whether or not they have lodged an opposition (Cass. com., 8 March 2023, No. 21-18.677).
- Employment: automatic transfer of current employment contracts (Article L. 1224-1 of the Labour Code), including acquired rights and disputes — mapping the workforce comes before signing.
- Fraudulent misrepresentation: intentionally concealing the real turnover leads to annulment, since an error induced by fraud is always excusable (Cass. com., 18 September 2024, No. 23-10.183).
The seller's warranties shape the post-closing phase: a statutory and perpetual warranty against eviction (Article 1626 of the Civil Code, any contrary agreement being void under Article 1628), a non-compete clause proportionate in time and space, and a warranty and indemnity agreement calibrated on the audit. The joint tax liability under Article 1684 of the CGI is cleared by the return under Article 201 and the tax clearance certificate.

Frequently asked questions
Your questions: sale of a business
What is a business (fonds de commerce) from a corporate point of view?
A business is a composite operating asset. It comprises intangible elements (customers, goodwill, shop sign, trade name, intellectual property rights, licences) and tangible elements (equipment, furniture, stock). It includes neither real estate, nor the seller's receivables, nor its debts, unless the deed expressly provides otherwise. This definition guides the valuation, the exact scope transferred and the applicable registration duties.
What particulars must the sale deed contain?
Article L. 141-2 of the Commercial Code requires disclosure of monthly turnover between the close of the last financial year and the month preceding the sale. The seller must make available to the buyer, for three years, the accounting books for the three financial years preceding the sale. Any contrary clause is deemed unwritten. The deed also customarily includes the description of the assets sold, the price with its breakdown, the payment terms, the warranties given and the date on which the buyer takes possession.
What exactly is the escrow of the sale price for?
The escrow holds the sale price with a trusted third party (often the drafting lawyer or notary) for three to six months. It protects the buyer from double payment and guarantees the seller's creditors that any opposition they lodge will be effective. The escrow agent releases the price in instalments: a first release after the ten-day opposition period expires, a second after the tax clearance, and the balance after the warranty and indemnity agreement expires.
How long can creditors oppose payment?
The statutory opposition period is ten days from the latest of the publications required by Article L. 141-12 of the Commercial Code, that is, publication in the department's legal notices medium and in the BODACC. On pain of nullity, the opposition must state the amount and the grounds of the claim and include an address for service within the jurisdiction where the business is located. Any payment made to the seller before this period expires cannot be relied on against the creditors.
How does BODACC publication of a business sale work?
The buyer publishes the notice of sale within fifteen days of signing, in a medium authorised to receive legal notices in the department of operation and then in the Official Bulletin of Civil and Commercial Notices (BODACC). The notice states the names of the parties, the description of the business, the price, the address for service for oppositions and the name of the escrow agent. Incomplete publication, or no publication, deprives the buyer of discharge as against third parties.
Can the landlord refuse the assignment to the buyer of the business?
This question mainly concerns the audit of the commercial lease, covered in detail on the page on the sale of a business seen from the lease angle. From the corporate angle, note that Article L. 145-16 of the Commercial Code deems unwritten any agreement prohibiting the assignment of the lease to the buyer of the business. The landlord may, however, make the assignment subject to prior approval or to specific procedural obligations.
Are employees transferred when a business is sold?
Yes, automatically. Article L. 1224-1 of the Labour Code provides that all employment contracts in force on the day of the sale continue between the new employer and the staff of the business. The buyer takes over the acquired rights (seniority, collectively agreed bonuses, accrued leave days) as well as pending employment tribunal disputes. Precise mapping of the workforce and review of ongoing unfitness cases are essential steps of the audit.
Who pays the registration duties on the sale?
Registration duties are in principle payable by the buyer. The total results from the duty provided for by Article 719 of the General Tax Code, to which the departmental and communal taxes are added: 0% up to €23,000, 3% from €23,000 to €200,000 and 5% above. For a sale at €480,000, it comes to €19,310, excluding the minimum charge and special regimes. A contrary agreement may share the burden between the parties.
How long does the buyer's joint tax liability last?
Under Article 1684 of the General Tax Code, the buyer is jointly liable with the seller for payment of the income tax and corporate income tax relating to the profits made up to the day of the sale. This joint liability lasts ninety days from the filing of the Article 201 CGI return, reduced to thirty days if the seller meets several formal conditions. A protective escrow calibrated to this period effectively protects the buyer.
Is a warranty and indemnity agreement needed?
Yes, in all business transfer transactions. The warranty and indemnity agreement protects the buyer against liabilities predating the sale that surface after closing: tax reassessments, employment disputes, undisclosed commercial disputes, latent defects in the equipment. It has a dedicated page on the warranty and indemnity methodology, which is the preceding step of the M&A journey.
What happens if a creditor lodges an opposition?
If the opposition is formally regular and the claim is certain, the escrow agent keeps the price until the opposing debt is paid. If the claim is manifestly not certain, not quantified or not due, the seller may apply to the urgent applications judge under Article L. 141-15 of the Commercial Code to have the opposition lifted and receive the price despite the opposition. The judge may make the lifting conditional on depositing a sum sufficient to secure the disputed claim.
Can a sale be annulled for fraudulent misrepresentation about the declared figures?
Yes. In its judgment of 18 September 2024 No. 23-10.183, the Court of Cassation, commercial chamber, reaffirmed that the seller's fraudulent concealment always makes excusable the error induced in the buyer. The buyer's lack of diligence can no longer be used to dismiss a fraud claim. The buyer may choose between an action for nullity with full refund of the price and an action for a price reduction with the sale maintained.
What is an interim manager and when should one be used?
An interim manager is a senior executive appointed temporarily to ensure operational continuity between signing and the buyer's actual start in the role. This is useful when the seller is no longer immediately available after closing, when the buyer needs a learning period, or when a regulated activity requires a licence holder to remain in place. The interim management contract is negotiated in the agreement, with a precise mandate and a budget envelope.
What is the indicative cost of assistance with a business sale?
For a standard SME sale between €200,000 and €800,000 (audit, agreement, warranty and indemnity, closing follow-up, clearing of oppositions), fees are generally between €6,000 and €12,000 incl. VAT. For complex transactions (LBO, acquiring holding company, cross-warranties, latent post-closing disputes), the range rises to €15,000 - €30,000 incl. VAT. The firm systematically proposes an overall fixed fee after reviewing the file, with no surprise hourly billing.
Which court has jurisdiction over a dispute about the sale?
Disputes between traders relating to a deed of sale of a business fall within the commercial court of the defendant's registered office or of the place where the business operates. For a Paris sale, the Paris commercial court has jurisdiction in principle. Actions between a consumer and a trader fall within the judicial court. An arbitration clause may also derogate from these rules. The firm regularly pleads before the Paris commercial court.

What our clients say
Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN
Translated from French
Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
