Articles of association amendment — company officers and shareholders

Articles amendment lawyer in Paris: amend without nullity or deadlock.

Object, registered office, share capital, powers: every amendment requires a specific majority, a valid notice of meeting and publication within one month. As an articles amendment lawyer in Paris, the firm secures the decision for the company officer and challenges it for the shareholder when it is irregular or abusive.

Under Article 1844-14 of the French Civil Code (Code civil), an action to annul a corporate decision is subject to a two-year limitation period: a shareholder who suspects an irregularity must act quickly, and the company officer must prepare the defence from the notice of meeting onwards.

What an articles amendment lawyer in Paris does

  • Paris Bar
  • Company law
  • Firm in Paris 17th

Lawyer at the Paris Bar — company law, governance and general meetings.

An amendment of the articles follows a strict sequence: audit of the current articles, a precise draft resolution, a valid notice of meeting, a vote at the required majority, minutes, then filing with INPI within one month. In a simplified joint-stock company (SAS), inalienability clauses and exclusion clauses applying on a change of control can only be adopted or amended unanimously, under Article L. 227-19, on pain of being deemed unwritten. On the challenge side: nullity within two years, with abuse of majority the leading ground.

Send what you have, even if incomplete: the firm will prioritise and complete the file with you. In an emergency, call +33 6 46 60 58 22.

A different majority for each form

SARL: two thirds of the shares (three quarters for companies formed before 2005, Article L. 223-30). SA: two thirds of the votes at an extraordinary general meeting (Article L. 225-96). SAS: freedom under the articles, except sensitive clauses requiring unanimity.

A notice of meeting that decides everything

A notice period that is too short, a vague agenda, a new resolution introduced during the meeting: each is a ground of irregularity of the decision.

Publication that determines enforceability against third parties

Minutes, updated articles, filing with the INPI one-stop shop within one month: without publication, the amendment cannot be relied on against third parties.

The rules

Majority, notice, publication: the three pillars

Four rules structure an amendment of the articles.

  1. The majority depends on the form: two thirds of the shares in a post-2005 SARL, three quarters before, under Article L. 223-30 of the French Commercial Code (Code de commerce); two thirds of the votes at an extraordinary general meeting of an SA (Article L. 225-96); freedom under the articles in an SAS.
  2. The sensitive SAS clauses — inalienability and exclusion on a change of control — are adopted and amended unanimously (Article L. 227-19), on pain of being deemed unwritten.
  3. The notice of meeting determines validity: a resolution proposing an appointment different from the one on the agenda is new, and the decision is irregular (Cass. com., 14 February 2018, No. 15-16.525).
  4. The amendment takes effect against third parties only after publication: minutes, updated articles, INPI filing within one month.

On the challenge side, abuse of majority remains the most common angle: the systematic allocation of profits to reserves, without any requirement of sound management and for the sole purpose of favouring the majority shareholders, is annulled (Cass. com., 17 June 2008, No. 06-15.045). Since 1 October 2025, Article 1844-10 of the French Civil Code clarifies the regime of nullities, with a two-year limitation period (Article 1844-14).

Your documents

What to send, depending on your position

Compliance is proved by the documents: articles, notices of meeting, minutes.

Position A

Company officer (securing the decision)

  • Current articles of association, latest filed version
  • Draft resolution and comparative version of the amended articles
  • Template notice of meeting and proof of dispatch
  • Meeting registers

Position B

Shareholder (challenging)

  • Notice of meeting received and agenda
  • Minutes of the contested meeting
  • Annual accounts and history of distributions
  • Letters exchanged with the management

Common mistake: introducing at the meeting a resolution unrelated to the agenda, or filing with INPI after the one-month deadline.

The firm also handles:

  • Transfer of registered office
  • Change of corporate object
  • Arbitration clause
  • Ad hoc agent

The method

How the firm supports you

Skipping a step or reversing the order exposes the company to nullity or to a refusal of registration.

Step 1

Audit of the current articles

Last update, quorum and majority rules, sensitive clauses, interaction with the shareholders' agreement.

Step 2

Draft resolution

Exact text put to the vote, reasons, articles amended, comparative version annexed.

Step 3

Notice and meeting

Valid notice in the form required by the articles, quorum check, vote, signed minutes.

Step 4

Publication

Updated articles, legal notice, filing with the INPI one-stop shop within one month, follow-up of the registration.

On the side of the challenging shareholder: formal notice, action for nullity within two years, damages, and possibly the appointment of an ad hoc agent.

The timetable

The timeline of an articles amendment

An ordered sequence, from the audit to the INPI filing.

  1. Review

Days 1-5. Current articles, quorum, majorities, sensitive clauses, contractual consequences of the change.

  2. Draft

Week 2. Drafting of the resolution, reasons, comparative version of the articles.

  3. Notice of meeting

Weeks 2-3. Registered letter or electronic means depending on the articles, statutory period, draft annexed.

  4. EGM

Week 4. Quorum checked, resolutions read, vote, count, signed minutes.

  5. Articles and notice

Week 4. Revised articles signed, publication in an authorised medium in the département of the registered office.

  6. INPI filing

Within the month. Form and supporting documents to the one-stop shop, amending entry in the Trade and Companies Register (RCS).

The checks

What the firm checks before the vote

No meeting without these points having been validated.

  • Majority applicable to the proposed amendment, depending on the form and the date of incorporation.
  • Unanimity required for sensitive SAS clauses (inalienability, exclusion on a change of control).
  • Validity of the notice: notice period, precise agenda, draft text annexed.
  • No leonine clause and no increase in a shareholder's commitments without their consent.
  • Risk of abuse of majority: real economic justification for the decision.
  • Publication timetable: legal notice and INPI filing within one month.

Frequently asked questions

Your questions: articles amendment

What majority is required to amend a company's articles of association?

It depends on the form. In a SARL formed after 2 August 2005, amendments to the articles are decided by a two-thirds majority of the shares held by the shareholders present or represented; for companies formed before, the statutory majority is three quarters, under Article L. 223-30 of the French Commercial Code (Code de commerce). A transfer of the registered office requires a simple majority. In an SA, the extraordinary general meeting decides by a two-thirds majority of the votes cast (Article L. 225-96). In an SAS, the articles set the rule freely, except for certain sensitive clauses subject to unanimity (Article L. 227-19).

Must an amendment of the articles be published with INPI?

Yes, within one month of the decision. The filing is made with the INPI one-stop shop using Form M2, together with the updated articles, the minutes of the meeting and the certificate of publication in a legal notice medium. Without publication, the amendment cannot be relied on against third parties. An omission by the company officer may engage their civil liability if it causes loss to a shareholder or a third party.

Can an amendment of the articles be challenged?

Yes. Under Article 1844-10 of the French Civil Code (Code civil), any interested party may bring an action for nullity where a mandatory provision of company law has been breached. In a SARL, the last paragraph of Article L. 223-30, in the version resulting from the Law of 19 July 2019, expressly grants this right for decisions taken in breach of the majority or quorum rules. The Court of Cassation confirmed in 2025 that this provision applies to decisions taken after its entry into force, regardless of the date on which the company was formed (Cass. com., 5 November 2025, No. 23-10.763).

What is the time limit for an action to annul an amendment of the articles?

The limit is two years from the day on which the nullity is incurred, under Article 1844-14 of the French Civil Code as amended with effect from 1 October 2025. Previously, the limit was three years. This reduction reinforces the need for a shareholder who suspects an irregularity to react quickly. Once the period has expired, the decision is definitively validated, even if it remains open to criticism on the merits.

What are the consequences of changing the corporate object?

A change of corporate object has tax consequences (partial cessation of activity if the extension is substantial, possible immediate taxation of latent capital gains), administrative consequences (possible review of approvals) and contractual consequences (possible termination of certain intuitu personae contracts). These effects should be mapped before the meeting is convened. A regulated activity requires prior verification of the authorisations needed.

Is a transfer of the registered office an amendment like any other?

No. In a SARL, the transfer of the registered office is decided by a simple majority of the shares, as a derogation from the two-thirds or three-quarters rule (Article L. 223-30, second paragraph). The formalities differ depending on whether the office stays in the same département, or moves to a different département or court registry. A transfer to another département requires a double legal notice (departure and arrival) and a change of entry in the trade register.

Which articles clauses require unanimity in an SAS?

Article L. 227-19 of the French Commercial Code (Code de commerce) requires unanimity to adopt or amend inalienability clauses (L. 227-13) and exclusion clauses applying on a change of control of a corporate shareholder (L. 227-17). The approval clause (L. 227-14) and the compulsory transfer clause (L. 227-16) are adopted or amended under the conditions and in the forms laid down by the articles. Adopting an exclusion clause without unanimity exposes it to nullity, together with the nullity of any exclusion pronounced on that basis.

How can an approval clause be introduced after the company has been formed?

Introducing an approval clause by amending the articles follows the majority rules applicable to the form. In a SARL, a two-thirds majority of the shares for post-2005 companies; in an SA, a two-thirds majority at an EGM; in an SAS, a collective decision of the shareholders under the conditions and in the forms laid down by the articles (L. 227-19). The drafting must provide for the scope (transfers concerned), the approving body, the response period, and the sanction for lack of approval (buy-back or refusal).

What should be done if the notice of the meeting is irregular?

An irregular notice (period too short, no draft text annexed, failure to send it to a shareholder) may lead to the nullity of the decisions adopted. The Court of Cassation has reiterated that a resolution proposing an appointment different from the one on the agenda is a new resolution, and that the decision on that resolution is therefore irregular (Cass. com., 14 February 2018, No. 15-16.525). The challenging shareholder must keep the proof of dispatch and the notice received, and act within the two-year limitation period.

Can the manager refuse to convene a meeting requested by a shareholder?

In a SARL, one or more shareholders holding half of the shares, or one tenth of the shares if they represent at least one tenth of the shareholders, can request that a meeting be convened. In addition, any shareholder can apply to the president of the commercial court (tribunal de commerce), sitting in urgent proceedings, to have an ad hoc agent appointed to convene it. The Court of Cassation clarified in 2023, in a case concerning a civil-law company (société civile), that the judge must assess whether the request is consistent with the company's interest before making such an appointment (Cass. com., 20 December 2023, No. 21-18.746).

How much does an amendment of the articles cost in Paris?

Legal costs include the legal notice (approximately €150 to €250 depending on the département), court registry fees (approximately €200 for a standard amendment), and any expert fees (statutory auditor for a change of share capital, expert for a valuation). The firm's fees for drafting the resolution, preparing the EGM and the INPI filing range from €1,500 to €4,000 incl. VAT depending on complexity. An amendment challenged by a minority shareholder leads to a separate litigation budget.

Is an amendment of the articles voted unanimously immune from challenge?

No. Unanimity does not cure nullities of public policy. A decision adopted unanimously remains open to annulment if it breaches a mandatory provision of company law (for example, a change of share capital without an expert report where one is compulsory), if it constitutes a fraud on the rights of a third party, or if the object chosen is unlawful. The compliance check goes beyond simply counting votes: it covers both procedure and substance.

Is a lawyer needed to amend the articles of an SAS or a SARL?

Using a lawyer is not legally compulsory for routine amendments (transfer of registered office, change of name, update of the corporate object). It becomes essential as soon as a sensitive clause is involved (approval, exclusion, pre-emption, governance), a shareholder objects, or the amendment affects the share capital. A badly drafted document costs more to correct or defend than a prior intervention. The firm acts at every stage: audit, drafting, EGM, formalities, litigation.

Which court has jurisdiction over an action to annul an amendment of the articles?

The commercial court of the registered office has jurisdiction over disputes between shareholders and over actions to annul corporate decisions. For a company registered in Paris, this is the Paris commercial court. The articles may provide for an arbitration clause referring the dispute to an arbitrator, who will take the place of the state court. The firm regularly pleads before the Paris commercial court in these cases.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
