Executive remuneration — setting and challenging it
Executive remuneration lawyer Paris: set, justify and secure pay.
Executive pay is never implicit: without a decision of the competent body and minutes, the payment can be clawed back. As an executive remuneration lawyer in Paris, the firm secures how pay is set, weighs the salary-dividend mix, and defends or challenges excessive remuneration.
An executive paid without minutes is exposed to repayment through a company action and to a URSSAF reassessment: the position is regularised at the next general meeting, not after the writ of summons.

Executive remuneration: what really decides the case

What an executive remuneration lawyer in Paris does

- Firm in Paris 17th
Lawyer at the Paris Bar — governance and remuneration of corporate officers.
Remuneration requires a decision of the competent body, proved by minutes. A director's liability for a shortfall in assets is assessed in the same way whether or not the director is paid, and remuneration that was never decided is a management fault. Excess is measured by proportionality; a minority shareholder can rely on abuse of majority rights, the derivative action (ut singuli) and a management expert appraisal. The salary-dividend-shareholder current account mix is settled with the chartered accountant, including BSPCE and stock options.

A mandatory corporate decision
Limited liability company (SARL): collective decision of the members under Article L. 223-18 of the French Commercial Code (Code de commerce). Public limited company (SA): board of directors for the chairman and the chief executive (Articles L. 225-47 and L. 225-53). Simplified joint-stock company (SAS): the body designated by the articles of association (Article L. 227-5).
Proportionality, the central criterion
The amount must be comparable to equivalent roles and in line with results and services rendered: excess exposes the company to a finding of an abnormal act of management, to URSSAF action and to abuse of majority claims.
Related-party agreements lying in wait
Special benefits, top-hat pensions, ancillary perks: failure to follow the procedure is in itself a fault of the director.
The rules
Corporate decision, evidence, proportionality
Four rules structure the remuneration of corporate officers.
- The competent body depends on the company form: members in a SARL (Article L. 223-18), board of directors in an SA (Articles L. 225-47 and L. 225-53), the body set by the articles in a SAS (Article L. 227-5) — a decision of the wrong body is null.
- The evidence is the minutes: without them, the payment remains open to challenge, with possible repayment and social contribution reassessment.
- A director's liability for a shortfall in assets is assessed in the same way, paid or not: the unpaid nature of the office does not reduce exposure (Cass. com., 9 December 2020, No. 18-24.730).
- Failure to follow the related-party agreements procedure is in itself a fault of the director (Cass. com., 17 September 2025, No. 23-20.052).
On the minority side, excessive remuneration of a majority director is challenged as an abuse of majority rights: a decision contrary to the company's interest, taken for the sole purpose of favouring the majority shareholders (Cass. com., 17 June 2008, No. 06-15.045), each shareholder's share in the profits being determined in proportion to their share of the capital (Article 1844-1 of the French Civil Code, or Code civil).
Your documents
What to gather depending on your position
A figure-based justification and sector comparables make the defence.
Position A
Director or company
- Articles of association: competent body, quorum, any caps
- Existing minutes and payslips
- Figure-based justification: performance, sector comparables
- Ancillary agreements: pension, benefits, perks
Position B
Challenging shareholder
- Minutes and accounts for the last three financial years
- Change in remuneration compared with results
- History of dividend distributions
- Related-party agreements referred to in the reports
Common mistake: paying without minutes, then regularising under pressure — the regularisation is better voted calmly at the next general meeting.
The firm also advises on:
- Salary / dividend mix
- Remunerated shareholder current account
- BSPCE and stock options
- Pension and special benefits
The method
How the firm supports you
Setting pay is prepared with the chartered accountant and proved by the corporate acts.
Step 1
Review of the situation
Articles of association, existing minutes, latest payslip, ongoing agreements: a map of the risks.
Step 2
Figure-based framing
Joint work with the chartered accountant on the mix of salary, dividends and shareholder current account; tax and social contribution costing.
Step 3
Drafting the corporate acts
Reasoned draft resolution, management report, related-party agreement where applicable, BSPCE grant plan.
Step 4
Decision and archiving
Proper notice of meeting, the interested party excluded from the vote where the law provides, minutes signed and archived.
Benchmarks: 31.4% flat-rate tax on dividends received since 1 January 2026; social contributions on the portion of a majority manager's dividends above the threshold of Article L. 136-3 of the French Social Security Code (Code de la sécurité sociale).
The timetable
The timeline of a remuneration decision
A precise sequence, from checking the articles of association to archiving.
Check of the articles of association
Step 1. Competent body, quorum rules, any caps.
Preparation
Step 2. Draft resolution, figure-based justification, sector comparables.
Prior information
Step 3. Supervisory board or special report of the auditor where applicable.
Decision
Step 4. Proper notice of meeting, explicit agenda, vote without the interested party where the law requires.
Minutes
Step 5. Signature, entry in the register, lasting traceability of the decision.
Implementation
Follow-up. Payroll, social and tax filings, annual monitoring and documented reviews.
The checks
What the firm checks before the decision
No payment without these points having been validated.
- Competence of the body and regularity of the notice of meeting.
- Existence of minutes for each element of remuneration.
- Proportionality: comparables, results, services rendered.
- Classification of ancillary benefits as related-party agreements.
- Tax risk (abnormal act of management) and social risk (URSSAF requalification).
- Exposure to abuse of majority rights on the minority side: balance between remuneration and dividends.

Frequently asked questions
Your questions: executive remuneration
Who decides the remuneration of a company's executive?
The competent body depends on the company form. In a SARL, the decision lies with the members, at a meeting or by written consultation, under the conditions of Article L. 223-18 of the Commercial Code. In a traditional SA, the board of directors sets the remuneration of the chairman (Article L. 225-47) and of the chief executive (Article L. 225-53). In a SAS, the articles of association freely designate the competent body (Article L. 227-5). A decision taken by a body that is not competent is null and exposes the company to a reassessment and the executive to an obligation to repay.
Are minutes needed to set an executive's remuneration?
Yes, without exception. The minutes are the evidence of the corporate decision. Without minutes, the payment remains open to challenge by any shareholder or creditor, and the tax authorities may treat the remuneration as an abnormal act of management. The minutes must record the date, the body that decided, the amount, the frequency and any ancillary benefits. They are then entered in the register of decisions and kept for the limitation period of liability actions, that is three years from the damaging event under Article L. 225-254 of the Commercial Code.
Can an executive's remuneration be increased freely?
No. Any increase requires a new decision of the competent body, in the same form as the initial setting. A sharp increase without justification carries a risk of abuse of majority rights if the transaction serves a majority executive to the detriment of the minority shareholder (Cass. com., 17 June 2008, No. 06-15.045). The justification rests on performance, the company's growth, the trend in sector comparables and the capacity of the cash position.
Salary or dividends: what are the tax consequences for the executive?
Salary bears social contributions (general scheme or self-employed scheme depending on status) and income tax after allowance. Dividends are in principle subject to the flat-rate tax, i.e. 31.4% for dividends received since 1 January 2026 (12.8% income tax, Article 200 A of the General Tax Code, plus 18.6% social levies), unless the taxpayer opts for the progressive scale. For the majority manager of a SARL or EURL, the portion of dividends exceeding 10% of the share capital, share premiums and sums paid into the shareholder current account bears self-employed social contributions instead of the social levies on investment income (Articles L. 131-6, L. 136-3 and L. 136-7 of the Social Security Code). The trade-off requires a case-by-case calculation with the chartered accountant.
How do BSPCE and stock options work?
Founder share warrants (BSPCE) are reserved for companies less than fifteen years old and subject to corporate income tax. They allow the executive or employees to acquire shares at a fixed price, with favourable taxation on sale. Conventional stock options (Articles L. 225-177 et seq. of the Commercial Code) are open to SAs and SASs and follow a separate tax and social contribution regime. The plan must be approved by the general meeting and the valuation carried out by an independent valuer to withstand an audit.
Can the shareholder current account be used to remunerate the executive?
The current account can bear interest, up to the maximum rate that is tax deductible (Article 39, 1, 3° of the General Tax Code). The agreement must be authorised under the related-party agreements procedure: Article L. 223-19 for the SARL, Articles L. 225-38 et seq. for the SA, Article L. 227-10 for the SAS. Failure to obtain authorisation exposes the agreement to annulment and the interested executive to liability (Cass. com., 17 September 2025, No. 23-20.052).
What are the criteria for excessive remuneration?
The court and the tax authorities assess each case on several criteria: the size of the company and the result achieved, the functions actually performed by the executive, sector comparables published by remuneration observatories, the length of the commitment, and any services provided to other companies in the group. Remuneration unrelated to these factors exposes the company to a tax reassessment for an abnormal act of management and the executive who obtained it to a liability action.
Can a minority shareholder challenge an executive's remuneration?
Yes, several levers exist. An abuse of majority rights action can lead to annulment of the decision and damages, on the twofold criterion of harm to the company's interest and the sole purpose of favouring the majority shareholder (Cass. com., 17 June 2008, No. 06-15.045). The derivative action (ut singuli), provided for by Article 1843-5 of the Civil Code, allows the shareholder to act in the name of the company to establish the executive's liability. A request for a management expert appraisal (Article L. 225-231 of the Commercial Code in an SA) opens access to precise financial information.
What are the risks of remuneration without a proper procedure?
Failure to follow the related-party agreements procedure is, in itself, a fault of the interested executive (Cass. com., 17 September 2025, No. 23-20.052, the Kaeser Compresseurs case). The sanction can range from nullity of the agreement to damages paid to the company, including repayment of the sums received. The executive may also be ordered to pay the shortfall in assets if the company goes into judicial liquidation (Article L. 651-2 of the Commercial Code).
Are deferred remuneration or a time-savings account possible?
Yes, but they are in principle related-party agreements where the executive benefits from them. Setting them up therefore requires prior authorisation by the competent body (board of directors or supervisory board for an SA, general meeting for a SARL) and a special report. The Court of Cassation recently restated that the lack of authorisation alone is enough to establish the fault, regardless of the absence of concealment (Cass. com., 17 September 2025, No. 23-20.052).
Can the executive's spouse be paid by the company?
A spouse who regularly takes part in the business must choose a formal status: collaborating spouse, employed spouse or associate spouse (Articles L. 121-4 et seq. of the Commercial Code). Failing a choice, the spouse is deemed a collaborating spouse in certain cases. Paid work without a written contract exposes the company to a risk of undeclared work and to employment tribunal proceedings. The status chosen determines the possible remuneration and the social cover.
What happens if the company starts making losses?
Remuneration must be adjusted to the company's capacity. Maintaining high remuneration while cash deteriorates is a management fault that may engage the executive's liability in insolvency proceedings (Article L. 651-2 of the Commercial Code). The Court of Cassation reiterates that, on this basis, an executive is treated in the same way whether paid or not (Cass. com., 9 December 2020, No. 18-24.730). A reduction documented in minutes is the best protection.
What is the limitation period for challenging an executive's remuneration?
A liability action against the executive is subject to a three-year limitation period from the damaging event or, if it was concealed, from its revelation (Article L. 223-23 of the Commercial Code for an SARL, Article L. 225-254 for an SA and an SAS). An action for nullity of a corporate decision is subject to a two-year limitation period from the day the nullity is incurred (Article 1844-14 of the Civil Code). A damages action based on abuse of majority rights is subject to a five-year limitation period from the day the minority shareholder learned of the contested decision. The precise calculation depends on the legal basis chosen.
Does the firm also defend an executive accused of abuse?
Yes. The firm defends executives and minority shareholders alike before the Paris commercial court (tribunal de commerce). For the executive, the defence rests on documented justification: proper minutes, management report, sector comparables, actual contribution to the company. For the minority shareholder, the action seeks annulment of the decision and compensation for the loss. Each case begins with a preliminary analysis of the chances of success and a costed strategy note.
Which court has jurisdiction over a dispute about an executive's remuneration?
Disputes between shareholders and those relating to the running of the company fall within the jurisdiction of the commercial court of the registered office, that is the Paris commercial court for a company registered in the capital. The articles of association may provide for an arbitration clause, which will override this jurisdiction. For URSSAF or tax reassessments, the competent court varies with the nature of the dispute. The firm regularly pleads before the Paris commercial court and assists executives facing audits by the authorities.

What our clients say
Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN
Translated from French
Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
