Warranty and indemnity agreement — buyers and sellers
Warranty and indemnity lawyer in Paris: negotiate, cap and enforce the GAP.
A warranty and indemnity lawyer in Paris starts from one point: the GAP (garantie d'actif et de passif) protects the buyer against liabilities predating closing that come to light afterwards. Deductible, cap, duration, exclusion schedules, notification clause: each parameter is negotiated — and a claim is often lost on a missed deadline.
The contractual notification period is the blind spot of poorly enforced GAPs: often eight days for tax and social-security matters. On receiving a claim, notice to the seller goes out immediately.

- Firm in the 17th arrondissement of Paris
Lawyer at the Paris Bar — GAP drafting and making claims.
The GAP covers liabilities predating closing that are revealed afterwards and assets worth less than the seller's representations — not liabilities arising later, nor known and accepted risks. The seller's fraudulent concealment makes the buyer's error always excusable. A claim is governed by the notification clause: short deadlines, with forfeiture of the warranty for late notification applied strictly as the clause provides. The conduct-of-proceedings clause organises the defence; the escrow secures payment.

Three exposure variables
Deductible (per claim or aggregate), cap (a quarter of the price as the SME standard, more if the target is exposed) and duration (eighteen months to three years, statutory limitation period for tax and social-security matters).
The representations, the factual core
A snapshot of the target at closing: any inaccurate representation gives rise to the warranty, and any risk disclosed and excluded is accepted by the buyer. The exclusion schedules are read line by line.
The escrow, a practical guarantee
Without an escrow, the GAP becomes a right to be enforced against a seller who may be insolvent. With a properly calibrated escrow, compensation is immediate, with staggered release.
The mechanism
What the GAP covers, and what it excludes
Four rules structure the warranty and indemnity agreement.
- The GAP, an agreement annexed to the sale and purchase agreement and binding under Article 1103 of the French Civil Code (Code civil), covers liabilities predating closing that are revealed afterwards and overvalued assets — not liabilities arising later, unless a clause covers pending litigation.
- The seller's representations fix the snapshot of the target; intentional concealment makes the buyer's error always excusable (Cass. com., 18 September 2024, No. 23-10.183).
- Notification within the contractual period is a condition of the warranty: forfeiture applies strictly, although under the clause at issue late notification leads to forfeiture only if the lack of information made it impossible for the guarantor to present its defence (CA Montpellier, ch. com., 13 May 2025, No. 24/04925).
- A seller who disputes the claim under the warranty does not necessarily thereby waive the right to take part in the conduct of the underlying proceedings (CA Bordeaux, 4th ch. com., 3 November 2025, No. 23/05528): the conduct-of-proceedings clause works alongside notification.
Thresholds are calibrated to the real risk: too high, the GAP is illusory; too low, the seller remains exposed for years. The SME standard: a cap of around a quarter of the price, a deductible negotiated per claim or in aggregate (de minimis), and a duration of eighteen months to three years, extended to the limitation period for tax matters.
Your documents
What to send, depending on your position
The GAP is read together with its schedules: the exclusions matter as much as the representations.
Position A
Buyer (making a claim)
- Sale and purchase agreement, GAP and complete exclusion schedules
- Triggering event: tax notice, writ of summons, claim
- Quantification of the loss and cumulative count of claims
- Evidence of the date on which the fact became known
Position B
Seller (defending)
- Signed representations and original data room
- Notification received: date, content, quantification
- Conduct-of-proceedings clause and correspondence
- Status of the escrow and release schedule
Frequent errors: notifying out of time; overlooking whether the deductible applies per claim or in aggregate; forgetting that a risk disclosed in a schedule is excluded.
The firm also handles:
- Specific tax GAP
- Conduct-of-proceedings clause
- Staggered release of the escrow
- Guarantee of the guarantee
The method
How the firm supports you
A claim is won by scrupulous compliance with the contractual conditions.
Step 1
Audit of the sale and purchase agreement and the GAP
Thresholds, duration, representations, schedules, notification clause and conduct-of-proceedings clause: a complete adversarial reading.
Step 2
Notification within the deadlines
A detailed and quantified registered letter, within the contractual period — eight days for tax and social-security matters, one month for the rest, depending on the clause.
Step 3
Conduct of proceedings and negotiation
Coordination with the conduct-of-proceedings clause, defence of the underlying litigation, settlement negotiation depending on the seller's position.
Step 4
Compensation
Calling on the escrow, amicable or compulsory enforcement, monitoring of the staggered release.
On the drafting side: the GAP is calibrated to the findings of the due diligence — representations aligned with the red flags, escrow sized to the real risk.
The timetable
The timeline of a claim
Skipping a step means losing the compensation.
Triggering event
Day 0. Tax notice, employment tribunal dispute, supplier default, defect revealed in the asset.
Checks
Day 0 to Day 5. Review of the representations, the exclusion schedules, and the temporal and material scope of the warranty.
Notification
Within the contractual period. A detailed and quantified registered letter to the seller: eight days for tax and social-security matters, one month for other matters, depending on the clause.
Conduct of proceedings
The following weeks. Coordinated defence of the underlying litigation, adversarial exchanges with the seller.
Compensation
Outcome. Settlement or judgment, calling on the escrow, payment.
Escrow
Over time. Partial release after six months without a claim, full release at three years for commercial matters, later for tax matters.
The checks
What the firm checks before signing or notifying
No GAP is signed or enforced without these points having been validated.
- Temporal and material scope: liabilities covered, pending litigation, exclusions.
- Deductible per claim or aggregate, cap, duration by subject matter.
- Exclusion schedules read line by line: any risk disclosed is accepted.
- Notification clause: deadlines by subject matter, form, required content.
- Conduct-of-proceedings clause and how it fits with the defence.
- Escrow: amount, release schedule, conditions for calling on it.

Frequently asked questions
Your questions: warranty and indemnity agreement
What is a warranty and indemnity agreement?
The warranty and indemnity agreement (GAP) is an agreement annexed to the sale and purchase agreement. It protects the buyer against liabilities predating closing that come to light afterwards and against assets overvalued at the date of signing. The Rennes court of appeal defines it as the clause that allows the transferee of shares not to fear an increase in liabilities or a decrease in the company's assets after the transfer, resulting from a fall in the value of the shares. The triggering event gives rise to compensation by the seller within the conditions and limits stipulated.
What is the standard duration of a GAP?
The standard duration for general warranties is between eighteen months and three years, aligned with the five-year general limitation period (Article 2224 of the French Civil Code). For tax and social-security representations, the duration is set by reference to the limitation period for administrative audits: three years for VAT and corporate income tax, and extended up to ten years for environmental matters. A GAP that is too short leaves the real risk uncovered; a GAP that is too long keeps the seller unduly exposed.
How are the cap and the deductible of a GAP set?
The standard SME market cap is 25% of the sale price, calibrated to the maximum risk estimated after the due diligence. The deductible is negotiated per claim or in aggregate. A per-claim deductible that is too high makes the GAP illusory, because no individual claim crosses the threshold. An aggregate deductible (de minimis) with a low per-claim threshold allows the trigger point to be reached sooner. The firm calibrates by calculation, not by copying precedent.
Which standard seller representations appear in a GAP?
The representations classically cover the annual accounts (regularity and fair presentation), the tax position (corporate income tax, VAT, local taxes), the employment and social-security position (URSSAF, collective agreements, employment tribunal disputes), the contractual position (key contracts not terminated, no default), intellectual property (trademarks, patents, licences) and the environmental position. Each representation may be limited by a precise exclusion schedule on known risks.
How does the claims procedure under the GAP work?
The buyer discovers a triggering event (tax notice, employment tribunal dispute, supplier default). It first checks the coverage (representations, schedules, temporal scope). It then notifies the seller by a detailed and quantified registered letter within the contractual period (often eight days for tax and social-security matters, one month for other matters). The seller then has a period in which to reply. Failing agreement, the matter can be taken to litigation before the commercial court (tribunal de commerce).
What happens if I notify the seller out of time?
The buyer in principle loses the benefit of the warranty. The Montpellier court of appeal confirmed in May 2025 that failure to comply with the notification clause leads to loss of the benefit of the warranty, although, under the clause at issue, forfeiture for late notification is incurred only if the lack of information made it impossible for the guarantor to present its defence. Forfeiture is applied strictly. The buyer therefore needs an internal protocol so that any notification received from a third party is passed on immediately to its counsel and to the seller.
What is the conduct-of-proceedings clause?
When a third party brings proceedings against the target, the conduct-of-proceedings clause allows the seller to run the defence, directly or through its counsel. If the buyer has not given the seller that opportunity, it may lose the benefit of the GAP for those proceedings. The Bordeaux court of appeal clarified in November 2025 that the seller's mere challenge to the claim under the warranty does not necessarily amount to a waiver of the right to take part in the conduct of the proceedings, since a right cannot be waived by implication.
Why require an escrow at signing?
The escrow is the practical guarantee of payment of any compensation. Without an escrow, the GAP becomes a judgment to be enforced against a seller who may be insolvent when the liability comes to light. The escrow is sized to the GAP cap or to a fraction representing the risk (often 10 to 20% of the price). It is released gradually according to a contractual schedule: partial release at six months, full release at three years for commercial matters, extended for tax matters.
Is there a specific tax GAP?
Yes. Share or business transactions regularly provide for a standalone tax warranty or a reinforced tax section in the general GAP. The duration extends to the limitation period for tax audits (three to ten years depending on the tax). Thresholds are calibrated differently, with a lower deductible given the certain nature of administrative reassessments. The drafting of this tax schedule determines the effective coverage of VAT, corporate income tax and URSSAF reassessments.
What should I do if a liability is discovered after the GAP has expired?
If the GAP period has expired, the buyer loses the contractual cover. What remains are actions based on fraudulent misrepresentation (Article 1137 of the French Civil Code), which make it possible to seek nullity of the sale or compensation where the seller intentionally concealed decisive information. In September 2024 the Commercial Chamber recalled that fraudulent concealment always makes the buyer's error excusable, even for an experienced buyer. The limitation period for an action for nullity runs from the discovery of the fraud.
Can the seller refuse to pay if it disputes the claim?
Yes. The GAP is a contract; the seller may dispute each claim on the validity of the notification, the material and temporal scope of the warranty, the quantified amount of the loss, causation and the scope of the exclusion schedules. If the dispute is serious, the buyer must bring an action on the merits before the commercial court. An urgent application for an interim payment (référé-provision) is available only where there is no serious dispute, which is rare in GAP matters.
What is the limitation period for bringing proceedings under a GAP?
The limitation period is in principle five years (Article 2224 of the French Civil Code), running from the day on which the right-holder knew or should have known the facts enabling it to bring its action. The notification clause within the contractual period is a condition for the right to arise, independent of the limitation period. An action on the warranty therefore remains subject to the civil limitation period, but it can be brought only if the buyer has complied with the contractual claims procedure.
Share sale or business sale: is the GAP the same?
No. In a share sale, the GAP covers the liabilities of the company whose shares are sold. In a sale of a business, liabilities are not transferred to the buyer (unless expressly agreed), but a warranty may be stipulated on the value of the assets sold (customer base, goodwill, transferred contracts). In a sale of a business, the tax joint liability under Article 1684 of the General Tax Code applies independently of the GAP. Drafting adapted to each transaction structure is essential.
Does the GAP cover litigation pending at closing?
Yes by default, unless a clause provides otherwise. Pending litigation is generally listed in a schedule, and its treatment (who bears the outcome, who runs the defence) is set out in the sale and purchase agreement. If the GAP expressly excludes it, the buyer cannot obtain compensation for it. The drafting must therefore identify, line by line, the fate of pending proceedings, with a forward-looking calculation of the maximum risk.
Can a GAP claim be settled before any proceedings?
Yes, and it is the most frequent route. A written settlement (Article 2044 of the French Civil Code) permanently extinguishes the claim through reciprocal concessions. The firm regularly leads the settlement negotiation with a quantified and documented memorandum, then drafts the settlement agreement coordinated with the release of the escrow. This route avoids the uncertainty of litigation and speeds up compensation. The strongest cases are resolved in three to six months.

What our clients say
Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN
Translated from French
Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
