Capital contributions — founders and investors

Capital contributions lawyer Paris: cash, in kind, skills, valuation.

A contribution determines ownership, exposure to liabilities and the initial valuation of the company. As a capital contributions lawyer in Paris, the firm secures the valuation, the appointment of the contributions auditor (commissaire aux apports) and the subscription forms, and defends shareholders in cases of overvaluation.

Without a contributions auditor, shareholders are jointly and severally liable for five years for the value attributed to contributions in kind. The valuation is secured before the articles of association are signed, never afterwards.

What a capital contributions lawyer in Paris does

  • Paris Bar
  • Company law

Lawyer at the Paris Bar — company law and capital transactions.

Three types of contribution coexist: cash (partial paying up is possible, interest accrues as of right in case of delay), in kind (valuation, contributions auditor unless exempt, five-year joint and several liability) and skills (outside the share capital, profit-sharing shares). Not every contribution feeds the share capital: the share premium absorbs the difference in valuation and the shareholder current account finances cash flow without dilution — with a written lock-in agreement to avoid untimely repayment.

Cash: payment and interest

At least one fifth paid up on incorporation in a limited liability company (SARL), one half in a simplified joint-stock company (SAS), the balance within five years. A shareholder who is late owes interest as of right, without formal notice, under Article 1843-3 of the French Civil Code (Code civil).

In kind: the auditor or joint liability

An exemption is possible if no contribution exceeds €30,000 and if the total of unvalued contributions remains below half of the share capital. Without an auditor: five-year joint and several liability for the value adopted.

Skills: useful but delicate

Know-how does not count towards the share capital (Article 1843-2) but gives rise to profit-sharing shares. In practice, an employment contract, a services agreement or founder share warrants (BSPCE) are often preferable.

The rules

Three contributions, three regimes

Four rules structure contributions.

  1. Cash: one fifth paid up on incorporation in an SARL under Articles L. 223-7 and L. 223-9 of the French Commercial Code (Code de commerce), one half in an SAS, the balance within five years; interest as of right against the defaulting contributor (Article 1843-3 of the French Civil Code).
  2. In kind: contributions auditor in principle mandatory; exemption in an SARL and an SAS if no contribution exceeds €30,000 and if the total of unvalued contributions does not exceed half of the share capital; never an exemption in an SA (Article L. 225-8).
  3. Without an auditor, or if the value adopted differs from the auditor's, the shareholders are jointly and severally liable towards third parties for the value attributed, for five years (Articles L. 223-9 and L. 227-1, paragraph 7).
  4. Skills: outside the share capital (Article 1843-2 of the French Civil Code), profit-sharing shares, inalienable shares possible in an SAS on the terms set by the articles of association.

The joint and several liability rule in Article L. 227-1, paragraph 7, applies only to articles of association signed since the entry into force of the Law of 9 December 2016: the Commercial Chamber of the Court of Cassation quashed a judgment that had applied it to an SAS whose articles pre-dated the law (Cass. com., 12 May 2021, No. 20-12.670).

Your documents

What to provide for each contribution

The valuation must be documented: comparables, method, expert opinion in case of doubt.

Position A

Cash contribution

  • Proof of identity and certificate of origin of funds
  • Bank details and marital status
  • Certificate of deposit in a blocked account
  • Schedule for paying up the balance

Position B

Contribution in kind

  • Title deed to the asset contributed
  • Documented valuation: comparables, asset-based or income-based method
  • Contributions auditor's report, where applicable
  • For a business (fonds de commerce): lease, accounts, statement of security interests

Common mistakes: overvaluing to inflate a shareholding — the five-year joint and several liability follows; contributing a building without a notarial deed, or without choosing between an outright contribution and a contribution for consideration.

The firm also structures:

  • Share premium
  • Shareholder current account and lock-in agreement
  • Contribution of a business
  • Contribution of shares

The method

How the firm supports you

The right vehicle — share capital, share premium, current account — is chosen before signing.

Step 1

Mapping the contributions

Inventory of the assets and funds contributed, verification of ownership, choice of the appropriate vehicle.

Step 2

Valuation

Recent comparables, asset-based or income-based method, independent expert opinion in case of serious doubt.

Step 3

Auditor and documents

Appointment by unanimous agreement or by application to the president of the commercial court, report annexed to the articles of association, subscription forms.

Step 4

Signing and payment

Cash in a blocked account, effective transfer of the assets, publication, follow-up of the payment of the balance.

A shareholder current account is repayable at any time unless otherwise agreed: a written lock-in agreement, annexed to the articles of association, secures the financing.

The timetable

The timeline of a contribution

The timetable depends on the nature of the asset transferred.

  1. Identification

Step 1. Cash, business, building, patent, receivable, shares or skills. Verification of ownership.

  2. Valuation

Step 2. Comparables, asset-based or income-based method, independent expert opinion if in doubt.

  3. Auditor

Step 3. Appointment by unanimous agreement of the future shareholders or by application, work and report.

  4. Documents

Step 4. Report annexed to the articles of association, subscription form for each contributor, notarial deed for the building.

  5. Signing and payment

Step 5. Cash in a blocked account, transfer of the assets, making the know-how available.

  6. Next steps

Step 6. Registration, release of the funds, specific publication formalities (business, building), payment of the balance within five years.

The checks

What the firm checks before signing

Nothing is signed until these points are validated.

  • Ownership and unrestricted power to dispose of the asset contributed, consent of the spouse where married under a community property regime.
  • Documented and defensible valuation method.
  • Thresholds for exemption from the auditor: €30,000 per contribution, half of the share capital in total.
  • Exposure to the five-year joint and several liability, measured and explained to the shareholders.
  • Choice between share capital, share premium and current account according to the dilution desired.
  • Specific formalities: creditors' opposition and BODACC notice for the business, notarial deed for the building.

Frequently asked questions

Your questions: capital contributions

What is the difference between a cash contribution, a contribution in kind and a contribution of skills?

A cash contribution is a payment of money to the company. It feeds the share capital directly. A contribution in kind is the transfer of an asset (building, business, patent, equipment) whose value is included in the share capital. A contribution of skills is the provision of know-how, work or expertise. It does not count towards the share capital (Article 1843-2 of the French Civil Code) but gives entitlement to profit-sharing shares.

What is the minimum share capital for an SAS, SARL, SASU or SA?

There is no legal minimum for an SAS, an SARL, an SASU or an EURL: the share capital may be set at a symbolic €1. An SA requires share capital of at least €37,000 (Article L. 224-2 of the French Commercial Code). Share capital that is too low can weaken credibility with banks and suppliers. Overvalued share capital can become difficult to pay up in cash within the legal time limits.

Is a contributions auditor always required for a contribution in kind?

No. For an SARL (Article L. 223-9 of the French Commercial Code) and an SAS (Article L. 227-1, paragraph 6), the future shareholders may decide unanimously to dispense with one if no contribution in kind exceeds €30,000 and if the total value of unvalued contributions in kind does not exceed half of the share capital. For an SA (Article L. 225-8), the auditor is mandatory, with no exemption possible.

What are the precise conditions for exemption from the contributions auditor?

There are two cumulative conditions, set out in Article L. 223-9 of the French Commercial Code for the SARL and in Article L. 227-1, paragraph 6, for the SAS. First, no contribution in kind taken individually may exceed €30,000. Second, the total value of the contributions in kind not subject to valuation may not exceed half of the share capital. The decision to dispense with an auditor must be taken unanimously by the future shareholders and expressly recorded.

Can the payment of cash contributions be staggered?

Yes. For an SARL, at least one fifth must be paid up on incorporation, and the balance within five years of registration (Article L. 223-7 of the French Commercial Code). For an SAS, at least half must be paid up immediately, and the balance within the same time limit. The schedule for calling the balance must be set by the company's director. If it is not called within the legal time limit, any interested party may apply to the president of the court.

What is the difference between a capital contribution and a shareholder current account?

A capital contribution feeds the shareholder's share and determines their commercial liability. It is in principle inalienable except in the cases provided by law. A shareholder current account is a loan granted by the shareholder to the company, which may bear interest and remains repayable at any time, unless the articles of association provide otherwise or a lock-in agreement applies. It finances cash flow without diluting the shareholding.

What happens if a contribution in kind is overvalued?

Towards third parties, where there is no contributions auditor or where the value adopted differs from the one proposed by the auditor, the shareholders are jointly and severally liable for five years for the value attributed (Articles L. 223-9 and L. 227-1, paragraph 7, of the French Commercial Code). The Court of Cassation, in Cass. com., 12 May 2021, No. 20-12.670 (published in the Bulletin), clarified that this rule, which comes from the Law of 9 December 2016, applies only to articles of association signed on or after 11 December 2016.

Can a company director be criminally penalised for fraudulently inflating a contribution?

Yes. For the SA and the SAS, Article L. 242-2 of the French Commercial Code criminally penalises any person who fraudulently causes a contribution in kind to be given a value above its real value. This offence exposes the offender to criminal penalties and to civil damages. Appointing an independent contributions auditor is the best prevention.

How do you contribute a business to a company?

Contributing a business follows formalities close to those of a sale. A written deed is required, the creditors of the business may lodge an opposition within ten days, and the contribution must be published in a legal notices newspaper and then in the BODACC. The transaction is in principle subject to registration duties. A contributions auditor's report is needed as soon as the transaction exceeds the exemption thresholds.

Is a shareholder current account always repayable at any time?

That is the principle: in the absence of a clause in the articles of association or of a specific agreement, the shareholder who is the creditor may ask for repayment of their current account at any time, under the ordinary law of loans. There are three exceptions: a written lock-in agreement, a clause in the articles of association providing for another arrangement, or the opening of insolvency proceedings, which suspends the due date. An untimely repayment demand can push the company into cessation of payments.

Is the spouse's consent needed for a contribution to a company?

Under a community property regime, contributing a community asset or community funds requires notice to the spouse, who may claim the status of shareholder for half of the shares (Article 1832-2 of the French Civil Code). For contributions of community buildings or businesses, the spouse's express consent is required. A written waiver of the status of shareholder must be obtained before the articles of association are signed.

Contribution of skills: what practical use does it have in an SAS?

An SAS may issue inalienable shares resulting from contributions of skills (Article L. 227-1, paragraph 4, of the French Commercial Code). The terms of subscription and allocation are set by the articles of association. A contribution of skills remains marginal: know-how is more often remunerated through an employment contract, a services agreement or founder share warrants (BSPCE), which are simpler to organise and to unwind on an exit.

How do you have a contributions auditor appointed?

By unanimous agreement of the future shareholders. Failing that, the most diligent future shareholder may apply by petition to the president of the commercial court of the planned registered office to have an auditor appointed. The auditor must be on the list of statutory auditors. The auditor delivers a report, annexed to the articles of association, which describes each contribution, the valuation methods used and the proposed value.

What does a contributions auditor cost in Paris?

Fees are freely set and depend on the complexity of the matter (nature and number of assets contributed, valuation method, any expert opinion, size of the company). For a simple contribution below €100,000, the budget is generally between €1,500 and €3,500 excl. VAT. For a contribution of a business or a building, allow €3,000 to €8,000 excl. VAT depending on the documents to be analysed.

Share premium: what is it for in a capital increase?

The share premium is the portion of the issue price above the par value of a share. It absorbs the difference between the company's economic value and its par value. It avoids excessive dilution of the existing shareholders when an investor comes in. It is recorded in a separate reserve account and remains available to absorb losses or to be incorporated into the share capital.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
