VEFA — off-plan buyers
Off-plan purchase lawyer Paris: delays, snags and stage payments.
Buying off plan transfers ownership as the building progresses: everything turns on the reservation contract, the delivery date and the delivery report. As an off-plan purchase lawyer in Paris, the firm reviews the documents before signature and pursues compensation for the developer's delays.
A delivery has to be prepared: snags are recorded in the delivery report, precisely and with dates, and the 5% retention is put in place before the keys are handed over, not after.

Lawyer at the Paris Bar — off-plan sales and disputes with developers.
The off-plan sale (VEFA), governed by Articles 1601-1 and 1601-3 of the French Civil Code (Code civil) and Articles L. 261-1 et seq. of the Construction and Housing Code (CCH), transfers ownership of the land at the deed and then of the buildings as the works progress. A non-professional buyer may withdraw within ten days (L. 271-1). Unjustified late delivery makes the developer liable (Articles 1103 and 1217): contractual penalties or proven compensation. At delivery: a joint delivery report, precise snags, 5% retention until they are cleared, then the statutory warranties — one-year completion, two-year equipment and ten-year.
Send what you have, even if incomplete: the firm will prioritise and complete the file with you. In an emergency, call +33 6 46 60 58 22.

A tightly regulated contract
Detailed description, price and terms, delivery period, financial completion guarantee: the particulars required by Article L. 261-11 of the Construction and Housing Code (CCH) determine how sound the contract is, with the descriptive notice and plans having contractual value.
Delay is compensated
Contractual penalties per day of delay, or proof of loss: loss of use, lost rental opportunity, lost tax advantage, non-material loss — recent case law assesses each head of loss separately.
The 5% retention
As long as snags have not been cleared, the buyer withholds 5% of the price (Article R. 261-14), held by the notary or an escrow agent. Completion itself is reviewed by the courts.
The framework
From the reservation contract to handing over the keys
Four rules structure off-plan sale disputes.
- Transfer of ownership is immediate and progressive: the land at signature of the notarial deed, the buildings as the works progress (Articles 1601-1 and 1601-3 of the Civil Code).
- The contract contains the particulars required by Article L. 261-11 of the CCH — description, price, delivery period, financial completion guarantee — and the non-professional buyer may withdraw within ten days (Article L. 271-1).
- Unjustified delay engages the developer's contractual liability (Articles 1103 and 1217): the seller must prove completion by the agreed date (CA Versailles, 30 June 2025, No. RG 23/01404).
- Clauses suspending the delivery period are applied strictly: a proven legitimate event, a certificate from the project manager, notification — failing which the delay remains attributable to the developer.
Compensation is assessed head by head: loss of use, lost chance to let or sell, lost tax advantage, non-material loss — lost chances are never compensated at the same level as the gain missed (TJ Bobigny, 9 February 2026, No. RG 25/03747).
Your documents
What to send depending on your situation
The reservation contract and the delivery report carry most of the dispute.
Position A
Before signature
- Reservation contract and draft notarial deed
- Descriptive notice and attached plans
- Financial completion guarantee and identity of the guarantor
- Schedule of stage payments and clauses suspending the delivery period
Position B
Delay or delivery
- Notarial deed and contractual delivery date
- Developer's letters and notices of suspension
- Delivery report and snags recorded
- Evidence of loss: expected rent, tax scheme, costs
Common mistakes: signing the delivery report without precise snags; releasing the 5% before the snags have actually been cleared.
The firm also secures:
- Financial completion guarantee
- Non-conformities at delivery
- Irregular stage payment calls
- Statutory warranties after delivery
The method
How the firm supports you
A demanding review of the reservation contract avoids most later disputes.
Step 1
Pre-contract analysis
Developer, financial guarantor, contractual date, suspension clauses, terms of the stage payments: consistency of the file before signature.
Step 2
Monitoring the schedule
Checking the justifications given for delay: legitimate event, project manager's certificate, proper notification.
Step 3
Assisted delivery
Preparing the delivery report, precise and dated snags, 5% retention held by the notary or an escrow agent.
Step 4
Compensation
Formal notice to the developer, head-by-head assessment of losses, writ of summons before the judicial court if the amicable route fails.
After delivery, the statutory warranties take over: one-year completion, two-year equipment and ten-year.
The timetable
The timeline of an off-plan sale
From reservation to the clearing of snags.
Reservation
Reservation contract, deposit, checks on the developer and the completion guarantor.
Notarial deed
Particulars required by Article L. 261-11 checked; the non-professional may withdraw within ten days (L. 271-1).
Stage payments
Building works. Staged payments according to progress, with the regularity of the calls checked.
Contractual date
Failing proven completion, the delay is attributable to the developer: penalties or compensation for loss.
Delivery
Joint delivery report, precise snags, 5% retention (R. 261-14).
After delivery
Snags cleared, release of the 5%, statutory warranties — one-year completion, two-year equipment, ten-year.
The checks
What the firm checks before acting
No signature or writ of summons before these points have been validated.
- Mandatory particulars of the contract: description, price, period, financial completion guarantee.
- Clauses suspending the delivery period and their notification procedure.
- Calculation of the delay: contractual date, justifications produced, project manager's certificate.
- Quantifiable losses: loss of use, lost rental or tax opportunity, non-material loss.
- Delivery report: precision of the snags, 5% retention.
- Completion within the meaning of Article R. 261-1, which the courts can review in case of disagreement.
Frequently asked questions
Your questions: off-plan sales
What is an off-plan sale (VEFA)?
A sale of a building to be constructed is one in which the seller undertakes to build a building within a period set by the contract (Article 1601-1 of the Civil Code). The off-plan sale (VEFA), governed by Article 1601-3 of the Civil Code and Articles L. 261-1 et seq. of the Construction and Housing Code, brings about an immediate transfer of ownership: the buyer becomes owner of the land on signature of the notarial deed, then of the buildings as they are built.
This unusual mechanism calls for particular vigilance from the reservation contract onwards: the developer, the financial guarantor, the contractual delivery date, the clauses suspending the period and the terms of the stage payments should all be analysed before signing.
What particulars must an off-plan sale contract contain?
Article L. 261-11 of the Construction and Housing Code requires several mandatory particulars: a detailed description of the building, the price and payment terms, the delivery period, and a financial completion or refund guarantee. The descriptive notice and the plans annexed to the contract have contractual value.
The absence or imprecision of any of these particulars weakens the contract and may open the way to a partial challenge.
Can you withdraw after signing an off-plan sale?
The non-professional buyer has enhanced protection: Article L. 271-1 of the Construction and Housing Code gives a ten-day withdrawal period after notification of the deed. During that period, the buyer may withdraw freely, without giving reasons and without penalty.
After that, the contract binds the buyer, who must meet the stage payment calls according to the contractual schedule.
What can you do if delivery is late?
The delivery date is an essential element of the contract. Unjustified delay engages the developer's contractual liability under Articles 1103 and 1217 of the Civil Code. The Versailles Court of Appeal has recalled this: where the seller fails to prove completion as contractually required by the agreed date, unjustified late delivery is established (CA Versailles, 1st and 4th chambers, 30 June 2025, No. RG 23/01404).
Where the contract provides for late-delivery penalties, they apply per day of delay, based on a percentage of the sale price. Failing that, the buyer must prove their loss.
How is delay compensated when the contract provides no penalties?
The loss must be proved and assessed head by head. The Versailles Court of Appeal awarded €8,000 for loss of use over sixteen months of delay on a property valued at €480,000, noting that the delay causes loss of use in the broad sense, which may consist of a lost chance to sell earlier (CA Versailles, 30 June 2025, No. RG 23/01404).
The judicial court of Bobigny awarded compensation for a delay of more than 1,228 days: €16,000 for the lost chance of receiving rent, €12,266 for the lost chance of benefiting from the Pinel tax scheme and €3,000 for non-material loss (TJ Bobigny, 9 February 2026, No. RG 25/03747). Lost rent and a lost tax advantage are compensated as lost chances, never at the same level as the gain missed.
Can the developer justify the delay by legitimate causes?
Clauses suspending the delivery period are strictly applied. The developer must prove the legitimate event relied on — bad weather, contractor failure, administrative order — and produce the project manager's certificate provided for in the contract.
Case law accepts the validity of a clause providing for a doubling of the suspension period, but compliance with the notification procedure remains essential: without a certificate and without notification, the delay remains attributable to the developer.
How does delivery work in an off-plan sale?
Delivery takes the form of a report recording completion and taking of possession, signed jointly by the seller and the buyer. This document fixes the date of completion within the meaning of Article R. 261-1 of the Construction and Housing Code and lists the snags noted by the buyer.
Snags must be precise: nature of the defect, location, seriousness, proposed period for remedy. A snag that is too vague or undated loses its evidential force.
Can you withhold part of the price until snags are cleared?
Yes. The 5% retention of the price provided for by Article R. 261-14 of the Construction and Housing Code allows the buyer to withhold that portion until the snags are cleared, generally with the notary or an escrow agent.
Who decides whether the building is complete?
The notion of completion is not left to the seller's sole assessment: it is subject to judicial review. In case of disagreement between the parties, it is for the trial judge, where the completion guarantor has applied for payment of the 95% portion of the price, to assess whether the building is complete within the meaning of Article R. 261-1 (Cass. 3e civ., 26 November 2020, No. 18-17.617).
What warranties apply after delivery with snags?
The buyer keeps the benefit of the statutory warranties: the one-year completion warranty of Article 1792-6 of the Civil Code covers for one year all defects noted at acceptance or appearing within the year; the two-year equipment warranty of Article 1792-3 covers the proper functioning of separable equipment for two years; the ten-year builder's liability of Article 1792 covers for ten years defects affecting structural soundness or making the work unfit for its purpose.

What our clients say
Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN
Translated from French
Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
