Your French Company Faces a Tax Audit While You Live Abroad: Answer the Inspector, Defuse the Reassessment and Appeal From Abroad

You live in London, Dubai or New York. Your French company — usually a SAS (société par actions simplifiée, the flexible French corporation foreign founders prefer) or a SARL (société à responsabilité limitée, the French limited liability company) — operates in Paris with a local accountant and maybe one or two employees. One morning, your accountant forwards a letter from the SIE (service des impôts des entreprises, the French business tax office): your company will undergo a vérification de comptabilité, the standard French tax audit of a company’s books. Corporate income tax, known in France as IS (impôt sur les sociétés), and VAT, known as TVA (taxe sur la valeur ajoutée), are both on the table. The French tax audit procedure is one of the most formalised in Europe: every step comes with a written guarantee, a deadline, and a remedy, and each of them can be operated from abroad through a French representative. This article explains the two phases that decide everything. First, the audit itself: the notice you receive, the years the inspector may cover, the clock that limits on-site work, and the oral debate you must demand in writing because distance makes it fragile. Second, the reassessment: the reasoned proposal the administration must send you, the thirty-day style reply window you must never waste, the interest and penalties that inflate the bill, and the path from formal complaint to the administrative court, including how to suspend payment while you fight. The case law quoted here comes from decisions of the CAA (cour administrative d’appel, the French administrative court of appeal) whose full texts were read for this article, and every statute is linked to its official Légifrance version so you can check each rule yourself.

I. The audit notice arrives while you live abroad: what the inspector can do and which deadlines protect you

A. You receive the audit notice abroad: which years, which taxes, and your right to be assisted by counsel

No audit of your books can start in secret. Article L. 47 of the LPF (livre des procédures fiscales, the French tax procedure code) provides that a vérification de comptabilité cannot be opened before the taxpayer has been informed by the sending or delivery of an audit notice, and that notice must state the years under audit: Un examen contradictoire de la situation fiscale personnelle d’une personne physique au regard de l’impôt sur le revenu, une vérification de comptabilité ou un examen de comptabilité ne peut être engagé sans que le contribuable en ait été informé par l’envoi ou la remise d’un avis de vérification ou par l’envoi d’un avis d’examen de comptabilité. In practice, the notice arrives by post at the company’s siège social (registered office) in France, which is why foreign owners must organise reliable mail monitoring: a domiciliation company that scans envelopes late, or an accountant who forwards letters once a month, can cost you the first meeting and the whole timetable that follows. If your registered office is in Paris or the Paris region, the notice comes from the local SIE or from a regional audit unit, and the first appointment is generally proposed within a few weeks, which leaves you time to organise your defence from abroad if you react immediately.

The same article gives you the single most important sentence of the whole procedure. The notice must expressly state, on pain of nullity of the entire procedure, that you may be assisted by counsel of your choice: Cet avis doit préciser les années soumises à vérification et mentionner expressément, sous peine de nullité de la procédure, que le contribuable a la faculté de se faire assister par un conseil de son choix. A notice that forgets this sentence voids everything that follows, and courts apply this strictly. For an owner living abroad, this right is also the practical solution to distance: you appoint a French accountant (expert-comptable) and, as soon as the stakes justify it, a French tax lawyer, with a written power of attorney allowing them to receive documents, attend meetings and sign correspondence. The inspector audits the company, not you personally, so your absence from France is not a fault — but an absence without a designated representative looks like indifference, and indifference is expensive. The notice also tells you that the charter of audited taxpayers’ rights can be consulted on the tax administration’s website or handed to you on simple request, and that charter is not decoration: article L. 10 of the same code makes its provisions enforceable against the administration, as the Paris appeal court recalled in a 2023 decision, Les dispositions contenues dans la charte des droits et obligations du contribuable vérifié mentionnée au troisième alinéa de l’article L. 47 sont opposables à l’administration.

Check the years listed on the notice against the recovery time limit before doing anything else. Article L. 169 of the tax procedure code provides that for income tax and corporate income tax, le droit de reprise de l’administration des impôts s’exerce jusqu’à la fin de la troisième année qui suit celle au titre de laquelle l’imposition est due. In plain terms, at the end of 2026 the administration can normally go back to 2023, and an audit notice received in 2026 that purports to reaudit 2019 corporate tax deserves immediate scrutiny — unless one of the extended ten-year cases applies, such as a hidden activity, which the same article defines restrictively. The notice therefore tells you the battlefield: which years, which taxes, and whether the administration is even still entitled to fight there. If you operate a French company alongside other structures, the companion guide on how French corporate tax, advance payments and local business levies work for a company run from abroad explains the underlying IS and CFE mechanics that the inspector will be testing.

B. The on-site audit has a clock: three months, six months, and the oral debate you must request in writing

Once the first meeting takes place, the inspector examines your books — on your premises as a rule, or in your accountant’s office if you expressly request it — and this on-site phase is capped by law. Article L. 52 of the tax procedure code states that, on pain of nullity of the assessment, on-site verification of books and accounting documents cannot extend beyond three months for small businesses whose turnover stays under the statutory thresholds: Sous peine de nullité de l’imposition, la vérification sur place des livres ou documents comptables ne peut s’étendre sur une durée supérieure à trois mois en ce qui concerne : 1° Les entreprises industrielles et commerciales ou les contribuables se livrant à une activité non commerciale dont le chiffre d’affaires ou le montant annuel des recettes brutes n’excède pas les seuils prévus aux 1° et 2° de l’article L. 162-4 du code des impositions sur les biens et services. Where the accounts contain serious irregularities that destroy their probative value, the administration may continue, but even then the on-site work cannot exceed six months. These are not guidelines; they are nullity rules, and judges enforce them with spectacular results for taxpayers who count the days.

The Lyon appeal court demonstrated this in a decision of 6 October 2022 concerning a company called SRI, audited for financial years closed in 2012, 2013 and 2014. The court found that the on-site verification had run beyond the six-month ceiling and drew the full consequence: le moyen tiré de ce que la vérification sur place a excédé la durée maximale de six mois, dont la méconnaissance est sanctionnée par la nullité de l’imposition en vertu du I de l’article L. 52 du livre des procédures fiscales, doit être accueilli. The operative part of the judgment follows: La SARL SRI est déchargée des rappels de taxe sur la valeur ajoutée qui lui ont réclamés au titre de la période du 1er janvier 2013 au 31 décembre 2014, des cotisations supplémentaires d’impôt sur les sociétés auxquelles elle a été assujettie au titre des exercices clos en 2013 et 2014 et des pénalités correspondantes. VAT reminders, corporate tax supplements and the corresponding penalties — all cancelled because the clock had been ignored. For a foreign owner, the lesson is concrete: from the day of the first on-site visit, keep a dated log of every visit, every document handover and every meeting, because this chronology is the raw material of a nullity plea, and nobody will reconstruct it for you two years later before the court.

The second guarantee of the on-site phase is the débat oral et contradictoire, the oral adversarial debate with the inspector, and it is the one most threatened by distance. The official BOFiP doctrine (Bulletin officiel des finances publiques, the tax administration’s official published doctrine) expressly warns inspectors who work from copies and screens instead of dialogue: Il doit engager un dialogue constructif avec le contribuable afin de comprendre les écritures comptables et de recueillir les informations utiles à la procédure. The inspector may not simply exploit your accounts and leave; dialogue is part of the procedure. But beware the other edge of this guarantee, stated by the Paris appeal court on 17 July 2023 in a case about a hair salon run as a single-person company, where the manager complained she had seen the inspector only twice: c’est au contribuable qui allègue que les opérations de vérification ont été conduites sans qu’il ait eu la possibilité d’avoir un débat oral et contradictoire avec le vérificateur de justifier que ce dernier se serait refusé à un tel débat. Translation: the taxpayer who claims to have been denied oral debate must prove the inspector refused it — and in that case the claims were rejected. Living abroad, you will struggle to prove such a refusal if you never asked for anything in writing. So ask in writing: request meetings by email and letter, propose dates, list the points you wish to discuss, confirm each exchange afterwards, and mandate your representative to attend. If the inspector maintains reassessments after these exchanges, the charter opens a further door that absentee owners underuse: Si, après ces contacts, des divergences importantes subsistent, vous pouvez faire appel à l’interlocuteur spécialement désigné par le directeur dont dépend le vérificateur. This departmental interlocutor, a senior official above the inspector, can be seized before the reassessment becomes final, and a well-prepared written file works as well as a physical meeting. Note the boundary with a different control: if the letter comes from URSSAF (unions de recouvrement des cotisations de sécurité sociale, the social-security collection agencies) rather than the tax office, you face a social-charges audit with its own rules, described in the guide on how to handle a URSSAF audit of your French company while living abroad — do not mix the two procedures, their deadlines and remedies differ.

II. The reassessment arrives: how to answer it and how to appeal without flying back

A. The proposed reassessment must prove its case: written reasons, a short reply window, and the discharge weapon

The audit ends with a proposition de rectification, the written proposal of reassessment, and this document decides the rest of the dispute. Article L. 57 of the tax procedure code imposes a simple bargain: L’administration adresse au contribuable une proposition de rectification qui doit être motivée de manière à lui permettre de formuler ses observations ou de faire connaître son acceptation. The proposal must let you understand and answer: amounts, legal basis, income category, years concerned. The same article adds a precious procedural detail for owners who need time to coordinate across borders: on your written request received before the reply deadline expires, the period is extended by thirty days. And if the administration rejects your observations, Lorsque l’administration rejette les observations du contribuable sa réponse doit également être motivée — a rejection without reasons is itself challengeable. Never let the reply window pass in silence: an unanswered proposal becomes a final assessment, and silence at this stage cannot be repaired later by eloquence before the judge.

Courts cancel assessments whose stated reasons do not allow the taxpayer to understand the case against them, and the Paris appeal court gave a textbook example on 29 May 2019. The court first restated the rule: l’administration doit indiquer au contribuable, dans la proposition de rectification, les motifs et le montant des rehaussements envisagés, leur fondement légal et la catégorie de revenus dans laquelle ils sont opérés, ainsi que les années d’imposition concernées. It then found that the proposal sent to the taxpayer merely reproduced pages of the reassessment addressed to his company, without the paragraph explaining the method used to rebuild revenue and determine deductible charges — a document the taxpayer had never received and could not consult. Result: M. E… est déchargé, en droits et pénalités, des cotisations supplémentaires d’impôt sur le revenu et des cotisations primitives de contributions sociales restant en litige auxquelles il a été assujetti au titre des années 2010 et 2011. Full discharge of the additional income tax and social contributions for 2010 and 2011, because the reasons were incomplete. For a foreign owner, the method is therefore mechanical: read the proposal with a ruler, check that every figure is explained, every legal basis cited, every year identified, and every referenced document attached or reproduced — then attack in your observations everything that is missing, because a gap identified now becomes a nullity argument later.

Understand also what inflates the bill beyond the principal. Late-payment interest applies to any tax paid late, and article 1727 of the CGI (code général des impôts, the French general tax code) frames this charge together with its exemptions, including the taxpayer who expressly disclosed the disputed position in the return: Toute créance de nature fiscale, dont l’établissement ou le recouvrement incombe aux administrations fiscales, qui n’a pas été acquittée dans le délai légal donne lieu au versement d’un intérêt de retard. On top of interest come the penalties of article 1729 of the same code: Les inexactitudes ou les omissions relevées dans une déclaration ou un acte comportant l’indication d’éléments à retenir pour l’assiette ou la liquidation de l’impôt ainsi que la restitution d’une créance de nature fiscale dont le versement a été indûment obtenu de l’Etat entraînent l’application d’une majoration de : a. 40 % en cas de manquement délibéré, rising to 80 % for abuse of law schemes, fraudulent manoeuvres or concealment of part of a contract price. The difference between a simple error and a deliberate breach is therefore worth 40 points of the reassessed amount, and your written observations are the first place where good faith, disclosed positions and reliance on your accountant are documented. This is also where the recovery time limit of article L. 169, quoted above, does quiet work: every year the administration pursues beyond the third year following the tax year must be justified by one of the statutory exceptions, and an unjustified year falls at the complaint stage or before the judge.

B. From formal complaint to the court: challenge the assessment and suspend payment from abroad

Once the assessment is final, the dispute moves to written procedure, which is good news for an owner who lives abroad: everything happens by letter and through online accounts, and physical presence in France is never required. The first step is the réclamation, the formal claim to the tax administration. The claim must be filed within the statutory time limit, state precisely the relief sought, and attach the evidence the audit phase allowed you to gather: the dated log of visits, the correspondence proving your requests for debate, the incomplete passages of the reassessment proposal, the turnover figures proving the three-month ceiling applied. Alongside this contentious claim, the official service-public guidance for businesses lists amicable routes available during a tax control: a hierarchical appeal to the inspector’s superior (recours hiérarchique), referral to the mediator of the economic and finance ministries if that fails, and the negotiated settlement (transaction) that ends a dispute over penalties through mutual concessions — see the official guide to remedies against the tax administration. These routes are not mutually exclusive with the formal claim, and a transaction on penalties can usefully run in parallel while the principal is fought. One warning from the same official page matters for cash planning: the gracious appeal (recours gracieux) does not suspend collection, so choose the contentious claim when you need the payment suspended.

Suspension of payment is precisely what article L. 277 offers, and it is the provision that lets you fight without strangling the company’s cash. Two conditions, both strict: the request must be express, inside the claim itself, and it must state the amount or bases of the relief claimed. Meet them and the enforceability of the debt and the recovery limitation period are suspended until a final decision on the claim, whether by the administration or the court. Above a regulatory threshold of disputed duties, the debtor must provide guarantees covering the contested amount, failing which the accountant may take protective measures — so a foreign-owned company should prepare a French bank guarantee or equivalent security early, especially when the reassessment runs into six figures. From abroad, the practical chain is therefore: claim filed by your representative with the express suspension request and precise figures, guarantees arranged through your French bank, and continued monitoring of the company’s professional account on impots.gouv.fr, where assessments, deadlines and replies are all visible.

If the administration rejects the claim expressly or by silence, the dispute goes to the TA (tribunal administratif, the French administrative court) of the place where the tax was assessed — for a Paris company, the Montreuil court in most cases. Article R. 421-1 of the code of administrative justice sets the filing window: La juridiction ne peut être saisie que par voie de recours formé contre une décision, et ce, dans les deux mois à partir de la notification ou de la publication de la décision attaquée. Two months from notification of the rejection, no more, and the petition must be directed against that rejection decision. Before the judge, the weapons forged during the audit are deployed: nullity of the procedure for a missing counsel statement in the notice, expiry of the three- or six-month on-site ceiling, denial of oral debate documented by your unanswered written requests, insufficient reasoning of the reassessment proposal, years covered beyond the recovery limit, penalties disproportionate to a documented good-faith error. The judgments quoted in this article show that these pleas win — full discharges of corporate tax, VAT and penalties — and they win on papers that an organised foreign owner can assemble without ever boarding a plane. Appeals go to the CAA and, on points of law, to the Conseil d’État (the supreme administrative court), each with its own short deadlines that your counsel calendars from day one.

Conclusion

A French tax audit run from abroad is winnable, but only with a method that respects the procedure’s written nature. React to the audit notice within days: check the years against the three-year recovery limit, appoint a French representative with written powers, and secure your mail circuit so no deadline passes unseen. During the on-site phase, count the months from the first visit, demand oral debate in writing, confirm every exchange, and seize the departmental interlocutor if disagreement persists. Answer the reassessment proposal line by line within the reply period, extended by thirty days on written request, and turn every gap in its reasoning into a documented objection. Then claim formally with an express suspension request and precise figures, arrange guarantees if the amount requires them, and take a rejection to the administrative court within two months. At each stage, the administration must prove it followed its own rules, and the courts cancel assessments — tax, VAT and penalties together — when it did not. Distance changes none of this, provided your paper trail replaces your physical presence from the very first letter.

Thank you to Maître KOHEN for his analyses of recent case law regarding fraudulent concealment in real estate sales. This reinforces my decision to pursue an action for rescission that I am considering after acquiring a house affected by serious defects intentionally concealed by the seller and not reported by the real estate agent; also defects (rising damp) characterized by progressive through-cracks and damp patches, not reported by the real estate agent… Worse, defects concealed by the latter or on his initiative under a coat of paint and polystyrene tiles glued to the ceiling of a bedroom. And said real estate agent was the drafter of the preliminary contract, which naturally contains no information regarding any of these defects. I would just add that, being 77 years old and suffering from cognitive impairment, I am certain the real estate agent thought I would not be able to uncover the deception and, above all, characterize fraudulent intent, let alone initiate legal proceedings given the complexity and length of the process... That is why I am opting for criminal proceedings, insofar as the intentional concealment of defects by the seller and then by the real estate agent
