Your French Company Must Close While You Live Abroad: Dissolution, Liquidation, Dismissals, Tax Clearance and Striking Off

You formed a French company from abroad, it obtained its Kbis, hired staff, billed clients, and now the venture is over: the project failed, the group is reorganising, or the dormant SAS in Paris simply costs more than it earns. Closing a French company from London, New York, Dubai or Singapore is possible without boarding a plane, but France does not let a company vanish by itself. A company that stops trading without a formal winding-up keeps its tax filings, its social filings, its bank fees and its directors’ liability alive. The only clean exit is a two-step legal path: the shareholders vote an early dissolution, then a liquidator settles the debts, dismisses the employees, pays the final taxes and asks the registry to strike the company off. This guide explains each step for a foreign founder or foreign parent company, with the exact texts and court decisions that govern the process.

I. How do you dissolve a French company from abroad without going to court?

The standard exit for a company that can still pay its debts is the voluntary winding-up, called dissolution anticipée suivie de liquidation amiable. It is a shareholder decision, not a court judgment, and it works at a distance provided the paperwork is exact. Two filings structure the whole operation: first the dissolution, which halts the company’s activity and opens the liquidation period, then months later the closure of the liquidation, which distributes any remainder and deletes the company from the Registre du commerce et des sociétés (RCS, the French companies register kept by the greffe, the registry office of the commercial court).

A. How do the shareholders vote the early dissolution and file it on the Guichet unique?

The starting point sits in the Civil Code. Article 1844-7 of the Civil Code lists the ways a company ends, and its fourth case is exactly ours: “Par la dissolution anticipée décidée par les associés”, the early dissolution decided by the shareholders. For a SARL or a SAS, the shareholders meet in an extraordinary meeting, vote the dissolution under the majority required to amend the articles, appoint a liquidator, and record where the liquidation correspondence will be sent. The minutes must name the liquidator, state the registered office of the liquidation, and give the liquidator powers to represent the company. When the founder lives abroad, the practical details matter more than the principle: the meeting can be held by written consultation or videoconference if the articles allow it, the powers of attorney signed abroad should be legalised or apostilled where the greffe asks for it, and a foreign parent company voting as shareholder acts through its own legal representative with an up-to-date extract proving that person’s authority.

One warning comes first for loss-making companies. If the balance sheet shows equity below half of the share capital, France imposes a special timetable before any voluntary exit: article L. 223-42 of the Commercial Code requires the shareholders to decide within four months of approving those accounts whether to dissolve early, and if they choose to continue, to rebuild equity to at least half of the capital by the end of the second following financial year or reduce the capital. A sister guide on this site walks through that exact situation of a French subsidiary that has lost half of its capital and must choose between recapitalising, reducing capital or dissolving (recapitalise, reduce or dissolve). If your company is in that position, read that analysis first: dissolving without addressing the half-capital procedure exposes the directors to a claim that they traded on too long.

Once the vote is taken, everything is filed online. Since 2023, article L. 123-33 of the Commercial Code channels creations, amendments and cessations through a single electronic portal, the Guichet unique operated at formalites.entreprises.gouv.fr, and the filing with that portal counts as the declaration to the registry once the file is complete. The dissolution file contains the minutes, an amended M2-style declaration, a legal announcement in a journal d’annonces légales, and the identity documents of the liquidator. The greffe then publishes the dissolution, which is also relayed to the Bulletin officiel des annonces civiles et commerciales (BODACC, the official gazette where company events become opposable to third parties). Service-public.fr summarises the whole voluntary-cessation sequence for companies in its official fact sheet (cessation d’activité d’une société, dissolution volontaire) and lists the legal causes of dissolution in a companion page (causes de dissolution d’une société).

From that day, three reflexes protect the foreign founder. First, every letter, invoice and email must carry the words “société en liquidation” after the company name together with the liquidator’s name, because article R. 237-1 of the Commercial Code commands that “La mention ” société en liquidation ” ainsi que le nom du ou des liquidateurs doivent figurer sur tous les actes et documents émanant de la société et destinés aux tiers, notamment sur toutes lettres, factures, annonces et publications diverses”. An invoice issued abroad without that mention looks like ordinary trading and can mislead a creditor. Second, the company’s legal personality survives only for the needs of the liquidation, as article L. 237-2 of the Commercial Code states: “La personnalité morale de la société subsiste pour les besoins de la liquidation, jusqu’à la clôture de celle-ci”, and “La dissolution d’une société ne produit ses effets à l’égard des tiers qu’à compter de la date à laquelle elle est publiée au registre du commerce et des sociétés”. In plain English: until publication, the dissolution does not bind third parties, so file fast. Third, when the shareholders are deadlocked and no voluntary vote is possible, the courts can dissolve for “justes motifs”: the Cour de cassation confirmed on 28 May 2026 that “la société prend fin par la dissolution anticipée, prononcée par le tribunal, à la demande d’un associé pour justes motifs, notamment en cas de mésentente entre les associés paralysant le fonctionnement de la société” (Cass. com., 28 May 2026, no. 25-14.596), adding that “la cour d’appel a souverainement déduit que la mésentente entre les associés et la perte de tout affectio societatis entraînaient la paralysie de fonctionnement de la société”. A foreign minority shareholder blocked by a Paris partner therefore has a judicial route, but it is litigation, with months of procedure, while the voluntary route described here takes effect on filing.

For Paris-based companies, one local detail helps: the greffe du tribunal de commerce de Paris processes the highest volume of foreign-shareholder files in France and applies the documentary checklist strictly, including proof of the foreign shareholder’s existence and translation of foreign powers. Build the file as if a demanding clerk will read it, because one will. Coordination of signatures across time zones is the usual bottleneck, and founders who centralise originals with one correspondent in Paris, reachable for instance at +33 6 46 60 58 22 (Maître Reda Kohen), generally file weeks earlier than those circulating papers between three countries.

B. How does the amicable liquidation run until the striking off, and when does the shortcut for a single-member company apply?

Dissolution opens the liquidation; it does not close the company. Article 1844-8 of the Civil Code states the rule plainly: “La dissolution de la société entraîne sa liquidation”, and the same article keeps the company’s legal personality alive “pour les besoins de la liquidation jusqu’à la publication de la clôture de celle-ci”. The liquidator, often the former president or gérant, sells the remaining assets, collects receivables, pays creditors in their legal order, dismisses the employees, files the final tax returns, and draws up the liquidation accounts. Under article L. 237-1 of the Commercial Code, the articles of association govern the liquidation first, so bespoke clauses on the liquidator’s powers deserve a re-read before acting. Where the liquidation lasts beyond one financial year, article L. 237-25 of the Commercial Code requires the liquidator to draw up annual accounts and convene the shareholders each year, which means a dormant file still produces yearly paperwork until it is closed.

The endgame has its own meeting. The shareholders approve the liquidation accounts, grant the liquidator quitus (formal discharge), record the distribution of any remaining balance (boni de liquidation), and vote the clôture de la liquidation. That closing is filed on the Guichet unique with a legal announcement, and the greffe issues the radiation, the striking off from the RCS. Only the radiation ends the company’s opposability: creditors can still act against a dissolved-but-not-struck company, and tax and URSSAF assessments can still arrive at the liquidation address. Three years after dissolution, anyone with standing, including the public prosecutor, can ask the court to finish the job, so a file left sleeping in a drawer can wake up as a court-supervised liquidation with costs the shareholders no longer control.

A shortcut exists for the common foreign-founder structure: a SASU or EURL with a single shareholder that is itself a company. Article 1844-5 of the Civil Code provides that “En cas de dissolution, celle-ci entraîne la transmission universelle du patrimoine de la société à l’associé unique, sans qu’il y ait lieu à liquidation”. This is the transmission universelle du patrimoine (TUP, universal transfer of assets): the sole corporate shareholder dissolves the subsidiary by simple decision, waits the thirty-day creditor opposition period running from publication, and absorbs all assets and liabilities automatically, without a liquidator and without liquidation accounts. Service-public.fr describes the mechanism in its official sheet (transmission universelle du patrimoine). The trap sits in the second half of the same article: “Les créanciers peuvent faire opposition à la dissolution dans le délai de trente jours à compter de la publication de celle-ci”. Any creditor, including URSSAF or the tax office, can oppose within thirty days, and the transfer only becomes final once oppositions are rejected or paid. A foreign parent that empties the subsidiary’s bank account on day one and discovers a creditor opposition on day twenty-nine has manufactured its own dispute. Keep the funds available until the period expires and the notarial or registry proof of transfer is secured.

Two mistakes dominate the files of founders living abroad. The first is treating dissolution as closure: stopping all filings after the first publication while the company still legally exists, which produces late-filing penalties and, for employers, continued social charges. The second is distributing cash to shareholders before every creditor is paid or provided for; the liquidator who pays shareholders first answers for the shortfall personally. The clean order never changes: sell, collect, pay creditors and the Treasury, dismiss lawfully, file final returns, distribute the remainder if any, close, strike off, keep the proofs.

II. What does closing trigger for staff, tax and paperwork when the founder lives abroad?

A French company is not only a registration; it is an employer, a taxpayer and a VAT collector. Each of those qualities must be switched off explicitly, and each administration wants its own form, on its own deadline, with its own proof. The foreign founder’s handicap is not the law itself but the distance: letters arrive at the Paris address while decisions are taken in another country. Appointing the liquidator as the single point of contact, keeping the liquidation address monitored, and answering every administration within its deadline is what separates a six-month clean closure from a two-year drip of penalties.

A. How do you dismiss your French employees when the company closes?

Closing the company ends the jobs, but each dismissal follows the ordinary dismissal law of the employee’s contract. The Labour Code defines the economic dismissal as “le licenciement effectué par un employeur pour un ou plusieurs motifs non inhérents à la personne du salarié résultant d’une suppression ou transformation d’emploi ou d’une modification, refusée par le salarié, d’un élément essentiel du contrat de travail, consécutives notamment à la cessation d’activité de l’entreprise”, in the wording recalled by the Cour de cassation on 15 September 2021 (Cass. soc., 15 Sept. 2021, no. 19-25.613). The complete and final cessation of the business is therefore, in itself, the ground for dismissal; no additional economic difficulty needs to be proved when the company genuinely stops. The leading statement comes from the Cour de cassation on 20 September 2023: “La cessation d’activité complète et définitive de l’entreprise constitue en soi un motif économique de licenciement, sans qu’il soit nécessaire de rechercher la cause de cette cessation d’activité quand elle n’est pas due à une faute de l’employeur” (Cass. soc., 20 Sept. 2023, nos. 22-13.485 et al.). In the same line, the Court accepts that a retirement with no buyer and a definitive stoppage founds the dismissal, and it censured an appeal court that had denied the economic ground in that setting: “alors qu’il résultait de ses constatations que le motif économique du licenciement, non remis en cause par le salarié, ressortissait à la cessation définitive de l’activité de la société et qu’il n’était pas prétendu que la société appartenait à un groupe, ce dont se déduisait l’impossibilité de reclassement, la cour d’appel a violé les textes susvisés” (Cass. soc., 15 Sept. 2021, no. 19-25.613).

The mirror rule protects employees and punishes founders who engineer the closure. A closure organised to shed staff, a deliberate cash drain toward the foreign parent, or months of unpaid wages before the vote can therefore turn every dismissal into litigation without real and serious cause, with damages at the labour court (conseil de prud’hommes). Close a solvent company solvently: pay wages and accrued leave first, then dismiss, never the reverse.

Procedure depends on headcount. With a single employee, the founder or liquidator holds the preliminary meeting (entretien préalable), notifies the dismissal by registered letter stating the cessation ground precisely, pays the notice period or its indemnity in lieu, the statutory severance and accrued paid leave, and delivers the end-of-contract pack: certificat de travail, attestation France Travail, and final payslip with the solde de tout compte. The statutory severance belongs to any employee on an open-ended contract with at least eight months of service: “Le salarié titulaire d’un contrat de travail à durée indéterminée, licencié alors qu’il compte 8 mois d’ancienneté ininterrompus au service du même employeur, a droit, sauf en cas de faute grave, à une indemnité de licenciement” (article L. 1234-9 of the Labour Code). From two to nine dismissals within thirty days for economic reasons, the small-collective procedure applies with staff consultation where a social and economic committee exists: “L’employeur qui envisage de procéder à un licenciement collectif pour motif économique de moins de dix salariés dans une même période de trente jours réunit et consulte le comité social et économique dans les entreprises d’au moins onze salariés” (article L. 1233-8 of the Labour Code). Ten or more dismissals trigger the heavy plan de sauvegarde de l’emploi procedure, which a closing micro-company must prepare with counsel rather than improvising from abroad. A companion guide on this site details dismissal grounds and severance computation for a first hire (dismiss a first employee: grounds and severance), and its severance tables apply identically on closure.

Social paperwork closes in parallel. The last déclaration sociale nominative (DSN, the monthly electronic payroll return sent to URSSAF, the social-security collection body) must report the final wages and the end of each contract; the employer’s URSSAF account is then closed and any relief or deferral requested where cash is tight. Keep proof of every notification: registered-mail slips, meeting invitations, severance computations and DSN acknowledgments. Labour disputes outlive struck-off companies through the liquidator’s liability and, for unpaid wages, the wage-guarantee fund mechanics, so a tidy dismissal file is the cheapest insurance a departing founder can buy.

B. Which tax, social and bank filings prove the company is really gone?

Dissolution accelerates taxation. Article 221 of the General Tax Code provides that on dissolution, corporate income tax is assessed immediately, on the conditions and penalties of the standard regime, which means the liquidator must file the final corporate-tax return and pay the balance without waiting for the next normal campaign. For companies under personal income tax and for sole-trader-style structures, article 201 of the General Tax Code similarly accelerates the tax on not-yet-taxed profits on cessation and gives taxpayers forty-five days to notify the administration of the cessation with its effective date. Service-public.fr explains the fiscal aftermath of dissolution for companies in its official tax sheet (conséquences fiscales de la dissolution d’une société), and the impots.gouv.fr portal receives the final returns electronically. VAT follows the same logic: file the last CA3 returns, claim or repay the credit balance, and request the end of the intra-Community VAT number activity so that later recapitulative statements do not generate automatic reminders. Our earlier guide to the company’s recurring duties remains the checklist for spotting what must be switched off one by one (annual legal calendar: accounts, meeting and filing from abroad).

Local tax ends too. The cotisation foncière des entreprises (CFE, the annual local business tax) is due for the year of cessation with a reduction where closure happens early in the year, and the company must declare cessation to the tax office so the following year’s roll is cancelled. The URSSAF employer account, the France Travail employer number and any sectoral fund affiliations each need an explicit closure request; none closes automatically with the RCS radiation. Bank accounts come last but deserve planning from day one: keep one company account open through the liquidation to pay creditors, wages and the Treasury, then close it only after the final tax payments clear and the boni is distributed, keeping the closing statements with the liquidation file. Foreign founders are often tempted to close the French account immediately to stop fees; a liquidator without a French account ends up advancing funds personally or wiring from abroad with mismatched references, and reconciliation becomes painful.

The founding reference for the whole venture, from account opening to Kbis to first VAT number, was our pillar guide for foreign founders (setting up a company in France as a foreign founder); the closure file mirrors its account-opening file, with the same bank, the same greffe and the same tax office as counterparts. Practical proof of a clean exit is a short stack of documents the founder keeps for at least six years: the dissolution minutes and publication, the BODACC notices of dissolution and radiation, the liquidation accounts with quitus and the closing minutes, the final corporate-tax and VAT returns with payment proofs, the DSN closing acknowledgments and employment-end documents, the CFE cessation receipt, and the bank-closure letter. The Institut national de la propriété industrielle (INPI), which operates company-formation services alongside the Guichet unique, and the tax portal (impots.gouv.fr) both keep electronic traces of the filings, but the paper stack is what a buyer, a bank or a judge asks to see when a “closed” company resurfaces in a dispute.

Conclusion

Closing a French company from abroad is an administrative marathon run in the right order, not a single form. Vote the early dissolution under article 1844-7 of the Civil Code, publish it so it binds third parties under article L. 237-2 of the Commercial Code, label every document “société en liquidation”, liquidate methodically, dismiss on the genuine ground of complete and final cessation recognised since Cass. soc., 20 Sept. 2023, nos. 22-13.485 et al. while avoiding any employer fault that would strip the dismissals of cause under Cass. soc., 8 July 2020, no. 18-26.140, pay the immediate corporate tax under article 221 of the General Tax Code, and keep the company alive on paper until the radiation deletes it. Single-shareholder subsidiaries of foreign groups should test the universal-transfer shortcut of article 1844-5 of the Civil Code against its thirty-day creditor opposition window before choosing the classic liquidation. The founders who close cleanly share one habit: they treat the liquidation address in France as a living mailbox, answer every administration on time, and keep the full proof stack long after the Kbis turns into a radiation notice.

Thank you to Maître KOHEN for his analyses of recent case law regarding fraudulent concealment in real estate sales. This reinforces my decision to pursue an action for rescission that I am considering after acquiring a house affected by serious defects intentionally concealed by the seller and not reported by the real estate agent; also defects (rising damp) characterized by progressive through-cracks and damp patches, not reported by the real estate agent… Worse, defects concealed by the latter or on his initiative under a coat of paint and polystyrene tiles glued to the ceiling of a bedroom. And said real estate agent was the drafter of the preliminary contract, which naturally contains no information regarding any of these defects. I would just add that, being 77 years old and suffering from cognitive impairment, I am certain the real estate agent thought I would not be able to uncover the deception and, above all, characterize fraudulent intent, let alone initiate legal proceedings given the complexity and length of the process... That is why I am opting for criminal proceedings, insofar as the intentional concealment of defects by the seller and then by the real estate agent
