Your French Business Without French Payroll: Umbrella Employment (Portage Salarial) for Foreign Companies, Rules, Real Cost and Misuse Risks

You run a French company from London, New York or Dubai and you need one person in Paris: a business developer, a consultant, a project manager. Engaging them as a direct contractor exposes you to reclassification as the employer, with URSSAF (Union de recouvrement des cotisations de sécurité sociale et d’allocations familiales, the body collecting French social contributions) reassessing years of contributions; hiring them as an employee means French payroll, monthly payslips and full employer liability from abroad. French law offers a third way with a strange name: portage salarial (umbrella-company employment, literally the carrying of a salary). An approved umbrella company hires the worker, invoices your French company for the service, and pays the salary, the contributions and the paperwork — while the worker performs the assignment for you. This guide explains, in English, how umbrella employment works for a foreign-owned company, the strict legal conditions your assignment must meet, what it really costs once all deductions are shown, and the three misuses that push the employment contract back onto your own company. I. Can your foreign-owned company use umbrella employment instead of hiring directly in France?

A. What umbrella employment is: two contracts, three parties, and you are not the employer

Umbrella employment splits the relationship you would normally have with one worker into two contracts with three parties. Article L1254-1 of the Labour Code defines it exactly: « Le portage salarial désigne l’ensemble organisé constitué par : 1° D’une part, la relation entre une entreprise dénommée ” entreprise de portage salarial ” effectuant une prestation et une entreprise cliente bénéficiant de cette prestation, qui donne lieu à la conclusion d’un contrat commercial de prestation de portage salarial ; 2° D’autre part, le contrat de travail conclu entre l’entreprise de portage salarial et un salarié désigné comme étant le ” salarié porté “, lequel est rémunéré par cette entreprise. » (Umbrella employment means the organised arrangement comprising, first, the relationship between a company called the umbrella company providing a service and a client company benefiting from it, giving rise to a commercial umbrella-service contract; and second, the employment contract between the umbrella company and an employee called the carried employee, who is paid by that company.) Your French company signs only the commercial contract. The employment contract — with its DPAE (déclaration préalable à l’embauche, the mandatory prior hiring declaration), payslips, paid leave and dismissal rules — belongs to the umbrella company.

That employment contract may be fixed-term or open-ended. Article L1254-7 of the Labour Code states: « Le contrat de travail est conclu entre l’entreprise de portage salarial et le salarié porté pour une durée déterminée ou indéterminée. » (The employment contract is concluded between the umbrella company and the carried employee for a fixed or an open-ended term.) For a foreign founder testing the French market, the practical effect matters more than the label: if the assignment ends, your commercial relationship ends, but the worker’s employment does not automatically end with it. Article L1254-8 of the Labour Code provides: « La seule rupture du contrat commercial de prestation de portage salarial n’entraîne pas la rupture du contrat de travail du salarié. L’entreprise de portage salarial est redevable de la rémunération due au salarié porté correspondant à la prestation réalisée dans les conditions prévues aux articles L. 1254-15 et L. 1254-21 . » (The mere termination of the commercial umbrella-service contract does not terminate the employee’s employment contract. The umbrella company owes the carried employee the pay for the work performed under Articles L. 1254-15 and L. 1254-21.) You stop paying the umbrella company; the umbrella company settles with the worker. That firewall is the product you are buying.

Two transparency duties protect the worker — and, indirectly, you as the client who wants a clean file. First, every carried employee must be told who guarantees their pay if the umbrella company fails: the contract states Article L1254-21 of the Labour Code, « L’identité du garant financier de l’entreprise de portage salarial. » (the identity of the umbrella company’s financial guarantor.) Before signing, ask for that name and check it: a serious umbrella company shows its guarantee without hesitation. Second, the umbrella company must run a monthly activity account for each carried employee. Article L1254-25 of the Labour Code requires: « L’entreprise de portage salarial met en place et gère pour chaque salarié porté un compte d’activité. Le salarié porté est informé une fois par mois des éléments imputés sur ce compte, et notamment : 1° De tout versement effectué par l’entreprise cliente à l’entreprise de portage au titre de la réalisation de sa prestation ; 2° Du détail des frais de gestion ; 3° Des frais professionnels ; 4° Des prélèvements sociaux et fiscaux ; 5° De la rémunération nette ; 6° Du montant de l’indemnité d’apport d’affaire. » (The umbrella company sets up and manages an activity account for each carried employee. The carried employee is informed once a month of the items charged to it, namely: all payments by the client company, management-fee details, business expenses, social and tax deductions, net pay, and the business-introducer indemnity.) Ask to see a sample account before you commit: it shows exactly how much of your invoice reaches the worker, which is also how you compare umbrella companies honestly. Note the closing rule of the same article’s neighbour provision, Article L1254-21 of the Labour Code: « Les périodes sans prestation à une entreprise cliente ne sont pas rémunérées. » (Periods without work for a client company are not paid.) Between two assignments, the carried employee costs the umbrella company nothing — and costs you nothing either.

Choosing the umbrella company from abroad deserves the same care as choosing a bank. Ask for its Kbis extract from the commercial court registry, the extended sector agreement it applies to carried employees, the written identity of its financial guarantor, and a sample monthly activity account with the management fee shown separately from social charges. Call the guarantor if the amounts at stake justify it, and confirm that contributions are actually paid to URSSAF each month rather than merely deducted on paper. A serious provider answers these four questions in writing within days; an evasive one tells you everything you need to know before any contract is signed.

B. The assignments the law allows: an occasional task or one-off expertise, never your permanent activity

Umbrella employment is not a general substitute for hiring. The statute rations it to two situations, and your Paris assignment must fit one of them. Article L1254-3 of the Labour Code provides: « L’entreprise cliente ne peut avoir recours à un salarié porté que pour l’exécution d’une tâche occasionnelle ne relevant pas de son activité normale et permanente ou pour une prestation ponctuelle nécessitant une expertise dont elle ne dispose pas. » (A client company may use a carried employee only for an occasional task outside its normal and permanent activity, or for a one-off service requiring expertise it does not have.) Opening the French market with a six-month prospecting mission fits; staffing your permanent Paris sales desk year after year does not. The founder who wants a full-time country manager indefinitely should hire directly instead of stretching an umbrella contract over a permanent role — the stretch is precisely what judges punish.

The carried employee must also be a genuine professional, not a subordinate in disguise. Article L1254-2 of the Labour Code requires: « I.-Le salarié porté justifie d’une expertise, d’une qualification et d’une autonomie qui lui permettent de rechercher lui-même ses clients et de convenir avec eux des conditions d’exécution de sa prestation et de son prix. II.-Le salarié porté bénéficie d’une rémunération minimale définie par accord de branche étendu. A défaut d’accord de branche étendu, le montant de la rémunération mensuelle minimale est fixé à 75 % de la valeur mensuelle du plafond de la sécurité sociale prévu à l’ article L. 241-3 du code de la sécurité sociale pour une activité équivalant à un temps plein. III.-L’entreprise de portage n’est pas tenue de fournir du travail au salarié porté. » (The carried employee shows expertise, qualifications and autonomy allowing them to find their own clients and agree on performance terms and price. They receive minimum pay set by extended sector agreement, defaulting to 75% of the monthly social-security ceiling for full-time-equivalent work. The umbrella company need not provide them with work.) Three consequences for your budget and your file: the worker negotiates with you as a professional, the assignment cannot be priced below the legal floor, and nobody owes the worker assignments between missions.

Finally, three prohibitions fence the mechanism off. Article L1254-4 of the Labour Code states: « I.-La prestation dans l’entreprise cliente ne peut avoir pour objet : 1° De remplacer un salarié dont le contrat de travail est suspendu à la suite d’un conflit collectif de travail ; 2° D’effectuer certains travaux particulièrement dangereux figurant sur la liste prévue à l’article L. 4154-1 sauf dérogation prévue au même article. II.-La durée de cette prestation ne peut excéder la durée de trente-six mois. » (Work at the client company may not replace an employee whose contract is suspended following a collective labour dispute, nor perform listed highly dangerous work without exemption. The assignment may not exceed thirty-six months.) And Article L1254-5 of the Labour Code adds: « Les activités de services à la personne mentionnées à l’article L. 7231-1 ne peuvent faire l’objet d’un contrat de travail en portage salarial. » (Personal services under Article L. 7231-1 may not use umbrella employment.) No strike-breaking, no dangerous-work shortcut, no domestic staff through an umbrella, and a hard ceiling of thirty-six months per assignment. Calendar the end date the day you sign: an umbrella assignment that quietly becomes permanent employment is the most common way founders lose the firewall.

II. What umbrella employment really costs your French company, and the three misuses that destroy it

A. The real price: minimum pay, the 5% introducer indemnity, management fees and charges shown monthly

Umbrella employment is not cheap labour; it is expensive labour with the legal risk outsourced. Start from the floor: the carried employee must receive at least the sector minimum, defaulting to 75% of the monthly social-security ceiling for full-time work, as Article L1254-2 of the Labour Code sets it. On top of pay, where the worker brought the client relationship, the statute provides an introducer indemnity: Article L1254-9 of the Labour Code states « Le montant de l’indemnité d’apport d’affaire mentionnée aux articles L. 1254-15 , L. 1254-21 et L. 1254-25 est défini par accord de branche étendu. A défaut d’accord de branche étendu, il est fixé à 5 % de la rémunération due au salarié porté. » (The business-introducer indemnity of Articles L. 1254-15, L. 1254-21 and L. 1254-25 is set by extended sector agreement, defaulting to 5% of the carried employee’s pay.) In founder terms: the Paris contact who found you the assignment typically earns this supplement, funded inside the invoiced price.

Between your invoice and the worker’s net pay sit three layers, all visible in the monthly activity account of Article L1254-25 of the Labour Code: the umbrella company’s management fee, the employer and employee social charges on the pay, and income-tax withholding, plus deductible business expenses where agreed. The contract must spell out « Les modalités de calcul et de versement de la rémunération due au salarié porté pour la réalisation de la prestation, de l’indemnité d’apport d’affaire, des prélèvements sociaux et fiscaux, des frais de gestion et, le cas échéant, des frais professionnels » (Article L1254-21 of the Labour Code: how the pay, the introducer indemnity, the social and tax deductions, the management fees and any business expenses are calculated and paid). Compare offers on the total loaded cost for a stated net pay, not on the management-fee percentage alone: a low fee with poor charge optimisation can cost more than a higher fee with clean accounting. Add paid leave, which accrues like any employee’s under the cited paid-leave rules, and the supplementary pension and welfare enrolments the contract must name. As a rule of thumb used by founders, the invoice runs well above the net pay — which is normal, because it carries the full French social package without making you the employer.

From abroad, run three cost checks before signing. First, verify the floor: the quoted net pay must be reachable after all deductions while respecting the 75% minimum. Second, verify the guarantee: get the financial guarantor’s identity in writing, since the guarantee is what stands behind unpaid wages if the umbrella company collapses. Third, verify the calendar: price the assignment within the thirty-six-month ceiling and plan the exit — conversion to direct employment, end of mission, or a genuinely new assignment — before the ceiling hits. An umbrella company that cannot show you these three items on paper is selling risk, not shielding you from it.

B. Three misuses that push the employment contract back onto your own company

The firewall holds only while you behave as a client, not as an employer. Misuse one is directing the worker like staff. French judges classify employment by subordination — the power to give orders and directives, to monitor performance and to punish failings — as confirmed in Cass. soc., 4 March 2020, no. 19-13.316 (Uber), where the Court approved reclassification because the platform « a ainsi déduit de l’ensemble des éléments précédemment exposés que le statut de travailleur indépendant de M. F… était fictif et que la société Uber BV lui avait adressé des directives, en avait contrôlé l’exécution et avait exercé un pouvoir de sanction » (deduced that the self-employed status was fictitious and that directives had been sent, performance monitored and sanctioning power exercised). Impose daily hours, approve leave, embed the carried employee in your hierarchy with disciplinary power, and a judge may find that the real employer was you all along — umbrella contract or not. The classification rule is public policy: « La qualification de contrat de travail étant d’ordre public et donc indisponible, il ne peut y être dérogé par convention. » (Cass. soc., 4 March 2020, no. 19-13.316: the classification as an employment contract is a matter of public policy and cannot be set aside by agreement.) Neither your commercial contract nor the umbrella company’s contract can stop that analysis.

Misuse two is using umbrella employment for your permanent activity. Article L1254-3 of the Labour Code limits the client to « une tâche occasionnelle ne relevant pas de son activité normale et permanente » (an occasional task outside the normal and permanent activity). A carried employee who permanently runs your Paris sales desk, renewed assignment after assignment beyond the spirit of the thirty-six-month ceiling, looks like your employee on every factual test: integration into your organised service, under your unilateral conditions. The presumption protecting registered contractors falls the same way: an employment contract « peut toutefois être établie lorsque les personnes mentionnées au I fournissent directement ou par une personne interposée des prestations à un donneur d’ordre dans des conditions qui les placent dans un lien de subordination juridique permanente à l’égard de celui-ci » (Article L8221-6, II, of the Labour Code: it may nevertheless be established where services are provided in conditions of permanent legal subordination to the client). If the role is permanent, hire for it; umbrella employment is a bridge, not a residence.

Misuse three is choosing a cut-price umbrella company that breaks the rules for you. If the company has no financial guarantor, underpays below the floor, hides the monthly account, or supplies workers for prohibited tasks, URSSAF and the courts look through the arrangement to the true beneficiary of the work: your company. The price of losing is then the full employment package assessed against you — back pay and paid leave before the labour court, the lump-sum indemnity of Article L8223-1 of the Labour Code (« En cas de rupture de la relation de travail, le salarié auquel un employeur a eu recours dans les conditions de l’article L. 8221-3 ou en commettant les faits prévus à l’article L. 8221-5 a droit à une indemnité forfaitaire égale à six mois de salaire. »: on termination, six months’ salary), contribution reassessments, and the criminal exposure of Article L8224-1 of the Labour Code (« Le fait de méconnaître les interdictions définies à l’article L. 8221-1 est puni d’un emprisonnement de trois ans et d’une amende de 45 000 euros. »: three years’ imprisonment and a 45,000 euro fine). Audit the umbrella company the way you would audit a bank: guarantee, sector agreement applied, sample activity account, proof of contribution payments, and a commercial contract describing deliverables rather than working time.

Conclusion

Umbrella employment lets your foreign-owned company work with a Paris professional without becoming a French employer: the umbrella company signs the employment contract for a fixed or open-ended term, owes the pay even when your commercial contract ends, names its financial guarantor, and shows every euro monthly on the activity account. The price is a legal floor at 75% of the social-security ceiling, a 5% introducer indemnity by default, management fees and full social charges carried in the invoice. The limits are strict: an occasional task or one-off expertise outside your permanent activity, a qualified and autonomous professional, no strike replacement, no dangerous work, no personal services, thirty-six months maximum. Break these limits — direct the worker like staff, staff a permanent desk through renewals, or hire a cut-price umbrella without a guarantor — and judges reclassify the relationship onto your company with back pay, six months’ indemnity, reassessed contributions and criminal fines. Used inside its box, umbrella employment is the cleanest bridge between your first invoice and your first hire. Start with a defined mission, a reputable umbrella company and a calendar date for review; when the assignment becomes permanent, convert it into direct employment rather than renewing the workaround.
