General terms of sale — B2B and e-commerce

Terms of sale lawyer in Paris: making your terms enforceable and useful.

A terms of sale lawyer in Paris makes your general terms of sale (CGV) enforceable: they must be communicated before the order and accepted in a traceable way. The firm drafts by sales channel, secures the sensitive clauses and defends your margin in a dispute.

Failing to communicate general terms of sale to a business customer who requests them exposes the company to an administrative fine of up to €75,000 for a legal entity (Article L. 441-1 of the French Commercial Code, or Code de commerce).

What a terms of sale lawyer in Paris does

Lawyer at the Paris Bar — commercial contracts and CGV.

Between businesses, communicating the CGV on request is mandatory (Article L. 441-1) and their enforceability rests on two cumulative conditions: prior communication and traceable acceptance at the latest at the time of the order — knowledge arising from previous dealings is not enough. The clauses to calibrate are price revision, delivery times, limitation of liability, late-payment penalties and jurisdiction. Where there is a framework contract, the CGV become supplementary: keeping both documents consistent prevents a judge from ruling against the drafter.

Enforceability must be proved

Knowledge and acceptance at the latest at the time of the order: a signed statement on the front, the CGV on the back or attached; online, a tick box separate from the order click and a retained timestamp.

Regulated payment terms

Thirty days by default, a maximum of sixty days after the invoice or forty-five days end of month under an express condition (Article L. 441-10); minimum penalties at three times the statutory rate.

Forty euros per late invoice

The fixed recovery indemnity is due as of right for each invoice unpaid at the due date (Article D. 441-5) — it is claimed, not negotiated.

The rules

Communication, enforceability, calibration

Four rules determine how effective the CGV are.

  1. Communication to businesses that request the CGV is mandatory, by any durable medium (Article L. 441-1 of the French Commercial Code); administrative fine of up to €15,000 for an individual and €75,000 for a legal entity.
  2. Enforceability requires proof of knowledge and acceptance at the latest at the time of the order — the burden lies on the party relying on the CGV; online, a double action and a timestamp.
  3. Payment terms are capped (Article L. 441-10): minimum penalties at three times the statutory rate, default ECB rate plus ten points, and a fixed indemnity of forty euros per invoice (Article D. 441-5).
  4. A significant imbalance (Article L. 442-1) presupposes the absence of effective negotiation of the clauses, assessed in light of the contract as a whole (Commercial Chamber decision linked on the page).

Where there is a framework contract, the CGV play a supplementary role: any unresolved contradiction is generally decided against the drafter. Consistency between quotes, purchase orders, the framework contract and the CGV is checked document by document.

Your documents

What to send for the audit

The audit tests your CGV against your actual sales channels.

Position A

Commercial documents

  • Current CGV and version history
  • Quotes, purchase orders, standard invoices
  • Framework contracts and listing agreements
  • Online ordering journey (screenshots)

Position B

Actual practice

  • How the CGV are communicated to customers
  • Proof of acceptance kept on file
  • Past disputes and challenges
  • Payment terms applied and reminders sent

Frequent mistakes: referring to the CGV by a simple web link without traceable validation; delivery times promised by the salesperson that contradict the CGV.

The firm also calibrates:

  • Retention-of-title clause
  • Limitation of liability
  • Jurisdiction clause
  • Terms of use and online sales

The method

How the firm supports you

Enforceability is built at every stage of the relationship, not on the day of the trial.

Step 1

Drafting by channel

CGV adapted to the sales channel: the mentions required by Article L. 441-1, payment terms, penalties, fixed indemnity.

Step 2

Durable availability

Front and back of the purchase order, quote with annex, stable web link, email with attachment.

Step 3

Traceable acceptance

Handwritten or electronic signature, timestamped tick box, signed quote returned.

Step 4

Archiving and defence

Timestamped retention of the applicable version throughout the relationship and for five years afterwards, with defence in the event of a dispute.

Benchmarks: payment within sixty days at most after the invoice; minimum penalties at three times the statutory rate; forty euros per late invoice, as of right.

The timetable

The enforceability path of a CGV

Each stage of the commercial relationship builds the evidence.

  1. Drafting

Step 1. CGV adapted to the channel: mandatory mentions, calibrated clauses, consistency with framework contracts.

  2. Communication

Step 2. Durable medium: front and back, quote annex, stable link, attachment.

  3. Acceptance

Step 3. Signature, separate tick box, retained timestamp.

  4. Archiving

Step 4. Applicable version kept throughout the relationship and for at least five years after the last order.

  5. Revisions

During the relationship. New price scale notified in writing before each order, dated version.

  6. Defence

In a dispute. Production of the full chain: communication, acceptance, applicable version.

The checks

What the firm checks in the audit

The points that make CGV fail or stand up at trial.

  • Mandatory mentions of Article L. 441-1 and complete payment terms.
  • Enforceability chain: prior communication and traceable acceptance for each customer.
  • Proportionate sensitive clauses: liability, delivery, price revision.
  • Penalties and fixed indemnity in line with the statutory minimums.
  • Consistency between CGV, quotes, purchase orders and framework contracts.
  • E-commerce journey: double action, timestamp, archived version.

Summary

Situation, risk, document, decision

The trade-offs most often seen at the firm on CGV.

Situation

List price changed during the relationship

Main risk: Dispute over the price grid applicable to the order.

Document to prepare: CGV with a dated annual revision clause.

Recommended decision: Notify the new price scale in writing before each order.

Situation

Delivery time announced by the salesperson

Main risk: Implied commitment contradicting the CGV.

Document to prepare: Signed quote or purchase order stating the exact delivery time.

Recommended decision: Align the oral statement, the quote and the CGV on the same delivery time.

Situation

Gross negligence not covered by the limitation clause

Main risk: Contractual cap set aside, unlimited exposure.

Document to prepare: Professional liability insurance policy.

Recommended decision: Check that the cap in the CGV is not emptied of its substance.

Situation

Sale to a buyer with its own general terms of purchase

Main risk: Conflict between the general terms of sale and of purchase.

Document to prepare: Single negotiated contract setting out the key points.

Recommended decision: Trace which terms came first or take priority, otherwise agree the terms in a contract.

Situation

Online sale with a customer account

Main risk: CGV changed without informing the logged-in customer.

Document to prepare: Procedure for notifying and accepting each update.

Recommended decision: Keep the dated history of each version accepted.

Situation

Thin margin with a major ordering customer

Main risk: Significant imbalance under L. 442-1 can be invoked.

Document to prepare: Written record of the effective negotiation.

Recommended decision: Keep the negotiation exchanges as evidence.

Frequently asked questions

Your questions: general terms of sale

Do you really need general terms of sale to sell to businesses?

Yes, in almost every case. Article L. 441-1 of the French Commercial Code (Code de commerce) requires you to communicate them to any business buyer who asks for them. Without CGV, you lose ground on payment terms, penalties, jurisdiction and liability. Failing to communicate them is punishable by an administrative fine of up to €75,000 for a legal entity. Having suitable CGV is a minimum protection.

How do I make my terms of sale enforceable against a business customer?

Enforceability rests on two cumulative conditions: prior communication of the CGV to the customer and acceptance by the customer, express or tacit. The safest method remains a statement on the front of the purchase order or quote ("The customer declares that it has read and accepted the CGV set out on the back"), followed by a signature. For the web, provide a tick box separate from the "Order" click and keep the timestamp.

What happens if the buyer imposes its general terms of purchase?

You are facing a classic conflict between the seller's CGV and the buyer's general terms of purchase. Under Article 1119 of the Civil Code, where the general terms relied on by each party are inconsistent, the incompatible clauses have no effect: the judge therefore identifies the contradictory clauses and treats the incompatible ones as neutralised, by reference to the default framework of the Civil Code. It is preferable to negotiate in advance a written agreement that expressly designates the applicable document.

What is the legal payment period between businesses?

Article L. 441-10 of the French Commercial Code sets three ceilings. Failing agreement, 30 days after receipt of the goods or performance of the service. By express agreement, 60 days after the invoice issue date. By a strictly framed express derogation, 45 days end of month after the invoice issue date. Any longer period without an express derogation is void and results in the 30-day ceiling applying.

What minimum rate of late-payment penalties can I provide for in my CGV?

The penalty rate cannot be lower than three times the statutory interest rate (Article L. 441-10, II of the French Commercial Code). Failing a stipulation, the default rate is the ECB rate plus 10 percentage points. The statutory rate changes every half-year. Penalties fall due as of right, without any reminder being necessary, from the first day after the due date.

What is the fixed indemnity of 40 euros per invoice?

Article D. 441-5 of the French Commercial Code sets the fixed indemnity for recovery costs at 40 euros, due as of right from any business that is late in paying. It accumulates for each late invoice, which becomes significant when a debtor builds up several unpaid invoices. Additional compensation remains possible if the actual costs exceed this fixed sum, on proof.

Are limitation-of-liability clauses valid in B2B CGV?

In principle yes, between businesses. But a clause that deprives the debtor's essential obligation of its substance is deemed not written under Article 1170 of the French Civil Code (Code civil). A clause capping the seller's liability for non-delivery at one euro would be set aside by the judge. Clauses must therefore be calibrated: a reasonable fixed cap, precise exclusions, and alignment with your insurance cover.

Can CGV be stored online only, or do they have to be printed?

Both media are valid. Article L. 441-1 requires communication "by any means constituting a durable medium". A downloadable PDF, an email with an attachment or a stable archived web page will do. The criterion is the durability of the record: retention, timestamping, and the identity of the version applicable at the time of the order. Archiving successive versions is essential in the event of a dispute over an older order.

Is a jurisdiction clause valid in B2B CGV?

Yes, between traders, Article 48 of the French Code of Civil Procedure (Code de procédure civile) allows the competent court to be designated in writing. The clause must be legible and accepted. For a Paris company, a clause giving jurisdiction to the Paris commercial court is easily justified. The wording must be express, sufficiently prominent, and must not contradict the mandatory rules specific to certain types of dispute.

Do you need different CGV for different categories of buyers?

It is possible and often recommended. Article L. 441-1, II of the French Commercial Code allows CGV to be differentiated by category of buyer (resellers, wholesalers, key accounts, independent professionals). The communication obligation then covers only the CGV applicable to the category concerned. This segmentation makes it possible to adapt the price scale, time limits and discount conditions without the risk of discrimination.

What is the risk of imposing clauses that create a significant imbalance?

Article L. 442-1 of the French Commercial Code penalises subjecting, or attempting to subject, a partner to obligations that create a significant imbalance in rights and obligations. The Minister for the Economy may take action and seek an order to stop the practice and a civil fine. The clause may be annulled and the loss compensated. Case law (Cass. com., 20 November 2019, No. 18-12.823) nevertheless requires proof of an absence of effective negotiation.

How do CGV fit with an annual framework contract?

The annual framework contract becomes the basis of the negotiation and prevails over the CGV on the subjects it covers. The CGV keep a supplementary reference role on subjects not covered. Best practice is to refer expressly to the CGV in the framework contract, specify the applicable version and clarify which prevails in the event of a contradiction. A simple statement "unless otherwise stipulated in the framework contract" removes most ambiguities.

Which details are mandatory on a B2B invoice?

Article L. 441-9 of the French Commercial Code requires a number of details: names of the parties, issue date, invoice number, precise description of the goods or services, unit price excl. VAT, VAT rate, total excl. and incl. VAT, payment date, rate of late-payment penalties, and mention of the fixed indemnity of 40 euros. The absence of these details is penalised by an administrative fine of up to €375,000 for a legal entity.

Can you change your CGV during the contractual relationship?

Yes, but the change applies only to orders placed after the customer has been informed. For an online customer account or a recurring customer, you must notify the new version, keep a record of the notification and obtain acceptance for subsequent orders. Trying to apply an amended clause retroactively to orders in progress risks rejection by the judge.

When should you invest in professional drafting of your CGV?

From the first year of significant B2B activity. The cost of tailored drafting is far lower than the cost of a dispute lost over unenforceable or poorly calibrated CGV. Very small businesses can start from a sound base and develop it; SMEs with more than 50 recurring customers are better served by multi-channel drafting from the outset. The return on investment shows from the first useful formal notice.

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
