Mergers and acquisitions — sellers, buyers, investors
M&A lawyer Paris: structure the deal, audit the target, secure the closing.
Exclusivity, due diligence, the sale and purchase agreement (SPA), the warranty and indemnity agreement (GAP), closing: a deal runs in four overlapping stages, on a dated timetable shared by seller, buyer, bank and advisers. As an M&A lawyer in Paris, the firm structures and negotiates the deal and defends clients after closing.
Abruptly breaking off exclusive negotiations gives rise to compensation, and concealing a decisive piece of information leads to nullity: the framework is set at the letter of intent, not at closing.

Lawyer at the Paris Bar — M&A transactions and post-closing disputes.
The pre-contractual duty of disclosure under Article 1112-1 of the French Civil Code (Code civil) rests on the seller; fraudulent concealment means the mistake is always excusable. The price must be determined or determinable at signing — a formula involving an expert is enough. The sale and purchase agreement (SPA) sets out the scope, conditions precedent, representations and the warranty and indemnity agreement, known as the GAP (usual cap of 10 to 30% of the price, escrow of 5 to 15%). A standard deal takes three to six months from the letter of intent to closing.

A price that is rarely a single figure
Base price, earn-out indexed to performance, post-closing adjustment (net cash and debt, normalised working capital), escrow for the duration of the GAP: the price structure is negotiated as much as the amount.
Due diligence, the foundation of the SPA
Legal, tax, employment, IP, GDPR: the findings of the audit feed the seller's representations and the scope of the warranty and indemnity agreement.
A tense post-closing period
Price adjustment, earn-out calculation, first GAP claim notices, transition undertakings: the most contentious phase is prepared with a shared closing checklist.
The structure
Four overlapping stages, a dated timetable
Four rules structure the M&A transaction.
- Pre-contractual information: the party holding decisive information must disclose it (Article 1112-1 of the Civil Code); abruptly breaking off exclusive negotiations gives rise to compensation — audit costs, but not the loss of the benefits expected from the contract or the loss of a chance of obtaining them.
- The price: determined or determinable at signing; a sale whose price is set by an expert under an agreed formula is formed when the option is exercised (Cass. com., 28 May 2025, No. 24-13.902).
- The seller's representations: accounts, tax, employment, ownership of assets, litigation, key contracts — intentional concealment of decisive information makes the mistake always excusable (Cass. com., 18 September 2024, No. 23-10.183).
- The GAP: cap (10 to 30% of the price), deductible, duration (eighteen months to three years, statutory limitation period for tax matters), escrow of 5 to 15%.
Change-of-control clauses in customer contracts are the classic trap: a major customer lost at closing destroys the investment thesis. The remedy: make closing conditional on obtaining written continuity agreements.
Your documents
What to prepare depending on your role
An organised data room and a dated timetable save weeks.
Position A
Seller
- Articles of association, shareholders' agreement, capitalisation table, share registers
- Accounts for the last three financial years and interim statement
- Key contracts with change-of-control clauses identified
- Ongoing litigation and provisions
Position B
Buyer
- Letter of intent and confidentiality agreement
- Financing plan and corporate authorisations
- Multidisciplinary due diligence reports
- Annotated draft SPA and GAP

The firm also structures:
- Share deal / asset deal
- LBO and acquisition holding company
- Earn-out and adjustments
- Regulatory conditions precedent
The method
How the firm supports you
Skipping a stage weakens the valuation and exposes you to post-closing disputes.
Step 1
Scoping and letter of intent
Scope, NDA before any disclosure, letter of intent with indicative price, exclusivity, penalties and a dated timetable.
Step 2
Due diligence
Legal, tax, employment, IP, GDPR and environmental audit; quantified summary of red flags.
Step 3
SPA and GAP
Scope, price and adjustments, conditions precedent, representations, warranty, escrow, post-closing governance.
Step 4
Closing and aftermath
Shared checklist, satisfaction of conditions, wire transfers, share transfer orders, resignations and appointments; monitoring of the earn-out and GAP claim notices.
Benchmarks: three to six months from the letter of intent to closing for an established SME; cross-border or LBO transactions often exceed nine months.
The timetable
The timeline of a deal
The typical stages, from scoping to post-closing.
NDA and scoping
Weeks 1-2. Definition of the scope, confidentiality agreement before any data is shared.
Letter of intent
Weeks 2-4. Indicative price, conditions, exclusivity, penalties for breaking off talks, dated timetable.
Due diligence
Weeks 4-12. Multidisciplinary audit, Q&A, quantified summary of red flags.
SPA
Weeks 10-16. Negotiation of the agreement, the representations, the GAP and the escrow.
Closing
Satisfaction of conditions precedent, payment, transfer of shares, change of governance.
Post-closing
Price adjustment, earn-out, integration, any GAP claim notices, staged release of the escrow.
The checks
What the firm checks before you sign
No SPA without these points having been validated.
- Chain of ownership of the shares and chain of control under Article L. 233-3 of the French Commercial Code (Code de commerce).
- Change-of-control clauses in customer and bank contracts.
- Determinable price: adjustment formula, capped earn-out, appointed expert.
- Representations aligned with the due diligence findings, disclosure schedules that limit liability read line by line.
- GAP: cap, deductible, duration, escrow, notification and conduct-of-claims clause.
- Shared closing checklist and documented transition undertakings.

Frequently asked questions
Your questions: M&A lawyer in Paris
How long does an M&A transaction take in Paris?
From the letter of intent to closing, a standard deal takes three to six months for an established SME. Due diligence takes four to eight weeks depending on complexity. Negotiating the SPA and the GAP takes two to six weeks. Conditions precedent (administrative authorisations, the agreement of a key customer, bank financing) can lengthen the process. LBO or cross-border M&A transactions often exceed nine months.
What is the letter of intent (LOI) for?
The letter of intent sets the framework for negotiations between seller and buyer before due diligence: indicative price, perimeter of the sale, envisaged conditions precedent, timetable, exclusivity, penalties for breaking off talks. Its scope varies according to its clauses. The confidentiality, exclusivity and good-faith undertakings are legally binding; the price remains indicative until due diligence has confirmed the valuation. The letter of intent is a guidance document, not a preliminary contract.
Should the seller be bound to exclusivity during due diligence?
Yes, almost always. The buyer incurs significant audit costs (lawyers, accountants, sector advisers) that justify exclusivity of sixty to one hundred and twenty days. If the seller abruptly breaks off talks during this period, it incurs liability under Article 1112 of the Civil Code and the case law on the breaking off of negotiations. Compensation covers the audit costs incurred, but not the loss of the benefits expected from the contract that was never concluded, nor the loss of a chance of obtaining them.
What is a condition precedent in an SPA?
A condition precedent is a future event on which the effectiveness of the contract depends. The classic conditions in M&A: obtaining bank financing, approval from the supervisory authority (merger control, regulated sector), absence of a material adverse change (MAC clause), the agreement of a strategic customer or supplier. If a condition precedent fails, the party it benefits may walk away from the transaction without incurring liability.
Who pays for due diligence?
Each party bears its own advisers' fees. The buyer pays for its buy-side due diligence (legal, tax, financial, employment), and the seller pays for its vendor due diligence when it commissions one. In practice, the vendor due diligence is then made available to the buyer, who relies on it to save time. Audit costs often represent 1 to 3% of the price for an SME.
How is the value of a target calculated?
Three methods coexist and are cross-checked: sector multiples applied to a normalised EBITDA (the dominant method), recent comparable transactions, and discounting of future cash flows (DCF). The valuation adopted depends on the sector, the maturity of the target, the quality of the financial data and the competitive context. The negotiated price also reflects the adjustment mechanism (net cash and debt, normalised working capital) and any earn-out.
What is an earn-out?
An earn-out is an additional price payment indexed to the target's future performance (EBITDA, revenue, a sector indicator) over an observation period of one to three years. It is used to reconcile the seller's and the buyer's diverging expectations about the future trajectory. Drafting it requires particular care: a precisely defined indicator, governance during the earn-out period, floor and cap, an audit mechanism, penalties in case of manipulation.
How does the escrow of the price work?
Part of the price (often 5 to 15%) is paid to a third-party escrow agent (notary, bank, escrow lawyer) as security. The funds remain blocked for the duration of the GAP. They are released to the seller in stages if no claim notice has been served, or applied to compensate the buyer if a claim succeeds. The escrow makes the warranty concrete and spares the buyer from having to sue the seller for payment.
Is a statutory auditor needed for an M&A sale?
The statutory auditor (commissaire aux comptes) takes part in certain transactions: mergers between companies (merger auditor), partial asset contributions subject to the demerger regime, capital increases by capitalisation of reserves. It is not systematic for an ordinary share sale. By contrast, the financial audit of the target is carried out by an independent chartered accountant chosen by the buyer. The distinction between auditor and accountant remains essential in structuring choices.
How does closing work in practice?
Closing is a meeting (often by video conference) where the parties simultaneously perform all the commitments made in the SPA: signing of the share transfer orders, notification to the Trade and Companies Register (RCS), wiring of the price after verification of the conditions precedent, setting up of the escrow, resignations and appointments of officers, transfer of bank accounts, handover of keys and codes. A detailed pre-closing checklist avoids delays and blockages.
What happens if a GAP claim is made?
The buyer notifies the seller of the triggering event within the contractual time limits (often thirty to sixty days). The seller may accept, contest or ask to conduct the defence. If no agreement is reached, the escrow allows the buyer to be compensated without prior litigation. If the escrow is insufficient, the buyer brings the matter before the commercial court. A claim is often settled by a negotiated agreement.
What is the difference between a share deal and an asset deal?
A share deal transfers the shares of the company that holds the assets. The buyer takes over the entire company, with its disclosed and unknown liabilities. An asset deal transfers specifically identified assets (business, line of activity, real estate) without the historical liabilities. An asset deal limits the buyer's exposure but increases the seller's tax burden and complicates the transfer of contracts. The choice depends on the risk profile.
Does the Paris commercial court have jurisdiction over a post-closing dispute?
The SPA usually contains a clause giving jurisdiction to the Paris commercial court or an arbitration clause (ICC, AFA). Absent a clause, jurisdiction lies with the court of the defendant's registered office. For cross-border transactions, international arbitration remains the preferred route to neutralise geographic risk. The firm regularly appears before the Paris commercial court.
What is the limitation period for an action for nullity for fraudulent misrepresentation after a sale?
An action for nullity of a sale for a defect of consent (mistake, fraudulent misrepresentation, duress) is subject to a five-year limitation period running from the discovery of the defect (Article 2224 of the Civil Code). Time does not run while the buyer could not reasonably have discovered the concealment. The Commercial Chamber reiterates that fraudulent concealment always makes the induced mistake excusable, even if the buyer had management experience (Cass. com. 18 September 2024, No. 23-10.183).
How much does M&A support from a lawyer cost?
Fees vary according to the size of the deal, the legal complexity, the urgency and the scope entrusted. For a standard SME, a fixed fee of €18,000 to €60,000 excl. VAT covers the letter of intent, due diligence, SPA, GAP and closing. For a mid-cap or a cross-border transaction, support is billed on time spent with a capped budget. The firm provides a detailed quote after reviewing the file.

What our clients say
Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN
Translated from French
Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
