Sale agreement — SPA, signing and closing

Business sale agreement lawyer in Paris: negotiating the SPA and securing the closing.

A business sale agreement lawyer in Paris takes you from the letter of intent to the transfer of shares: price and adjustments, conditions precedent, representations and warranties. The firm drafts and negotiates line by line, then defends you in any post-closing dispute.

Abruptly breaking off advanced negotiations gives rise to compensation — costs and preliminary studies, not the lost profit. The letter of intent (LOI) and its exclusivity clause should be drafted before the data room is opened.

What a business sale agreement lawyer in Paris does

  • Paris Bar
  • Business law
  • Firm in Paris 17th

Lawyer at the Paris Bar — SPA negotiation and post-closing disputes.

The LOI frames the negotiation: indicative price, exclusivity, timetable, confidentiality — and it gives rise to liability on the part of a party that abruptly breaks off advanced negotiations (compensation of costs, not of the lost profit). The SPA fixes the thing sold and the price, as required by Article 1583 of the French Civil Code (Code civil), the signing-to-closing timetable, the representations and the warranty and indemnity agreement (GAP). After closing, disputes concern the warranty and the earn-out: notification within the contractual time limits determines everything.

A fixed, adjusted or deferred price

Locked box, completion accounts, earn-out: the price may be adjusted at closing or deferred — it must remain determinable from signature, and a formula involving an expert is enough for the contract to be perfected.

Clear conditions precedent

A purely potestative condition is void, a missing long-stop date prevents the condition from being lifted, and a condition prevented by the party who benefits from it is deemed fulfilled (Article 1304-3 of the Civil Code).

A choreographed closing

Share transfer orders, share register, resignations and appointments, bank certificates, signed GAP, payment and escrow: a shared checklist avoids last-minute blockages.

The contract

LOI, SPA, closing: the contractual chain

Four rules structure the sale agreement.

  1. The LOI does not commit the parties to sign but can give rise to liability: a unilateral, bad-faith break-off of advanced negotiations gives rise to compensation — costs incurred and preliminary studies, not the lost profit (Cass. com., 26 November 2003, No. 00-10.243, Manoukian case).
  2. A sale is perfected once the parties agree on the thing and the price (Article 1583 of the Civil Code); a price determinable under a fixed formula is sufficient, the expert merely completing the contract (Cass. com., 28 May 2025, No. 24-13.902).
  3. Conditions precedent are drafted with a long-stop date and specific steps to be taken: a purely potestative condition is void, and a condition that has been prevented is deemed fulfilled (Article 1304-3).
  4. Default at closing opens the way to specific performance (Articles 1124 and 1583) or to unilateral termination after formal notice (Article 1226).

Post-closing is where disputes concentrate: calling on the GAP — liabilities that come to light, discrepancies in the accounts — and calculating the earn-out. The accounting perimeters of the earn-out are locked down in the SPA: a change of accounting method, intra-group re-invoicing and the allocation of central costs are the three classic levers of manipulation.

Your documents

What to prepare before negotiating

The SPA is negotiated on the quantified conclusions of the due diligence.

Position A

Seller

  • Signed LOI and confidentiality agreement
  • Complete data room and prepared representations
  • Reference accounts and interim position
  • Timetable of achievable conditions precedent

Position B

Buyer

  • Due diligence report and quantified red flags
  • Financing plan and internal approvals
  • Annotated draft SPA: price, adjustments, GAP
  • Closing checklist and expected deliverables

Common mistakes: conditions precedent without a long-stop date; an earn-out without a locked accounting perimeter; signing without a shared closing checklist.

The firm also negotiates:

  • Locked box / completion accounts
  • Earn-out and its pitfalls
  • Jurisdiction clause
  • Escrow and vendor loan

The method

How the firm supports you

Consistency between the LOI, the due diligence, the SPA and the GAP is what makes the transaction secure.

Step 1

LOI and NDA

Indicative price, exclusivity, timetable, confidentiality: the framework for the negotiation is drafted before the data room.

Step 2

Due diligence

Legal and financial audit, with quantified risks translated into conditions and representations.

Step 3

SPA negotiation

Line by line: price mechanism, conditions precedent, representations, GAP, payment security.

Step 4

Signing, closing and aftermath

Firm timetable, identified deliverables, choreography of the closing, follow-up of the earn-out and of warranty notifications.

Benchmarks: three to six months from the LOI to closing for a small or medium-sized business; GAP notification within the short time limits set by the SPA, running from knowledge of the triggering event.

The timetable

The timeline of a business sale

From the letter of intent to post-closing.

  1. LOI and NDA

Weeks 1-3. Framing the indicative price, exclusivity, timetable and access to sensitive information.

  2. Due diligence

Weeks 3-10. Audit of the target, quantified risks, translation into conditions and representations.

  3. SPA

Weeks 8-14. Line-by-line negotiation: price, conditions precedent, GAP, payment security.

  4. Signing

Reciprocal commitment subject to conditions, firm timetable, identified deliverables.

  5. Closing

Conditions lifted, payment, share transfer orders, resignations and appointments, escrow.

  6. Post-closing

Price adjustment, earn-out, GAP notifications, staged release of the escrow.

The checks

What the firm checks before signing

Nothing is signed until these points have been validated.

  • Consistency of LOI / due diligence / SPA / GAP: no contradiction between the documents.
  • Price mechanism: locked box or completion accounts, capped earn-out and locked accounting perimeter.
  • Conditions precedent: long-stop date, specific steps to be taken, no purely potestative element.
  • Seller's representations aligned with the data room and the red flags.
  • GAP: cap, deductible, duration, notification, conduct of proceedings, escrow.
  • Shared and workable closing checklist.

Frequently asked questions

Your questions: business sale agreement

What exactly is the letter of intent for in a business sale?

The letter of intent, or LOI, sets out in writing the parties' wish to enter into exclusive negotiations with a view to a sale. It fixes the indicative price, the due diligence timetable, the exclusivity period and confidentiality. It does not normally commit the parties to sign the SPA, but it can give rise to liability on the part of a party that abruptly breaks off negotiations (Cass. com., 26 November 2003, No. 00-10.243). The firm drafts or reviews it systematically before signature.

Is an NDA enough to protect trade secrets during due diligence?

A confidentiality agreement (NDA) is necessary but not always sufficient. It must cover not only financial information but also customer contracts, key employees, patents and strategy. The usual sanction is a quantified penalty clause (often €100,000 to €500,000 depending on sensitivity), coupled with a ban on poaching key employees for a period of twelve to twenty-four months. The burden of proving a leak remains on the seller.

What exclusivity period should the LOI provide for?

In practice, the range is forty-five to ninety days for a small or medium-sized business, extendable once. If it is too short, there is no time to carry out the due diligence; if it is too long, it ties up the seller if the buyer drags its feet. The firm recommends firm exclusivity with a long-stop date and an extension clause conditional on actual progress of the work.

What are the standards for a financing condition precedent?

A well-drafted financing condition precedent specifies the maximum amount sought, the maximum rate accepted, the minimum number of banks approached and the time limit for producing the refusals. Without these details, the buyer can artificially cause the condition to fail. Article 1304-3 of the Civil Code then deems the condition fulfilled, which reverses the liability.

How does an earn-out work and what pitfalls should be avoided?

An earn-out is a price supplement indexed to the target's performance after closing (revenue, EBITDA, margin over two or three years). The main pitfall is the lack of a strict definition of the perimeter (change of accounting method, intra-group re-invoicing, allocation of central costs). The firm requires an annual audit by a third-party expert and a fast arbitration mechanism in the event of disagreement.

What is the difference between signing and closing?

Signing is the signature of the SPA. It binds the parties subject to conditions precedent. Closing is the actual transfer of ownership of the shares: share transfer orders, payment of the price, delivery of the registers. Between the two, anything from a few days to several months may pass while the conditions (financing, approvals, authorisations) are lifted. In practice, closing may be simultaneous (signing = closing) or deferred.

Is the deposit refundable if the condition precedent is not fulfilled?

Yes, in principle, where the failure is not attributable to the party who benefits from the condition. The SPA may provide for a retention or a penalty, but it must remain proportionate. If the failure results from a fault of the beneficiary (refusal to produce documents, failure to take the necessary steps), the deposit may be kept as damages. Escrow held by a notary or a lawyer secures the transaction.

What liability does a buyer incur by abusively breaking off negotiations?

Tort liability under Article 1240 of the Civil Code. Compensable loss includes negotiation costs, due diligence costs and preliminary studies. The Manoukian case law (Cass. com., 26 November 2003, No. 00-10.243) excludes compensation for the lost profit (the profits expected had the transaction been completed). In practice, compensation is quantified between €50,000 and €300,000 depending on the size of the matter.

What happens if the buyer refuses to sign the closing?

If the bilateral promise to sell is perfected (determinable price and agreement on the essential elements under Article 1583 of the Civil Code) and the conditions precedent have been lifted, the seller may seek court-ordered specific performance backed by a daily penalty. The Morgane Groupe case law (Cass. com., 28 May 2025, No. 24-13.902) confirms that exercising the option turns the promise into a sale, even if the price still has to be completed by an expert.

Is a warranty and indemnity agreement (GAP) always needed?

Yes, except in marginal cases. The GAP protects the buyer against liabilities predating closing that are revealed afterwards (tax reassessment, concealed employment tribunal dispute, latent defect in a key asset). The usual cap is 10 to 15% of the sale price, adjustable according to sector risk. The neighbouring page devoted to the GAP details this mechanism.

Which law governs the SPA for a sale between French parties?

French law, by default. But the parties may choose another governing law and a foreign court, in particular in cross-border transactions or when a foreign fund takes a stake in the capital. In the absence of a valid jurisdiction clause (Article 48 of the Code of Civil Procedure), the court with territorial jurisdiction is in principle that of the place where the defendant resides or, for a company, is established (Articles 42 and 43).

Does the SPA have to be registered and published?

For a share transfer, the deed does not have to be registered, but tax registration is required within one month for payment of the transfer duty (0.1% for SAS shares, 3% with an allowance for SARL shares). For the sale of a business, the deed is published in the BODACC and the price is held in escrow during the creditors' opposition period. This subject is covered on a dedicated page.

What role does due diligence play in drafting the SPA?

Every sensitive point identified in the due diligence is translated into SPA clauses: explicit representations from the seller, specific conditions precedent, exclusions from the warranty for known and accepted risks, and a price retention where appropriate. Without rigorous due diligence, the SPA is drafted blind and exposes the buyer to costly discoveries.

How much does drafting and negotiating a sale agreement cost?

For a small or medium-sized business in the Paris region valued at between €1 million and €5 million, the fee range is generally between €8,000 and €25,000 excl. VAT, excluding financial and tax due diligence. The firm offers a fixed fee for standardised transactions, and time-based billing for multi-seller transactions or those with a complex earn-out. A detailed quote is prepared after reading the LOI.

Does the firm act for both the seller and the buyer in the same transaction?

No, never. The firm acts for only one side of the table in any given M&A transaction, in accordance with the professional rules on conflicts of interest. This strict line guarantees full and complete defence of the entrusted client's interests. If an opposing party contacts the firm on a matter already under way, it is immediately referred to an independent colleague.

Best real estate law and business law lawyer in Paris. A humane and attentive lawyer, with a wonderful team. Thank you, Maître KOHEN

Thank you to Maître KOHEN for his analyses of recent case law on fraudulent non-disclosure in property sales. It reassures me about an action for annulment that I am considering after buying a house affected by serious defects intentionally concealed by the seller and not reported by the estate agent; also defects (rising damp) characterised by spreading through-cracks and damp stains, not reported by the estate agent… Worse, defects concealed by the latter or at his instigation, under a coat of paint and by polystyrene tiles glued to the ceiling of a bedroom. And the said estate agent drafted the preliminary contract, which of course contains no information about any of these defects. Just to add that, being 77 years old and suffering from cognitive impairment, I am certain that the estate agent thought I would not be able to discover the deception and above all to establish the fraudulent intent, still less to bring legal proceedings given the complexity and length of the procedure... That is why I am opting for the criminal route, insofar as the intentional concealment of the defects by the seller and then by the estate agent amounts to the fraudulent manoeuvres of art. 313-1 of
