Your French Company Is Blocked Because Your Beneficial Owners Are Not Declared and You Live Abroad: File the RBE, Fix Rejection and Avoid the Fine

You formed a French company from London, New York, Dubai or Singapore, the Kbis arrived, the bank account works, clients pay, and then everything stalls: the bank asks for the beneficial ownership receipt, the Guichet unique rejects your update, or a letter from the greffe warns that your declaration is missing. You live abroad, the paperwork is in French, and nobody told you that a second register existed next to the company register. That second register is the RBE, the registre des beneficiaires effectifs, the register of beneficial owners. Every French company must declare the living, breathing individuals who ultimately own or control it, keep that declaration current, and prove it to banks and authorities on demand. Miss the filing and you face a blocked file, a court injunction with a daily penalty, removal from the company register, and a criminal fine that reaches 200,000 euros for the manager and 1,000,000 euros for the company. This guide explains, in plain English and from abroad, who counts as a beneficial owner, what exactly to file through the Guichet unique run by the INPI, how to fix a missing or wrong declaration within the thirty-day rule, and how to defend yourself if the president of the commercial court gets involved.

I. Who your beneficial owners are and what you must declare from abroad

French law starts from a simple idea: behind every company stands at least one individual. The company may belong to another company, a trust, or a chain of holdings across three countries, but at the end of the chain the law wants a first name, a family name, a date of birth, a nationality and a home address. That person is the beneficial owner. Banks call them UBOs, ultimate beneficial owners. The French acronym RBE means the register where their identity is stored. The RCS, registre du commerce et des societes, is the main company register kept by the greffe, the registry office of the commercial court, which issues your Kbis, the official identity card of your company. The RNE, registre national des entreprises, is the newer national enterprise register fed by the Guichet unique, the single online filing desk operated by the INPI, the Institut national de la propriete industrielle. Since 2023 every company formality, including the beneficial ownership declaration, passes through that Guichet unique, and the greffe checks the file before recording it.

A. Identify every individual who owns more than 25 percent or controls the company by any other means

The definition sits in the Code monetaire et financier, the French Monetary and Financial Code, which states that “Pour l’application du présent chapitre, le bénéficiaire effectif est la ou les personnes physiques :”, meaning for the purposes of this chapter the beneficial owner is the individual or individuals who ultimately control the client or on whose behalf a transaction is carried out. Only a living individual qualifies, never a company, never a trust itself, never a fund. If you are the sole shareholder of a SAS, a societe par actions simplifiee, the flexible joint-stock company most foreign founders choose, you are the beneficial owner. If you and a partner each hold fifty percent of a SARL, a societe a responsabilite limitee, the limited liability company with stricter share transfers, you are both beneficial owners. If a British holding company owns one hundred percent of your French SAS, you look through the holding company and declare the individuals behind it.

The threshold is set by regulation at more than twenty-five percent. The regulation provides that a beneficial owner is “la ou les personnes physiques qui soit détiennent, directement ou indirectement, plus de 25 % du capital ou des droits de vote de la société, soit exercent, par tout autre moyen, un pouvoir de contrôle sur la société au sens des 3° et 4° du I de l’article L. 233-3 du code de commerce”, in other words the individuals who directly or indirectly hold more than twenty-five percent of the capital or voting rights, or who exercise control by any other means within the meaning of the control definition in the Commercial Code. Indirect holding covers the classic foreign-founder structure: you own eighty percent of a Delaware LLC or a UK Ltd which owns one hundred percent of the French SAS, so you indirectly hold eighty percent and must be declared. Voting rights matter as much as capital: preference shares, double voting rights, or a shareholders agreement giving you the majority of votes make you a beneficial owner even with a smaller capital stake.

Control by any other means is the trap most founders miss. The Commercial Code treats a person as controlling another when they “Lorsqu’elle détermine en fait, par les droits de vote dont elle dispose, les décisions dans les assemblées générales de cette société”, when they in fact determine decisions in general meetings through the voting rights they hold, or when, as a shareholder, they hold the power to appoint or remove the majority of the management or supervisory bodies. A minority investor with a veto over the budget, the appointment of the president, or any capital increase, a lender with a pledge convertible into a majority stake, or a founder who appoints the president of the SAS and the majority of any committee, exercises control by another means and must be declared alongside the capital holders. Concerted action counts too: two founders who agreed to vote together and jointly determine meeting outcomes are joint controllers even if each holds only twenty percent.

When no individual meets either test, the law designates a fallback owner rather than leaving the box empty. The regulation states that “Lorsqu’aucune personne physique n’a pu être identifiée selon les critères prévus au précédent alinéa, et que la personne mentionnée à l’article L. 561-2 n’a pas de soupçon de blanchiment de capitaux ou de financement du terrorisme à l’encontre du client mentionné au précédent alinéa, le bénéficiaire effectif est la ou les personnes physiques ci-après”, and then lists the legal representatives: the managers of a SARL, the president and where applicable the general director of a SAS, the general director of a traditional public limited company. A widely held startup with forty small investors and no one above twenty-five percent therefore declares its SAS president. A company whose shares are listed on a regulated market in France or the European Economic Area, or subject to equivalent transparency rules, is exempt, which rarely helps a private foreign-owned company but matters when the parent itself is listed in London or New York.

Practical cases from abroad illustrate the point. A US founder who owns the whole SAS directly declares herself with her US passport, her personal home address in Austin, and one hundred percent in capital and voting rights. Two German co-founders with sixty and forty percent declare both, because both exceed twenty-five percent. A French subsidiary owned by a Singapore holding company declares the two Singapore residents who each hold fifty percent of the holding company, with the chain described as indirect control. A fund-backed SAS declares each individual who ultimately holds more than twenty-five percent of the fund or controls its management company. Each declaration states the nature of control, direct or indirect, the share in capital and voting rights, and the date the person became a beneficial owner. Getting this photograph right on day one prevents most later blocks, because banks compare it with the shareholder register, the articles, and the wire transfer trail before releasing funds.

The duty to collect and keep this information is permanent, not a one-off at incorporation. The Code provides that “Sont tenus d’obtenir et de conserver des informations exactes et actualisées sur leurs bénéficiaires effectifs définis à l’article L. 561-2-2”, the companies concerned must obtain and keep accurate and up-to-date information on their beneficial owners. Concretely the president or manager keeps a file with copies of passports, proof of home address, the cap table, the shareholders agreement, and the minutes recording each change. When the bank, the notary, or the auditor asks who owns the company under anti-money-laundering vigilance, the company must hand over that file. Refusing or sending incomplete data is itself punishable, as explained below, so the internal file is as important as the public filing.

B. File the declaration at incorporation through the Guichet unique and update it within thirty days of any change

The filing itself is inseparable from company registration. The Code states that covered companies “déclarent au registre du commerce et des sociétés, par l’intermédiaire de l’organisme mentionné au deuxième alinéa de l’article L. 123-33 du code de commerce, les informations relatives aux bénéficiaires effectifs”, they declare beneficial ownership information to the company register through the single body mentioned in the Commercial Code, which is today the Guichet unique operated by the INPI. The same article adds that “Ces informations portent sur les éléments d’identification et le domicile personnel de ces bénéficiaires ainsi que sur les modalités du contrôle que ces derniers exercent sur la société ou l’entité”, the data covers identification details, the personal domicile, and the terms of the control exercised over the company. The Guichet unique is therefore the only door: no paper filing at the counter, no parallel email to the greffe, no declaration through your bank. You, your French lawyer, or your accountant file online, the INPI routes the file to the competent greffe, and the greffe records the RBE entry linked to your RCS number.

The single-file principle comes from the Commercial Code, which provides for a sole dossier filed electronically with a single body in the article on the Guichet unique, “Ce dossier est déposé par voie électronique auprès d’un organisme unique désigné à cet effet”, and the implementing regulation confirms that the file includes “y compris les informations relatives au bénéficiaire effectif en application de l’article L. 561-46 du code monétaire et financier”, including beneficial ownership information under the Monetary and Financial Code. Every company registered in the RCS is concerned: commercial companies such as SAS, SARL, SA and SNC, civil companies such as SCI family property companies, economic interest groupings with a seat in France, foreign commercial companies with a branch or establishment in France, and collective investment vehicles. The registration duty sits in the article listing who must register, “Il est tenu un registre du commerce et des sociétés auquel sont immatriculés, sur leur déclaration”, there is a company register in which listed persons are recorded on their declaration, followed by the list of companies, groupings and foreign establishments.

For each beneficial owner you provide the family name, first names, any customary name or pseudonym, date and place of birth, nationality, full personal home address abroad or in France, the nature of control, direct or indirect, capital and voting percentages, and the date the person became a beneficial owner. For the company you provide the corporate name, legal form, registered office, and registration number when already assigned. The service-public entrepreneurship portal, which explains the procedure in English, and the INPI help pages confirm the list and the thirty-five euro range filing fee for an amending entry, payable online by card. From abroad, prepare scans in PDF: passport or national identity card of each owner, proof of personal address less than three months old such as a utility bill or bank statement showing the home address, the signed articles and the shareholder register, and where control is indirect the foreign chain documents with a sworn translation when they are not in French. A US driver licence alone is weak proof of domicile; pair it with a utility bill. A marriage certificate explains a changed family name. A share purchase agreement proves the date of entry.

The thirty-day update rule is the most breached obligation by founders living abroad. The regulation states that “La société ou l’entité immatriculée demande une inscription modificative dans les trente jours suivant tout fait ou acte rendant nécessaire la rectification ou le complément des informations déclarées”, the registered company must request an amending entry within thirty days of any fact or act requiring rectification or completion of the declared information. A capital increase that dilutes you from one hundred to sixty percent, the entry of a new thirty-percent investor, a buyback that pushes a partner above twenty-five percent, a change of personal address after a move from Berlin to Lisbon, a change of nationality, or a new shareholders agreement creating a veto, each restarts the thirty-day clock. The filing is made by the legal representative, typically the SAS president or the SARL manager, through the Guichet unique as a corrective filing, with the supporting documents attached. Late filing does not regularise itself with time; each day of delay extends the period of non-compliance that a bank, a prosecutor, or a court president can rely on.

Choosing the right vehicle at the start simplifies this lifelong duty, and founders who hesitate between a SAS, a SARL, a branch or a subsidiary should read our companion guide to choosing the French company vehicle as a foreign founder: SAS, SARL, branch or subsidiary before filing, because the number of owners, the transfer rules and the management structure directly shape the RBE photograph. A branch of a foreign company declares the beneficial owners of the foreign parent and files through the same Guichet unique, which surprises founders who assumed the branch had no French owners to declare. A subsidiary declares its own owners, looking through the parent chain. In both cases the greffe of the registered office, in Paris the greffe of the Tribunal de commerce de Paris, checks completeness and consistency with the articles before validating.

II. What a missing or wrong filing costs you abroad and how to fix it step by step

Living abroad does not pause the register. The greffe does not know you are in California, the bank compliance team in Paris applies the same checklist to every client, and the prosecutor can act on a report from the greffe or any interested person. Most foreign founders discover the problem through one of four shocks: the bank freezes a transfer and asks for the RBE receipt, the Guichet unique marks the file incomplete and the Kbis extract shows an anomaly, a buyer or investor pauses due diligence over a mismatch, or a formal letter arrives enjoining the company to file under penalty. Each shock has a remedy, but the remedies work only in the right order and with dated proof, because the sanctions combine administrative, civil and criminal layers.

A. Court injunction with daily penalty, removal from the register, frozen banking and criminal fines

The fastest judicial tool is the injunction by the president of the commercial court. The Code provides that “Le président du tribunal, d’office ou sur requête du procureur de la République ou de toute personne justifiant y avoir intérêt, peut enjoindre, au besoin sous astreinte, à toute société ou entité juridique mentionnée au premier alinéa de l’article L. 561-46 de procéder ou faire procéder soit aux déclarations des informations relatives au bénéficiaire effectif, soit à la rectification de ces informations lorsqu’elles sont inexactes ou incomplètes”, the court president, on his own motion or at the request of the prosecutor or any person showing an interest, may order any covered company, if necessary under a penalty, to file or correct its beneficial ownership information. Any interested person includes a bank that cannot complete vigilance, a minority shareholder, a buyer, or a creditor. The same article adds the administrative guillotine: “Il peut procéder à la radiation d’office du registre du commerce et des sociétés de la société ou de l’entité, dans un délai de trois mois à compter de la notification de la décision”, the president may order removal of the company from the company register within three months of notification of the decision, and informs the national enterprise register holder and the prosecutor. Removal does not dissolve the company but it freezes its public life: no updated Kbis, no credible signature in due diligence, and banks treat the account as high risk.

The Cour de cassation, the supreme court for civil and commercial matters, confirmed and framed this procedure in a published ruling that every founder should know. On 18 September 2024, in case number 22-20.771 concerning a simplified joint-stock company ordered to declare its beneficial owners, the Commercial, Financial and Economic Chamber recalled the mechanism and the remedies, and its decision is published at Cour de cassation, chambre commerciale, 18 septembre 2024, pourvoi n° 22-20.771, It Outsourcing. The company had been ordered under penalty to file, the clerk recorded non-performance, and the penalty was liquidated at 3,000 euros payable to the Treasury. The Court restated that “Le président du tribunal, d’office ou sur requête du procureur de la République ou de toute personne justifiant y avoir intérêt, peut enjoindre, au besoin sous astreinte” and then clarified the defence rights. It held that “Les entités auxquelles il est fait une telle injonction disposent, en application des article 496, alinéa 2, et 497 du code de procédure civile, de la faculté de demander au président du tribunal qui l’a rendue la rétractation de son ordonnance”, entities subject to such an injunction may ask the court president who issued it to retract the order. It added that remedies exist against the penalty liquidation through appeal or cassation depending on the amount, and concluded that “Les limitations apportées au droit d’accès au juge, justifiées par les nécessité d’une bonne administration de la justice, sont proportionnées à l’objectif légitime de la lutte contre le blanchiment de capitaux et le financement du terrorisme et n’atteignent pas ce droit dans sa substance même”, the limits on access to a judge, justified by the needs of good administration of justice, are proportionate to the legitimate aim of fighting money laundering and terrorist financing and do not impair that right in its substance. For a founder abroad the message is twofold: the injunction is fast and ex parte, issued without hearing you first, but you keep a real second chance through retraction and appeal if you act quickly and with counsel.

Service of the injunction follows strict rules that protect absent founders. The regulation states that “Le greffier notifie l’ordonnance à la société ou à l’entité juridique et, le cas échéant, au requérant, par lettre recommandée avec demande d’avis de réception”, the clerk notifies the order to the company by registered letter with acknowledgment of receipt, and adds that “Elle n’est pas susceptible de recours”, the injunction order itself is not subject to appeal. If the letter comes back unclaimed, the clerk asks the applicant to serve it formally or serves it directly when the court acted on its own motion; if the addressee is unknown at the stated address, the case is withdrawn and the prosecutor is informed. The follow-up stage is governed by the next article, which provides that when the order is not performed on time the clerk records non-performance and the president rules on liquidation of the penalty, with “Il statue en dernier ressort lorsque le montant de l’astreinte n’excède pas le taux de compétence en dernier ressort du tribunal de commerce”, he rules without appeal when the penalty amount stays within the commercial court last-resort threshold, and the amount is recovered like non-tax state debts and paid to the general state budget. In practice a founder who moved without updating the registered office learns about the injunction months late, when the penalty has already been liquidated, which is why keeping the registered office and the forwarding address current is part of RBE compliance.

Alongside the court track sits the criminal track, which founders underestimate because no one has gone to prison for a late form in their circle. The Code provides that “Est puni d’une amende de 200 000 euros le fait de ne pas fournir aux personnes mentionnées à l’article L. 561-2, dans le cadre des mesures de vigilance prévues à la section 3 du chapitre Ier du titre VI, ou de ne pas déclarer au registre du commerce et des sociétés”, failure to hand over beneficial ownership information under vigilance checks or to declare it to the company register is punished by a 200,000 euro fine. The official entrepreneurship portal confirms that since 28 May 2026 the six-month imprisonment that previously accompanied the fine no longer applies to the legal representative, but the same notice lists what remains: for the manager or filing agent the 200,000 euro fine plus a management ban of up to fifteen years and partial loss of civil rights, for a beneficial owner who refuses to supply his own details a management ban and loss of rights, and for the company a fine of up to 1,000,000 euros plus possible dissolution, judicial supervision for up to five years, or closure of establishments. Prosecutions remain selective, but banks file suspicious-activity reports, greffes report persistent failures to prosecutors, and a criminal record entry for the manager destroys future visa, banking and directorship prospects in France.

Between the court order and the criminal fine lies the daily operational pain that hurts first. Banks subject to anti-money-laundering vigilance, listed in the article on obliged entities and cross-referenced through the control definition in the more-than-twenty-five-percent rule of article R. 561-1 and the collective-vehicle rule of article R. 561-2 for pooled investments, must identify the beneficial owner before entering or maintaining a business relationship. When the RBE receipt is missing or contradicts the account-opening file, the bank freezes onboarding, blocks outgoing wires above its internal threshold, or closes the account with notice. Greffes record divergences reported by obliged entities: since 2020 close to one hundred thousand divergence reports have been filed nationally, and the greffe can demand correction before validating any other filing such as a capital increase or a change of president. Access to the full RBE data has been restricted since July 2024 to authorities, obliged entities and persons showing a legitimate interest, so a buyer doing due diligence now asks you directly for the RBE extract instead of downloading it, and any mismatch between your data room and the extract kills trust instantly.

B. Correct the file from abroad, answer the greffe, and challenge an injunction without losing the company

The correction path depends on where you stand: clean voluntary fix, greffe divergence notice, bank freeze, or court injunction already issued. In all cases work from abroad in the same order: photograph the current truth, file the corrective declaration, keep the receipt, then answer whoever flagged the gap with the receipt plus the evidence chain. Start by downloading the current RBE extract and the latest Kbis, listing every individual above twenty-five percent or with control powers, and dating each change with its proof: share transfer agreement, capital increase minutes, new passport, new utility bill, new shareholders agreement, or board minutes appointing a new president. Identify the Paris or regional specifics early: companies with a registered office in Paris file to the greffe of the Tribunal de commerce de Paris through the Guichet unique, pay the amending fee online, and receive the updated Kbis usually within days when the file is complete; an incomplete file triggers a rejection message listing the missing piece, which you correct within the deadline stated rather than refiling a duplicate that creates a second pending file.

File the corrective declaration through the Guichet unique as an amending entry, selecting the beneficial-ownership section, entering each owner with the exact spelling of the passport, the personal domicile, the nature and extent of control, and the date of entry into that status, then uploading the supporting documents. The thirty-day rule recalled above, “La société ou l’entité immatriculée demande une inscription modificative dans les trente jours suivant tout fait ou acte rendant nécessaire la rectification ou le complément des informations déclarées”, means you file within thirty days of the change, and when already late you file immediately and keep proof of the filing date, because the filing stops the clock even if it does not erase the past delay. Keep the INPI filing receipt, the payment confirmation, the greffe validation email, and the new Kbis or RBE extract in one PDF bundle. That bundle is what you send to the bank compliance officer, the notary, or the investor, with a one-page cover note reconciling the old and new photographs: who left, who entered, on which date, under which deed.

When the greffe signals a divergence or an incomplete file, answer the exact point raised and nothing else. A divergence notice typically states that an obliged entity reported different owners, or that the personal address proof is missing, or that the indirect chain through a foreign holding is unexplained. Reply through the Guichet unique with the corrected entry and attach the missing proof: the foreign company register extract with sworn translation showing the holding chain, the shareholder register extract, or the current utility bill. Do not argue by email outside the filing system; the greffe validates filings, not explanations. If the notice threatens removal proceedings under the three-month rule of article L. 561-48 on removal within three months of notification, calendar the deadline from the notification date, file the correction well before it, and keep the acknowledgment of receipt of every letter, because the retraction and appeal strategy described by the Cour de cassation depends on proving when you were actually notified.

When a bank freezes onboarding or wires, send the same bundle plus the internal file: cap table, articles, shareholder register, and the identification documents the bank already holds, highlighting that the names, dates of birth and addresses match the new RBE extract character for character. Banks check spelling, transliteration and address consistency mechanically; a founder declared as Alex under an Anglo-Saxon first name while the passport reads Alexandre triggers a mismatch. Align the Guichet unique entry with the passport spelling, then ask the bank to re-run vigilance on the corrected extract. Do not open a second account elsewhere to bypass the freeze while the RBE is wrong; the second bank runs the same check and the double trail looks like concealment. If the bank maintains the freeze after correction, request a written statement of the remaining mismatch so your next filing targets it precisely.

When an injunction has already been issued, move on two tracks at once: comply and preserve remedies. First, file the corrective declaration immediately, because performance within the ordered period closes the case, as the regulation confirms for penalty liquidation in article R. 561-63 on withdrawal when the injunction is performed on time and liquidation with reasons when it is not. Second, instruct counsel in France to seek retraction of the injunction order under the second paragraph of article 496 and article 497 of the Code of Civil Procedure, relying on the newly filed declaration and on any notification defect, such as a letter sent to an outdated registered office while the transfer was already filed. Third, calendar the remedy against any penalty liquidation: appeal when the amount falls below the last-resort threshold, cassation above it, under the same article R. 561-63 on appeal without mandatory representation and the detailed notification rules of article R. 561-62 on registered notification and formal service when unclaimed. The Cour de cassation ruling above shows courts take proportionality and access to a judge seriously, but they expect the company to have filed before arguing.

Special attention is due for chains through foreign holdings, trusts and funds, because the greffe cannot guess the chain and the bank will not. Describe the full chain in the filing comments: the French SAS is one hundred percent owned by a UK Ltd, which is sixty percent owned by individual A in London and forty percent by individual B in New York, so A and B are declared as indirect owners with their percentages and the UK confirmation statement attached with translation. For a foreign trust or comparable arrangement, declare the individuals behind it under the fourth category of obliged entities in article L. 561-45-1 on entities that must obtain and keep beneficial ownership information, and attach the trust deed extract identifying settlor, trustee and beneficiaries. For pooled vehicles use article R. 561-2 on beneficial owners of collective investments above twenty-five percent or with control powers. When in genuine doubt between two readings, declare the wider circle: an over-declaration corrected later costs a second filing fee, while an under-declaration looks like concealment and triggers the injunction track.

Conclusion

The RBE is not a formality to postpone until the first audit; it is the identity layer of your French company, checked by every bank, buyer, auditor and court before anything else moves. Identify each individual above twenty-five percent or with control powers under the Code and its threshold regulation, file through the Guichet unique at incorporation, and amend within thirty days of every change with translated proof when the chain runs abroad. When the filing slips, the system escalates from divergence to injunction under penalty, then to removal from the company register and criminal fines, but each stage leaves a corrective door open, and the supreme court confirms that retraction and appeal remain available to companies that file and prove proper notification. Founders who keep a living ownership file, reconcile it with the bank file at every capital event, and treat the Paris greffe mailbox as carefully as the bank inbox turn a foreign address from a weakness into a routine. Your company stays bankable, sellable and defensible, and the next letter from the greffe, if it ever comes, finds a complete file rather than a crisis.

Thank you to Maître KOHEN for his analyses of recent case law regarding fraudulent concealment in real estate sales. This reinforces my decision to pursue an action for rescission that I am considering after acquiring a house affected by serious defects intentionally concealed by the seller and not reported by the real estate agent; also defects (rising damp) characterized by progressive through-cracks and damp patches, not reported by the real estate agent… Worse, defects concealed by the latter or on his initiative under a coat of paint and polystyrene tiles glued to the ceiling of a bedroom. And said real estate agent was the drafter of the preliminary contract, which naturally contains no information regarding any of these defects. I would just add that, being 77 years old and suffering from cognitive impairment, I am certain the real estate agent thought I would not be able to uncover the deception and, above all, characterize fraudulent intent, let alone initiate legal proceedings given the complexity and length of the process... That is why I am opting for criminal proceedings, insofar as the intentional concealment of defects by the seller and then by the real estate agent

A huge thank you to Maître Esther Cornu from Kohen Avocats for her support during a particularly difficult time. Her attentiveness, empathy, and humanity touched me deeply. She was able to answer my questions with clarity and sensitivity, while demonstrating great professionalism and fully respecting the confidentiality of the case. Beyond her professional qualities, I met a deeply humane lawyer whose support made a real difference. I sincerely recommend her.
