Your French Subsidiary Crossed the Audit Thresholds and You Live Abroad: When a Commissaire aux Comptes Becomes Mandatory, How to Appoint One, and What Skipping It Costs

Your French subsidiary is growing fast. Turnover is climbing toward eight figures, the Paris team has passed forty people, and your French accountant sends a short email that ruins your week: the company may now need a commissaire aux comptes, the French statutory auditor, and the next annual accounts cannot be approved or filed without one. You live in London, New York or Singapore, you have never met an auditor in France, and you wonder whether this is really mandatory, how much it costs, and what happens if you simply approve the accounts without it. The short answer is that France made the statutory audit mandatory for far fewer small companies since the PACTE law, but the companies that do cross the thresholds face a hard obligation with criminal penalties, and foreign-owned subsidiaries cross those thresholds earlier than their founders expect because group turnover, headcount rules and consolidation duties interact. This guide explains, for a foreign founder or foreign parent company, which balance-sheet, turnover and headcount numbers force a SAS (société par actions simplifiée, the flexible joint-stock company most foreign investors choose) or a SARL (société à responsabilité limitée, the closely-held limited liability company) to appoint an auditor, which groups must appoint one even below the thresholds, how to run the appointment and the audit itself from abroad, and which nullities, fines and prison terms punish a skipped appointment, a missing report or an obstructed audit.

I. Does Your French Company Legally Need a Statutory Auditor and Which Thresholds Trigger the Duty?

A. Which Balance-Sheet, Turnover and Headcount Numbers Force Your SAS or SARL to Appoint a Commissaire aux Comptes?

French law no longer imposes a statutory auditor on every company. Since the PACTE law of 2019 and its implementing decree, refined by later adjustments, the duty depends on size: a company must appoint at least one commissaire aux comptes when it exceeds, at the close of a financial year, two of the three thresholds set by decree for total balance sheet, pre-tax turnover and average headcount. The official business portal of the French administration states the current figures plainly for a SARL: 5 000 000 € de total bilan (somme de tous les actifs dans un bilan comptable), 10 000 000 € de chiffre d’affaires HT and 50 salariés, and the same two-out-of-three logic applies across company forms. Foreign founders should note the direction of travel: these amounts were raised to align France with European definitions of small undertakings, so an older blog post or an older memo quoting four and eight million euros is out of date, and only the current official page counts. Check the numbers against your draft balance sheet before the year-end close, not after, because once the thresholds are crossed the clock starts.

The statutes express the same rule for each vehicle. For the SAS, the article provides that Sont tenues de désigner au moins un commissaire aux comptes les sociétés par actions simplifiées qui dépassent, à la clôture d’un exercice social, deux des seuils suivants, fixés par décret : le total de leur bilan, le montant de leur chiffre d’affaires hors taxe ou le nombre moyen de leurs salariés au cours de l’exercice. For the SARL, the wording is nearly identical: Sont tenues de désigner un commissaire aux comptes au moins les sociétés à responsabilité limitée qui dépassent à la clôture d’un exercice social des chiffres fixés par décret pour deux des critères suivants : le total de leur bilan, le montant hors taxes de leur chiffre d’affaires ou le nombre moyen de leurs salariés au cours d’un exercice. The société anonyme follows the same pattern under its own article: Sont tenues de désigner au moins un commissaire aux comptes les sociétés qui dépassent, à la clôture d’un exercice social, les seuils fixés par décret pour deux des trois critères suivants : le total de leur bilan, le montant de leur chiffre d’affaires hors taxes ou le nombre moyen de leurs salariés au cours de l’exercice. Three practical points hide inside these parallel sentences. First, the test applies at the closing date of the financial year, on consolidated or standalone figures as the case requires, using the average headcount over the year rather than the headcount on 31 December. Second, crossing the thresholds during a year does not force an audit of that same year: the administration confirms that appointment becomes mandatory for the following financial year, which gives a new subsidiary one full cycle to organise. Third, the exit is symmetrical but slower: a company stops being obliged only when it falls back below the thresholds at the close of the two years preceding the expiry of the auditor’s mandate, so a single bad year does not end the mission.

Before measuring your own company against these figures, confirm which vehicle you actually run, because the audit analysis builds on the choice of structure mapped in our pillar guide on choosing between a SAS, a SARL, a branch office and a subsidiary when investing in France from abroad. A succursale (a French branch of a foreign company, which has no legal personality of its own) has no shareholders’ meeting and no CAC of its own: the audit happens, if at all, at the level of the foreign head office under its home law. A filiale (a French subsidiary with its own Kbis, the official company identity certificate issued by the greffe, the registry office of the commercial court, and its own SIREN number, the nine-digit identifier issued by INSEE, the national statistics institute) is a French company like any other and follows the French thresholds in full. Groups sometimes assume that a tiny French holding company sitting above an operating subsidiary escapes the audit because the holding itself is small; that assumption fails as soon as consolidation duties bite, as explained in the next section.

Two minority rights can force an appointment even when your numbers sit below the thresholds, and foreign co-founders discover them during disputes. The statutes provide that Même si les conditions prévues au deuxième alinéa ne sont pas atteintes, la nomination d’un commissaire aux comptes peut être demandée en justice par un ou plusieurs associés représentant au moins le dixième du capital. A ten-percent shareholder who distrusts the accounts can therefore petition the commercial court for a court-appointed auditor, and judges grant such requests whenever the applicant shows a legitimate information gap rather than pure harassment. Stronger still, shareholders holding at least one third of the capital can impose an auditor for a three-year mandate by a reasoned request to the company, without going to court: the same SAS article continues that Sont également tenues de désigner un commissaire aux comptes, pour un mandat de trois exercices, les sociétés dont un ou plusieurs associés représentant au moins le tiers du capital en font la demande motivée auprès de la société. If your French partner holds a third of the capital and relations sour, expect a registered letter making exactly this demand, and treat it as the start of a formal audit cycle rather than as a negotiating tactic.

Measure carefully, because each of the three criteria has its own traps for foreign groups. Total bilan means total assets, not equity: a subsidiary stuffed with intra-group loans or with expensive Paris office right-of-use assets can cross five million euros of assets while showing thin equity and modest profits. Chiffre d’affaires hors taxe means pre-tax turnover net of VAT (TVA, taxe sur la valeur ajoutée): intra-group re-invoicing, gross agency flows and one-off equipment sales all count unless the accounting rules say otherwise, so ask your expert-comptable (the French chartered accountant) for a thresholds memo on the same basis as the draft accounts. Headcount means the average number of employees over the year, including part-time staff pro rata and, in some configurations, temporary workers: a company oscillating between forty-five and fifty-five employees across the year can cross the line without ever feeling large. Document the computation in writing every year, keep it with the annual accounts file, and have the shareholders acknowledge it in the minutes, because the first question a judge, a bank or a buyer asks after a missed appointment is whether anyone actually ran the test.

B. Which Foreign-Owned Companies Must Appoint an Auditor Even Below the Thresholds?

Belonging to a foreign group changes the audit picture in three ways, and each one surprises first-time investors. The first is consolidation. When a French company controls other companies or is itself part of a group that must publish consolidated accounts under articles L233-16 to L233-28-2 of the Commercial Code, the consolidating entity must appoint two statutory auditors from different firms, and the significant French subsidiaries often need their own auditor so the group auditor can rely on reviewed local figures. A French holding company with modest standalone turnover but several operating daughters can therefore trigger the full audit machinery through the group rather than through its own thresholds. Map the group chart before concluding that a small French entity is exempt: control here means exclusive control, joint control or significant influence within the meaning of the consolidation articles, not merely a majority shareholding, and shareholder agreements with veto rights over the budget or the business plan can create control for audit purposes even at fifty percent.

The second group effect runs downward from the foreign parent. Many foreign parents consolidate under IFRS or US GAAP and instruct every subsidiary above a small internal threshold, sometimes as low as two or five million euros of turnover, to provide an audited reporting package. That package is not the French statutory audit, but the work overlaps heavily, and appointing the French CAC from the same international network as the group auditor saves the subsidiary from paying twice for the same walkthroughs, inventory attendances and intercompany reconciliations. Coordinate early: tell the Paris accountant which network audits the parent, ask whether the local member firm holds the French CAC registration (inscription on the official list held under article L821-13, supervised by the H3C, the Haute autorité de l’audit, the French audit oversight authority, with professional standards carried by the CNCC, the Compagnie nationale des commissaires aux comptes), and align year-ends so the French statutory timetable feeds the group timetable instead of colliding with it.

The third trigger is contractual rather than statutory, and lenders impose it ruthlessly. French banks financing an acquisition, a commercial lease or a factoring line routinely insert a covenant requiring the borrower to keep a statutory auditor for the life of the loan, even when the law would not require one. Investment funds do the same in shareholders’ agreements, alongside information rights, anti-dilution clauses and exit mechanics. Public procurement, regulated activities such as payment services or insurance distribution, and certain subsidies add their own audit or certification conditions. None of these duties appears in the Commercial Code thresholds, yet breaching them accelerates the loan or kills the subsidy. When negotiating financing for your French subsidiary from abroad, read the audit covenant as carefully as the interest margin: a voluntary three-year CAC mandate accepted to unlock a loan becomes a binding six-year-style commitment in practice, because banks refuse to release it mid-term.

One category deserves a warning of its own: the fast-growing startup that treats the audit as a sign of bureaucratic failure. In France the opposite signal prevails. Suppliers checking the BODACC (Bulletin officiel des annonces civiles et commerciales, the official gazette publishing company filings and insolvency notices) and the filed accounts see a CAC report as a quality stamp; landlords in Paris office deals ask for certified accounts before signing a 3/6/9 lease (the standard commercial lease with three-year break options); acquirers discount uncertified accounts heavily in price negotiations. Voluntary appointment for a three-year term is expressly available, it costs less than most founders fear for a simple structure, and it converts the year-end from a scramble into a supervised process. Our companion guide on approving accounts, holding the meeting and filing from abroad under the French legal calendar shows where the audit slots into that timetable: the auditor must receive the draft accounts and the management documents in time to report before the shareholders vote, and the whole chain runs on fixed legal deadlines that do not bend for travel schedules.

Finally, do not confuse the statutory auditor with the other professionals around a French company. The expert-comptable keeps the books, prepares the draft accounts and the tax returns, and advises on thresholds, but cannot certify the accounts of a client for whom he keeps the books: independence rules forbid it. The commissaire aux apports (the contributions auditor) values contributions in kind at formation or during a capital increase, a one-off mission that ends with the report. The CAC alone issues the opinion on the annual accounts, the report on regulated agreements, the alert procedure for going-concern risks and the special reports on capital operations. When your accountant says you need un CAC, he means this independent certifier, registered, insured and subject to quality inspections, not a bigger accounting engagement with the same firm.

II. How Do You Appoint, Work With and Pay the Auditor From Abroad, and What Punishes Delay?

A. How Do You Appoint a Commissaire aux Comptes From Abroad and Run the Audit Without Flying to Paris?

Appointment follows a fixed corporate ritual, and every step can be completed from abroad with proper paperwork. The statute provides that En dehors des cas de nomination statutaire, les commissaires aux comptes sont désignés par l’assemblée générale ordinaire dans les personnes morales qui sont dotées de cette instance ou par l’organe exerçant une fonction analogue compétent en vertu des règles qui s’appliquent aux autres personnes ou entités. In practice the president or the gerant circulates a draft resolution proposing the auditor, the shareholders vote at the annual meeting or by written consultation where the articles allow it, and the minutes record the six-year mandate for a mandatory appointment. The proposed auditor accepts in writing, confirms registration on the official list, discloses any conflict, and the company files the appointment with the greffe. A foreign sole shareholder signs the same papers from abroad with a qualified electronic signature, which French company law accepts.

Choose the auditor for competence and availability, not only for price. Verify registration with the H3C lists, confirm membership of a network that matches the foreign parent when consolidation applies, check that the firm has no prohibited service relationship with the company, and ask for a fee letter describing the mission, the timetable and the billing method. French audit fees for small mandates are freely negotiated, usually as a fixed annual amount with indexation, plus disbursements. Get the engagement letter countersigned before the year-end inventory, because an auditor appointed in June cannot properly observe the December stock count and will qualify the report. For Paris-based companies, many audit firms work entirely through secure data rooms, video walkthroughs and electronic confirmations, so the founder abroad attends the opening and closing meetings by video while the Paris accountant hosts the fieldwork.

Run the audit year on three deliverables. First, the draft annual accounts, the management report where required, and the related-party agreements file must reach the auditor in time for review before the shareholders vote. Second, the auditor issues the report on the accounts, the special report on regulated agreements, and where relevant the reports on capital operations, all of which must be communicated to shareholders before the meeting. Third, the approved accounts plus the audit reports are filed with the greffe within the legal deadlines, and the law now allows the meeting to authorise the auditors to file directly: les commissaires aux comptes à adresser directement au greffe du tribunal, dans les délais qui s’imposent à la société, les rapports devant faire l’objet d’un dépôt et les documents qui y sont joints. Ask for that authorisation in the appointment resolution. It removes one missed-deadline risk for founders who live abroad.

B. What Nullities, Fines and Prison Terms Punish a Skipped Appointment, a Missing Report or a Blocked Audit?

The criminal statute is blunt and names the company leader personally. A foreign president or gerant who tells the Paris team to keep the auditor away from the files therefore risks a French criminal record, not a mere administrative fine.

Civil consequences strike faster than criminal ones. The greffe rejects accounts filed without the mandatory audit report, which leaves the filing obligation unmet and triggers late-filing penalties and public unavailability of the accounts. Banks treat missing certification as an event of default under financing covenants. Buyers and funds discount or walk away. And shareholders vote on shaky ground: the Cour de cassation polices the appointment procedure strictly. On 14 February 2018, appeal number 15-16.525, the Commercial Chamber quashed an appeal ruling that had validated the election of auditors proposed from the floor, holding that est nouvelle une résolution proposant la nomination d’un commissaire aux comptes et d’un suppléant autres que ceux figurant dans la résolution adressée avec l’ordre du jour tendant aux mêmes fins de désignation et qu’est par suite irrégulière la délibération de l’assemblée générale sur cette seconde résolution. In plain terms, the name of the proposed auditor must appear in the convening papers. A majority shareholder cannot ambush the meeting with a surprise candidate, and a leader who organises the vote that way exposes every later resolution to challenge.

The same court also draws a useful boundary that foreign groups should understand before panicking over every missing paper. In a Luxembourg-linked dispute over a capital reduction carried out as a reduction followed by an increase, shareholders sought annulment because no prior auditor report had been prepared. The Court rejected the claim, ruling that les dispositions de l’article L. 225-204, alinéa 2, du code de commerce, qui prévoient l’établissement d’un rapport par le commissaire aux comptes sur les causes et conditions de la réduction du capital et sa communication aux actionnaires préalablement à la tenue de l’assemblée générale, ne sont pas prescrites à peine de nullité. That decision of 15 March 2017, appeal number 15-50.021, does not bless sloppy process. It means the sanction for skipping that particular report is damages and potential liability, not automatic nullity. The appointment duty itself is different: without a validly appointed auditor, the certification chain collapses, filings fail, and the criminal article above applies directly to the leader.

When delay has already happened, repair in this order from abroad. First, have the accountant finalise the thresholds memo and confirm in writing which year triggered the duty. Second, convene the shareholders immediately with the auditor proposal on the agenda, vote the appointment, and file it with the greffe of the registered office, in Paris the greffe du tribunal de commerce de Paris. Third, give the new auditor full access to the books, contracts and minutes, including the prior-year files, so the opening report can be issued without a scope limitation. Fourth, hold a fresh meeting to approve the accounts on the basis of the audit reports, then file everything within the remaining deadlines. Fifth, correct any loan covenant breach notice by sending the lender the appointment proof and the filing receipts. Each step is documented, dated and filed in France, which is what prosecutors, judges and lenders check first.

Conclusion

A French subsidiary outgrows the audit exemption quietly and faces the obligation suddenly. Run the two-out-of-three test every year against the current official figures of five million euros of assets, ten million euros of pre-tax turnover and fifty employees, remember that the duty starts with the following financial year, and watch for group consolidation, lender covenants and minority demands that impose an auditor below the thresholds. Appoint the commissaire aux comptes by a proper shareholders vote with the name on the agenda, secure a six-year mandate with a written engagement letter, feed the audit through the Paris accountant and a data room, and authorise direct filing with the greffe. Never skip the appointment, never hide the books, and never hold a meeting without convening the auditor, because French law answers with rejected filings, challenged resolutions, thirty thousand euros in fines, and up to five years in prison for obstruction. Handled early and from abroad, the statutory audit becomes what it should be for a growing foreign-owned company: a certificate of seriousness that banks, landlords, buyers and the courts all recognise.

Thank you to Maître KOHEN for his analyses of recent case law regarding fraudulent concealment in real estate sales. This reinforces my decision to pursue an action for rescission that I am considering after acquiring a house affected by serious defects intentionally concealed by the seller and not reported by the real estate agent; also defects (rising damp) characterized by progressive through-cracks and damp patches, not reported by the real estate agent… Worse, defects concealed by the latter or on his initiative under a coat of paint and polystyrene tiles glued to the ceiling of a bedroom. And said real estate agent was the drafter of the preliminary contract, which naturally contains no information regarding any of these defects. I would just add that, being 77 years old and suffering from cognitive impairment, I am certain the real estate agent thought I would not be able to uncover the deception and, above all, characterize fraudulent intent, let alone initiate legal proceedings given the complexity and length of the process... That is why I am opting for criminal proceedings, insofar as the intentional concealment of defects by the seller and then by the real estate agent
