You have incorporated a French SAS (societe par actions simplifiee, the flexible French joint-stock company foreign founders usually choose) or you are about to do so. The business plan is ready, the name is reserved, the draft articles of association (statuts) are on your desk. Then the bank says no. Sometimes the refusal arrives after a long silence, sometimes after a request for one more document, sometimes with a one-line letter and no explanation. Your capital contribution (apport en numeraire, the cash you pay for your shares) sits in limbo, the company cannot be registered without a capital deposit certificate (certificat du depositaire, the proof issued by the bank, notary or Caisse des depots that your cash is blocked), and every week of delay costs rent, suppliers and credibility with a first client or a first hire.

This guide explains what a refusal really means under French law, what the bank must give you in writing, and how to get an operating account anyway while you live abroad. France has a specific public procedure for this exact situation: the right to an account (droit au compte), administered by the Banque de France (the French central bank, which designates a bank that must open the account). It also has strict anti-money-laundering identification duties that explain most refusals and that you must satisfy even after a designation. The reasoning below follows the statutes as written on Legifrance, read for this article on 24 October 2026, and decisions hosted on the official Cour de cassation database. French acronyms are explained at first use: RCS (registre du commerce et des societes, the French trade and companies register kept by the commercial court registry, the greffe), Kbis (the official registration certificate that proves your company exists), BODACC (bulletin officiel des annonces civiles et commerciales, the official gazette where company registrations are published), INPI Guichet unique (the single online filing portal for company formalities), and URSSAF (the body that collects French social security contributions, relevant once you hire).

A companion article on this site walks through the standard formation path from abroad, from bank account to Kbis to VAT and first hire: Setting Up a Company in France as a Foreign Founder: Bank Account, Kbis, VAT and Your First Hire. Read this new article as the remedy branch of that path: what to do when the standard path stops at the bank counter. The two articles do not repeat each other. The companion covers the normal sequence. This one covers refusal, designation, blocked capital and life with a designated account.

I. Why a French bank can lawfully refuse you, and the paper it must hand you on the way out

A refusal is not the end of the story. It is the start of a documented procedure, and the quality of your paper trail in the first ten days often decides whether you are operating within a month or still arguing in three months. The two questions to separate immediately are whether the bank refused for a reason you can fix with better evidence, and whether it gave you the written refusal certificate that opens the Banque de France route.

A. How anti-money-laundering identification duties explain most refusals sent to founders who live abroad

Banks in France are not free to open accounts on trust. Before entering into a business relationship, they must identify the client and, where relevant, the beneficial owner (beneficiaire effectif, the natural person who ultimately owns or controls the company, now declared in a dedicated register), and they must verify those identities on the basis of probative written documents. Article L561-5 of the Monetary and Financial Code states that covered persons “Identifient leur client et, le cas échéant, le bénéficiaire effectif au sens de l’article L. 561-2-2” and “Vérifient ces éléments d’identification sur présentation de tout document écrit à caractère probant” (Article L561-5, Code monetaire et financier, Legifrance). That single sentence explains a large share of refusals received by non-resident founders: foreign passport without certified translation, proof of address that does not match the declared residence, unclear origin of funds, chain of ownership through a foreign holding that the analyst cannot map, or a beneficial owner who does not appear for a video identification session.

The duty continues after the account is opened, not only at entry. Banks must keep identification current and scrutinise transactions throughout the relationship, and when they cannot satisfy these duties they must not execute the transaction and must not establish or continue the relationship. Article L561-8 of the same Code provides that where the bank cannot meet the Article L561-5 or L561-5-1 duties, “elle n’exécute aucune opération, quelles qu’en soient les modalités, n’établit ni ne poursuit aucune relation d’affaires” (Article L561-8, Code monetaire et financier, Legifrance). The same Article adds a precision that matters directly for this guide: “Le I s’applique également lorsqu’un établissement de crédit a été désigné par la Banque de France sur le fondement de l’article L. 312-1 et que l’établissement n’a pas pu satisfaire à l’une des obligations prévues à l’article L. 561-5 ou à l’article L. 561-5-1.” (Article L561-8, Code monetaire et financier, Legifrance). In plain terms, even a bank designated by the Banque de France can still refuse to keep the account if your identification file remains incomplete. The designation is powerful, but it does not waive anti-money-laundering law.

Recent trial court reasoning shows how judges read this duty in practice. In a decision of the Paris judicial court of 21 May 2026 (RG 24/08966), available on the official database at TJ Paris, 21 May 2026, RG 24/08966, courdecassation.fr, the court recalled that “L’article L.561-5 du code monétaire et financier dispose que” the bank must identify and verify the client before entering the relationship, then listed the file a bank is entitled to demand. Every founder living abroad should read that list as a checklist before reapplying anywhere: draft statuts signed and consistent with the declared activity, proof of the foreign parent or shareholder chain with translations, valid passports for the legal representative (representant legal, the president of the SAS or the gerente of a SARL who can bind the company) and for each beneficial owner, proof of personal address abroad, proof of the future French address (domiciliation contract, lease or attorney address where permitted), and a one-page economic rationale for the account (expected turnover, suppliers, clients, average transfer size).

Three practical consequences follow. First, never treat a refusal as discrimination to be argued by email. Ask in writing which identification item is missing or inconsistent, and supply it. Second, keep every version of what you sent, with dates, because the designation procedure counts working days from receipt of a complete file and the bank must justify its position from documents. Third, do not multiply simultaneous applications with inconsistent information. Five files with five different addresses, activities or shareholder presentations trigger exactly the vigilance that produces five refusals. One coherent file, corrected once, opens more doors than five parallel files.

The company-law side of the same moment is the deposit of cash subscriptions. Subscriptions in cash and the list of subscribers with amounts paid must be deposited under conditions set by decree, and, apart from authorised depositaries, no one may hold funds collected for a company in formation for more than eight days. For a SARL (societe a responsabilite limitee, the French limited liability company with parts sociales instead of shares), cash parts must be paid up (liberees, actually transferred to the blocked account) for at least one fifth of their amount at formation, the balance within five years of registration on decision of the manager: “Les parts représentant des apports en numéraire doivent être libérées d’au moins un cinquième de leur montant” and “dans un délai qui ne peut excéder cinq ans à compter de l’immatriculation de la société au registre du commerce et des sociétés” (Article L223-7, Code de commerce, Legifrance). The depositary can be a bank, a notary (notaire) or the Caisse des depots et consignations. When banks refuse, founders forget the notary route: a French notary can receive the funds and issue the deposit certificate for the RCS filing, often faster than restarting a bank search from zero. That certificate does not replace the operating account, but it unblocks registration, Kbis and the rest of the calendar while the operating account procedure runs in parallel.

B. What the bank must give you in writing, and how the Banque de France designates a bank within one business day

The right to an account is written for people and companies that hold no deposit account in France. Article L312-1 of the Monetary and Financial Code opens with the principle: “A droit à l’ouverture d’un compte de dépôt dans l’établissement de crédit de son choix, sous réserve d’être dépourvu d’un tel compte en France : 1° Toute personne physique ou morale domiciliée en France” (Article L312-1, Code monetaire et financier, Legifrance). For a French company in formation with a registered office (siege social) in France, domicile is in France even when the founder lives abroad, which is why a newly formed SAS or SARL without any French account can invoke the procedure through its legal representative. The text then organises the refusal path: the chosen bank that refuses must give reasons and must deliver a written refusal certificate, and the applicant can ask the Banque de France to designate a bank near the domicile or another place of choice, taking market shares into account, “dans un délai d’un jour ouvré à compter de la réception des pièces requises définies par arrêté” (Article L312-1, Code monetaire et financier, Legifrance).

The certificate is the key. The same Article provides: “L’établissement de crédit qui a refusé l’ouverture d’un compte fournit au demandeur systématiquement, gratuitement et sans délai, sur support papier, et sur un autre support durable lorsque celui-ci en fait la demande expresse, une attestation de refus d’ouverture de compte” (Article L312-1, Code monetaire et financier, Legifrance). It must also inform you that you can ask the Banque de France to designate a bank, and for a natural person it must offer to forward the designation request on your behalf with the information needed to open the account. For a company, the legal representative files directly or through counsel. If the branch refuses to issue the certificate, send a registered letter or an email with acknowledgment restating the request, the date of the verbal refusal, the branch and the name of the person met, and keep the proof of sending. Without that certificate the file is slower; with it, the one-business-day clock has a clear starting point once the Banque de France file is complete.

The Versailles Court of Appeal shows what happens when a designated bank drags its feet. In a judgment of 21 December 2023 (RG 22/05426), available at CA Versailles, 21 December 2023, RG 22/05426, courdecassation.fr, the court examined a bank designated by the Banque de France that had not opened the account promptly. The reasoning retained that the bank designated to open an account for the applicant “avait commis une faute en n’y procédant pas dans les trois jours ouvrés à compter de la réception des justificatifs fournis par ce dernier alors qu’il disposait de l’ensemble des pièces nécessaires à l’ouverture d’un compte de dépôt” (CA Versailles, 21 December 2023, RG 22/05426, courdecassation.fr). The dispute then turned on later closure for missing additional documents, which confirms the two-stage logic founders must internalise: designation forces prompt opening when the file is complete, but it does not protect an account whose holder stops answering documentary requests. From abroad, the discipline is therefore simple: answer every bank letter within days, in French or with a translation, and keep proof of each reply.

Designation does not give you a full-service private banking relationship. It gives you a deposit account with legally defined basic services (services bancaires de base). Those basic services are listed by decree and include opening, maintenance and closure of the account, one change of address per year, issuance of bank identity statements (releves d’identite bancaire, the RIB slips used for transfers), domiciliation of transfers, a monthly statement, collection of cheques and transfers, SEPA direct debits and transfers, remote balance consultation, cash deposits and withdrawals at the teller or ATMs of the account-holding institution, and a payment card allowing online payments and cash withdrawals in the European Union. Article D312-5 lists them, opening with “Les prestations de base mentionnées au II de l’article L. 312-1 comprennent : 1° L’ouverture, la tenue et la clôture du compte” (Article D312-5, Code monetaire et financier, Legifrance). For a holding company or an operating SAS that needs only to receive capital, pay the greffe, pay a domiciliation provider and receive first invoices, that perimeter is enough to start. For a business that needs chequebooks beyond the basic card, large overdrafts or complex foreign exchange lines, the designated account is a bridge, not the final banking setup: keep a parallel application running with a bank that accepts your risk profile once the Kbis exists.

II. How to get operating anyway from abroad: frozen capital, registration without a classic bank, and life with a designated account

Once the refusal certificate is in hand, founders who live abroad win by running two tracks at once instead of waiting. Track one secures legal existence: deposit the capital with an available depositary, file with the Guichet unique, obtain the Kbis, publish in the BODACC. Track two secures operations: file the Banque de France designation with a complete identification file, open the designated account, then upgrade the banking setup once turnover is visible. The paragraphs below detail each track and the deadlines that actually bind you, with the source beside each deadline.

A. How to unblock the Kbis when the operating account is refused: depositary, filing and the six-month clock

Without a deposit certificate, the greffe cannot register the company and there is no Kbis. With it, registration proceeds even if no operating current account exists yet. As noted above, Article L225-5 requires the deposit of cash subscriptions and the subscriber list under conditions set by decree (Article L225-5, Code de commerce, Legifrance). In practice the file contains the draft statuts, the subscription forms (bulletins de souscription) showing who pays what, copies of passports, and the wire transfers from the subscribers to the depositary. The depositary verifies, blocks the funds and issues the certificate (attestation de depot de fonds) that the Guichet unique forwards to the greffe. Founders outside France should wire from an account in their own name corresponding to the subscriber, with the reference “capital deposit, company name in formation”, and keep the SWIFT confirmations. Wires from an unrelated third party without explanation are a classic trigger for a vigilance freeze at this exact stage.

If the company is an SAS, the Commercial Code refers largely to the rules for public limited companies as adapted to the SAS form. Article L227-1 of the Commercial Code, which creates the SAS, provides that within compatibility limits “les règles concernant les sociétés anonymes” apply to the SAS (Article L227-1, Code de commerce, Legifrance). If the company is a SARL, the one-fifth immediate payment and five-year balance rule recalled above applies (Article L223-7, Code de commerce, Legifrance). Either way, the funds cannot be withdrawn by the company’s agent before registration. That six-month period runs from the first deposit of funds, so a founder who deposits in January and then spends four months arguing with one bank has only two months left before any subscriber can ask a court to release the money. Parallel tracks are not just efficient; they protect the deposit itself.

Filing runs through the INPI Guichet unique, which transmits to the greffe of the commercial court of the registered office. Once registered, the company appears in the RCS and the creation is published in the BODACC. Registration has a substantive legal effect beyond proof: a person subject to registration cannot set up against third parties or public administrations facts and acts that should have been mentioned if they were not published in the register. For a foreign founder, the message is concrete: sign leases, hire and invoice only once the Kbis exists, because before publication the company cannot rely on its own registration against a supplier, a landlord or an administration. Conversely, once the Kbis exists, reopen the banking discussion with the certificate in hand. A bank analyst reads risk differently when the RCS number, the BODACC notice and the beneficial-owner declaration are already public and consistent.

A short operational checklist for the filing track, adapted to distance, runs as follows. First, choose the depositary before the statuts are signed: ask two banks and one notary in parallel what file they require for a non-resident subscriber, then choose the one that answers in writing. Second, standardise names and addresses across statuts, subscription forms, passport copies, proof of domicile and the Guichet unique forms; a single spelling difference between “Mohamed El Hassan” and “Mohamed-El Hassan” can cost a week. Third, deposit once, from traceable accounts, and obtain the certificate with the exact corporate name, the amount, the list of subscribers and the date. Fourth, file immediately on the Guichet unique and diary the greffe response; if the greffe issues a rejection (rejet) for a missing piece, correct within days rather than re-arguing by email. Fifth, once the Kbis arrives, update the bank file the same day: Kbis, BODACC notice, final statuts, beneficial-owner declaration and French address proof. Each of these steps is mundane, but together they convert a refusal from a dead end into a two-week administrative detour.

B. How to live with a designated account, keep it open from abroad, and challenge closures, freezes and credit cuts

A designated account is a real account, but it is a supervised account with a narrower perimeter and a holder who starts with a presumption of risk in the eyes of the bank. The way to keep it is to behave like the low-risk client the file now claims you are: predictable transfers, complete answers, no cash operations inconsistent with the declared activity, and a French-speaking contact who opens bank letters. The way to challenge a closure or a freeze is to invoke the correct notice period in the correct text, from abroad, in writing, before the deadline expires.

Closure of an indefinite-term deposit account agreement by the bank requires at least two months prior notice on paper or another durable medium. Article L312-1-1 of the Monetary and Financial Code states: “L’établissement de crédit résilie une convention de compte de dépôt conclue pour une durée indéterminée moyennant un préavis d’au moins deux mois, fourni sur support papier ou sur un autre support durable” (Article L312-1-1, Code monetaire et financier, Legifrance). The Paris Court of Appeal applies this as a discretionary right to end the relationship provided notice is respected. In a judgment of 10 May 2023 (RG 22/05206), available at CA Paris, 10 May 2023, RG 22/05206, courdecassation.fr, the bank argued “qu’il lui est loisible de mettre fin à une relation bancaire sans motif comme le prévoit l’article L312-1-1 V du code monétaire et financier sous réserve du préavis en l’espèce respecté” (CA Paris, 10 May 2023, RG 22/05206, courdecassation.fr). For a founder abroad, the lesson is that a closure letter is rarely void for lack of motive; it is voidable for lack of the two-month notice or for lack of a durable writing. Upon receiving a closure letter, check the date, the medium and the notice calculation the same day, reply in writing that you rely on the two-month period running from proper receipt, reroute direct debits (prelevements SEPA for rent, insurance, URSSAF if you already employ) and incoming client transfers, and open the replacement procedure before the account actually closes.

Credit lines follow a different and stricter notice rule that founders confuse with account closure. Any non-occasional indefinite-term credit to a business can only be reduced or interrupted after written notification and expiry of a notice period set when granted. Article L313-12 of the Monetary and Financial Code states that such credit “ne peut être réduit ou interrompu que sur notification écrite et à l’expiration d’un délai de préavis fixé lors de l’octroi du concours” (Article L313-12, Code monetaire et financier, Legifrance), and adds: “Ce délai ne peut, sous peine de nullité de la rupture du concours, être inférieur à soixante jours” (Article L313-12, Code monetaire et financier, Legifrance). That sixty-day period runs from written notification, with narrow exceptions for seriously reprehensible conduct or an irreversibly compromised situation. A designated basic account rarely carries an overdraft, so this text matters the day the bank later grants an overdraft or a short-term line to your now-operating SAS and then cuts it during a cash dip. Keep the original credit offer letter showing the notice period, never accept a verbal cut, and answer any allegation of reprehensible conduct with dated documents.

Freezes for missing vigilance documents sit between these two regimes and cause the most panic. The bank writes that funds and services “resteront bloqués dans l’attente de ces justificatifs” until explanations arrive, the founder reads this as confiscation, and no one acts for weeks. Legally, the bank relies on Article L561-8 recalled above: no operation and no continuation of the relationship while identification and ongoing monitoring cannot be satisfied (Article L561-8, Code monetaire et financier, Legifrance). The remedy is therefore evidential, not rhetorical: send the missing items, explain each atypical transaction in one paragraph per transaction with the invoice or contract attached, and ask for a dated written lifting of the restriction. If the bank maintains the freeze after a complete file, the dispute moves to the civil courts near the account-holding branch or to the ACPR (autorite de controle prudentiel et de resolution, the French banking supervisor) for a supervisory signal, with counsel in France acting under a written power of attorney while you remain abroad. Video hearings and representation by counsel make distance manageable; silence does not.

Three distance-proof habits keep a designated account alive. First, designate one French address for bank mail and check it weekly: a domiciliation company that scans envelopes daily is cheaper than a missed closure letter. Second, keep a French phone number that receives SMS codes and a secure messaging channel that the bank actually monitors; test both before you need them. Third, calendarise the company’s first-year obligations so the account shows normal life: payment of the greffe and domiciliation fees, then, once hiring starts, URSSAF declarations and the DSN (declaration sociale nominative, the monthly electronic payroll return), then VAT (taxe sur la valeur ajoutee) returns if the company makes taxable supplies. A sleeping account with unexplained round-trip wires to a foreign holding invites a second vigilance review; an account that pays the greffe, the landlord, the accountant (expert-comptable) and URSSAF looks like what the file said it would be.

When the bank is wrong, challenge in the right order. Start with a written complaint to the branch and then to the bank’s mediator (mediateur bancaire), with the refusal or closure letter, the certificate, the Banque de France designation and every identification item attached. Then, for persistent refusal to open after designation with a complete file, rely on the Versailles reasoning above on fault for late opening after receipt of justificatives (CA Versailles, 21 December 2023, RG 22/05426, courdecassation.fr). For closure without the two-month durable notice, rely on Article L312-1-1 as quoted above (Article L312-1-1, Code monetaire et financier, Legifrance). For a credit cut without the sixty-day written notice, rely on Article L313-12 as quoted above (Article L313-12, Code monetaire et financier, Legifrance). Each remedy has its own text and its own starting point, and courts apply them separately. Mixing them in one letter weakens all three.

Conclusion

A French bank can say no to a founder who lives abroad, but it cannot leave you without a path. Anti-money-laundering law requires the bank to identify and verify you and your beneficial owners on probative documents, and allows it to refuse or freeze while that file is incomplete. The right to an account then requires the refusing bank to deliver a free written refusal certificate without delay, and requires the Banque de France to designate a bank within one business day of receiving the complete file. Company law lets you deposit the capital with another depositary, register the company, obtain the Kbis and publish in the BODACC while the operating account is being fixed, subject to the rule that funds cannot be withdrawn before registration and to the six-month clock running from the first deposit. Once the designated account is open, basic services are enough to operate, closure requires at least two months notice on a durable medium, and any later credit line requires at least sixty days written notice to be cut. Run the capital track and the account track in parallel, answer every documentary request within days with consistent evidence, and invoke each deadline under its own text. The refusal then becomes what the procedure intended: a short, documented detour on the way to an operating French company.

Bank refuses your French corporate account while you live abroad?
