Incorporating a French subsidiary feels premature for a single hire, and you wonder whether you can simply put that person on your foreign payroll. French law offers a specific route for exactly this situation: hiring as an employer with no establishment in France, known as an employeur sans établissement en France. It lets a foreign company employ staff on French soil without creating a French company, branch or subsidiary, provided it registers with the French social security collection system and applies French employment law in full.

This route is genuinely useful, but it is narrower than many foreign founders assume, and it carries two traps that turn a simple hire into a serious exposure. The first is social: registration duties, payroll filings and the full weight of the French Labour Code apply from day one, and calling the worker a contractor changes nothing if the relationship looks like employment. The second is fiscal and criminal: depending on what your employee actually does in France, your company can be treated as operating a taxable permanent establishment there, and skipping declarations can amount to the criminal offence of hidden work. This article explains the registration route step by step, then examines each trap with the exact legal texts and court decisions that govern them.

I. Hiring in France without a French company: the foreign-employer registration route

A. Registering as an employer with no establishment in France: the single collection body, the pre-hiring declaration and electronic filings

French social security law expressly contemplates your situation. » In plain English: an employer whose business has no premises in France fulfils all social declaration and payment duties through a single designated collection body. That body is the foreign-firms department of Urssaf Alsace, based in Strasbourg, known as the service des firmes étrangères. It handles foreign employers from every country, whatever the place in France where the employee works, and it operates a dedicated contact channel for these files. Registration there is the act that gives your foreign company an employer existence in the French system: without it, no contributions can be collected and every subsequent filing hangs in the air.

Once registered, the first operational duty is the pre-hiring declaration, the DPAE (déclaration préalable à l’embauche). Article L. 1221-10 of the Labour Code states: « L’embauche d’un salarié ne peut intervenir qu’après déclaration nominative accomplie par l’employeur auprès des organismes de protection sociale désignés à cet effet. » No hire may take place before this nominative declaration has been completed with the designated social protection bodies. For a foreign employer, that means the declaration goes through the same single collection body, before the employee’s first day of work. Skipping it is not a paperwork oversight: as shown below, it is one of the statutory markers of hidden work, and it also deprives the employee of cover from day one.

Day-to-day payroll compliance then works much as it does for a French company, with one practical difference: everything is centralised. Each month, the employer reports individual payroll data electronically through the nominative social declaration, the DSN (déclaration sociale nominative), and pays the corresponding contributions to the single collection body. Payslips must be issued under French rules, examined in the next section. One welcome simplification exists on the margins: employers with no establishment in France are spared the training and apprenticeship levies. Article L. 6131-1, II of the Labour Code expressly excludes « aux employeurs dont l’entreprise ne comporte pas d’établissement en France », the very employers covered by the provision quoted above, from these contributions. Everything else, however, is due in full: health, retirement, unemployment, supplementary pension and workplace-accident contributions, calculated on the French salary at French rates.

Three distinctions must be kept firmly apart at this stage, because confusing them is the most common source of trouble. First, directly hiring as a foreign employer is not posting (détachement): a posted worker remains employed under the home-country contract and covered by home-country social security under a portable document, whereas your direct hire works under French law with French contributions. Second, it is not the same as engaging a freelancer: a contractor label protects no one if the facts show employment, as the case law below demonstrates. Third, it does not create a company: you obtain an employer registration, not a company registration number, and you cannot invoice French clients, hold a commercial lease in your own name or open a corporate bank account on the strength of that registration alone. The foreign-employer route solves exactly one problem, employment, and it solves it well, but it solves nothing else.

B. French employment law still applies in full: minimum wage, thirty-five hours, payslip rules and dismissal procedure

Registering as a foreign employer buys no exemption from substantive labour law. The employee working in France benefits from the whole French Labour Code: pay rules, working time, health and safety, paid leave and termination protections apply exactly as if the employer were a Parisian SARL. A foreign employment contract, a choice-of-law clause pointing to another country or payment from an account abroad changes nothing about the mandatory protections attached to work performed on French soil. The provisions below are the ones foreign employers breach most often, usually out of ignorance rather than intent, and each breach carries its own sanction.

Pay starts with the national minimum wage, the SMIC (salaire minimum interprofessionnel de croissance). Article L. 3231-2 of the Labour Code defines its purpose: « Le salaire minimum de croissance assure aux salariés dont les rémunérations sont les plus faibles : 1° La garantie de leur pouvoir d’achat ; 2° Une participation au développement économique de la nation. » The amount is reset by the government and applies to every employee in France, including yours, pro rata for part-time work. On top of the SMIC, the sector-wide collective agreement (convention collective) covering the employee’s activity may impose a higher minimum, seniority bonuses, a thirteenth month or specific allowances: identifying the applicable agreement before fixing the salary is one of the first checks to run, because underpayment feeds directly into back-pay claims and contribution reassessments.

Working time follows the statutory thirty-five-hour week. Article L. 3121-27 of the Labour Code provides: « La durée légale de travail effectif des salariés à temps complet est fixée à trente-cinq heures par semaine. » Hours beyond that are overtime (heures supplémentaires), paid at increased rates or compensated with rest, and they must be recorded and shown. The payslip is the document where all of this becomes visible and verifiable. Article L. 3243-2 of the Labour Code requires the employer to hand over « une pièce justificative dite bulletin de paie » with each payment of wages, adding that « Les mentions devant figurer sur le bulletin ou y être annexées sont déterminées par décret en Conseil d’Etat. » Gross pay, each contribution line, net pay, the employee’s classification and the employer’s registration references must all appear. For a company whose payroll team sits abroad, the practical answer is usually to appoint a French payroll provider that produces compliant slips from the DSN data; home-made payslips translated from another system are a classic source of disputes.

Ending the relationship is where foreign employers are most often caught off guard, because French dismissal law is procedural to its core. Even the smallest dismissal for personal reasons requires a formal invitation to a preliminary meeting. » Skipping the meeting, holding it too early or notifying the dismissal by email from headquarters each constitute procedural irregularities that the labour courts sanction, on top of any ruling on the merits of the dismissal itself. For an employee based in Paris or elsewhere in the Île-de-France region, disputes go to the local labour court, the conseil de prud’hommes, and labour-inspection matters fall to the regional directorate, the DREETS Île-de-France: the absence of company premises in France never deprives these bodies of jurisdiction over work performed in their area.

One final clarification concerns the temptation to hire the person as an independent contractor to sidestep all of the above. French courts look at facts, not labels: schedules imposed by the company, reporting lines, integration into an organised service and economic dependence point to employment regardless of the contract’s title. The Court of Cassation has drawn the contribution consequences with precision. In a ruling of 9 May 2019 (Second Civil Chamber, pourvoi No. 18-11.158, published in the Bulletin), it held that « une personne physique ou morale ne saurait être tenue au paiement des contributions, cotisations et impositions qu’ils prévoient que pour celles des personnes qu’elle emploie dans des conditions caractérisant […] l’existence d’un lien de subordination juridique dans la relation de travail », while adding that « le versement des cotisations de sécurité sociale n’implique pas par lui-même l’existence d’un tel lien pour l’application des règles d’assujettissement à des régimes distincts ou au paiement d’une taxe locale ». Read both ways, the message for a foreign principal is symmetrical: a genuine contractor outside any relationship of legal subordination owes no employment contributions, but a so-called contractor working under your direction is an employee, and URSSAF may reassess the contributions accordingly. If the worker is truly independent, keep that independence real, documented and continuous; if not, hire as an employee from the start through the registration route described above.

II. The two traps that turn a simple hire into tax and criminal exposure

A. The permanent establishment trap: when your employee makes your company taxable in France

Hiring one person in France can, depending on that person’s role, make your whole foreign company taxable there. French corporate income tax is territorial: Article 209, I of the General Tax Code taxes « en tenant compte uniquement des bénéfices réalisés dans les entreprises exploitées en France », as well as « ceux dont l’imposition est attribuée à la France par une convention internationale relative aux doubles impositions ». A company with no office, no branch and no subsidiary in France is therefore outside French corporate tax as long as it does not operate a business there, but the presence of an employee who acts for the company on French soil can be precisely what turns activity into an operated business. Tax lawyers call this a permanent establishment (établissement stable): a taxable presence created by facts rather than by registration.

The decisive question is what the employee is empowered to do. A technician who installs equipment, a developer who writes code for the foreign head office or a consultant who performs services under close direction points much less toward a taxable presence than a sales representative who habitually negotiates and concludes contracts in the company’s name, holds stock for delivery to French customers or manages the French market with real autonomy. No single factor is conclusive on its own; the administration examines the bundle of facts, including the employee’s authority, the regularity of the activity in France and whether the French operation presents the features of a complete commercial cycle. The applicable double-tax treaty, where one exists between France and the company’s home state, then allocates taxing rights according to its own definition of permanent establishment, and its wording prevails as recalled by the reference in Article 209 itself to taxation attributed to France by treaty.

Once a permanent establishment is characterised, the consequences extend well beyond paying tax on the French profits. The Court of Cassation confirmed the full weight of the resulting duties in a published ruling of 15 February 2023 (Commercial Chamber, pourvoi No. 21-13.288, published in the Bulletin): « Une société de droit étranger est tenue, lorsqu’elle exerce une activité en France par l’intermédiaire d’un établissement stable, aux obligations résultant des articles 54, 209 et 286, I, 3°, du code général des impôts, qui exigent la passation d’écritures comptables permettant de justifier des opérations imposables en France, de sorte que lorsqu’elle a méconnu ses obligations déclaratives, elle peut être présumée avoir omis sciemment de passer ou de faire passer des écritures ou avoir passé ou fait passer sciemment des écritures inexactes ou fictives dans des documents comptables dont la tenue est imposée par le code général des impôts. » In other words, a foreign company operating through a French permanent establishment must keep accounting records capable of supporting its taxable French operations, file the corresponding returns, and faces a presumption of deliberate omission if it declares nothing. Added to corporate tax itself, value-added tax registration and invoicing duties, payroll withholding mechanics and the risk of penalties for undeclared activity make the unexamined hire an expensive experiment.

The practical lesson is to define the employee’s role before hiring, not after a reassessment. If the French position genuinely involves concluding business, holding inventory or directing local operations with autonomy, the company should assume a taxable presence and organise for it: French accounting, tax filings and, most often, incorporation of a proper subsidiary or branch, which then employs the worker directly. If instead the role is preparatory or auxiliary, or purely internal to the group, the foreign-employer route remains coherent, but the employment documents, internal delegations of authority and actual practice must consistently reflect that limited role. The worst configuration is the intermediate one: a country manager presented externally as the face of the company in France while the internal paperwork pretends the company has no activity there. Inconsistency between the employment file and commercial reality is exactly what audits exploit.

B. Undeclared work and posted-worker shortcuts: hidden-work offences, secondment certificates and challenging assessments from abroad

The second trap is criminal as well as financial. French law defines hidden work by concealment of employment (travail dissimulé par dissimulation d’emploi salarié) in terms that map exactly onto the shortcuts a foreign employer might be tempted to take. Failing to file the pre-hiring declaration, issuing no payslip and declaring neither wages nor contributions are each, when intentional, a characterisation of hidden work. The penalty is severe: Article L. 8224-1 of the Labour Code states that « Le fait de méconnaître les interdictions définies à l’article L. 8221-1 est puni d’un emprisonnement de trois ans et d’une amende de 45 000 euros. » Company officers of foreign firms sometimes assume that distance protects them; investigations for hidden work routinely involve hearings, document seizures and international cooperation requests, and the offence attaches to the employer functions exercised over the French-based staff, not to the place where the head office sits.

A related shortcut consists in keeping the worker formally posted from abroad rather than hiring under French law, while the facts show permanent direct employment in France. Posting (détachement) is a genuine regime for temporary assignments, documented by portable social security certificates, but it cannot dress up a stable French position. The Court of Cassation addressed the probative force of these certificates in a published criminal ruling of 2 March 2021 (Criminal Chamber, pourvoi No. 19-80.991, published in the Bulletin), concerning a Slovak temporary-work company active in France. After referring the question to the Court of Justice of the European Union, it held that a trial judge « ne peut écarter lesdits certificats que si, sur la base de l’examen des éléments concrets recueillis au cours de l’enquête judiciaire […] il caractérise une fraude constituée, dans son élément objectif par l’absence de respect des conditions prévues […] et, dans son élément subjectif, par l’intention de la personne poursuivie de contourner ou d’éluder les conditions de délivrance dudit certificat pour obtenir l’avantage qui y est attaché ». Certificates therefore carry real weight, but only within their lawful scope: fraudulently obtained or misused posting documents do not shield an employment arrangement whose centre of gravity is France, and the hidden-work analysis then resumes on the facts.

When URSSAF considers that contributions were evaded or understated, it issues a reassessment (redressement) that the foreign employer can contest from abroad like any other employer. The objection typically turns on the facts developed throughout this article: whether a genuine employment relationship existed, whether the declarations were actually filed with the single collection body, and whether the amounts were correctly computed. Keeping complete records from the start, the registration confirmation, the pre-hiring declarations, the monthly filings with proof of payment, the payslips and the employment contract with its actual job description, is what makes such a challenge arguable. Our companion analysis of URSSAF audits of French companies run from abroad (control, assessment, penalties and how to challenge from abroad) details each stage of that procedure. Distance complicates logistics, translation and representation, but it removes no remedy.

Conclusion

Hiring in France without a French company is neither a loophole nor a gamble: it is an organised statutory route. Registration with the single collection body, the pre-hiring declaration before the first day, monthly electronic filings, French-standard payslips, the minimum wage, the thirty-five-hour framework and the dismissal procedure form a complete and demanding compliance package, softened only by the exemption from training and apprenticeship levies. Around this package stand two lines that must never be crossed blindly. On the tax side, an employee with real commercial authority in France can create a permanent establishment that makes the foreign company itself taxable there, with full accounting and filing duties. On the criminal side, missing declarations, absent payslips and misused posting certificates fall within the statutory definition of hidden work, punished by three years’ imprisonment and a 45,000 euro fine. Companies that scope the role honestly, register before hiring and document every step hire safely; those that improvise discover French employment and tax law through reassessments and court summons.
