The valuation looks right, the founders are convincing and the market is real. Yet one document will decide what your shares are actually worth the day you disagree with your partners or want to leave: the shareholders’ agreement, known in France as the pacte d’associés or pacte d’actionnaires. This private contract, signed alongside the statuts (the articles of association), organises who can sell, to whom, at what price and with what priority. French company law gives the SAS remarkable flexibility to tailor these rules, but that flexibility has strict boundaries, and the Cour de cassation, France’s supreme court for civil and commercial matters, polices them closely. A clause that looks protective on paper can be worthless if it is placed in the wrong document or drafted against a mandatory rule. This article explains, for a foreign investor operating from abroad, which clauses genuinely protect a minority or joint-venture stake in a French SAS, how the statute and the private agreement divide the work, and how these promises are enforced when a partner breaks them.

I. What a shareholders’ agreement can and cannot do for a foreign investor in a French SAS

A. Why the SAS leaves room for a tailor-made pacte, and why the statuts still come first

The SAS owes its success with international investors to one feature: shareholders enjoy broad latitude to organise the company’s governance in the statuts, subject only to a handful of mandatory provisions. For readers coming from common-law systems, the closest equivalent of the statuts is the articles of association, filed with the greffe, the registry of the commercial court, and reflected on the Kbis, the official extract that proves the company’s legal existence and the identity of its officers. When you build a French company from abroad, that formation sequence matters, as described in this complete guide to setting up a company in France as a foreign founder, from bank account and Kbis to VAT and first hire. The shareholders’ agreement comes on top of that foundation: it is a private contract among some or all shareholders that completes the statuts with personal commitments, typically around transfers of shares, control of the capital and exit scenarios.

French law expressly invites SAS shareholders to lock the capital in the statuts themselves. First, Article L. 227-13 of the Commercial Code provides that “Les statuts de la société peuvent prévoir l’inaliénabilité des actions pour une durée n’excédant pas dix ans.” In plain terms, the articles can make shares non-transferable for up to ten years. For a foreign investor entering a joint venture, that lock-up clause guarantees that the French partner cannot sell out to an unknown buyer the day after your funds arrive. Note the ceiling: beyond ten years, the clause fails, so a lock-up drafted “for fifteen years” or “indefinitely” exposes you at the exact moment you need it.

Second, Article L. 227-14 of the Commercial Code states that “Les statuts peuvent soumettre toute cession d’actions à l’agrément préalable de la société.” Every sale can therefore be conditioned on the company’s prior approval, which in practice means approval by the existing shareholders voting as the statuts define. This is the standard shield against an unwanted new co-shareholder, and foreign investors should check who votes on approval, by what majority and within what procedure, because an approval clause without a decision-making mechanism is a dead letter.

Third, the statuts can organise forced exits. Article L. 227-16 of the Commercial Code provides that “Dans les conditions qu’ils déterminent, les statuts peuvent prévoir qu’un associé peut être tenu de céder ses actions.” The articles can also suspend the non-pecuniary rights of that shareholder until the transfer happens. Mirror protection exists against hidden changes of control: Article L. 227-17 of the Commercial Code states that “Les statuts peuvent prévoir que la société associée dont le contrôle est modifié au sens de l’article L. 233-3 doit, dès cette modification, en informer la société par actions simplifiée.” The company can then suspend that shareholder’s non-pecuniary rights and exclude it. If your French partner is itself a company, this clause prevents its quiet takeover by a competitor from changing who really sits across the table from you.

These statutory tools come with a voting trap that foreign investors often discover too late. Article L. 227-19 of the Commercial Code provides that “Les clauses statutaires visées aux articles L. 227-13 et L. 227-17 ne peuvent être adoptées ou modifiées qu’à l’unanimité des associés.” Lock-up and change-of-control clauses therefore require every shareholder’s consent to be introduced or amended. Approval and exclusion clauses follow the majority rules set by the statuts. The practical lesson is direct: negotiate these protections before you subscribe, while your consent is still needed, because once you are a shareholder without them, adding them may require the very unanimity your future opponent can block.

This is where the private pacte earns its place. Matters that cannot go into the statuts, or that shareholders prefer to keep confidential rather than filed at the greffe and visible to anyone ordering a Kbis, belong in the agreement: detailed exit timetables, price formulas, undertakings to vote a certain way and promises to buy or sell. But the division of labour has a hard edge, settled by the Cour de cassation: a private promise cannot contradict the statuts, and the sanctions differ depending on which document is breached. That distinction decides litigation, as the second part of this article shows.

B. Which exit clauses genuinely secure your stake: pre-emption, promises to buy or sell, and price mechanics

The most valuable clauses for a foreign investor are those that answer three questions in advance: who buys first when a partner leaves, at what price, and through which binding promise. French contract law gives you two tested instruments, both now codified in the Civil Code since the 2016 reform of contract law, and both directly usable in a pacte governed by French law.

The first is the pacte de préférence, the right of first refusal. Article 1123 of the Civil Code defines it as follows: “Le pacte de préférence est le contrat par lequel une partie s’engage à proposer prioritairement à son bénéficiaire de traiter avec lui pour le cas où elle déciderait de contracter.” Each shareholder promises that, if it decides to sell, it will first offer its shares to the beneficiary of the clause, typically the other shareholders in proportion to their holdings. For a foreign minority investor, this is the clause that prevents waking up with a stranger, or worse a competitor, as co-shareholder. Draft it with precision: trigger events, notification method, offer content, response period and what happens if the right is not exercised. An informal email address that nobody monitors from abroad has killed more than one pre-emption right, so designate a service address and a fallback.

The second instrument is the unilateral promise, which powers put and call options. A call option lets you force the purchase of your partner’s shares; a put option lets you force your partner to buy yours. Combined as reciprocal buy-sell undertakings, they form the classic exit of fifty-fifty ventures. The same article adds a protection that matters enormously at a distance: “La révocation de la promesse pendant le temps laissé au bénéficiaire pour opter n’empêche pas la formation du contrat promis.” If your partner tries to withdraw the promise while your option window is still open, the sale still forms when you exercise the option. From abroad, where reaction times are longer, that rule is your safety net.

Both instruments converge on the question buyers and sellers fight over most: the price. A pacte should never promise a sale at a price “to be agreed later” with no fallback, because the fallback is litigation. Three mechanics work in practice. A fixed formula, such as a multiple of average earnings, gives predictability but ages badly. A reference to fair market value assessed by an independent expert gives accuracy but costs time and fees. French law supports the expert route: Article 1592 of the Civil Code provides that “Il peut cependant être laissé à l’estimation d’un tiers ; si le tiers ne veut ou ne peut faire l’estimation, il n’y a point de vente, sauf estimation par un autre tiers.” Name the appointing authority for the expert in the clause itself, since a partner acting in bad faith will simply refuse to agree on one. The third mechanic, the buy-sell or “shotgun” clause where the party naming a price must be ready to buy or sell at that price, disciplines both sides but suits equal partners better than a minority investor facing a deep-pocketed majority.

Sophisticated investors add two further layers. Preferred shares, actions de préférence, can carry enhanced financial or governance rights: Article L. 228-11 of the Commercial Code allows that “il peut être créé des actions de préférence, avec ou sans droit de vote, assorties de droits particuliers de toute nature, à titre temporaire ou permanent.” Priority dividends, liquidation preference or reinforced voting on defined matters can be attached to your shares from the start. And tag-along and drag-along clauses protect both directions of a sale: tag-along lets the minority join a majority sale on the same terms instead of being left behind with an unknown buyer, while drag-along lets a majority holding an attractive full exit force the minority to sell alongside, which is often the condition a future acquirer imposes. These clauses live naturally in the pacte, with their mirror reflected in the statuts where enforceability against third parties matters, a balance the next part explains.

II. How your clauses survive a dispute: enforcement, price fights and formalities from abroad

A. When a broken clause kills the sale: nullity, substitution, damages and the limits set by the Cour de cassation

A clause is only as strong as its sanction, and French law draws a sharp line between breaching the statuts and breaching the private pacte. Start with the statuts, where the sanction is the heaviest available: Article L. 227-15 of the Commercial Code provides that “Toute cession effectuée en violation des clauses statutaires est nulle.” A sale closed in breach of a lock-up, approval or inalienability clause in the articles can be annulled, which unwound the transfer itself. For a foreign investor, that is real protection: the unwanted buyer does not stay in the capital while you litigate over money.

But the Cour de cassation has fenced this weapon precisely, in a decision every drafter of Franco-foreign joint ventures should know. On 21 June 2023, the Commercial Chamber ruled on a shareholders’ clause combining mutual promises to buy or sell the whole of each party’s shares at an agreed price in case of uncured breach, after a thirty-day cure period following formal notice. The appeal court had partly annulled that clause for contradicting a statutory exclusion clause. The Cour de cassation quashed that reasoning. It first recalled the text: “Aux termes de ce texte, toute cession effectuée en violation des clauses statutaires est nulle.” It then drew the boundary: “Ce texte ne régissant pas l’exclusion d’un associé et la cession forcée de ses actions qui en résulte, la nullité qu’il prévoit vise uniquement à sanctionner la violation de toute clause statutaire ayant pour objet la cession d’actions librement consentie par leur titulaire.” (Cour de cassation, Commercial Chamber, 21 June 2023, appeal no. 21-25.952, official record of decision 21-25.952 on Légifrance).

Two lessons follow for investors drafting from abroad. First, nullity under Article L. 227-15 punishes only the violation of statutory clauses governing voluntary sales; it does not govern exclusion and the forced transfer that results from it. If your exit architecture relies on exclusion mechanics, secure them with their own contractual sanctions rather than counting on statutory nullity. Second, and symmetrically, a well-drafted private buy-sell promise survives alongside the statutory exclusion regime instead of being struck down by it. The decision is also a warning about symmetry of information: the dispute turned on the interplay between two documents, the statuts and the pacte, so keep them consistent. A promise in the pacte that contradicts an approval clause in the statuts hands your opponent the nullity argument.

Breaching the private pacte itself triggers contract-law sanctions, which is why the clause design in the first part matters. Where a shareholder sells to an outsider despite a right of first refusal, Article 1123 of the Civil Code provides that “Lorsque le tiers connaissait l’existence du pacte et l’intention du bénéficiaire de s’en prévaloir, ce dernier peut également agir en nullité ou demander au juge de le substituer au tiers dans le contrat conclu.” In practice, notify the pacte to potential buyers early and in writing: substitution requires showing the third party knew of the agreement and of your intent to rely on it, and a buyer who can credibly claim ignorance keeps the shares while you are left claiming damages. The same knowledge condition protects promises to sell: Article 1124 of the Civil Code states that “Le contrat conclu en violation de la promesse unilatérale avec un tiers qui en connaissait l’existence est nul.” Damages for the loss suffered remain available in all cases, and a contractual penalty clause with a dissuasive, pre-agreed amount often recovers faster than a debated loss, especially when you litigate from another country and every procedural step costs time.

Distance also affects evidence. French courts decide on documents, so organise yours before any conflict: signed pacte with proof of receipt by each party, written notifications of triggers and exercise of options, and a complete chain of correspondence. Where deadlock hardens into a lasting blockage, exit and exclusion routes exist but follow their own strict conditions, as explained in this analysis of fifty-fifty deadlock in a French SAS, from tie-break and buyout to exclusion and dissolution. The pacte you sign today should name those paths explicitly rather than leaving them to a future fight.

B. Making the transfer effective against the company and the tax office when you sign from abroad

Winning the contractual argument is not enough: the transfer must become enforceable against the company and registered with the tax administration, and both steps have traps for non-resident shareholders. Under French practice, as the official Service-Public explainer for SAS share sales confirms: enforceability against the company comes from entry in the securities movement register together with updating the individual accounts of associates. (Service-Public, Sale of shares in a SAS/SASU, official English version). The registre des mouvements de titres, the securities movement register kept by the company, must record the transfer with the details the same page lists, and each shareholder’s individual account must be updated. A buyer who paid but is not entered in the register cannot exercise shareholder rights, vote or receive dividends, so make registration a condition subsequent of payment in your pacte, with a power of attorney allowing your Paris counsel or the company secretary to complete it if the seller stalls.

The second step is fiscal. The same official page states that once the transfer is completed, the parties must register it with the competent company Tax Office (SIE) and pay the registration fee. The SIE, the service des impôts des entreprises, is the company tax office of the transferee’s or transferor’s place of residence, and registration duties apply to the price. Foreign investors sometimes assume a private deed signed abroad escapes French registration; it does not, and the official impots.gouv.fr FAQ on online declaration of transfers of corporate rights, linked from that same page, organises the filing. Budget the duty in the price mechanics of your pacte by stating expressly who bears it, because silence on this point produces exactly the post-closing dispute an agreement is meant to prevent.

Where the exit involves amending the statuts, for example to record a new allocation of share classes after preference shares are created or cancelled, the amendment must be filed and published so that third parties, banks and future buyers read the current capital on the Kbis. Filings run through the single online portal, and companies registered in Paris deal with the Paris commercial court registry, the busiest greffe in France, where processing queues reward files lodged complete the first time. Build the filing package before closing: updated statuts, minutes of the collective decision, the registered transfer deed and proof of publication in a legal notices journal. An investor signing from abroad should grant a specific written authority to a person in France for these filings, separate from the general corporate powers, so that a disgruntled seller cannot paralyse the paperwork after cashing the price.

Three drafting habits tie the whole structure together. First, align the pacte with the statuts clause by clause, so that no promise can be attacked as contradicting the articles. Second, choose French law and a French forum expressly, and consider an expert-determination clause for price disputes, which resolves faster than a full trial. Third, calendar every option window, notification period and cure period in one schedule annexed to the agreement, with email addresses monitored daily on both sides. The Cour de cassation decision discussed above shows that courts read these documents literally: the thirty-day cure period and the double promise to buy or sell at an agreed price decided the outcome. Precision is not style; it is the substance of your protection.

Conclusion

A stake in a French SAS is worth what its transfer clauses allow it to be worth. The statuts supply the heavy tools, lock-up within ten years, prior approval, exclusion and change-of-control provisions, adopted and amended under the unanimity or majority rules the law assigns to each. The private pacte supplies the tailored tools, rights of first refusal enforceable by substitution against buyers who knew of them, put and call promises that survive attempted withdrawal, expert price mechanics and preferred-share economics. The Cour de cassation enforces the boundary between the two documents strictly: statutory nullity punishes violations of clauses governing voluntary sales, not exclusion mechanics, so each promise needs its own sanction. Registered in the securities movement register and declared to the company tax office, the exit becomes effective against everyone.
