The company is registered, the Kbis (the official identity card of a French company, issued by the greffe, the clerk’s office of the commercial court) is in your inbox, and then a letter arrives from URSSAF (the union for the collection of social security contributions and family allowances, the body that collects French social charges). It speaks of affiliation, contributions and a bill to pay, even though you drew no salary and you do not live in France. This article answers the two questions every foreign director asks at that moment: which French social regime covers you, and what does it really cost you, salary against dividends. The starting point is the company itself, described in our guide to setting up a company in France as a foreign founder. The rest follows from statutes verified on 18 October 2026 and two court decisions of 2025 that draw the exact line between the regimes.

I. Which French social regime covers you when you direct your company from abroad

A. President of a SAS or SASU: the “assimilated employee” in the general scheme

French social security affiliation does not depend on your passport or your address. In plain terms, whatever your nationality and wherever you work, a French corporate office can pull you into the French general scheme. Living abroad does not exempt you; at most, European coordination rules or a bilateral agreement may shift the answer in cross-border situations, and that point must be checked individually before you assume that French affiliation does not apply to you.

For the president of a SAS, the text that decides is article L311-3 of the Social Security Code, whose paragraph 23 provides: “23° Les présidents et dirigeants des sociétés par actions simplifiées et des sociétés d’exercice libéral par actions simplifiées ;”. The president and the senior officers (directeurs généraux) of a SAS are therefore compulsorily affiliated to the general scheme as what French practice calls “assimilés salariés”, literally assimilated employees. No employment contract is required and none is presumed: the affiliation flows from the corporate office itself. The person vested with the widest powers to bind the company is also the person the social security system wants to see affiliated.

The Cour de cassation confirmed the logic from the other side on 5 June 2025 (Second Civil Chamber, appeal no. 23-13.887, decision available here). The case concerned the president of a supervisory board whose pay URSSAF had reassessed, and the Court recalled: “Selon l’article L. 311-3, 23°, du code de la sécurité sociale, dans sa rédaction applicable au litige, sont obligatoirement affiliés aux assurances sociales du régime général les présidents et dirigeants des sociétés par actions simplifiées et de sociétés d’exercice libéral par actions simplifiées.” It then drew the boundary: “ayant pour seule mission de contrôler les organes de direction de la société sans en assumer la gestion, les membres du conseil de surveillance ne sont en principe pas affiliés aux assurances sociales du régime général, sauf à démontrer qu’ils exercent en réalité une fonction de direction.” Supervisory board members, whose only mission is to control management without managing, are in principle not affiliated, unless URSSAF proves they actually performed a management function. Read in reverse, the lesson for a foreign founder is direct: if you actually direct the SAS, affiliation is the rule, and only a purely controlling role escapes it. In that case the Court upheld the reassessment because the person was listed in the BODACC (the official bulletin of civil and commercial announcements, where company appointments are published) as a person habitually empowered to bind the company, was declared as a director on the M2 modification form, and held a decisive vote on major investments. Public filings therefore feed URSSAF controls: what you declare at the registry can be used against you in a reassessment.

The practical content of the assimilated-employee regime is described by the French administration itself: the president of a SAS is treated as an employee-equivalent covered by the general social security system, with contributions mirroring those of an executive employee except for unemployment insurance, as explained on the official service-public page on SAS social contributions. The official guidance adds the points foreign founders most often miss: since the director is not entitled to unemployment insurance, no unemployment contribution is paid, as the official service-public page on SAS social contributions explains, and contributions are computed on income actually paid and declared through the DSN. The contrast with the self-employed regime is stark: URSSAF recalls that with low or deficit income, minimal contributions remain due for basic retirement, disability and death cover, daily allowances and professional training. Concretely, an unpaid SAS president costs the company nothing in social charges on the salary track, while a paid one costs roughly what an executive employee costs, minus unemployment insurance. That zero-cost-unpaid feature is the single biggest reason foreign founders who keep their income abroad choose the SAS.

B. Manager of a SARL or EURL: majority means self-employed, minority means assimilated employee

The SARL works differently because the manager’s social regime depends on the shareholding. Only the minority or equal-share manager (gérant minoritaire ou égalitaire) joins the general scheme as an assimilated employee. The shares of a spouse, civil partner and minor children count toward the manager’s holding, so a founder who splits shares inside the family can tip into the majority without realising it. Company law confirms who the manager is: article L223-18 of the Commercial Code states that “La société à responsabilité limitée est gérée par une ou plusieurs personnes physiques.” and that “Dans les rapports avec les tiers, le gérant est investi des pouvoirs les plus étendus pour agir en toute circonstance au nom de la société, sous réserve des pouvoirs que la loi attribue expressément aux associés.”

The majority manager belongs to the independent workers’ universe. Article L611-1 of the Social Security Code opens the book on self-employed persons with: “Le présent livre s’applique aux personnes suivantes : 1° Les travailleurs non salariés qui ne sont pas affiliés au régime mentionné au 3° de l’article L. 722-8 du code rural et de la pêche maritime ;”. The same page warns that with low or deficit income, minimal contributions remain due for basic retirement, disability and death cover, daily allowances and professional training. The self-employed regime therefore never costs zero.

The Rennes Court of Appeal applied these rules bluntly on 14 May 2025 (RG 23/06292, decision available here) against a co-manager who argued that he had resigned years earlier. A resignation letter handed to a co-partner proved nothing, the court held, because the Kbis extract still showed the joint management and the legal publication formalities had never been completed. The activity is deemed to continue until the end of the calendar quarter in which it actually ends, regardless of any dormancy of the company. Then came the sentence foreign founders should memorise: “le gérant majoritaire d’une SARL est considéré comme un travailleur indépendant par la législation sociale et qu’il est tenu, même en l’absence de revenus professionnels, au paiement des cotisations forfaitaires minimales prévues par ce régime (Soc. 28 mai 1998, pourvoi n 96-20.917, Bull.,V, n° 289)”. Even with zero professional income, the majority manager owes flat minimal contributions, a solution the court traces to a 1998 Cour de cassation ruling. Being separately affiliated as an employee elsewhere changes nothing. For a foreign founder, the message is that creating a SARL in which you hold the majority, then leaving it dormant while living abroad, still generates an annual URSSAF bill until your departure is properly published and registered.

II. What you pay, what you file and how you fight an URSSAF bill from abroad

A. Salary or dividends: the real cost comparison for a foreign founder

Once the regime is identified, the choice between paying yourself a salary (rémunération) and taking dividends is a cost comparison, and the two tracks obey different texts. Contributions therefore attach to the periods to which the activity income is allocated, and the company withholds and pays them through the DSN (déclaration sociale nominative, the monthly online payroll return), due by the 15th of the following month according to the official service-public guidance for SAS companies. Salary has a tax counterpart: article 62 of the General Tax Code provides that “Les traitements, remboursements forfaitaires de frais et toutes autres rémunérations sont soumis à l’impôt sur le revenu au nom de leurs bénéficiaires s’ils sont admis en déduction des bénéfices soumis à l’impôt sur les sociétés par application de l’article 211 , même si les résultats de l’exercice social sont déficitaires”, for the managers it lists. A regularly voted salary is therefore deductible from the company’s corporate-tax base (IS, impôt sur les sociétés) even in a loss-making year, while generating personal income tax and full social cover for the director, except unemployment insurance.

Dividends follow the other track. Dividends are investment income (revenus de capitaux mobiliers) and, for a director who is a French tax resident, they bear the CSG (contribution sociale généralisée, the general social levy) and the CRDS (contribution au remboursement de la dette sociale, the social-debt repayment levy) on that patrimony track, on top of income tax. For the unpaid SAS president, dividends are therefore the natural way to extract profit without triggering the heavy general-scheme contributions, since no minimal contribution exists in that regime. For the majority SARL manager, the arbitrage is narrower: URSSAF includes a share of dividends in the independent worker’s base, as recalled above, so dividends partly loop back into contributions, and minimal contributions apply in any event. Non-resident founders add a third layer, withholding tax and treaty relief, which must be examined country by country and is outside the scope of this article.

In practice the decision matrix looks like this. If you direct a SAS from abroad and need no French social cover, take no salary and extract profit as dividends: the contribution cost is zero on the salary track and limited to the patrimony levies on the dividend track, subject to your country of residence. If you need French health, retirement and daily-allowance cover, vote yourself a salary, issue payslips and file the DSN: you pay executive-level contributions without unemployment cover, and the salary is deductible at company level. If you chose a SARL with a majority holding, budget for the independent worker’s contributions every year, including minimal flat amounts in zero-income years, and know that part of your dividends feeds the same base. Whatever the vehicle, two traps must be avoided: cumulating a sham employment contract with your office in the hope of gaining unemployment cover, which Pôle emploi and URSSAF examine strictly, and leaving a dormant company unmanaged, since the Rennes ruling shows that contributions run until your exit is published, not until you stop working.

B. Registration, monthly filings and challenging a reassessment from Paris or from abroad

Affiliation starts with registration: the director’s appointment is filed with the company formalities, published, and reflected on the Kbis, and URSSAF opens the collection account from those filings. The company’s payroll then runs through the DSN each month, with declaration and payment due no later than the 15th of the following month under the official service-public guidance, quarterly filing being an option for small headcounts. From abroad, the operational discipline is simple: keep the registered office address (siège social) actually monitored, because every formal notice goes there; calendar the DSN even in months with zero pay, since a missing return triggers estimates; and keep the assembly minutes that fix your remuneration, because URSSAF asks for them in every control and the Cour de cassation treated the annual fixing of pay as one indicator of real management.

When URSSAF disagrees, the procedure is written and strict. The formal notice (mise en demeure) must state its case precisely: article R244-1 of the Social Security Code provides that “L’avertissement ou la mise en demeure précise la cause, la nature et le montant des sommes réclamées, les majorations et pénalités qui s’y appliquent ainsi que la période à laquelle elles se rapportent.” Any notice that omits the cause, nature, amount or period is vulnerable. If the notice remains unpaid, article R133-3 of the Social Security Code continues: “Si la mise en demeure ou l’avertissement reste sans effet au terme du délai d’un mois à compter de sa notification, les directeurs des organismes créanciers peuvent décerner, dans les domaines mentionnés aux articles L. 133-8-7 , L. 161-1-5 ou L. 244-9 , une contrainte comportant les effets mentionnés à ces articles.” The creditor therefore has one month after notification before issuing the enforceable constraint (contrainte), which is then served by a judicial officer or notified by a means proving its date of receipt. From abroad, do not let that month expire while mail piles up at an unmonitored seat: the Rennes case shows that a notice sent to the company’s address and signed for there can be held valid as sent to the debtor’s effective correspondence address known to the fund, so an unmonitored seat is a default judgment waiting to happen.

Challenges follow three levels. First, attack the notice itself: missing cause, nature, amount, period, or surcharges, and late or irregular service. Second, attack the affiliation: for a SAS supervisory role, invoke the 2025 Cour de cassation boundary and deny any real management function, forcing URSSAF to prove actual direction rather than a bare title; for a SARL, prove minority status with the full share register including family holdings, or prove that your term ended with published filings and an updated Kbis, since a private resignation letter changes nothing on its own. Third, attack the amounts: zero-pay SAS president means zero contributions on the salary track; majority SARL manager means checking that only the proper base, including the correct dividend share, was used. For founders based in Paris and the Île-de-France region, collection is handled by the regional URSSAF and disputes go to the Paris judicial court in its social-protection division, while the company’s Kbis and published appointments come from the Paris commercial court registry; keeping those three addresses aligned, the seat, the payroll contact and the legal correspondence address, prevents most defaults. None of this requires your presence in France: a representative can file the opposition, plead from the documentary record and negotiate a schedule, provided the file is complete before the constraint is served.

Conclusion

Directing a French company from abroad does not place you outside French social security; it places you in one of two precisely defined boxes. President of a SAS, you are an assimilated employee in the general scheme, with executive-level contributions on any salary, no unemployment cover and no bill at all if you take no pay. Majority manager of a SARL, you are an independent worker, with contributions on professional income plus part of your dividends and minimal flat amounts even in zero-income years, until your exit is published. Salary buys cover and deductibility, dividends buy lightness, and the formal notice procedure gives you one documented month to react before constraint. Identify your box on the day of appointment, file accordingly every month, and meet any URSSAF letter with the texts and the 2025 decisions in hand rather than with silence from abroad.

Appointed president of a French SAS or manager of a SARL while living abroad, you face French social charges.
