Then the agent sends you a draft lease in French, nine years long, with words like congé, pas-de-porte and indemnité d’éviction — and you are expected to sign it from abroad. French law treats the commercial lease (bail commercial) as a protective statute: most of its rules apply even if the contract says otherwise, the tenant can walk away every three years but the landlord generally cannot, and leaving or renewing on the wrong date can cost you the value of the business itself. This guide explains, in English and for a foreign decision-maker, which lease French law will impose on your office, what to check and negotiate before signing from abroad, how the rent moves during the lease, and how to renew, assign or exit without losing money. Every legal rule below is drawn from the texts and court decisions cited inline, so you can forward the links to your French counsel.

I. Before you sign: getting the right lease and the right premises

A. Which lease French law will impose on your French office

The protective statute of commercial leases covers, in the words of the law itself, leases of buildings or premises in which a business (fonds) is operated, whether that business belongs to a trader or industrialist registered with the trade and companies register or to a craft business registered nationally. The official text states: « I. – Les dispositions du présent chapitre s’appliquent aux baux des immeubles ou locaux dans lesquels un fonds est exploité ». Two acronyms matter here. The RCS (registre du commerce et des sociétés) is the French company register, and the Kbis is the official extract that proves your company exists — the French equivalent of a certificate of incorporation, issued by the greffe, the registry office of the commercial court. If your French entity will run a genuine commercial activity from the premises and is registered at the RCS, the statute normally applies automatically, whether or not the contract mentions it.

The default product is the famous 3-6-9 lease. The statute provides that « La durée du contrat de location ne peut être inférieure à neuf ans » — the lease cannot last less than nine years — while « le preneur a la faculté de donner congé à l’expiration d’une période triennale, au moins six mois à l’avance, par lettre recommandée avec demande d’avis de réception ou par acte extrajudiciaire ». In plain English: nine years for the landlord, with the tenant entitled to leave at the end of year three or year six on six months’ notice. That asymmetry surprises many foreign founders. It means you cannot be locked in for nine years against your will under a standard lease, but it also means the landlord cannot recover the premises at year three or six simply because the market has moved — the landlord’s early termination rights are limited to specific cases such as rebuilding, listed in the same article.

Paris practice adds one important nuance. The same article allows contrary stipulations for certain categories, stating that « les baux des locaux à usage exclusif de bureaux […] peuvent comporter des stipulations contraires » — leases of premises used exclusively as offices may contain terms that depart from the default rules. Many Paris office deals for foreign groups are therefore structured as office-use leases with a firm duration and no automatic triennial exit. Read the permitted-use clause (destination des lieux) first: if it says exclusive office use, check which default protections the draft removes, because each removal is a negotiation point on rent, duration and exit, not a detail.

For a soft landing, the parties may use a short-term lease that opts out of the statute. The law provides that « Les parties peuvent, lors de l’entrée dans les lieux du preneur, déroger aux dispositions du présent chapitre à la condition que la durée totale du bail ou des baux successifs ne soit pas supérieure à trois ans ». This bail dérogatoire is capped at three years in total, and if you stay on with the landlord’s acceptance past that point, a full commercial lease arises automatically. Foreign companies often use it to test the Paris market for eighteen or twenty-four months before committing. If that is your plan, diary the expiry date from day one: holding over converts you into the nine-year regime, which may be exactly what you want — but it should be a decision, not an accident.

One threshold question comes before all of this: who signs. A French landlord will normally ask for a French tenant — your SAS (société par actions simplifiée, the flexible French company form most foreign founders choose) or your registered branch — rather than the foreign parent alone. If you have not yet created the vehicle, read our setup guide on setting up a company in France as a foreign founder, from bank account to Kbis, VAT and first hire before you countersign anything: the name on the lease determines who owes the rent, who holds the renewal right, and whose Kbis the landlord will check.

B. What to verify and negotiate in the premises, the rent and the fine print

Signing from abroad magnifies every factual risk, because you cannot walk the premises the week before handover. French law gives you one essential tool: the handover report. The statute requires that « un état des lieux est établi contradictoirement et amiablement par le bailleur et le locataire ou par un tiers mandaté par eux » — an inventory of condition drawn up jointly by landlord and tenant or by a person they appoint — both when you move in and when you leave. If it cannot be drawn up jointly, it is prepared by a court officer at shared cost, and a landlord who made no effort to arrange one cannot rely on the legal presumption that you received the premises in good repair. From abroad, mandate someone in Paris — your counsel, the agent, or a court officer (commissaire de justice, the merged profession that replaced huissiers de justice) — to attend with a camera and a moisture meter. Paris offices in Haussmann buildings hide expensive surprises: single-glazed windows behind listed facades, shared heating columns you cannot adjust, and noisy ventilation that makes open-plan work miserable. The handover report is your only evidence five years later.

Next, demand the statutory breakdown of charges and taxes. Every lease must contain, in the words of the law, « un inventaire précis et limitatif des catégories de charges, impôts, taxes et redevances liés à ce bail, comportant l’indication de leur répartition entre le bailleur et le locataire » — a precise and exhaustive list of charges, taxes and fees with their allocation between landlord and tenant — followed by an annual summary and, every three years, a forecast statement. Two French taxes routinely blindside foreign tenants. The taxe foncière is the property tax billed to the owner but very often passed to the tenant by the lease, and the CFE (cotisation foncière des entreprises) is the local business tax your French company will pay in its own name each year. Ask for the last three years of taxe foncière bills and the building’s charge accounts before you sign, and have the allocation table translated line by line: in Paris, recoverable charges plus passed-on property tax can add twenty to thirty percent on top of the headline rent.

Negotiate the entry money with open eyes. Paris landlords frequently ask for a pas-de-porte (key money, a lump sum paid on signature) or a droit au bail (payment for taking over an existing lease), alongside a security deposit that commonly equals three to six months’ rent. The statutes verified for this article set no fixed ceiling for the commercial-lease deposit, so treat the figure as negotiable and have its amount, its return date and its set-off conditions written into the lease itself. Similarly, if the draft indexes the rent to the ILC (indice des loyers commerciaux, the commercial-rents index) or the ILAT (indice des loyers des activités tertiaires, the office-activities index), ask for the full history of the chosen index and a cap on annual increases: indexation compounds quietly, and a lease signed in a low-inflation year can become painful three revisions later, as explained in section II below.

Finally, collect the building file: the energy performance diagnostic (DPE, diagnostic de performance énergétique), the risk and pollution statements, and proof that the premises are authorised for office use under Paris planning rules. Tertiary buildings are now subject to tightening energy-consumption obligations, and works to comply can trigger disputes about who pays. A landlord who delays producing these documents is telling you something. From abroad, make countersignature conditional on receiving the full file by a fixed date, with a walk-away right if it does not arrive — a clause your French counsel can draft in one paragraph and that saves months of argument later.

II. Living with the lease and leaving it from abroad

A. Paying and adjusting the rent: charges, indexation, three-year revision and arrears

Once installed, your rent can move through three channels: the annual indexation clause, the three-year statutory revision, and the renewal at the end of the lease. The guiding principle for the last two is set by statute: « Le montant des loyers des baux renouvelés ou révisés doit correspondre à la valeur locative » — renewed or revised rents must reflect the rental value. Failing agreement, that value is assessed on the characteristics of the premises, the permitted use, the parties’ respective obligations, local commerciality factors and neighbouring rents. The Court of Cassation confirmed the method in a 2022 ruling, holding that « le montant des loyers des baux renouvelés ou révisés doit correspondre à la valeur locative. A défaut d’accord, cette valeur est notamment déterminée d’après les caractéristiques du local considéré » (Cass., 3rd civil chamber, 11 May 2022, appeal no. 20-21.651). For a foreign tenant, the practical lesson is that French rent disputes are evidence-heavy: keep every record of the premises’ defects, footfall, works and neighbourhood comparables, because the judge who one day fixes your rent will reason from that file, not from the London or New York market.

Turnover rents deserve special attention, since Paris landlords of retail and restaurant premises propose them regularly. In other words, a turnover-based rent with a guaranteed minimum does not shut the door to the commercial-rents judge at renewal. If your Paris deal includes a percentage-of-turnover element, define precisely which turnover counts — French versus worldwide, online orders collected in store, intra-group invoicing — because your French subsidiary’s accounts will be the battleground, and the URSSAF (the social-security collection agency) and the tax authorities read the same numbers for their own purposes.

The three-year revision is the channel most tenants discover too late. The statute provides that « La demande en révision ne peut être formée que trois ans au moins après la date d’entrée en jouissance du locataire ou après le point de départ du bail renouvelé » — no revision claim sooner than three years after possession or the renewed lease’s start — and that the revised rent takes effect from the date of the revision demand, with further demands possible every three years. The same article caps the resulting increase by reference to the commercial or tertiary rents index, unless a proven change in local commerciality factors moved the rental value by more than ten percent. Two consequences follow for a tenant managed from abroad. First, calendar the three-year windows from the lease start date: either side can pull the trigger, and the demand letter’s date fixes the money. Second, answer every revision demand in writing within the lease’s time limits, even to say you disagree — silence is routinely read as weakness when the file later reaches the rents judge.

If cash runs short, French procedure is formal and unforgiving, but it gives a reacting tenant one clear shield. The law states that « Toute clause insérée dans le bail prévoyant la résiliation de plein droit ne produit effet qu’un mois après un commandement demeuré infructueux » — a forfeiture clause takes effect only one month after a formal demand to pay (commandement de payer) has gone unheeded. The demand must mention that one-month period on pain of invalidity, and the courts can grant payment delays and suspend the clause where the tenant shows it can clear the arrears and resumes paying the current rent in full. Do not test this from a distance: the moment a commandement arrives at your Paris office, instruct French counsel that week, pay the current rent immediately, and propose a documented arrears schedule. Judges help tenants who behave like tenants; they do not help empty offices.

B. Renewing, assigning or walking away: notice, eviction compensation and the Paris route

Every ending starts with a date, and French law sets the defaults. The statute provides that « les baux de locaux soumis au présent chapitre ne cessent que par l’effet d’un congé donné six mois à l’avance ou d’une demande de renouvellement » — the lease ends only through notice given six months ahead or a renewal request — and that without either, a written lease continues by tacit extension, during which notice must still be given six months ahead for the last day of a calendar quarter. The notice (congé) must be served by a court officer’s act (acte extrajudiciaire) stating its grounds, on pain of invalidity. From abroad, this is where files die: an email to the agent is not a congé, a letter posted five months and three weeks before expiry is late, and a notice served on the wrong entity is void. Instruct a Paris commissaire de justice in writing, with the exact lease reference and the desired end date, at least eight months before expiry, and demand the stamped proof of service the same day.

The mirror image is the renewal request. The tenant that wants renewal must ask for it, in the words of the law, « soit dans les six mois qui précèdent l’expiration du bail, soit, le cas échéant, à tout moment au cours de sa prolongation » — within the six months before expiry or at any time during the tacit extension — by court officer’s act or registered letter with acknowledgment of receipt, reproducing the statutory warning paragraph on pain of invalidity. But renewal is not automatic: it belongs, as the Court of Cassation recalled in a 2026 decision, to the owner of the business actually operated there, since « le droit au renouvellement du bail ne peut être invoqué que par le propriétaire du fonds qui est exploité dans les lieux », and the business must, absent legitimate reasons, have been effectively operated during the three years before expiry (Cass., 3rd civil chamber, 1 October 2026, appeal no. 24-21.463). A Paris representative office that never traded, an SAS whose activity was moved to Dublin for two years, or premises left empty behind a domiciliation plaque can therefore lose the renewal right altogether. Keep the business genuinely running — staff, invoices, till records — through the final three years if renewal matters to you.

The landlord’s refusal to renew is where foreign tenants either recover the value of their Paris establishment or lose it. Refusal without compensation is allowed only on narrow grounds, notably a serious and legitimate reason against the outgoing tenant — and even then, for breach of an obligation or unexplained shutdown, the breach must have continued more than one month after a formal demand to stop it, served by court officer’s act stating the ground. That is the rule of article L. 145-17 of the Commercial Code, applied strictly by the courts. Where none of those grounds exists, refusal triggers the indemnité d’éviction — eviction compensation covering the loss caused by non-renewal, typically the market value of the business or the cost of relocation plus proven losses. The Court of Cassation sharpened this protection in January 2024, holding that « un congé avec une offre de renouvellement du bail à des clauses et conditions différentes du bail expiré, hors le prix, doit s’analyser comme un congé avec refus de renouvellement ouvrant droit à indemnité d’éviction », because « le renouvellement du bail commercial s’opère aux clauses et conditions du bail venu à expiration, sauf le pouvoir reconnu au juge en matière de fixation de prix » (Cass., 3rd civil chamber, 11 January 2024, appeal no. 22-20.872). A landlord who offers renewal while quietly shrinking your space or rewriting your obligations is legally refusing renewal — and owes you compensation. Have every renewal offer reviewed clause by clause before answering.

Selling or restructuring can carry the lease with it. Clauses that forbid assigning the lease to the buyer of the business are deemed unwritten: the statute protects transfer to the purchaser of the fonds de commerce and, in mergers and demergers, substitutes the surviving or beneficiary company in the lease by operation of law — see article L. 145-16 of the Commercial Code. For a foreign group, this means a Paris lease survives most intra-group reorganisations, but the landlord’s personal guarantee clause (garantie solidaire of the assignor) must be checked: if the guarantee can no longer operate as agreed, the court may set substitute terms. Negotiate that guarantee’s duration at signature — Paris landlords often demand the outgoing tenant guarantee the newcomer for the full remaining term — and align it with the price of the business sale, since the guarantee is part of what the buyer pays for.

Paris adds its own layer of practical specifics. Service of notices and handover reports runs through court officers whose offices cover the arrondissement; rent litigation goes to the commercial-rents judge at the Paris judicial court (tribunal judiciaire de Paris), where English-language exhibits need certified French translations; and any change of the SAS’s registered address after a move must be filed with the Paris company registry (greffe du tribunal des activités économiques de Paris) and published to the BODACC (the official bulletin of civil and commercial announcements) before banks and the tax office recognise it. Build a Paris file from day one — lease, amendments, handover reports, charge statements, tax bills, service proofs — held by your French counsel or your Paris director, not in a mailbox nobody opens. And when the draft lease lands in your inbox at midnight, remember the sequence this article has followed: confirm the vehicle and the use clause, commission the handover report, lock the charges table, diary the three-year and six-month dates, and never let an email do the work of a court officer’s act. The official overviews on the commercial lease contract, terminating a commercial lease, setting and revising the rent and renewal or tacit extension give the administration’s own summary of each step.

Conclusion

A Paris office lease rewards the foreign tenant who treats it as a regulated asset rather than a rental contract. The nine-year framework with its triennial exits, the mandatory handover report and charges inventory, the rental-value standard policed by the rents judge, and the eviction compensation that prices a refusal to renew form one coherent system: it protects the business you build in the premises, provided you serve the right act, on the right person, before the right date. Signed carefully, the 3-6-9 lease gives a foreign company nine years of stability with departure doors every three; signed blindly from abroad, the same document converts missed notices and undocumented premises into disputes you litigate in French, in Paris, years later. Start from the documents cited in this guide, keep the Paris file current, and make each deadline a board-level date rather than an agent’s reminder.

Signing a French office lease from abroad?
