The bank account in France is nearly empty, reminders are piling up at the registered office (siège social), and your accountant (expert-comptable) mentions cessation des paiements. In French law, this expression is not a vague description of difficulty: it is a precise legal state that triggers a strict personal duty for you as director (dirigeant), even if you run the company from London, New York, Dubai, or Singapore. This article explains, for a foreign founder or foreign parent company managing a French subsidiary from abroad, how to recognise cessation des paiements, how to file the declaration (dépôt de bilan) within the 45-day time limit at the right court, which rescue or liquidation proceedings the court can open, and what you personally risk — payment of the shortfall out of your own pocket, a ban on managing companies, and personal bankruptcy — if you file late or manage the crisis badly. Every French acronym is explained, and every decisive legal statement is anchored to the statute or court decision that says it.

I. Your French Company Has Stopped Paying: How to Recognise Cessation des Paiements and File Within 45 Days

French insolvency law (droit des entreprises en difficulté) is built on one gateway concept: cessation des paiements, usually translated as insolvency or the inability to pay debts as they fall due. Whether you can still use confidential rescue tools or must file for a court-led proceeding depends entirely on whether your company is in that state, and since when. A director living abroad is held to exactly the same standard as a director living in Paris: distance is never an excuse.

A. What Cessation des Paiements Means and How the Court Dates It

A company is in cessation des paiements when it cannot meet its due liabilities (passif exigible) with its available assets (actif disponible). Article L. 631-1 of the Commercial Code (Code de commerce) opens the judicial recovery proceeding (redressement judiciaire) to any debtor who, “dans l’impossibilité de faire face au passif exigible avec son actif disponible, est en cessation des paiements”. In plain English: if the money immediately available — cash, bank balances, receivables payable at once — cannot cover the bills already due — suppliers, rent, wages, VAT, URSSAF social charges (URSSAF being the body that collects employers’ social security contributions) — the company is in cessation of payments, whatever the value of its long-term assets, stock, or equipment.

Two refinements matter enormously for a foreign-run company. First, credit lines and payment deferrals count. The same article provides that “Le débiteur qui établit que les réserves de crédit ou les moratoires dont il bénéficie de la part de ses créanciers lui permettent de faire face au passif exigible avec son actif disponible n’est pas en cessation des paiements”. A confirmed overdraft facility, an unused credit reserve from your bank, or a written payment moratorium granted by a creditor can therefore take the company out of the danger zone — but only if they are real and documented. A vague promise from your foreign parent company to wire funds one day is neither a credit reserve nor a moratorium, and a court will not treat it as one. Second, the test is purely cash-flow based: a profitable group, a valuable lease, or a parent company willing to inject money later does not change the analysis if the French company’s own available cash cannot pay what is due today.

Crucially, it is the court — not you, not your accountant — that fixes the date of cessation of payments in the opening judgment. That date is the starting point of the 45-day clock and of the suspect period (période suspecte) during which certain payments and securities can be cancelled, so backdating or understating it has direct legal consequences. This is why your internal records matter: bank statements, the aged creditor listing (balance âgée), URSSAF and tax reminders, bailiff writs (commandements de payer), and the dates on which each debt fell due allow the court — and your lawyer — to reconstruct when available assets stopped covering due liabilities. If you live abroad, organise this evidence now through your accountant and the company’s online banking: by the time the court asks, the date will be fixed with or without your input.

The practical lesson of this first step is simple. Ask your accountant every month for a short-answer cash position: which debts are due within the next 30 days, and which immediately available funds cover them. The week the answer turns negative and no documented credit reserve or moratorium covers the gap, the 45-day clock described below has started, whether or not anyone has said the words cessation des paiements out loud.

B. The 45-Day Filing Duty: Where, How, and What Alternatives Remain Open

Once cessation of payments is established, the director must request the opening of a judicial recovery proceeding within 45 days. This 45-day period is the single most important deadline in French insolvency law for a director: missing it does not merely delay the proceeding, it exposes you personally, as the second part of this article explains.

The filing — still commonly called dépôt de bilan, the filing of the balance sheet — is made using the official form (Cerfa no. 10530) at the registry (greffe, the court’s administrative office) of the competent court. For a commercial company (SARL, SAS, SASU), that is the commercial court, and since the 2025 reform, progressively the new economic activities court (tribunal des activités économiques, TAE); for civil companies it is the judicial court. The competent court is the one of the place of the registered office, so a company seated in Paris files at the Paris court — the greffe of the Paris TAE explains the local filing route on its own procedure page (Paris TAE registry: declaring cessation of payments). The official Service-Public guidance for businesses confirms the same framework: once the state of cessation of payments is established, the company must file the declaration form within 45 days with the registry of the competent court (Service-Public: déclaration de cessation des paiements (dépôt de bilan)). Living abroad changes nothing about this duty: you can mandate a French lawyer (avocat) with a written power of attorney to prepare and file the declaration, and the company’s accountant typically assembles the compulsory attachments — the latest accounts, the statement of debts and claims, the cash position, and the list of employees. What you cannot do is wait until your next trip to France.

On the form, the director chooses between requesting redressement judiciaire (recovery, aimed at continuing the business under a court-supervised plan) and liquidation judiciaire (winding up) if the situation is manifestly beyond rescue. If recovery is still conceivable, filing early is always the better option: the court can only save what still exists. One alternative within the 45 days deserves attention: conciliation (conciliation), a confidential negotiation conducted under a court-appointed conciliator. Article L. 611-4 of the Commercial Code makes conciliation available to commercial debtors in proven or foreseeable difficulty who “ne se trouvent pas en cessation des paiements depuis plus de quarante-cinq jours” — so a company that has been unable to pay for less than 45 days can still seek a confidential deal with its main creditors instead of entering a public collective proceeding. Beyond that age of cessation, the door to conciliation closes and only the public proceedings remain. Note that safeguard (sauvegarde), the early confidential proceeding that restructures debts before any default, is reserved by Article L. 620-1 of the Commercial Code to a debtor who, “sans être en cessation des paiements, justifie de difficultés qu’il n’est pas en mesure de surmonter” — once cessation of payments is established, safeguard is no longer available, which is another reason not to let the situation drift.

Two warnings complete the picture. First, you are not the only one who can seize the court: Article L. 631-5 of the Commercial Code provides that “la procédure peut aussi être ouverte sur l’assignation d’un créancier, quelle que soit la nature de sa créance” — any creditor, including URSSAF or the tax administration, can summon your company into recovery proceedings. If the company has ceased activity, that creditor summons must come within one year, since the same article requires that “cette assignation doit intervenir dans le délai d’un an à compter de : 1° La radiation du registre du commerce et des sociétés” (the RCS being the trade and companies register that gives the company its legal existence, evidenced by the Kbis certificate). Second, filing for recovery is different from voluntarily closing a healthy company: if your company is still solvent, the route is voluntary dissolution and liquidation, described in our companion guide for foreign owners winding down a French subsidiary (Closing and Liquidating a French Subsidiary From Abroad). Choosing the solvent route when the company is in fact insolvent — for example by distributing the remaining cash to the foreign parent instead of filing — is precisely the kind of conduct courts punish under the personal sanctions examined below.

II. What the Court Does Next and What You Personally Risk as a Director Living Abroad

Filing on time does not make the difficulties disappear, but it changes their nature: from the opening judgment (jugement d’ouverture), creditors can no longer chase the company individually, and a court-supervised framework organises either rescue or orderly winding up. Filing late, by contrast, adds your personal liability to the company’s debts. Foreign directors are sometimes surprised to learn that French courts pursue them exactly like resident directors — including at an address abroad, as one of the decisions below shows with a director living in Switzerland.

A. After the Opening Judgment: Frozen Claims, Continued Business, and the Road to a Plan or Liquidation

The opening judgment immediately freezes individual creditor action. Article L. 622-21 of the Commercial Code provides that “Le jugement d’ouverture interrompt ou interdit toute action en justice de la part de tous les créanciers” seeking payment of a sum of money or termination of a contract for non-payment, and that “le jugement d’ouverture arrête ou interdit toute procédure d’exécution tant sur les meubles que sur les immeubles” — enforcement on movable and immovable property is stopped. Time limits that would otherwise extinguish or terminate rights are also frozen, since “Les délais impartis à peine de déchéance ou de résolution des droits sont en conséquence interrompus”. For a foreign owner, this breathing space is the main benefit of filing early: the Paris landlord cannot terminate the commercial lease for unpaid rent by itself, the supplier cannot seize the company’s equipment, and the bank cannot enforce its security, except through the collective proceeding.

What happens next depends on the proceeding. In redressement judiciaire, an observation period (période d’observation) opens, during which the business continues — the director generally stays in office, possibly alongside a court-appointed administrator (administrateur judiciaire) — while debts are verified and a recovery plan (plan de redressement) is prepared: rescheduling of liabilities, possible partial write-offs, and measures to keep jobs. Article L. 631-1 states the purpose plainly: the proceeding is designed to allow continuation of the business, maintenance of employment, and clearing of liabilities, through a plan ordered by judgment at the end of the observation period. If no serious rescue plan is possible, the court converts the recovery into liquidation judiciaire, the winding-up proceeding that Article L. 640-1 of the Commercial Code reserves to a debtor “en cessation des paiements et dont le redressement est manifestement impossible”: the company’s assets are sold together or separately by the liquidator (liquidateur judiciaire), employees are dismissed under the specific insolvency procedure with wage guarantee coverage (the AGS, the wage guarantee scheme, advances unpaid salaries), and creditors are paid in their legal ranking. The opening judgment is published, notably in the BODACC (the official bulletin of civil and commercial announcements), so banks, suppliers, and the Paris commercial ecosystem learn of it within days — another reason to file yourself, on your timetable, rather than be summoned by a creditor.

From abroad, your operational duties during the observation period or liquidation are real but delegable in their execution, never in their responsibility. You must remain reachable by the administrator or liquidator, hand over accounting records, bank access, contracts, and the list of creditors, and attend or be represented at court hearings (audiences). A French lawyer with a proper mandate can represent you, and videoconference appearance is increasingly accepted, but silence or disappearance is interpreted against you: courts treat an unreachable foreign director as an uncooperative one, and non-cooperation feeds directly into the personal sanctions of the next section. Keep one reflex: every request from a court-appointed officer gets a written answer within days, with documents attached, wherever you live.

B. Your Personal Exposure: Paying the Shortfall, Management Bans, and Personal Bankruptcy

Limited liability protects the shareholder, not the director. If the liquidation of your French company reveals debts exceeding assets — the shortfall (insuffisance d’actif) — the court can order you personally to pay all or part of it where a management fault (faute de gestion) contributed to that shortfall. Both directors in law (dirigeants de droit, those officially appointed) and directors in fact (dirigeants de fait, those who actually run the company without a title — a real risk for a foreign parent that dictates every decision of its French subsidiary from abroad) are targeted, and where several directors are involved the court can declare them jointly and severally liable.

The message for foreign directors is balanced: imperfect bookkeeping from afar is not automatically enough to make you pay the shortfall, but the liquidator only needs to characterise one genuine management fault beyond simple negligence — and late filing is exactly such a fault.

Late declaration of cessation of payments is, in case law, the textbook management fault. The Paris Court of Appeal stated it without ambiguity in a judgment of 21 March 2024 (RG 22/09710) concerning a director who lived in Switzerland: “Constitue une faute de gestion imputable au dirigeant de droit le fait de ne pas avoir déclaré la cessation des paiements dans le délai légal”. The court added that this fault exists even where the debts causing the insolvency arose before the director’s appointment, and that no personal interest or deliberate intent needs to be shown. On the facts, “Alors qu’elle aurait dû déclarer la cessation des paiements au plus tard le 16 novembre 2017, Mme [U] ne l’a fait que le 28 mars 2019” — a delay of sixteen months — and the court ordered her to pay “la somme de 40.000 euros au titre de sa contribution à l’insuffisance d’actif de la société Inovmateriaux”. Living in Switzerland, taking office after the debts were born, and facing incomplete accounts inherited from a predecessor: none of it exonerated her. For a director in London, Dubai, or New York, the parallel is direct — your address abroad and your recent arrival change nothing about the 45-day duty.

Beyond money, the court can impose personal prohibitions. It can declare the personal bankruptcy of the director (faillite personnelle) where, among other statutory cases, the director has “poursuivi abusivement, dans un intérêt personnel, une exploitation déficitaire qui ne pouvait conduire qu’à la cessation des paiements de la personne morale” or has “détourné ou dissimulé tout ou partie de l’actif ou frauduleusement augmenté le passif de la personne morale” (Article L. 653-4 of the Commercial Code) — for instance by continuing to trade for months knowing the company was doomed, or by draining the remaining cash to the foreign parent. Alternatively, the court can pronounce, instead of personal bankruptcy, a ban on directing, managing, administering, or controlling any business: Article L. 653-8 of the Commercial Code provides that “le tribunal peut prononcer, à la place de la faillite personnelle, l’interdiction de diriger, gérer, administrer ou contrôler, directement ou indirectement, soit toute entreprise commerciale ou artisanale”, and the same article allows that ban against a director who in bad faith withholds mandatory information from the court-appointed officers. Article L. 653-11 of the Commercial Code caps the measure: “il fixe la durée de la mesure, qui ne peut être supérieure à quinze ans”. A management ban pronounced in France is enforceable against you and follows you in practice: it bars you from running any French company for its duration, appears in the relevant registers, and must be disclosed in future directorship appointments.

The practical conclusion for a foreign director is therefore threefold. First, calendar the 45 days from the first negative cash test and file or seek conciliation inside them — the Paris court of appeal decision above shows that courts count the days precisely and punish the gap (16 November 2017 due, 28 March 2019 filed). Second, never use the twilight period to favour the parent company or yourself: repaying the shareholder current account (compte courant d’associé), transferring contracts or cash abroad, or paying one supplier to keep a personal relationship while others go unpaid are the facts that turn a shortfall action into personal bankruptcy. Third, cooperate in writing with every court-appointed officer from day one; distance plus silence is the fastest route from a company problem to a personal one. Our general guide to setting up and running the company from abroad remains the starting point for the full picture (Setting Up a Company in France as a Foreign Founder), and companies facing a URSSAF audit in the same period should read the companion procedure (URSSAF Audit of Your French Company From Abroad).

Conclusion

A French company that cannot pay is not a failed project to wind down quietly from abroad: it is a legal situation governed by clocks you do not control. Cessation of payments is defined by available cash against due debts, the court fixes its date, and the director — resident or not — has 45 days to file or seek conciliation, failing which any creditor can seize the court instead. Filing opens a protective freeze and a supervised path to either a recovery plan or an orderly liquidation; not filing, or filing sixteen months late like the director in the Paris 2024 case, converts the company’s shortfall into the director’s personal debt, potentially with a management ban of up to fifteen years. The foreign founder who monitors the monthly cash test, files inside the 45 days through a mandated French lawyer, and cooperates in writing with the court’s officers keeps every option open — rescue, confidential conciliation, or clean liquidation. The one who waits for the next trip to France discovers that French insolvency law counts days, not miles.

Company in France unable to pay while you live abroad?
