Who counts as a beneficial owner of your French company when you live abroad

French law starts from a simple principle that surprises many foreign shareholders: the beneficial owner is always a natural person, never a company, a trust or a fund as such. The Monetary and Financial Code states that “le bénéficiaire effectif est la ou les personnes physiques” (the beneficial owner is the natural person or persons), and it then gives two branches: “Soit qui contrôlent en dernier lieu, directement ou indirectement, le client” (either the person who ultimately controls the client, directly or indirectly) and “Soit pour laquelle une opération est exécutée ou une activité exercée” (or the person on whose behalf a transaction is carried out or an activity is exercised). Every French company falling within the filing duty must therefore look through its own shareholding chain until it reaches the human beings at the end of the chain, and it must keep that analysis current. The statute adds that “Sont tenus d’obtenir et de conserver des informations exactes et actualisées sur leurs bénéficiaires effectifs définis à l’article L. 561-2-2” (the entities concerned must obtain and keep exact and up-to-date information on their beneficial owners as defined in Article L. 561-2-2), which means the duty is continuous, not a one-off incorporation formality. A foreign founder who holds the shares through a British limited company, a Delaware LLC or a Dubai holding company does not escape the duty: the French subsidiary must still name the natural person behind those vehicles, with personal domicile and control details, and must file that information with the RCS (the commercial register) through the channel described below. The practical consequence is immediate for banking and contracting life: the bank, the notary and the auditor ask who the human owner is, and an answer limited to “my UK holding owns 100 percent” is treated as no answer at all. Foreign groups sometimes object that their home register already identifies owners, but the French file is autonomous and the French company must maintain its own exact record regardless of what a foreign register says.

A. The 25 percent capital and voting rights test that catches most foreign founders

The most frequently applied test is arithmetic. The regulation provides that the beneficial owner of a company client is “la ou les personnes physiques qui soit détiennent, directement ou indirectement, plus de 25 % du capital ou des droits de vote de la société, soit exercent, par tout autre moyen, un pouvoir de contrôle sur la société au sens des 3° et 4° du I de l’article L. 233-3 du code de commerce” (the natural person or persons who either hold, directly or indirectly, more than 25 percent of the capital or voting rights, or exercise by any other means a power of control over the company within the meaning of paragraphs 3 and 4 of Section I of Article L. 233-3 of the Commercial Code). In plain English for a business reader: any individual who directly or indirectly holds more than one quarter of the capital or of the votes is a declarable beneficial owner, and several individuals can qualify at the same time. A founder in New York who owns 60 percent of a French SAS directly is declarable. Two co-founders in London who each own 30 percent through a joint UK holding are both declarable, because indirect holdings count. A foreign parent company that owns 100 percent of the French subsidiary does not close the analysis: each natural person who holds more than 25 percent of that parent, or who controls it within the meaning just quoted, must be traced and declared at the French level, with the percentage of capital and the percentage of voting rights specified where the ground for control is capital or votes. The service-public.fr business portal confirms this filing logic by explaining that where control consists of holding more than 25 percent of the capital or 25 percent of the voting rights, the exact percentages held must be stated for each beneficial owner, as described on the official service-public.fr page on declaring a company’s beneficial owners. Foreign founders often ask whether preference shares, non-voting shares or usufruct arrangements change the answer. They can, because the test looks at capital and at votes separately, and a person above the line on either leg qualifies even if below the line on the other. Convertible notes, warrants and options that have not yet converted do not generally confer present capital or votes, but once exercised they can push a holder over the line and trigger an update filing. Joint ventures deserve the same attention: a 50-50 SAS between a French partner and a foreign group has two sides to trace, and each side must look through to its own ultimate humans. The 25 percent line is therefore not a planning trick to stay at exactly 25 percent through fragmentation, because the second leg of the quoted definition, control by any other means, can still catch a person at or below the arithmetic threshold, which is the subject of the next section. For founders, the operational lesson is to map the full chain on a single page before any filing: names, dates of birth, places of residence, nationalities, direct and indirect percentages, and the legal reason each name appears, so that the Guichet unique form can be completed consistently and the bank file matches the register file.

B. Control by other means and the fallback to the legal representative

Many foreign-owned French companies are controlled without any single person crossing 25 percent, through voting agreements, veto rights, the power to appoint management or de facto dominance of general meetings. French law catches these situations expressly through the reference to Article L. 233-3 of the Commercial Code. That article treats as controlling a person who “Lorsqu’elle détermine en fait, par les droits de vote dont elle dispose, les décisions dans les assemblées générales de cette société” (when that person in fact determines, through the voting rights it holds, the decisions taken in the general meetings of that company) and a shareholder who “Lorsqu’elle est associée ou actionnaire de cette société et dispose du pouvoir de nommer ou de révoquer la majorité des membres des organes d’administration, de direction ou de surveillance de cette société” (when, as a shareholder, it holds the power to appoint or remove the majority of the members of the administration, management or supervisory bodies of that company). For a foreign founder, this covers the familiar clauses of SAS articles and shareholders’ agreements: the right to nominate the president (the president, the statutory leader of a SAS), reserved matters requiring the founder’s consent, casting votes, and concert arrangements with co-investors. A minority investor with 15 percent but with the contractual right to appoint the president and to veto the budget can be a beneficial owner by control even though the arithmetic test is not met. Conversely, a purely economic interest without control, such as a silent lender with no votes and no appointment power, is not a beneficial owner on that ground alone, though a shareholder loan may create separate tax and current-account issues outside this register. The regulation provides a fallback where no natural person can be identified under the capital, votes or other-control tests and the obliged entity has no suspicion of money laundering or terrorist financing regarding that client: in that narrow case, “le bénéficiaire effectif est la ou les personnes physiques ci-après ou, si la société n’est pas immatriculée en France, leur équivalent en droit étranger qui représente légalement la société” (the beneficial owner is the following natural person or persons, or their equivalent under foreign law where the company is not registered in France, who legally represents the company), namely the managers of partnerships and SARLs, the managing director of a public limited company with a board, the sole managing director or chairman of the management board of a company with a supervisory board, and the president and where applicable the managing director of a SAS. In practice, a wholly owned French SAS whose foreign parent is itself widely held with no 25 percent holder and no control arrangement will often end up declaring its French president as the fallback beneficial owner, but this fallback must never be used as a shortcut where a real controller exists. Declaring only the president while hiding the true foreign controller exposes the company to the criminal file discussed in Part II, and banks treat a fallback declaration that contradicts the shareholder agreement as a red flag. Founders should therefore document why the fallback applies where it is used: cap table, voting analysis, relevant clauses of the articles and shareholders’ agreement, and a dated memo explaining that no person meets the primary tests.

II. How to declare, update and defend your RBE file from outside France

The declaration duty sits on the French company itself. The Monetary and Financial Code provides that the companies and entities concerned “déclarent au registre du commerce et des sociétés, par l’intermédiaire de l’organisme mentionné au deuxième alinéa de l’article L. 123-33 du code de commerce, les informations relatives aux bénéficiaires effectifs” (declare to the commercial register, through the body mentioned in the second paragraph of Article L. 123-33 of the Commercial Code, the information relating to beneficial owners), and that this information covers identification details, personal domicile and the terms of the control exercised over the company. The body in question is the Guichet unique, because the Commercial Code provides that “Ce dossier est déposé par voie électronique auprès d’un organisme unique désigné à cet effet” (the file is lodged electronically with a single body designated for that purpose). In current practice that single body is the company formalities portal operated with the INPI, and every creation, modification or cessation passes through it, including the beneficial ownership section of the filing. The same file feeds the greffe, which is the local registrar that issues the Kbis and records RCS entries, and the INPI, which operates the portal and hosts register data. A foreign founder cannot file the RBE by post to the court or by a side letter to the bank: the electronic filing through the portal is the route that counts as a declaration to the recipient once the file is regular and complete. Companies already registered before the register existed had to file separately, and every company created today must complete the beneficial ownership section at incorporation. The most common foreign-founder error is to treat the RBE as done once the Kbis arrives. The Kbis proves registration, not completeness of the beneficial ownership data behind it, and a Kbis can be issued while the RBE section remains missing, inconsistent or outdated. Banks know this and check the underlying data, not just the Kbis PDF, which explains the freezes described below. The second most common error is to leave the file frozen after a later change in shareholding, address, name or control terms. French practice requires an amending entry as soon as a change occurs, and the service-public.fr portal states that such an amending registration must be made within 30 days of the change, as explained on the official service-public.fr page on declaring a company’s beneficial owners which sets that 30-day period for the modificative filing. A founder who moves from Dubai to London, a shareholder who sells part of a stake, a new investor who crosses 25 percent, a marriage that changes a surname, or articles amended to add veto rights all require a fresh filing inside that period. From abroad, the only reliable method is to diary every corporate change as a potential RBE event on the day it is signed, not at year-end, and to file the amendment through the portal with the same care as the initial declaration.

A. Filing from abroad step by step: portal, proof and the errors that cause rejection

Filing from outside France is entirely possible but demands rigorous proof. The portal path is: create or log into the Guichet unique account, open the incorporation or corrective filing for the French company, complete the “bénéficiaires effectifs” (beneficial owners) section by adding one entry per natural person, state for each the type of control, the percentages of capital and votes where relevant, the date on which the person became a beneficial owner, and full identification including personal domicile, then attach supporting documents and sign electronically through the legal representative or a duly authorised agent (a mandataire, the person empowered to act for the company, typically the president, the gérant for a SARL, or a lawyer or accountant holding a written power of attorney). The portal guidance summarised on service-public.fr lists for each beneficial owner the identity details, domicile, control terms and the date the person became a beneficial owner among the mandatory items, and the same official service-public.fr page on declaring a company’s beneficial owners describes the add-a-beneficial-owner workflow inside the single file. For a non-resident, the documentary package typically includes a valid passport, proof of personal domicile abroad with a certified translation where the document is not in French, and where the chain passes through foreign companies, the foreign register extract, the articles and the cap table proving the indirect percentages, plus the relevant clauses of the French articles or shareholders’ agreement where control by other means is declared. The greffe examines the file and can reject it as irregular or incomplete, most often for mismatched percentages, a missing date of becoming a beneficial owner, a personal domicile stated as the registered office (the siège social, the legal seat of the company) instead of the home address, a foreign document without translation, or a declaration signed by a person without authority. Rejection language is formal and short, and foreign founders sometimes misread it as a minor technicality. It is not: while the file remains irregular, the register data stays missing or wrong, and the bank file stays inconsistent. Practical discipline avoids most rejections. First, keep one master ownership memo in English and French that reconciles the portal entries, the articles, the shareholders’ register (the registre des mouvements de titres, the securities movement register kept by the company) and the bank KYC (know-your-customer) form, so that every percentage and every control ground matches across all four. Second, file in French even where the founder works in English: names must match the passport exactly, addresses must be the home address with country, and dates must reflect when beneficial ownership arose, not when the passport was issued. Third, where a foreign holding sits in the chain, attach the chain documents rather than leaving the portal examiner to guess, and where the fallback to the legal representative is used, attach the memo explaining why no primary beneficial owner could be identified. Fourth, after any corporate event, file the amending entry within the 30-day period recalled above rather than waiting for the next accounts or the next board meeting. Founders who delegate to a French lawyer or accountant should still review the filed PDF themselves: errors in transliteration of non-French names, inverted day-month dates and truncated foreign addresses are frequent, and the liability for a wrong filing stays with the company and its officers even where an agent typed the data. Where the portal blocks submission for a technical reason, keep dated screenshots, the reference number and the full filed draft, because that evidence shows diligence if a bank or a court later asks when the company tried to comply.

B. Bank vigilance, the frozen account and the criminal file: what the texts actually say

Banks are not being difficult when they ask for the RBE: they are obeying their own duty. The Monetary and Financial Code requires obliged entities to apply risk-based vigilance, and the statute provides that “Les personnes mentionnées à l’article L. 561-2 appliquent les mesures de vigilance destinées à mettre en œuvre les obligations qu’elles tiennent du présent chapitre en fonction de l’évaluation des risques présentés par leurs activités en matière de blanchiment de capitaux et de financement du terrorisme” (the persons mentioned in Article L. 561-2 apply vigilance measures to implement their obligations under this chapter according to the assessment of the money-laundering and terrorist-financing risks presented by their activities). Before entering into a business relationship, those entities must “Identifient leur client et, le cas échéant, le bénéficiaire effectif au sens de l’article L. 561-2-2” (identify their client and, where applicable, the beneficial owner within the meaning of Article L. 561-2-2) and “Vérifient ces éléments d’identification sur présentation de tout document écrit à caractère probant” (verify those identification details on presentation of any probative written document). For a French company owned from abroad, this means the bank must identify each beneficial owner declared or declarable and verify identity on probative documents, and it must understand the control chain, including the geographical risk factors linked to the countries of origin or destination of funds that the classification rules expressly mention. Where the RBE data is missing, inconsistent with the KYC file, or contradicted by the articles, the bank cannot complete vigilance and will restrict the account: no new outgoing transfers, then a full freeze, then in persistent cases a notice of termination of the business relationship. Foreign founders sometimes interpret the freeze as a commercial decision they can negotiate by phone. It is a regulatory block that is lifted only by coherent paper: corrected RBE filing with proof of submission, matching KYC update with passports and domicile proof, chain documents, and where needed a board minute confirming the ownership analysis. Sending the Kbis alone does not unlock the account, because the Kbis does not prove the beneficial ownership layer. Parallel to the banking track sits the criminal track. The Monetary and Financial Code provides that “Est puni d’une amende de 200 000 euros le fait de ne pas fournir aux personnes mentionnées à l’ article L. 561-2 , dans le cadre des mesures de vigilance prévues à la section 3 du chapitre Ier du titre VI , ou de ne pas déclarer au registre du commerce et des sociétés ou, le cas échéant, dans un registre mentionné à l’article L. 561-46-1 les informations relatives aux bénéficiaires effectifs requises en application du premier alinéa de l’ article L. 561-46 ou de l’ article L. 561-46-1 , ou de déclarer des informations inexactes ou incomplètes” (failure to provide the required beneficial ownership information to the entities subject to vigilance, or failure to declare it to the commercial register, or declaring inexact or incomplete information, is punished by a fine of 200,000 euros). Legal entities found criminally liable face the penalties listed in the same article. In practice, prosecution typically follows a documented failure: no filing at all, a filing with knowingly false percentages, or a refusal to provide the information to the bank during vigilance. The defence from abroad is therefore documentary and chronological: the ownership memo, the portal filing receipts, the amending filings inside the 30-day period recalled above, the correspondence with the bank showing what was provided and when, and the correction of any inexact entry as soon as discovered. Courts distinguish an early correction supported by a complete paper trail from prolonged silence, and banks distinguish a client who produces the full chain from one who produces only the Kbis. Foreign founders should also keep in mind that the fine targets inexact or incomplete declarations as well as absent ones, so guessing percentages, omitting a second beneficial owner, or declaring only the president where a foreign controller exists does not reduce exposure. Where the file is already frozen, the sequence is: align the internal memo, file the correction through the Guichet unique, send the bank the filing proof plus the full KYC pack in one consistent bundle, request written confirmation of what remains missing rather than exchanging calls, and diary a second filing if the greffe rejects the first attempt. Paris practice shows that accounts.Typically unblock once the register data, the KYC data and the articles tell the same story, while accounts stay blocked where each document tells a different story about who owns the company.

Conclusion

The RBE is not an administrative ornament on top of a French company: it is the document through which the French system names the human beings behind the structure, and for a founder living abroad it is the file the bank reads before the business plan. Identify every natural person above 25 percent of capital or votes directly or indirectly, examine control by other means through voting rights and appointment powers before falling back on the legal representative, file through the Guichet unique at incorporation and amend within the 30-day period recalled above whenever ownership, domicile or control terms change, and keep the portal entries, the articles, the securities register and the bank KYC perfectly aligned. The texts quoted in this guide show the standard clearly: exact and up-to-date information must be obtained and kept, identification must be verified on probative documents, and inexact, incomplete or absent declarations expose the company to a 200,000 euro fine plus complementary bans. A founder who maintains a single reconciled ownership memo, files early, corrects quickly with dated proof and answers bank vigilance with the full chain rather than with the Kbis alone keeps the French subsidiary financeable and defensible from any country of residence.

Foreign founder living abroad?
