The SAFER Still Wants to Know — A Foreign Buyer’s Guide (2026)

The advice circulates in every expatriate forum: to buy a French vineyard or country estate without interference, do not buy the land — buy the company that owns it. No land sale, no SAFER pre-emption, no two-month wait. A Dutch buyer acquires the shares of a wine-growing company in Burgundy through a private agreement, with no notaire involved and no letter sent to anyone. Five months later, a writ arrives: the regional SAFER asks the court to annul the transfer — or to be declared the buyer in his place. The forum advice was half right and catastrophically incomplete. French law distinguishes two nets, not one. The pre-emption right takes the land. The information duty watches everything else: gifts, inheritances arranged in life, split ownership, share sales, and changes of corporate control. And where the duty is breached, the agency can unwind the deal months after closing.

The agency is the SAFER — société d’aménagement foncier et d’établissement rural (the land development and rural settlement agency) — and the information duty sits in a single powerful article that every foreign structuring must pass through. This guide explains that article line by line, the sanctions that back it — annulment, forced substitution, fines — and two 2025–2026 rulings of the Third Civil Chamber of the Cour de cassation (France’s supreme court for civil matters) that show how notification defects are litigated on both sides: a March 2026 decision on the fifteen-day letter to the evicted buyer, and a September 2025 decision on the race to win reallocated land. For the standard purchase sequence into which these filters fit, see our step-by-step guide to buying property in France as a foreign buyer.

I. The information net is wider than the pre-emption right

A. Every lifetime transfer must be declared — even free ones, even without a notaire

The pre-emption right covers sales for payment of farmland and farm buildings. The information duty goes much further. Article L. 141-1-1 of the Rural and Maritime Fishing Code on prior information of the SAFER requires that the agency be informed in advance “de toute cession entre vifs conclue à titre onéreux ou gratuit portant sur des biens ou droits mobiliers ou immobiliers” — of every lifetime transfer, for payment or free of charge, of the rural property and rights within its area. Read those words as a buyer: gifts are caught, exchanges are caught, and contributions of land to a company are caught, even though only sales for payment can actually be pre-empted. A father who gives the family vineyard to his children owes the SAFER information, not submission to pre-emption. A buyer who receives the same vineyard by gift and notifies nothing has breached the duty from day one.

Three extensions matter specifically to foreign buyers. First, split ownership: the duty expressly covers transfers of usufruit (a life interest conferring use and income) or nue-propriété (the bare ownership beneath it), with the nature and value of the property stated. Foreign families who split a French estate between a surviving parent’s life interest and children’s bare ownership — a common cross-border arrangement — must declare each transfer with a valuation. Second, share deals: where company shares change hands without a notaire, the transferor or the transferee must inform the agency directly. Buying the shares instead of the land does not make the SAFER disappear; it shifts the paperwork from the notaire’s office to your own desk, and the omission is yours alone. Third, control changes: any operation altering the distribution of capital or voting rights so as to transfer control of a covered company must be declared by the manager or legal representative — and where the company’s seat is outside France, the declaration goes to the SAFER of the place of operation or of the largest land area held. A Luxembourg or Dutch holding company that controls a French farming company notifies in France, at the land, not at its foreign seat. Distance creates no shelter.

The statute even anticipates mixed transactions. Where a single deal combines property the agency may pre-empt with non-contiguous property it may not, the information must be given separately for each category, each notice stating its own price and conditions, and each counting as a distinct operation for pre-emption purposes. For the buyer, the lesson is valuation discipline: a global price for “the estate plus the village house” invites the agency to dispute the allocation. Separate the prices in the agreement, document each lot’s basis, and file separate notices — because the notice you file shapes the pre-emption the agency can exercise.

Note the articulation with family exemptions, a point foreign families constantly misunderstand. Transfers to relatives up to the fourth degree escape pre-emption under the exemptions for family transactions — but the exemption removes the taking, not the telling. Since the information duty covers gratuitous transfers expressly, the intra-family gift of farmland must still be notified. Exempt from pre-emption is not exempt from information, and confusing the two turns a safe family arrangement into a sanctionable omission.

For corporate operations, the channel is exclusive and fully dematerialised: the statute provides that transmission is made solely by online declaration on the agency’s website, whether or not a notaire participates. Do not send a paper letter and consider the duty done — file through the portal, download the acknowledgment, and store it with the share purchase agreement. Notaires, for their part, transmit electronically under the national convention between the profession and the SAFER federation. Either way, the proof is digital, dated, and producible in court; the buyer who cannot produce it is presumed not to have notified.

B. The price of silence: annulment, forced substitution, and fines

Breach the duty and the agency holds two weapons, calibrated to what was hidden. Article L. 141-1-1, paragraphs II and III, of the Rural and Maritime Fishing Code on sanctions for breach of the information duty provides that where pre-emptible property is transferred without information, the agency may ask the judicial court, within six months of registration or publication of the deed — or within six months of learning of it if unpublished — either to annul the transaction or, for sales only, to declare itself the buyer in the third party’s place. Six months from publication is a long shadow over a closing: the buyer who skipped notification owns a property the agency can still take until the clock expires. For gratuitous transfers, the agency may seek annulment within six months of learning of the gift where it considers the gift should have been notified as a sale for payment — the disguised sale, the euro-symbolic price, the donation that smells of consideration. And where the hidden property was not even pre-emptible, the administration may still fine the offender up to 2 per cent of the transaction amount, after a formal adversarial procedure with the right to counsel and full judicial review. Silence is priced in both directions.

Three practical consequences follow. First, count the six months from the deed’s publication, not from the handshake: until registration, the clock has not even started, and an unregistered private share agreement extends the agency’s window indefinitely — the text runs the fallback period from the day the deed becomes known to the agency. The geography of the duty deserves emphasis for non-residents. A British family holding a Dordogne vineyard through an English company, a Dutch fund controlling a Normandy farming company, an American buyer taking a French estate through a Delaware vehicle — all notify in France, at the SAFER of the place of operation or of the largest land area. Our files regularly show foreign advisers filing at the foreign seat or notifying only the direct subsidiary’s local agency while the largest parcels sit in another region. Map every parcel to its agency before closing, file everywhere required, and keep each receipt: a notification sent to the wrong SAFER is, for the right one, no notification at all.

Second, keep the proof of notification forever: the télédéclaration receipt for corporate operations, filed on the agency’s website, or the notaire’s confirmation for deeds. In litigation, the file proves the date, and the date decides everything. Third, understand that substitution is worse than annulment for a buyer: annulment unwinds the sale and returns the price, while substitution makes the agency the owner at your price, keeping the property. The buyer who notified properly faces neither; the buyer who did not faces both.

II. Turning notification rules into buyer protection

A. The fifteen-day letter that decides your fate

The information duty does not only threaten buyers — operated correctly, it protects them. When the agency pre-empts, it must tell the evicted buyer, and the telling is policed ruthlessly. A March 2026 ruling, published in the Bulletin, makes the point with unusual force. The Burgundy-Franche-Comté SAFER, informed by the notaire of the sale of a vineyard parcel to a married couple, pre-empted by letters of 9 December 2020 — one to the notaire, one to the buyers at the address in the notaire’s file. The buyers’ copy came back marked undeliverable. Informed by the notaire of the correct address, the agency re-notified on 29 December, received on 30 December. The buyers sued for annulment, and the Paris court of appeal agreed: fifteen days from 9 December had expired, whatever the wrong address. The Third Civil Chamber’s ruling of 19 March 2026, no. 24-22.301, on notification of pre-emption to the evicted buyer quashed that judgment in full. Its central holding deserves quotation: “La notification par une SAFER, à l’acquéreur évincé, de la décision motivée de préemption est une formalité substantielle dont l’omission est sanctionnée par une nullité de plein droit.” Notifying the evicted buyer of the reasoned decision is a substantive formality whose omission is punished by nullity as of right — no need to prove harm, no judicial discretion.

But the same ruling saved the agency on the facts, and the reason is the buyer’s most important lesson. The fifteen-day period, the Court holds, runs only from the day the agency receives from the notaire a complete and exact notification of the evicted buyer’s identity — names, date of birth, domicile, profession. A wrong address supplied by the notaire does not start the clock; the re-notification within fifteen days of receiving the correct address was therefore timely, and the annulment was overturned. Two consequences follow for opposite situations. If you are the evicted buyer, verify what the notaire actually transmitted about you: your exact surname, your real domicile. An error in the file does not automatically kill the pre-emption — the agency gets a second chance once corrected — but a missing re-notification, or a re-notification beyond fifteen days of the correction, kills it by nullity as of right. If you are structuring the purchase, give the notaire your details in writing and keep a copy: the completeness of that transmission starts every clock that protects you, and its defects are litigated line by line, years later, before the supreme court.

The decision also recalls the twin pillars of the procedure. First, reasons: Article L. 143-3 of the Rural and Maritime Fishing Code on the reasoned pre-emption decision commands: “A peine de nullité, la société d’aménagement foncier et d’établissement rural doit justifier sa décision de préemption par référence explicite et motivée à l’un ou à plusieurs des objectifs ci-dessus définis, et la porter à la connaissance des intéressés.” On pain of nullity, the decision must invoke, explicitly and with reasons, one or more of the statutory objectives, and be brought to the interested parties’ knowledge. An unreasoned letter is void; a letter whose stated objective the file contradicts is voidable — challenge both, and challenge fast. Second, form: the agency must notify the notaire by registered letter with acknowledgment of receipt or by compliant electronic means, and the evicted buyer likewise within fifteen days. Keep every envelope, every acknowledgment, every electronic receipt: in this field, procedure is substance, and the supreme court reads the postmarks. The agency itself works against its own clock: Article R. 143-12 of the Rural and Maritime Fishing Code on the agency’s two-month decision period requires its firm purchase offer to reach the notaire within two months of receiving notification, so a buyer who has verified that the initial notice was complete and exact can diary both deadlines — the agency’s two months to act, then the fifteen days to be told — and treat sustained silence after both as the end of the matter.

B. Losing the land is not losing everything: the reallocation race

A pre-empted buyer has one more card, hidden in the second half of the same article: Article L. 143-3 of the Rural and Maritime Fishing Code on publication of the reallocation decision continues: “Elle doit également motiver et publier la décision de rétrocession et annoncer préalablement à toute rétrocession son intention de mettre en vente les fonds acquis par préemption ou à l’amiable.” Before reselling land it took, the agency must give reasons, publish the reallocation decision, and announce in advance its intention to put the acquired property back on the market. The evicted buyer — in a suitable vehicle, often a farming company or with a qualifying farmer partner — may apply for the reallocation alongside local candidates. Losing the pre-emption battle does not always mean losing the farm; it can mean entering a second competition, this time on equal footing.

That competition has strict rules, and a September 2025 ruling shows how they bite. After pre-empting, the Occitanie SAFER reallocated to a local farmer whose file had been assembled before the published call — request, dossier, purchase undertaking all predating the posting. The Third Civil Chamber’s ruling of 18 September 2025, no. 24-17.103, on candidatures for SAFER reallocation holds: “seules les candidatures postérieures à la publication d’un appel et répondant à l’offre au public, telle qu’elle est présentée par la SAFER, peuvent être retenues pour l’attribution des biens aux conditions proposées”. Only applications filed after publication of the call, matching the published offer, may be retained — and the court of appeal, which had accepted the pre-filed dossier without checking for a post-publication application, saw its judgment quashed for lack of legal basis. The same ruling usefully bounds the other classic plea: a favoured local candidate with a signed undertaking does not prove détournement de pouvoir (misuse of power) where the decision states verifiable consolidation objectives and a genuine call with committee review actually ran. Attack the dating, not the favouritism: obtain the posting certificate from the town hall, the published notice with its deadlines, and the dating of the winning file. The reallocation rules — Article R. 142-3 of the Rural and Maritime Fishing Code on the call for candidatures requires posting at the town hall for at least fifteen days, then applications within a window of at most fifteen days after posting ends — create a paper trail, and paper trails are reviewable.

Diary discipline is the cheapest insurance in this field. From the closing date, count six months forward for the agency’s annulment or substitution action and keep the notification receipts until that date passes. If pre-emption is notified, count fifteen days from the notaire’s receipt for your own letter and demand the full file immediately. If the agency reallocates, obtain the town-hall posting certificate and file your candidature inside the published window with an offer matching the published terms to the euro. Three dates, three receipts, three files — that is the entire defensive system, and it costs nothing but attention.

For the foreign buyer, the operational checklist now writes itself. Before any rural acquisition — land, shares, life interest, or corporate control — confirm in writing who notifies the SAFER, by which channel, and by when: your notaire for deeds, yourself or the counterparty by télédéclaration on the agency’s website for share and control operations, with the receipt kept. Price mixed transactions lot by lot and notify separately. In the agreement, convert the agency’s six-month shadow into warranties: the seller warrants that all information duties were fulfilled, with the proof annexed, and a portion of the price or an escrow covers the risk until the clock expires. If pre-emption strikes, read the motivation the same day, diary the fifteen days from the notaire’s receipt, verify the exactness of your transmitted details, and watch the town hall for the reallocation notice — because the file that takes your farm also publishes the date of the race to win it back. Our Paris real estate practice runs these verifications routinely for non-resident clients, including filings for companies seated abroad, since the declaration goes to the SAFER of the French land, never to the foreign seat.

Conclusion

The SAFER watches more than sales. Every lifetime transfer of rural property or rights — for payment or free, whole or split, direct or through shares and control — must be declared in advance, by the notaire or, for corporate operations, by the parties themselves through online declaration, including where the controlling company sits abroad. Silence carries calibrated sanctions: annulment or forced substitution within six months of publication or knowledge for pre-emptible property, fines of up to 2 per cent of the deal otherwise, and annulment where a gift disguised a sale. Against that framework, the courts enforce a symmetrical discipline on the agency: the reasoned decision notified to the evicted buyer within fifteen days is a substantive formality whose omission voids the pre-emption as of right — but the fifteen days run only from a complete and exact transmission of the buyer’s identity, so a corrected re-notification in time survives. And land taken must be re-offered through a published call where only post-publication candidatures count, giving the evicted buyer a genuine second chance. Wealth structures add one final layer. Life insurance wrappers, foreign trusts whose effects France recognises case by case, and usufruct arrangements for second marriages all move French rural value between hands — and each movement is tested against the same question: was the local agency informed in advance, completely and exactly? Before funding any vehicle that will hold French farmland, ask the single question that decides the next decade of quiet ownership: who notifies, where, and with what proof. Answered in writing before closing, it is a formality. Answered in court after, it is a lawsuit.
Structure the acquisition as if the agency will read every document, notify before closing rather than after, and keep every receipt: in this field, the party with the complete file wins, whether it is the agency or you.

Share deals, gifts and split ownership do not escape the SAFER: the information duty, its sanctions, and two 2025-2026 rulings every foreign buyer should know.

[80314,79307

post-2148177","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-decryptage","category-en-real-estate

Buying a French Farm Through Shares, Gifts or Split Ownership?
