You own a French SAS (societe par actions simplifiee, the flexible French limited company most foreign founders choose) or a SARL (societe a responsabilite limitee, the more rigid French limited liability company). The business runs, invoices go out, the French corporate bank account works. Then a letter arrives at the registered office in France, or your accountant forwards an email from the greffe (the clerk of the commercial court, the office that keeps the company register): your beneficial owner declaration is missing, incomplete or no longer matches reality, and you have three months to fix it. For a founder who lives abroad, this letter is easy to miss and dangerous to ignore. Since a reform that took effect in June 2025, the greffier (the same court clerk) can strike your company off the trade register on his own motion if you do not comply, and criminal fines go up to 200,000 euros. Banks, notaries and accountants now report mismatches they spot, so the knock on the door often comes from your own bank freezing a file rather than from a judge. This guide explains, in plain English and with the exact French legal texts, who must be declared, how the warning procedure works, and how to fix the filing from abroad before the sanction falls.

I. What France requires from your company and why foreign owners are flagged first

A. Who counts as the beneficial owner of your French company when you live abroad?

French law starts from a simple idea: behind every company there is at least one living, breathing individual who ultimately controls it or for whom the business operates. The Monetary and Financial Code states that “le bénéficiaire effectif est la ou les personnes physiques : 1° Soit qui contrôlent en dernier lieu, directement ou indirectement, le client ; 2° Soit pour laquelle une opération est exécutée ou une activité exercée.” You can read this definition in Article L561-2-2 of the Monetary and Financial Code. A company, a trust or a foreign holding cannot be the final answer. The register wants the name, date and place of birth, nationality, home address and control details of the individual at the end of the chain.

For a company, the implementing decree sets a numerical trigger that every foreign founder should memorise. Article R561-1 of the same code covers “la ou les personnes physiques qui soit détiennent, directement ou indirectement, plus de 25 % du capital ou des droits de vote de la société, soit exercent, par tout autre moyen, un pouvoir de contrôle sur la société au sens des 3° et 4° du I de l’article L. 233-3 du code de commerce”, as published in Article R561-1 of the Monetary and Financial Code. Hold more than 25 percent of the shares or the votes, directly or through your foreign holding, and you are in. Control the company by other means, for example by appointing the managers or deciding votes in meetings, and you are in too. Company law defines that kind of control as the situation “Lorsqu’elle détermine en fait, par les droits de vote dont elle dispose, les décisions dans les assemblées générales de cette société”, in Article L233-3 of the Commercial Code. Veto rights, casting votes, shareholder agreements giving you the majority of votes, or the power to name and remove directors all count.

Three situations common to foreign founders follow directly from these texts. First, the single foreign shareholder of a SASU (societe par actions simplifiee unipersonnelle, a one-person SAS) is always a beneficial owner, even if a French resident chairs the company as president. The SAS itself, which “peut être instituée par une ou plusieurs personnes qui ne supportent les pertes qu’à concurrence de leur apport” under Article L227-1 of the Commercial Code, shields your assets, but it does not hide your identity from the register. Second, a chain of companies ending abroad does not stop the analysis: each intermediate company is transparent, and the individual holding more than 25 percent at the top, or exercising factual control, must be named with the percentage held and the nature of the control. Third, if genuinely nobody meets the capital or control tests, which is rare for founder-owned companies, the decree falls back on the legal representative: the president of the SAS, or the managers of the entities above where those managers are themselves companies, traced up to the individuals who legally represent them. Declaring “no beneficial owner” is therefore never an option; at worst, the president is declared by default.

The duty sits squarely on the company, not on the founder personally. The code provides that “Sont tenus d’obtenir et de conserver des informations exactes et actualisées sur leurs bénéficiaires effectifs définis à l’article L. 561-2-2” the companies and entities listed there, in Article L561-45-1 of the Monetary and Financial Code, which points to companies registered under Article L123-1 of the Commercial Code (“Il est tenu un registre du commerce et des sociétés auquel sont immatriculés, sur leur déclaration”). Listed companies whose shares trade on a regulated market are exempt; your SAS, SARL or French branch of a foreign group is not. The declaration itself goes to the trade and companies register (RCS, registre du commerce et des societes, the public company register kept by each commercial court) through the single electronic filing office: the company must file the information since “Ce dossier est déposé par voie électronique auprès d’un organisme unique désigné à cet effet”, in Article L123-33 of the Commercial Code. In practice today that means the INPI one-stop shop (guichet unique des formalites des entreprises, the single online counter run by the French patent and trademark office that forwards filings to the court clerks). The official guidance on the service-public portal confirms that the identity of the beneficial owners must be given at incorporation and updated by an amending filing whenever anything changes, and the INPI help pages describe exactly which form fields to complete. Keep the founding company formation steps for foreign founders, from bank account to Kbis and VAT in mind: the RBE (registre des beneficiaires effectifs, the beneficial owner register) filing belongs to that same incorporation package, and a missing RBE entry means the package was never really finished.

B. How does the warning reach you abroad, and why do banks trigger most cases?

Most foreign founders discover the problem in one of three ways: a formal notice from the greffe sent by registered letter to the French registered office, a divergence report filed by their own bank, or a frozen transaction when the bank refreshes its know-your-customer file. All three flow from the same architecture. Both sentences come from Article L561-46 of the Monetary and Financial Code. Because the details are now part of the RCS entries themselves, any gap is visible to the clerk, to the authorities with full access, and to the banks and professionals who must compare what you declared with what they see.

The greffe does not register blindly. The current text provides that “Le greffier du tribunal de commerce vérifie que les informations relatives au bénéficiaire effectif mentionnées au premier alinéa de L. 561-46 sont complètes et conformes aux dispositions législatives et réglementaires, correspondent aux pièces justificatives et pièces déposées en annexe et sont compatibles, dans le cas d’une demande de modification ou de radiation, avec l’état du dossier.” That is Article L561-47 of the Monetary and Financial Code. An incomplete file, an identity document that does not match the declared name, a percentage that does not add up with the share register, or a foreign home address with no supporting document can all draw a request for correction. The same article turns the clerk from a mailbox into an enforcer: if the company has not filed or updated its beneficial owner information within three months of a formal demand sent by registered letter with acknowledgment of receipt to its registered office, the clerk may strike it off the register, since “il peut procéder à sa radiation d’office dudit registre.” For a founder living abroad, the trap is obvious: the letter goes to the Paris or provincial office address, the three-month clock runs whether or not you opened the mail, and the forwarding chain through a domiciliation agent or an accountant is where deadlines die. Organise that chain before anything else: instruct whoever receives mail at the siege social (the registered office, the legal address of the company) to forward any greffe letter the same day with a scan.

Banks are the second radar, and in practice the most active one. Every bank, notary, accountant and auditor subject to anti-money-laundering duties must identify your beneficial owners for its own file and report a divergence when its finding differs from the register. The official service-public guidance and the court clerks confirm that tens of thousands of divergences were flagged in a single recent year, a large share of them plain absences of any declaration. When your French bank onboards the company, renews the file of a foreign shareholder, or processes an inbound capital increase from abroad, it compares passports, group charts and the RBE extract. A mismatch produces a report to the register, the clerk demands correction, and the bank meanwhile slows down payments, overdraft renewals or new facilities until the register reads cleanly again. Founders who moved country after incorporating are hit particularly often: the home address on the register still shows the old Paris flat while the passport shows Dubai, and the file no longer matches. Any move, any new passport, any change of name on marriage, any transfer of shares, any new holding above the company must trigger an amending filing, because the statute demands information that is exact and kept current, not a snapshot taken once at incorporation.

Access rules changed too, and foreign founders should understand who sees what. The register is no longer open to the general public. The company itself, each declared individual for his own data, the judicial and supervisory authorities with full direct access, and business partners or professionals who can show a legitimate interest in fighting money laundering see defined subsets of the data. Journalists, academics and non-profit bodies have a dedicated channel. The practical consequence is that you cannot check a competitor freely anymore, but your bank, your notary on a share deal, and the buyer doing due diligence on your SAS will all ask for proof that the RBE is current, and they will walk away or discount the price if it is not. A clean, dated RBE extract has become part of the standard data room, next to the Kbis (the official identity card of the company issued by the greffe) and the articles of association.

II. How to fix the filing from abroad and what non-compliance really costs

A. How do you file or correct the declaration without flying to France?

Start by photographing the current position: pull a recent Kbis and the latest RBE receipt or extract, list every individual who directly or indirectly holds more than 25 percent of capital or votes, add anyone who controls decisions by agreement or appointments, and note the date each of them became a beneficial owner. Then rebuild the chain on paper from the French company up to each individual, with percentages at every level, because the filing asks for the type of control and the exact percentage of capital and votes for each person. A typical foreign-owned SAS shows the founder at 100 percent through a UK or US holding; the filing then names the founder with 100 percent indirect holding plus control by appointment of the president. Two founders at 50-50 are both declared. A minority investor at 10 percent with a veto over strategy and the power to appoint half the board is declared under other-means control even below the percentage line. Where shares moved, where a holding was inserted, or where the president changed, align the RBE draft with the share transfer deeds, the updated shareholder register (registre des mouvements de titres, the company book recording each transfer), and the minutes before touching the online form.

The filing itself is electronic and can be done entirely from abroad. The declaration or the amending request is lodged on the INPI one-stop shop by the legal representative or by a person holding a power of attorney (mandataire, the authorised representative acting for the company), attaching for each beneficial owner the identity document, proof of home address, and evidence of the control: share register extract, articles, transfer deeds, group chart, board minutes. Foreign documents need care: a passport copy is usually accepted, while civil-status and address papers in another language should carry a sworn translation, and some clerks still ask for an apostille (the international stamp certifying a public document) or legalisation on foreign public records. Fill in the date on which the person became a beneficial owner, the full home address, and the control details exactly as the supporting papers show them, because the clerk checks that the declaration matches the exhibits. Fees are modest, receipt comes back electronically, and the RBE extract should then mirror the Kbis data. If the clerk queries a point, answer within days with a corrected page rather than resending the whole file, and keep every receipt: the paper trail proves diligence if a later dispute about timing arises.

Three practical points decide most cross-border files. First, representation. The president of the SAS can sign from anywhere with an electronic signature; if the president is the foreign founder, no French co-signatory is needed. If the president cannot act, a written power of attorney lets a lawyer, an accountant or a trusted manager file as mandataire, and the court can itself appoint such an agent in contested cases, as Part B explains. Second, timing. File the initial declaration with incorporation, and file an amendment as soon as any element changes: new address after a move, new passport number, new surname, new shareholder, new percentage after a capital increase, new control agreement. Do not wait for the annual accounts season; the RBE has its own clock. Third, Paris specifics for Ile-de-France companies. Filings for a Paris-registered company go through the same national portal but land with the Paris commercial court clerk, whose checks are known to be thorough on foreign address evidence and translated documents. Budget a few extra days, provide a French or English cover note mapping each exhibit to each declared item, and make sure the registered-office mail loop in Paris forwards the clerk response the same day. Companies registered elsewhere in Ile-de-France follow the same portal with their local clerk, and the same discipline applies.

Common mistakes are worth listing because the clerk sees them daily. Declaring the foreign holding company instead of the individual. Declaring only the French president when the capital sits abroad. Copying old percentages after a funding round. Forgetting the spouse name change or the move from one country to another. Uploading an expired passport. Giving a business address instead of the personal home address the statute requires. Each of these produces either a correction request or, worse, a divergence later flagged by the bank comparing a fresh passport with a stale register. A thirty-minute reconciliation between the shareholder register, the last filing receipt and the current passports, repeated at every corporate event, prevents nearly all of them.

B. What do you risk if the three months run out: strike-off, court order and criminal fine?

The headline sanction is administrative and brutally practical. When the clerk finds no declaration or no update three months after the registered demand letter, the statute allows him to strike the company off the trade register, since “il peut procéder à sa radiation d’office dudit registre”, in Article L561-47 of the Monetary and Financial Code. The strike-off is reported to the keeper of the national business register (RNE, registre national des entreprises, the central database fed by all clerks and run through INPI) and to the public prosecutor. Two sibling cases lead to the same outcome under Article L561-48 of the Monetary and Financial Code: an uncorrected divergence reported by a bank or authority, and disobedience to a court order to file, each followed by its own three-month window. The company does not disappear as a legal person when struck off, but it is largely paralysed: no fresh Kbis, banks freezing facilities, notaries refusing to close share or asset deals, public buyers rejecting bids, and announcements in the BODACC (bulletin officiel des annonces civiles et commerciales, the official gazette publishing company registrations and court notices) advertising the situation to every counterparty that checks. Re-registration after fixing the file is possible in the standard case, yet the weeks without a usable Kbis can cost a financing round or a key contract, which is why the letter must never sit unopened at the registered office.

Alongside the clerk route sits the judicial route, which any interested person can trigger. The president of the court, on his own motion or at the request of the prosecutor or anyone showing an interest, “peut enjoindre, au besoin sous astreinte, à toute société ou entité juridique mentionnée au premier alinéa de l’article L. 561-46 de procéder ou faire procéder soit aux déclarations des informations relatives au bénéficiaire effectif, soit à la rectification de ces informations lorsqu’elles sont inexactes ou incomplètes.” That order, with a daily penalty payment (astreinte, the judge-set daily fine running until compliance) where needed, comes from Article L561-48 of the Monetary and Financial Code. If the company disobeys, the clerk notifies the prosecutor with a copy of the decision and may again strike the company off within three months of service. The same article adds that “Dans les mêmes conditions, le président peut désigner un mandataire chargé d’accomplir ces formalités.” A court-appointed agent can then step in and complete the filing, drawing on company records and, where auditors exist, on information the auditor must hand over. For founders deadlocked with a co-shareholder who refuses to hand over an ID, or for companies whose president has vanished abroad, this appointed agent is often the only way back to compliance. The details of the whole section sit under implementing decrees, since “Les modalités d’application de la présente section sont déterminées par décret en Conseil d’Etat.”, in Article L561-50 of the Monetary and Financial Code.

The criminal layer is separate and heavier than many founders imagine. The code punishes with a fine of 200,000 euros the failure to supply beneficial owner information to obliged professionals during checks, the failure to file it at the register, and the filing of information that is wrong or incomplete: the statute covers “ne pas déclarer au registre du commerce et des sociétés” the required information and “ou de déclarer des informations inexactes ou incomplètes”, in Article L574-5 of the Monetary and Financial Code. Individuals convicted face in addition a ban on managing companies and a partial loss of civil and civic rights; companies convicted as legal persons face the penalties for corporate criminal liability. Prosecutions remain rarer than clerk strike-offs, but the provision matters in fraud, asset-tracing and insolvency cases, where a missing or false RBE entry colours the whole file and can aggravate the personal position of the director. The broader statute also punishes companies that withhold or distort the information owed to banks and professionals during customer checks, under Article L561-45-1 of the Monetary and Financial Code, so lying to the bank to paper over a register gap trades an administrative problem for a criminal one.

Put these layers together and the action plan from abroad writes itself. Calendar one: the clerk letter. Any registered letter from the greffe to the siege social gets scanned the same day, the three-month deadline gets diaried with a reminder at six weeks, and the amending filing goes out within the first month. Calendar two: corporate events. Every share transfer, capital increase, new holding, new president, new address, new passport or new control agreement triggers an RBE check within days, alongside the usual updates to the shareholder register and, where needed, the filings that keep the bank account, Kbis and VAT position of a foreign-owned company consistent. Calendar three: banking. Before any financing, account opening for a subsidiary, or major payment flow change, provide the bank with a fresh RBE extract matching the passports on file, and request written confirmation that its beneficial owner file is complete. If a divergence notice arrives, treat it like the clerk letter: same three months, same urgency. Keep a small compliance folder per company with the group chart, percentages, IDs, address proofs, filing receipts and powers of attorney, so that whoever acts, founder, president or mandataire, works from the same documents. The founders who suffer are rarely those with complex structures; they are those whose mail nobody reads.

Conclusion

A missing beneficial owner declaration is the most disproportionate risk a foreign-owned French company can carry: a modest online filing, forgotten or left stale after a move or a funding round, can end three months after a letter nobody read in a strike-off from the trade register, a court order with daily penalties, a court-appointed agent stepping into your paperwork, and exposure to a 200,000-euro criminal fine. The fix is equally disproportionate in the other direction: identify each individual above 25 percent or in factual control through every foreign layer, file or amend the declaration on the one-stop portal with matching exhibits, and keep the register aligned with passports, addresses and the shareholder book at every corporate event. Run the three calendars, the clerk letter, the corporate events and the bank file, and keep the registered-office mail under same-day watch. Do that, and the RBE becomes what it should be for a founder living abroad: a quiet line in the compliance folder, next to the Kbis, instead of the letter that stops the business.

Living abroad with a French SAS or SARL flagged for a missing RBE beneficial owner declaration?
