Orders have slowed, the corporate account is nearly empty, and this month you cannot pay salaries, the URSSAF bill and the VAT due at the same time. URSSAF is the French agency that collects employer and employee social contributions, and it does not negotiate the way a supplier might. Your instinct may be to wait: win new clients, inject a little cash, ask suppliers quietly for time. Under French law, waiting is the most dangerous option. Once your company is in a state of cessation des paiements — unable to meet its due liabilities with its available assets — a strict 45-day clock starts running, and it runs against you even though you live abroad. Miss the deadline and the consequences are personal: a French court can order you to pay the company’s shortfall out of your own pocket and ban you from managing any company for up to fifteen years. This article explains, for a foreign founder or director, what cessation des paiements actually means in practice, how to file the declaration from abroad, what the court does once you file, and what French courts have actually sanctioned when directors filed late. The developments that follow are of general application: they describe the steps and checks useful in any comparable situation and do not describe the situation of any particular company. It is the forced, court-driven counterpart to the voluntary wind-down described in our guide to closing, dissolving and liquidating your French company from abroad: that guide is for a company you choose to shut down, this one is for a company that can no longer pay.

I. Your company has stopped paying: the legal test and the 45-day clock

A. How do I know my French company is in cessation des paiements?

Cessation des paiements is a cash-flow test, not a balance-sheet test. A company can own valuable assets and still be in cessation des paiements if it cannot pay what is due now with what is immediately available. In plain terms, the court compares two piles: the actif disponible (available assets) against the passif exigible (due liabilities).

Available assets mean cash and genuine credit reserves. The official service-public guidance lists what counts: a bank cheque issued in the company’s favour even if not yet cashed, additional facilities granted by banks, cash injected by a director or shareholder, and shareholder current-account advances that are neither blocked nor being called in. What does not count matters just as much for a foreign owner: buildings, equipment and stock owned by the company are not available assets, because they cannot pay tomorrow’s wages. Due liabilities are debts that are certain (not disputed in court), fixed in amount, and actually due, with no payment extension granted by the creditor: overdue supplier invoices, wages to be paid, tax and social-security deadlines. Overdue salaries, expired tax bills and URSSAF assessments are therefore the classic markers, which is why an URSSAF audit that ends in a large assessment can push a fragile company over the line.

Two safety valves exist, and both are practical tools for a director abroad. First, if your credit reserves genuinely let the company meet its due debts, there is no cessation des paiements even if the bank balance looks alarming. Second, every payment extension a creditor grants shrinks the due-liabilities pile: a supplier who agrees in writing to wait sixty days removes that invoice from the test. Conversely, informal hope — “the client will surely pay next week” — counts for nothing. The assessment is made day by day, and the company’s expert-comptable (chartered accountant) is normally the person who helps the director pin down the exact date the line was crossed, because that date starts the 45-day clock. Note that the duty falls on every dirigeant de droit ou de fait, meaning every director in law and every person who actually directs in fact: the president of a SAS who signs from abroad, and equally the foreign parent-company executive who in reality gives the French subsidiary its orders, can both be treated as directors.

B. How to file the cessation des paiements declaration from abroad within 45 days

Once the state of cessation des paiements is established, Article L. 631-4 of the Commercial Code imposes the deadline in one sentence: “L’ouverture d’une procédure de redressement judiciaire doit être demandée par le débiteur au plus tard dans les quarante-cinq jours qui suivent la cessation des paiements s’il n’a pas, dans ce délai, demandé l’ouverture d’une procédure de conciliation.” You must therefore ask the court to open a redressement judiciaire (court-supervised restructuring) within 45 days, unless you have used that time to request a conciliation, the confidential negotiated procedure run by the president of the court. The official guidance confirms the conciliation window: conciliation remains available only while the cash-flow failure is less than 45 days old, which is another reason to act in the first days rather than the last.

In practice the declaration is filed on the official form cerfa n° 10530, available through the English-language service-public page for the declaration of cessation des paiements, and it must be lodged with the greffe — the clerk’s office — of the competent court. The greffe is the registry that keeps the company’s file and issues the Kbis, the official identity certificate of a French company. The competent court is the court of the company’s registered office (siège social). Since 1 January 2025, commercial courts in twelve cities — including Paris, Nanterre, Lyon and Marseille — have been replaced for collective proceedings by tribunaux des activités économiques (TAE, economic-activities courts), so a Paris-based SAS now files with the Paris TAE rather than the former commercial court. The full official procedure is described on the service-public page on declaring cessation des paiements, which states the rule bluntly: once the state is established, the company must file the cessation-of-payments form (formerly called “dépôt de bilan”) with the competent court within 45 days.

Living abroad does not dispense you from filing, but it does not force you to fly in either. The declaration can be lodged by a representative holding a written power of attorney, and foreign directors routinely mandate a French avocat (attorney) to file, appear at the hearing and answer the court’s questions. Prepare the file as the court expects it: recent annual accounts, a list of due debts and receivables with the creditors’ names, the number of employees and the state of wage payments, the amount of cash available, and an up-to-date Kbis. If your Kbis, bank account and VAT position were set up as described in our foreign-founder formation guide, gathering these documents is straightforward; if the company’s filings have slipped, regularising the Kbis and the accounts is the first emergency task, because the court reads disorder in the paperwork as a warning sign about the management itself.

Once filed, the court summons the director — your lawyer can represent you — and opens either a redressement judiciaire, aimed at continuing the business, preserving jobs and clearing liabilities under a court-approved plan after an observation period, or a liquidation judiciaire (court-ordered liquidation) where recovery is manifestly impossible. Article L. 641-1 of the Commercial Code organises that fork in the road. The opening judgment is published in the BODACC, the official gazette in which company insolvencies, sales of businesses and court notices appear, and the Kbis is annotated accordingly, so every bank, supplier and future business partner will see it. From publication, Article L. 622-24 of the Commercial Code requires that “tous les créanciers dont la créance est née antérieurement au jugement d’ouverture, à l’exception des salariés, adressent la déclaration de leurs créances au mandataire judiciaire dans des délais fixés par décret en Conseil d’Etat” — all creditors whose claims predate the judgment, except employees, must declare those claims to the court-appointed receiver within the regulatory deadlines, or face the strict foreclosure regime for late claims. Employees are protected differently: their unpaid wages are advanced by the AGS, the French wage-guarantee scheme funded by employer contributions, since Article L. 3253-8 of the Labour Code provides that the scheme covers “Les sommes dues aux salariés à la date du jugement d’ouverture de toute procédure de redressement ou de liquidation judiciaire” — sums owed to employees at the date of the opening judgment. For a foreign employer who has just been through a painful first dismissal, this is the point to grasp: once the court opens the procedure, wage claims jump ahead of ordinary suppliers through the AGS, and the director’s room for manoeuvre disappears.

II. What a late or missing filing costs a director who lives abroad

A. Can a French court make me pay my company’s debts from abroad?

Yes, through the action for insuffisance d’actif — liability for the asset shortfall. When the liquidation of a company reveals that the assets do not cover the liabilities, Article L. 651-2 of the Commercial Code allows the court to shift that shortfall onto the directors: “Lorsque la liquidation judiciaire d’une personne morale fait apparaître une insuffisance d’actif, le tribunal peut, en cas de faute de gestion ayant contribué à cette insuffisance d’actif, décider que le montant de cette insuffisance d’actif sera supporté, en tout ou en partie, par tous les dirigeants de droit ou de fait, ou par certains d’entre eux, ayant contribué à la faute de gestion.” Where there are several directors, the court can hold them jointly and severally liable. The same article draws the boundary that every foreign director should memorise: “Toutefois, en cas de simple négligence du dirigeant de droit ou de fait dans la gestion de la personne morale, sa responsabilité au titre de l’insuffisance d’actif ne peut être engagée.” Simple negligence is a shield; management fault (faute de gestion) is not.

The Cour de cassation, France’s supreme court for civil and commercial matters, has ruled precisely on where late filing sits on that boundary. In its judgment of 3 February 2021, appeal n° 19-20.004, the Commercial Chamber held that the statute “écarte cette faculté en cas de simple négligence du dirigeant dans la gestion de la société, sans réduire l’existence d’une simple négligence à l’hypothèse dans laquelle le dirigeant a pu ignorer les circonstances ou la situation ayant entouré sa commission” — it excludes liability only in cases of the director’s simple negligence, without reducing simple negligence to the single scenario in which the director could have been unaware of the surrounding circumstances. The liquidator had argued that omitting to declare the cessation of payments on time could only be simple negligence if the director had been unaware of the company’s condition; the Court rejected that argument outright: “Le moyen, qui postule que l’omission de la déclaration de la cessation des paiements dans le délai légal ne peut constituer une simple négligence du dirigeant qu’à la condition que celui-ci ait pu ignorer cet état, n’est donc pas fondé” — the argument that a late declaration can only be simple negligence if the director was unaware of the situation is therefore unfounded. In that case the manager had watched deficits accumulate and had even commissioned a recovery plan, yet the Court confirmed that the late declaration could still be treated as mere negligence protecting her from the shortfall claim. The lesson cuts both ways for a director abroad: a documented rescue attempt can save you from paying the shortfall, but only the court decides, and a director who simply stopped looking at the accounts while living overseas will struggle to present any such record.

Two related traps deserve explicit warnings. First, once cessation is a fact, how you pay matters as much as when you file: Article L. 653-5 of the Commercial Code targets directors who have “payé ou fait payer, après cessation des paiements et en connaissance de cause de celle-ci, un créancier au préjudice des autres créanciers” — paid a creditor, after the cessation and knowing of it, to the prejudice of the other creditors. Quietly repaying your own shareholder current account, or favouring the supplier you personally guaranteed, after the company has stopped paying is therefore not damage control; it is one of the statutory grounds for personal bankruptcy (faillite personnelle), alongside misuse of company assets and concealment of accounts listed in Article L. 653-4 of the Commercial Code. Second, the shortfall action also reaches dirigeants de fait: if the Paris subsidiary in reality executes the instructions of its London or New York parent, the foreign executive behind those instructions can be pursued alongside the French president. If creditors are already moving against your personal assets, the companion analysis of when a director’s personal assets can be seized for company debts completes this picture.

B. Can I be banned from managing companies for filing late?

Yes, and this is the sanction courts apply most readily to late filers. Article L. 653-8 of the Commercial Code allows the court to order, instead of personal bankruptcy, “l’interdiction de diriger, gérer, administrer ou contrôler, directement ou indirectement, soit toute entreprise commerciale ou artisanale, toute exploitation agricole et toute personne morale, soit une ou plusieurs de celles-ci” — a ban on directing, managing, administering or controlling, directly or indirectly, any commercial or craft business, farm or legal entity, or one or more of them, for up to fifteen years. The official guidance draws the direct line to our subject: where the declaration is filed after the 45-day legal deadline, the court may ban the director from managing. A declaration filed after the 45-day deadline exposes the director to a management ban. The ban is not automatic: the court examines whether the director knowingly delayed, counting from the moment the director actually became aware of the state of cessation.

A recent Paris ruling shows exactly how courts apply that test to a director who let the months slip by. In its judgment of 10 December 2024, docket n° 23/09485, applying Article L. 653-8 of the Commercial Code, the Paris Court of Appeal, Pôle 5, Chamber 8, reviewed the case of a man who had directed an SARL (the closed limited company form) between 2016 and 2020. The public prosecutor had asked the Paris Commercial Court to ban him, reproaching him for knowingly failing to seek insolvency proceedings within 45 days of the cessation of payments, and the first court had imposed the ban. The Court of Appeal confirmed everything, finding that “Il est donc établi au vu des éléments objectifs du dossier que c’est sciemment que M. [C] s’est soustrait à l’obligation de déclarer la cessation des paiements dans le délai légal” — it is established, on the objective evidence in the file, that it was knowingly that the director evaded the duty to declare the cessation of payments within the legal deadline. “L’élément matériel et l’élément moral sont donc caractérisés”, the court continued — both the material and the intentional elements are established — even though the same facts were not labelled management fault under the shortfall action: a late filing can escape one sanction and still trigger the other. On the penalty, the court held that “La gravité des faits reprochés justifie d’éloigner pendant un temps M. [C] des affaires, la sanction prononcée par le tribunal est appropriée au grief caractérisé et sa durée est proportionnée à la gravité du grief retenu et à la situation personnelle de M. [C]” — the seriousness of the facts justifies keeping the director away from business for a time, and the ban is appropriate and proportionate — before concluding “Confirme le jugement en toutes ses dispositions”, confirming the judgment in all its provisions. For a foreign director, the telling detail is the prosecutor’s role: this sanction does not depend on a creditor suing you. The ministère public can refer your file to the court on its own initiative, while you are abroad and possibly unaware that the file exists.

Living outside France is no shield against either sanction. Jurisdiction follows the company’s registered office, so the Paris TAE or the local commercial court judges the foreign-resident president exactly as it judges a Parisian one; the opening judgment and any ban are published in the BODACC and annotated on the Kbis, visible to every bank and counterparty; and a French management ban is enforceable across the European Union while foreign courts may give effect to French money judgments under the applicable treaties and regulations. Distance aggravates rather than mitigates: a director who cannot show when he became aware of the cash-flow failure, because he received no reporting and kept no minutes, hands the court the very evidence of a knowing delay. The practical checklist from abroad is therefore short and urgent. First, fix the date: ask your expert-comptable in writing whether the company can still meet its due debts with cash and confirmed credit lines, and keep that analysis. Second, calendar day 45 from the date identified and treat it as a hard stop, not a target. Third, if the cessation is less than 45 days old and a negotiated rescue is credible, ask the court president for a conciliation before the clock runs out. Fourth, mandate a French lawyer with a written power of attorney to file form cerfa n° 10530 with the greffe and to represent you at the hearing. Fifth, from the moment cessation is possible, stop all preferential payments — including repaying your own shareholder loan — and document every rescue step, because that paper trail is what separates, in the eyes of the Cour de cassation, a protected simple negligence from a costly management fault. Readers facing the French-language aspects of the same filing duty can also consult our detailed analysis of late declaration and management bans under Article L. 653-8.

Conclusion

A company in France that cannot pay is not a private embarrassment you may nurse from abroad; it is a legal status that starts a 45-day countdown against you personally. The test is cash against due debts, the filing goes to the court of the registered office — the Paris TAE for a Paris company — and the aftermath runs through publication, creditor claims and employee protection by the AGS. File in time, through counsel if needed, and the procedure becomes a framework for rescue or orderly liquidation. File late, pay favoured creditors meanwhile, or abandon the accounts to distance, and the same courts that would have supervised the rescue will instead order you to cover the shortfall or ban you from managing. The voluntary liquidation you choose and the insolvency filing you owe are two different doors: this article has shown you the second one, which only opens on time.

Your French company has run out of cash and you live abroad.
