French law allows you to do almost everything from abroad, but closing a company is a two-stage legal operation with mandatory filings, and skipping one step leaves the company alive, taxable and exposed to creditors. A company that is “dormant” in your mind is still registered at the RCS (registre du commerce et des sociétés, the French trade and companies register kept by the clerk of the commercial court, called the greffe), still receives its CFE (cotisation foncière des entreprises, the local business tax) bill and still owes annual accounts. This guide explains, for a foreign shareholder living outside France, how to dissolve a solvent SAS, run the liquidation, pay everyone who must be paid, and obtain the radiation (striking-off, the removal of the company from the register), with the exact procedure, the costs, the deadlines and the traps. Readers who are still at the starting stage can read our companion guide on opening a company in France as a foreign founder before deciding whether closing is really the right move. The following developments are general in scope: they describe the checks useful in any comparable situation and do not describe the situation of any particular company, about which this article makes no finding.

The core rule is simple and it governs everything that follows. Article 1844-8 of the Civil Code states that “La dissolution de la société entraîne sa liquidation, hormis les cas prévus à l’article 1844-4 et au troisième alinéa de l’article 1844-5 .” (Article 1844-8, Code civil, Légifrance). Dissolution is only the decision to die; liquidation is the operations that follow: selling the assets, collecting the receivables, paying the creditors, paying the employees, settling the tax accounts, then sharing whatever is left. And the same article warns that “Elle n’a d’effet à l’égard des tiers qu’après sa publication.” (Article 1844-8, Code civil, Légifrance). Nothing you decide in a private meeting binds a creditor, a bank, the tax office or a court until it is filed and published. Commercial law repeats the point even more firmly: “La dissolution d’une société ne produit ses effets à l’égard des tiers qu’à compter de la date à laquelle elle est publiée au registre du commerce et des sociétés.” (Article L237-2, Code de commerce, Légifrance). From abroad, your entire strategy must therefore be built around two filings on the Guichet unique (the single online company formalities portal run by the INPI, the French intellectual-property and companies institute): the dissolution filing first, then, months later, the closure and striking-off filing. Between the two, the company keeps its legal personality “pour les besoins de la liquidation”, because “La personnalité morale de la société subsiste pour les besoins de la liquidation, jusqu’à la clôture de celle-ci.” (Article L237-2, Code de commerce, Légifrance). It can still be sued, still receive money and still pay, but only through its liquidator.

I. Dissolving your French SAS from abroad: the decision, the filing and the notices that make it effective

A. Voting the early dissolution and appointing the liquidator without travelling to France

The voluntary closing of a solvent company starts with a dissolution anticipée, the early dissolution voted by the shareholders before the term written in the articles expires. In a SAS, the extra-mandatory rule is that the articles (statuts) govern almost everything: “Sous réserve des dispositions du présent chapitre, la liquidation des sociétés est régie par les dispositions contenues dans les statuts.” (Article L237-1, Code de commerce, Légifrance). Read your statuts first. They fix who convenes the meeting, the quorum, the majority for dissolution, and possibly the identity or the method for choosing the liquidator. Most SAS articles require a collective decision of the shareholders (décision collective des associés) under reinforced majority, sometimes unanimity for dissolution, and they allow written consultation, videoconference and representation by proxy, which is exactly what a shareholder living abroad needs. If the articles say nothing on a point, statute law fills the gap: “A défaut de clauses statutaires ou de convention expresse entre les parties, la liquidation de la société dissoute est effectuée conformément aux dispositions de la présente section […]” (Article L237-14, Code de commerce, Légifrance). In practice, convene strictly as the articles require, because a flawed convening notice is the easiest way for a minority shareholder or a creditor to attack the whole closing later.

The same meeting that votes the dissolution appoints the liquidateur amiable, the voluntary liquidator who replaces the president (président, the legal representative of a SAS) from that second and runs the company until the end. The official company formalities guide confirms that the liquidator may be the former president, a shareholder or an outsider, appointed for a maximum of three years, renewable, and that the shareholders vote the dissolution and the appointment together (entreprendre.service-public.gouv.fr, Cessation of a business, voluntary dissolution). For a foreign founder, the practical solution is usually to appoint yourself or your trusted person in France, or a professional (lawyer, accountant), because the liquidator will sign the filings, the asset sales, the dismissals and the tax returns. Check the three-year ceiling in your calendar: the closure must occur within three years of the dissolution, failing which the public prosecutor or any interested person can ask the court to close the liquidation, which means losing control of the timetable and paying for a court-driven ending.

Distance creates three practical difficulties, all solvable with preparation. First, proof of identity and authority: the Guichet unique requires the minutes of the meeting (procès-verbal) deciding the dissolution and appointing the liquidator, a copy of the liquidator’s identity document, and a sworn statement of non-conviction. If the shareholder signing abroad is a foreign company, add an up-to-date excerpt of its own register, translated by a sworn translator where the clerk demands it, plus the powers of the person signing for it. Second, the meeting itself: organise a written consultation or a videoconference exactly as the articles permit, keep the convening emails, the attendance sheet and the votes, and draft minutes that state the registered office (siège social), the share capital, the cause of the dissolution, the full name and address of the liquidator and any limits on their powers, because the legal notice must repeat all of that. Third, the bank: inform the French corporate bank early, send it the dissolution minutes and the Kbis (the official registration certificate issued by the greffe) mentioning the liquidation, and agree who moves the money, since the president’s signature authority dies with the dissolution and only the liquidator can operate the account afterwards. Never empty the account into your personal account on day one: the money is needed to pay the creditors, the employees, the tax office and the publication costs first, and early withdrawals can be reclassified as a misuse of corporate assets or create a taxable distribution without paperwork.

B. Filing on the Guichet unique and publishing: the steps that make the dissolution effective against third parties

Once the minutes are signed, the liquidator has one month to act. The appointment deed “est publié, dans le délai d’un mois, dans un support habilité à recevoir les annonces légales dans le département du siège social […]” (Article R237-2, Code de commerce, Légifrance). A SHAL (support habilité à recevoir les annonces légales, the authorised legal-notices platform that replaced the old printed legal gazette) publishes the notice stating the company name followed by the words “en liquidation”, the form, the capital, the registered office, the RCS number, the cause of the liquidation and the liquidator’s identity and powers. In parallel, the liquidator files the dissolution on the Guichet unique with the minutes, the legal-notice certificate, the identity documents and the declaration of non-conviction. The greffe registers the dissolution, the RCS entry switches the company to “société en liquidation”, and an updated Kbis in liquidation is issued. Expect roughly 150 to 300 euros for the first legal notice, around 200 euros of registry and BODACC (Bulletin officiel des annonces civiles et commerciales, the official gazette where company registrations are published) fees for the dissolution filing, plus the professional fees if you use counsel. Dismissing publication as a formality is the most common and the most expensive mistake: “Elle n’a d’effet à l’égard des tiers qu’après sa publication.” (Article 1844-8, Code civil, Légifrance). The same shield logic appears in the general opposability rule: “La personne assujettie à immatriculation ne peut, dans l’exercice de son activité, opposer ni aux tiers ni aux administrations publiques, qui peuvent toutefois s’en prévaloir, les faits et actes sujets à mention que si ces derniers ont été publiés au registre.” (Article L123-9, Code de commerce, Légifrance). Until the RCS shows the dissolution, a creditor can still validly sue the company as if nothing happened, and the tax office can still assess it normally.

From the dissolution date, the company’s paperwork must show its new status on every letter, invoice and announcement, with the liquidator’s name: “Sa dénomination sociale est suivie de la mention ” société en liquidation “.” (Article L237-2, Code de commerce, Légifrance). The official guide warns that forgetting this line is punished by a 1,500 euro fine (entreprendre.service-public.gouv.fr, Cessation of a business, voluntary dissolution). The company is then “en liquidation dès l’instant de sa dissolution”, because “La société est en liquidation dès l’instant de sa dissolution pour quelque cause que ce soit sauf dans le cas prévu au troisième alinéa de l’article 1844-5 du code civil.” (Article L237-2, Code de commerce, Légifrance). Concretely for a founder abroad: update the invoices, the email signature, the website footer and any ongoing contracts; give the liquidator’s contact details to the accountant, the bank, the landlord and URSSAF (union de recouvrement des cotisations de sécurité sociale et d’allocations familiales, the social-security collection agency); and stop any new business except what liquidation requires, unless the shareholders have expressly authorised the continuation of current deals. One essential check before going further: voluntary dissolution is reserved for solvent companies. If the SAS cannot pay its due debts with its available assets, it is in cessation des paiements and must declare insolvency within forty-five days; a voluntary dissolution voted to escape an insolvency filing changes nothing and exposes the directors. When the figures hesitate, ask the accountant for a dated solvency memo before the dissolution vote.

II. Liquidating, paying and striking off: closing the company cleanly and proving it

A. Selling the assets, paying every creditor and settling employees, tax and VAT from abroad

Liquidation is a pay-everyone-first operation under the liquidator’s personal responsibility. The courts state the rule bluntly: “la liquidation amiable d’une société impose l’apurement intégral du passif, les créances devant être garanties par une provision” (Tribunal mixte de commerce de Fort-de-France, judgment of 16 June 2026, RG 2026/0045, full decision on courdecassation.fr). Every known creditor must be paid or secured by a provision (a reserved sum set aside for a disputed or not-yet-due debt), and “à défaut de possibilité d’apurement du passif, le liquidateur doit procéder à la déclaration de cessation des paiements de la société” (same judgment, full decision on courdecassation.fr). The closing line of that reasoning is the one liquidators abroad must pin above their desk: “le liquidateur ne peut clôturer ses opérations tant que subsiste une dette sociale” (same judgment, full decision on courdecassation.fr). The liquidator who closes with an unpaid debt still on the books answers for it personally, and the Fort-de-France case, brought against a voluntary liquidator of a SASU (the one-shareholder version of a SAS) accused of keeping a creditor in ignorance of the liquidation, shows how courts examine the liquidator’s information duties and fault on the basis of articles 1844-7 and 1844-8 of the Civil Code and articles L237-2 and following of the Commercial Code.

In practical order, the liquidator first draws up an inventory, collects the receivables, terminates the running contracts and sells the assets. Company property may not be sold to the liquidator or their relatives, a prohibition that foreign founders sometimes discover too late when they plan to “buy back” the equipment or the client files for one euro. Then the liquidator pays in the legal order: the employees first, then the Treasury and the social bodies, then the suppliers and lenders. If the SAS employs staff, the liquidator must dismiss them on economic grounds (licenciement économique), with the full French dismissal procedure: individual notices, severance at least equal to the legal minimum, paid leave balances, final settlement (solde de tout compte), work certificate, Pôle emploi attestation for unemployment benefits, and information of the DREETS (the regional labour administration) where headcount thresholds require it. Failure to run the procedure correctly creates litigation before the conseil de prud’hommes (the French labour court) that survives the company and follows the liquidator. The commercial lease (bail commercial, the protective 3-6-9 year business lease) must be terminated with the proper notice, the deposit recovered or offset, and any dilapidations documented, because rent keeps running until lawful termination. Deposits, guarantees and the corporate bank account stay open until the end: the radiation certificate will be needed to release pledges and close the account, and the bank will ask for the final Kbis showing the striking-off.

Tax and social formalities run in parallel and they are the reason many closings from abroad stall. File the final corporate income tax return (IS, impôt sur les sociétés) covering the liquidation period, the last VAT returns (CA3) and the cessation VAT statement, the last DSN (déclaration sociale nominative, the monthly payroll and social declaration) and the employer’s annual declaration, the CFE pro-rata payment for the closing year, and the deregistration requests to the SIE (service des impôts des entreprises, the corporate tax office) and URSSAF. The liquidation balance (boni de liquidation, the surplus left after paying all debts and reimbursing the capital) has its own tax step: where the final accounts show a surplus, the liquidator must register the liquidation report with the SIE, because “Doivent être enregistrés dans le délai d’un mois à compter de leur date […] Les actes constatant un partage de biens à quelque titre que ce soit” (Article 635, Code général des impôts, Légifrance), and “Les partages de biens meubles et immeubles entre copropriétaires, cohéritiers et coassociés, à quelque titre que ce soit, pourvu qu’il en soit justifié, sont assujettis à un droit d’enregistrement ou à une taxe de publicité foncière de 2,50 %.” (Article 746, Code général des impôts, Légifrance). Budget this duty on the surplus, plus the shareholders’ personal taxation of the distribution in their country of residence under the applicable treaty. During a multi-year liquidation, the law also imposes yearly discipline: “Le liquidateur, dans les trois mois de la clôture de chaque exercice, établit les comptes annuels au vu de l’inventaire qu’il a dressé des divers éléments de l’actif et du passif existant à cette date et un rapport écrit par lequel il rend compte des opérations de liquidation au cours de l’exercice écoulé.” (Article L237-25, Code de commerce, Légifrance). A founder abroad who lets the accountant go on day one usually pays for it twice: once in penalties, once in extra months of liquidation.

B. Approving the final accounts, sharing the balance and obtaining the striking-off

When the assets are sold and the liabilities cleared, the liquidator draws up the compte définitif, the final liquidation accounts, showing either a liquidation surplus to share or a liquidation loss. The law then requires a last shareholders’ meeting: “Les associés, y compris les titulaires d’actions à dividende prioritaire sans droit de vote, sont convoqués en fin de liquidation pour statuer sur le compte définitif, sur le quitus de la gestion du liquidateur et la décharge de son mandat et pour constater la clôture de la liquidation.” (Article L237-9, Code de commerce, Légifrance). Three votes matter: approval of the accounts, quitus (the discharge approving the liquidator’s management) and formal acknowledgment of the closure. From abroad, organise this meeting with the same care as the dissolution vote: convening notices under the articles, proxies or videoconference where allowed, minutes recording the surplus or loss, the quitus and the closure date. If the meeting cannot decide or refuses to approve the accounts, the liquidator or any interested party can ask the commercial court to rule on the accounts and the closure instead of the meeting, a heavier and slower path that underscores why keeping shareholders informed during the liquidation pays off. The closure must in any event occur within three years of the dissolution, and the official guide confirms that the prosecutor or any interested person can petition the court past that deadline (entreprendre.service-public.gouv.fr, Cessation of a business, voluntary dissolution).

The closure filing mirrors the dissolution filing: a legal notice of closure in a SHAL, then a radiation filing on the Guichet unique with the closure minutes, the notice certificate and, where a surplus exists, proof of registration of the liquidation report with the SIE. The greffe registers the closure, publishes it to the BODACC, and issues the final proof: the company disappears from the RCS, which is the radiation itself. Keep the full closing file for years: closure minutes, final accounts, quitus, legal-notice certificates, SIE registration receipt, BODACC notices, tax returns and the employment closing documents. Your foreign bank will ask for the radiation proof before releasing a pledged deposit or accepting the final transfer; the French tax office can still audit the liquidation period; and a forgotten creditor who surfaces within the limitation period will look first at whether the liquidation was regular. One judgment illustrates the boundary with particular clarity: after a company’s liquidation was closed, its former liquidator tried to keep acting for it in court, and the judges recalled that “dès lors que le liquidateur dont le mandat a pris fin lorsque l’assemblée générale des actionnaires a constaté la clôture de la liquidation ne peut représenter la société” (Tribunal de commerce de Saint-Étienne, judgment of 21 July 2026, RG 2024J1156, full decision on courdecassation.fr), applying the rule that “La société est en liquidation dès l’instant de sa dissolution […]” and that “La personnalité morale de la société subsiste pour les besoins de la liquidation, jusqu’à la clôture de celle-ci.” (Article L237-2, Code de commerce, Légifrance). Closure ends the company’s legal life and the liquidator’s powers together: after that date, nobody can sign “for” the company anymore, and anyone who believed they still had a claim must turn, within the legal limits, to the former shareholders who shared the surplus or to the former liquidator if a fault is shown.

Costs from abroad, all included, typically run from 1,500 to 4,000 euros without employees or disputes: two legal notices, two registry and BODACC filings, SIE registration duty where a surplus exists, accountant fees for the final accounts and tax returns, and counsel where a lease, an employee or a disputed debt is involved. Add the 2.5 percent duty on the shared surplus where it applies, the shareholders’ personal tax on the distribution, and translation and apostille costs for foreign documents. The realistic timetable is three to nine months for a clean file with no employees and no disputes, twelve to eighteen months with a lease exit or one dismissal, and up to three years for complex asset sales. Start the clock early: the one-month publication deadline runs from the dissolution decision, the yearly accounts discipline of Article L237-25 applies for every financial year the liquidation spans, and the three-year closure ceiling is strict. A short checklist keeps the file on track from another time zone: solvent-company memo before the vote, minutes that name the liquidator precisely, Guichet unique dissolution filing plus SHAL notice within the month, bank and accountant instructed in writing, employees and landlord handled with dated letters, tax and social filings closed one by one with receipts, final meeting with quitus, closure notice plus Guichet unique radiation filing, and a complete archived file with the BODACC proofs.

Conclusion

Winding up an SAS from another country is entirely feasible without travelling, provided the order of operations is respected: a dissolution vote that follows the articles, a liquidator with clear powers, a single-portal filing and a legal notice within the month, then a liquidation that pays or secures every debt before anything is shared, and finally a closure meeting with quitus followed by the striking-off filing. The two ideas that decide every file are that dissolution alone changes nothing for third parties until publication, and that no lawful closure exists while a company debt remains unpaid or unsecured. Files fail when the founder treats the dissolution minutes as the end, empties the account, dismisses the accountant and discovers a year later that the register still shows an active company with tax bills attached. Files succeed when the founder keeps the company able to pay until the last receipt arrives, documents each step for the clerk, the tax office and the bank, and closes within the legal deadlines. Run the checklist above, keep the liquidator funded and reachable, and the register will show what the business plan already decided: the company is gone, cleanly, with proof to show for it.

How to close a French SAS while living abroad: dissolution vote, Guichet unique filings, paying creditors and employees, tax steps and striking-off.

[80314,80313

post-2147518","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-decryptage","category-doing-business-in-france
<!-- This site is optimized with the Yoast SEO Premium plugin v28.2 (Yoast SEO v28.2) -
