Hiring a full employee felt heavy, so you engaged a contractor instead: a developer, a sales representative or an assistant with auto-entrepreneur status (the French micro-business regime for self-employed individuals) who invoices you every month. No payslips, no payroll charges, no dismissal rules. Then the letter arrives. The URSSAF (the French network of agencies that collects social security contributions) wants to audit your company, or the contractor files a claim before the labour court and asks to be recognised as an employee. From abroad, the shock is real, and the bill can be heavy: years of back contributions, lost exemptions, criminal exposure and damages for unfair dismissal.

ndexemption zones/and exemption zones/

French law looks past labels. A service agreement that organises subordinate work is an employment contract, whatever the parties wrote on it. Two widely discussed rulings of the Chambre sociale (the labour chamber of the Cour de cassation, France’s supreme court for labour matters) reclassified platform workers as employees using exactly this reasoning, and the same test applies to the contractor your French subsidiary or branch uses every day. This article explains how judges decide, what reclassification costs, and how to audit, regularise and defend your position without flying to France. If you are still hesitating between corporate vehicles for your French presence, read first our guide on how a foreign founder chooses between an SAS, an SARL, a branch and a subsidiary, then come back here: the vehicle does not protect you from reclassification, but it changes who signs, who pays and who answers the inspector.

ndexemption zones/and exemption zones/

I. How French law decides that your contractor is really an employee

ndexemption zones/and exemption zones/

The starting point surprises most foreign founders. French law presumes that a registered self-employed person is not your employee, but that presumption falls the moment the working conditions show permanent legal subordination. Registration as an auto-entrepreneur, a commercial invoice and a service agreement do not settle anything. Judges and URSSAF inspectors reconstruct the real relationship day by day: who gave the orders, who controlled the work, who could punish. Part A below sets out the legal test and the two rulings every founder should know. Part B lists the practical clues inspectors check first in your files.

ndexemption zones/and exemption zones/

A. The subordination test French judges apply: orders, control and the power to punish

ndexemption zones/and exemption zones/

The key provision is Article L8221-6 of the French Labour Code. Its first paragraph states that self-employed persons registered with the business registers or the social security collection bodies are presumed not to be bound by an employment contract with the client. Its second paragraph then reverses everything: “L’existence d’un contrat de travail peut toutefois être établie lorsque les personnes mentionnées au I fournissent directement ou par une personne interposée des prestations à un donneur d’ordre dans des conditions qui les placent dans un lien de subordination juridique permanente à l’égard de celui-ci.” In plain English, an employment contract can still be found wherever the contractor works under your permanent legal subordination. And the same paragraph adds the sting: where subordination is proven, concealed employment is established if the client deliberately avoided employer obligations, and a client criminally convicted for concealed work must pay employer contributions on the sums paid during the concealed period.

ndexemption zones/and exemption zones/

The test itself comes from case law and has not moved for decades. The Cour de cassation defines subordination as work performed under the authority of an employer who can give orders and instructions, monitor performance and punish failures, a formula repeated word for word in both landmark rulings discussed below. Three powers, cumulatively assessed. Give all three to a contractor and you have an employee, whatever the contract says.

ndexemption zones/and exemption zones/

The first ruling is Cass. soc., 28 November 2018, No. 17-20.079 (Take Eat Easy), a plenary-chamber decision published in the Bulletin. A bicycle courier worked under a service agreement as a registered self-employed person for a platform connecting restaurants, customers and riders. After the Paris court of appeal refused reclassification, the Cour de cassation quashed the ruling: “CASSE ET ANNULE, dans toutes ses dispositions, l’arrêt rendu le 20 avril 2017, entre les parties, par la cour d’appel de Paris”. The decisive findings were concrete, not theoretical: the application used geo-tracking that let the company follow the courier’s position in real time and count total kilometres, and the company held a disciplinary-style power through bonuses and strikes penalising late log-offs, partial shifts, unanswered phone calls, refused deliveries and no-shows. Geo-tracking plus a sanction scale meant direction and control, hence subordination. For a foreign founder, the lesson is direct: your Slack check-ins, your time tracker, your penalty clauses for missed deadlines and your exclusivity expectations are the modern equivalents of that platform’s strikes and GPS.

ndexemption zones/and exemption zones/

The second ruling is Cass. soc., 4 March 2020, No. 19-13.316 (Uber). A private-hire driver connected through a digital platform asked for reclassification, and the court confirmed employee status. The ruling repeats the classic definition and adds a precision founders often misread: “le lien de subordination est caractérisé par l’exécution d’un travail sous l’autorité d’un employeur qui a le pouvoir de donner des ordres et des directives, d’en contrôler l’exécution et de sanctionner les manquements de son subordonné ; que le travail au sein d’un service organisé ne peut constituer un indice du lien de subordination que lorsque l’employeur détermine unilatéralement les conditions d’exécution du travail”. Mere integration into an organised service proves nothing by itself; what matters is whether you unilaterally set the conditions of performance. In that case the platform set the fares, imposed the itinerary, controlled connection times and disciplined drivers through ratings and disconnections. Apply this to your own setup: if your contractor cannot set prices, cannot choose working hours, cannot send a substitute and cannot work for others, you are unilaterally setting the conditions, and a judge will say so.

ndexemption zones/and exemption zones/

Three practical consequences follow for companies run from abroad. First, distance does not dilute authority. Orders given by email, video call or project software count exactly like orders given across a desk. Second, part-time or intermittent work does not exclude subordination: a contractor working two days a week under your direction is an employee two days a week. Third, the contractor’s consent is irrelevant. A person cannot waive employee status, and a clause stating “the parties agree this is not employment” has no effect against the legal test. When your French company’s manager directs the work daily while you supervise from abroad, both of you should assume the relationship will be judged on facts, never on signatures.

ndexemption zones/and exemption zones/

B. The paper clues inspectors and judges read before anything else

ndexemption zones/and exemption zones/

Before any hearing, the URSSAF inspector or the labour court reads your documents. Certain clauses and patterns raise immediate suspicion, and foreign-managed companies repeat the same mistakes because remote management naturally produces written traces. Go through this list against your own files, honestly, before the inspector does it for you.

ndexemption zones/and exemption zones/

Economic dependence comes first. A contractor who invoices only your French company, month after month, for twelve or twenty-four months, looks like an employee even with perfect invoices. French inspectors compare the contractor’s declared revenue with your payments: where ninety or one hundred percent of income comes from one client, dependence is presumed in practice and you will need strong counter-evidence. Genuine contractors have several clients, turn some work down and show revenue spread across payers. If your contractor cannot afford to lose you, say so in your risk assessment and price the regularisation now rather than after reassessment.

ndexemption zones/and exemption zones/

Working time control comes second. Fixed schedules, mandatory presence in your Paris office or coworking space, required attendance at daily stand-ups, pre-approved holidays and exclusivity clauses all point to subordination. The Take Eat Easy strikes for late log-offs and partial shifts are the extreme version; your milder equivalents still count. A service agreement that requires forty hours a week on your premises, under your manager’s supervision, with holidays subject to your approval, describes a job, not a contract for services. Real independence means the provider organises working time freely, works where the task allows, and remains unreachable outside agreed contact windows.

ndexemption zones/and exemption zones/

Price-setting and substitution come third. Who fixed the rate, and can the contractor send someone else? An employee receives a salary you set; a contractor quotes a price and negotiates it. If you imposed the daily rate, prohibited any increase, and required personal performance with no right of substitution, you removed two classic markers of independence. The Uber ruling stressed unilateral determination of working conditions: fares imposed by the platform, with no negotiation, weighed heavily toward employee status. Keep evidence of genuine negotiation, rate cards applied to several clients, and a contractual right to delegate or subcontract, actually used at least once.

ndexemption zones/and exemption zones/

Tools, brand and integration come fourth. A contractor using your laptop, your email address, your business cards and your client portfolio, introduced to customers as part of your team, is integrated into your organised service. Integration alone does not prove subordination, as the Uber ruling recalls, but combined with orders and control it completes the picture. Let genuine providers work under their own business name, with their own equipment and professional insurance, and invoice in their own format rather than filling your internal timesheets.

ndexemption zones/and exemption zones/

Duration and continuity come fifth. A two-week mission renewed forty times without interruption is continuous work, and continuity plus direction equals employment in the eyes of most courts. French companies often chain service agreements to avoid fixed-term contract rules; judges see through the sequence and reclassify the whole chain as a single permanent employment contract (CDI, the standard open-ended French employment contract), with back pay for the entire period. If the need is permanent, the honest and cheaper answer is usually a CDI, possibly part-time, declared from day one through the pre-hiring declaration (DPAE) filed with URSSAF. Our companion guide explains how to hire a first employee in France from abroad, from the DPAE to the trial period and payslips: the formalities are lighter than most founders fear, and far lighter than a reassessment.

ndexemption zones/and exemption zones/

Finally, keep a genuine-contractor file for every provider you intend to keep outside employment. It should contain proof of other clients, negotiated quotes, the provider’s business registration (Kbis extract, the official certificate issued by the greffe, the registry office of the commercial court, proving a company’s legal existence), professional insurance, own equipment, real substitution history and correspondence showing autonomous organisation. This file does not guarantee victory, but without it you enter every audit empty-handed. With it, you can show the inspector on day one that independence was real, documented and continuous.

ndexemption zones/and exemption zones/

II. What reclassification costs and how to react without flying to France

ndexemption zones/and exemption zones/

Once subordination is established, two fronts open at once. The URSSAF recovers the contributions you should have paid as an employer, with penalties and loss of exemptions. The worker, now legally your employee, claims back pay, overtime, paid leave and damages before the labour court. Criminal exposure for concealed work sits above both. Part A below prices each layer so you can decide quickly. Part B gives the step-by-step response you can run from abroad with a representative on the ground.

ndexemption zones/and exemption zones/

A. The bill: back contributions, lost exemptions, criminal exposure and labour court awards

ndexemption zones/and exemption zones/

The social security layer starts with affiliation. Every person working for an employer belongs to the general scheme, whatever the contract label. Reclassification therefore triggers recovery of employer and employee contributions on all sums paid during the concealed period, within the applicable limitation rules, plus late surcharges. For a contractor paid 4,000 euros a month over three years, the principal alone commonly reaches several tens of thousands of euros before any penalty.

ndexemption zones/and exemption zones/

The procedure gives you rights, but only if you use them from the first letter. You receive at least thirty days’ notice, except for hidden-work investigations where the inspector may arrive unannounced. Silence or late, vague replies become final reassessments that are much harder to overturn. Deliberate intent must be proven, which is exactly why your emails instructing the contractor’s schedule, your exclusivity demands and your penalty clauses matter: they can become evidence of intent, or evidence of good-faith organisation, depending on what they say.

ndexemption zones/and exemption zones/

What counts as concealment is defined precisely. Article L8221-5 of the Labour Code deems concealed work by concealment of salaried employment to include deliberately avoiding “l’accomplissement de la formalité prévue à l’article L. 1221-10 , relatif à la déclaration préalable à l’embauche”, deliberately failing to issue payslips or understating hours, and deliberately avoiding wage and contribution declarations. Add the specific indemnity for concealed work, equal to six months’ salary, routinely sought alongside. A three-year relationship ended by a simple email can therefore cost the equivalent of a full year of salary in court awards alone, before contributions.

ndexemption zones/and exemption zones/

B. The fix from abroad: audit the relationship, regularise, challenge and secure the future

ndexemption zones/and exemption zones/

Act in this order, and act fast: every additional month of subordinate work deepens both the contribution debt and the court exposure. All steps below can be handled remotely with a signed power of attorney and a representative in France, whether counsel, accountant or trusted manager.

ndexemption zones/and exemption zones/

First, freeze and photograph the situation. Stop issuing new instructions that tighten control: no new exclusivity demands, no new fixed schedules, no new penalty scales. Preserve everything instead: the service agreement and its amendments, all invoices with payment proofs, emails and messages about schedules and tasks, access badges, equipment loans, and the contractor’s registration documents. Ask the contractor in writing for proof of other clients and professional insurance. If the relationship is genuinely independent, this evidence protects you. If it is not, destroying or rewriting documents after an audit notice is a separate offence that destroys your credibility, so keep the record intact and let counsel decide what to produce.

ndexemption zones/and exemption zones/

Second, score the relationship against the three powers. Who sets the schedule, who sets the price, who controls performance, who can punish, who owns the tools, who bears the financial risk of a bad month? If the honest answer shows orders, control and sanction in your hands, treat reclassification as likely and move to regularisation rather than denial. If the answer is mixed, reinforce independence immediately and document the change: negotiated rates in writing, real right of substitution exercised at least once, freedom of schedule confirmed by email, work performed under the provider’s own brand with own equipment. Cosmetic contract amendments without changed behaviour convince no inspector and can look like intent to conceal.

ndexemption zones/and exemption zones/

Third, regularise what can still be regularised. Where the need is permanent, sign an employment contract, file the DPAE before the start date, issue payslips and enrol the worker in the DSN circuit going forward: late regularisation does not erase the past, but it stops the debt from growing and demonstrates good faith that judges and inspectors weigh. Where the mission is truly temporary and independent, rewrite the service agreement around autonomy: defined deliverables instead of working hours, negotiated lump-sum or daily rates the provider also charges others, no exclusivity, no integration into your hierarchy, provider’s own tools and insurance, and a substitution clause that is real. For executives and sales profiles, consider lawful alternatives such as a part-time CDI or a commercial agency (agent commercial) registered on the special agents’ register, each with its own regime and its own traps to check before signing.

ndexemption zones/and exemption zones/

Fourth, challenge the reassessment properly. The lettre d’observations opens an adversarial phase: reply within the stated deadline, point by point, attaching the genuine-contractor file and any evidence of autonomy. If the reassessment is maintained, use the ordinary remedies in sequence: amicable appeal before the URSSAF, then the judicial route before the competent court. Never ignore a deadline because you live abroad: appoint a recipient for service in France, calendar every time limit in days, and confirm each filing by tracked means. Parallel labour proceedings require coordination, since arguments raised before the URSSAF can resurface before the prud’hommes. Keep one consistent factual line across both fronts, drafted with counsel, instead of improvising a different story per forum.

ndexemption zones/and exemption zones/

Fifth, secure the future structurally. Centralise contractor onboarding through a written checklist applied to every French engagement: registration verified on the Kbis or trades register, insurance certificate collected, multi-client test documented, rate negotiation minuted, substitution clause included, no company email or badge unless strictly necessary. Train the French manager never to fix schedules, approve holidays or discipline a contractor in writing. Review the portfolio twice a year: any provider working full-time for you alone for over a year should be converted to employment or genuinely diversified. These routines cost little and transform the next audit from a crisis into a routine file review.

ndexemption zones/and exemption zones/

Conclusion

ndexemption zones/and exemption zones/

French reclassification law is simple in statement and strict in application. A contractor under your orders, control and sanction is your employee, with three years of leading case law, published in the Bulletin, saying exactly that about workers far more independent than most in-house contractors. The price of denial runs on two meters at once: social security recovery with cancelled exemptions on one side, labour court awards on a statutory scale on the other, with criminal exposure above. The way out is equally clear: score each relationship honestly against the three powers, regularise permanent needs through proper hiring formalities, document genuine independence where it exists, and challenge any reassessment within its deadlines through a representative in France. Handled this way from abroad, a contractor audit becomes a manageable compliance exercise. Ignored, the same file becomes the most expensive hiring decision your French company never made.

ndexemption zones/and exemption zones/

Your French contractor works only for you, on your schedule, with your tools.
