Your French company, the société par actions simplifiée (SAS, the flexible joint-stock company most foreign founders choose) or société à responsabilité limitée (SARL, the limited liability company with stricter operating rules) that you set up to invoice French clients, will be audited. The letter has a formal name — an avis de vérification de comptabilité (audit notice, the document that opens a verification of your company’s accounts) — and it names the financial years under review, the auditor who will come, and the date of his first visit to your French premises. Your first reflex is to panic about the distance: how do you defend a tax audit in a country where you do not live, in a language you may not read fluently, against an administration whose powers you have never tested? The reassuring answer is that the French tax audit is one of the most strictly choreographed procedures in French law. Every step — the notice, the on-site checks, the reasoned reassessment proposal, the hierarchical appeals, the independent commission, the formal claim and the administrative judge — follows written rules, carries deadlines that protect you as much as they bind you, and produces documents you can answer from abroad through a representative. This guide follows that choreography in order: first the verification phase that starts with the notice, then the rectification phase where the administration prices its claims and where you challenge them, with the Paris specifics where they change the practice for a company registered in the capital.

I. What does the audit notice trigger, and how do you run the verification from abroad?

The audit notice is not a sanction and not a bill. It is the starting signal of a verification of your accounts (vérification de comptabilité, the on-site audit during which tax inspectors examine the company’s books, supporting documents and computer systems at its premises), and French law treats that starting signal so seriously that forgetting it annuls everything that follows. Understanding what the notice must contain, what the auditors may and may not do on site, and how long they may stay gives you the three levers that matter most at this stage: appointing the right representative, preparing the exact documents, and watching the clock. If you chose your company form with our guide to choosing between an SAS, a SARL, a branch and a subsidiary in France, and if you already follow the rhythm of French corporate taxation described in our guide to French corporate tax rates, instalments and filing for companies run from abroad, this audit is the moment where those filings are tested line by line — and where procedure is your strongest defence.

A. The notice, your right to counsel and the charter: the three lines that decide whether the whole audit survives

The rule that opens every audit fits in one sentence of the tax procedure code (Livre des procédures fiscales, abbreviated LPF, the statute that governs how the French tax administration checks, reassesses and collects tax): Les agents de l’administration des impôts vérifient sur place, en suivant les règles prévues par le présent livre, la comptabilité des contribuables astreints à tenir et à présenter des documents comptables. Auditors verify on site, following the rules of that same book — which means every guarantee written in the book applies to your company, including when its shareholder lives on another continent. The most important guarantee arrives before the auditors do. The statute provides that Cet avis doit préciser les années soumises à vérification et mentionner expressément, sous peine de nullité de la procédure, que le contribuable a la faculté de se faire assister par un conseil de son choix. Read that twice: the notice must name the audited years and must expressly state that you may be assisted by an adviser of your choice — an accountant (expert-comptable), a tax lawyer (avocat fiscaliste), or both — and forgetting either mention annuls the entire procedure (nullité de la procédure, the sanction that wipes out the audit and the reassessments built on it). The notice must also tell you that the taxpayers’ charter (charte des droits et obligations du contribuable vérifié, the official booklet listing your rights during a tax audit) is available on the tax administration’s website or on request. From abroad, your first three actions in the first 48 hours are therefore simple: check that the notice names the years and mentions your right to counsel, download or request the charter, and appoint your representative in writing. A short engagement letter giving your Paris accountant or lawyer authority to receive documents, attend meetings and sign correspondence in your company’s name removes the distance problem at a stroke — the administration then deals with a professional in Paris while you decide by email and videoconference.

The scope of what the auditors may examine is wider than many foreign founders expect, and a 2020 decision of the highest administrative court (Conseil d’État, the supreme court for tax disputes) confirmed it. The court held that everyday checkout and accounting software counts as a computerised accounting system subject to inspection: doivent être regardés comme des systèmes informatisés de tenue de comptabilité, au sens des articles L. 13 et L. 47 A du livre des procédures fiscales — including cash registers and comparable equipment running software that feeds, even indirectly, into the daily takings centralised in the accounts. For your company this has a concrete consequence: the auditors may ask for the fichier des écritures comptables (FEC, the standardised electronic file of all accounting entries that every French company using computerised accounts must be able to produce), run their own computer checks on it, and compare the software’s raw data with the declared turnover. If your bookkeeping is kept in English-language cloud software by a provider outside France, tell your accountant now: the file must be producible in the French standard format, and gaps or unreadable exports are treated as irregularities, not as technical excuses. The same decision recalls the notice requirements word for word, which is why Paris auditors now send highly standardised letters — check yours against the two mandatory mentions rather than assuming any official-looking letter qualifies. When the company is registered in Paris, the file is handled by the Paris corporate tax offices of the national tax authority (Direction générale des finances publiques, abbreviated DGFIP, the French tax administration, acting locally through the Service des impôts des entreprises, abbreviated SIE, the office that manages each company’s corporate tax, VAT and audit files), and the auditor named in your notice belongs to the brigade covering your arrondissement: all correspondence, document deliveries and meeting requests go through that office, so your representative’s first letter should confirm his mandate there and ask for a single point of contact for scheduling.

Two practical points complete the opening phase. First, the look-back period is limited: for corporate tax (impôt sur les sociétés, abbreviated IS, the tax on company profits, which applies to profits made by businesses operated in France since les bénéfices passibles de l’impôt sur les sociétés sont déterminés d’après les règles fixées par les articles 34 à 45), Pour l’impôt sur le revenu et l’impôt sur les sociétés, le droit de reprise de l’administration des impôts s’exerce jusqu’à la fin de la troisième année qui suit celle au titre de laquelle l’imposition est due. In practice, an audit opened in 2026 normally reaches back to 2023, 2024 and 2025 — three years, extended to ten only in cases of hidden activity or fraud, which a regularly filing foreign-owned company should never trigger. Check the years named in your notice against that three-year window: anything older needs a justification you should ask your counsel to demand in writing. Second, never ignore the notice because you live far away. An unanswered audit continues without you, the reassessment that follows becomes enforceable, and every later challenge starts from a weaker position. Distance is not a defence in French tax procedure — but representation cures distance entirely, and the administration is used to dealing with mandated professionals for companies whose directors live abroad.

B. The on-site verification run from abroad: duration, documents, behaviour and the closing interview

Once the notice period has run, the auditors come to your French premises — your office, your accountant’s office if the books are kept there by agreement, or occasionally their own offices if you agree. For a small or medium-sized company, which covers almost every foreign-founded SAS or SARL in its first years, the statute caps the intrusion: la vérification sur place des livres ou documents comptables ne peut s’étendre sur une durée supérieure à trois mois. Three months on site, on pain of annulment of the resulting tax — a hard ceiling your counsel should diary from the first visit. The cap concerns the on-site presence, not the whole procedure: the administration may still study your written observations afterwards and examine private bank accounts used for business under separate provisions, but auditors camping in your office for four months build their reassessment on sand. From abroad, ask your representative to keep a dated log of every visit, every document handed over with a receipt (décharge), and every request left pending: that log is the evidence that turns a duration overrun or a missing step into an annulment later.

What the auditors actually do during those weeks follows a predictable pattern, and knowing it removes most of the anxiety. They start with coherence checks — turnover against bank credits, margins against the sector, salaries against declarations, VAT returns against accounting revenue — then drill into the points that look unusual: large expense items without invoices, shareholder current-account movements (comptes courants d’associés, the advances you as a foreign shareholder may have made to your company), management fees paid to your foreign holding, transfer prices with related entities abroad, and cash movements. Every document they take must be listed; every copy they make must be traceable. Your instructions to the local team should be short and strict: be courteous and available, answer factual questions, never volunteer interpretations of tax law, never argue, and refer every legal question to the appointed counsel. If the auditors want to interview staff, those interviews happen with the representative present. If they ask for documents held abroad — contracts with your foreign parent, foreign bank statements — they are entitled to ask, and refusing produces an adverse inference, so organise transmission through your counsel with translations of the key passages. One common trap for foreign founders is the private use of company funds: school fees, family travel or a Paris flat paid by the company and booked as expenses are reclassified as distributed income and taxed in your hands as well as the company’s. If such items exist, tell your counsel privately before the auditors find them — a disclosed and corrected error costs far less than a detected concealment, because the penalty rate jumps with intent.

The verification ends with a closing discussion — the end-of-audit interview (débat oral et contradictoire, the oral exchange in which the auditors present their envisaged adjustments before writing them up) — which your representative attends, increasingly by arrangement, and reports to you the same day with the auditors’ list of envisaged points. Treat that debrief as the most valuable meeting of the audit: it tells you, weeks before the formal proposal, which years, which taxes (corporate tax, VAT, withholding taxes) and which amounts are at stake, and it lets your counsel prepare the written reply with evidence rather than in a rush. If no adjustment is envisaged, the administration sends a no-reassessment notice and the file closes — an outcome worth confirming in writing and keeping with the company’s permanent records, because a later audit of the same years for the same taxes is then barred. If adjustments are envisaged, everything moves to the second phase: the written rectification procedure, where the real battle over reasons, figures and penalties is fought — and where a foreign shareholder who answers precisely and on time wins far more often than the statistics suggest.

II. How do you answer the reassessment and challenge the bill without flying to France?

The verification produces facts; the rectification produces law. Once the auditors leave, the administration must put its claims in a reasoned written proposal, give you time to answer, examine your observations, and only then collect. Each of those steps is a door you can walk through from abroad: a reasoned reply within the deadline, a request for the superior’s review, a referral to the independent commission, then the formal claim and the administrative court. The order matters — skipping a step usually weakens the next — and the deadlines are short, so this part of the guide is organised as a chain: proposal, reply, internal appeals, commission, collection, claim, judge. The statute frames the whole chain in one line: when the administration finds an insufficiency or error in the tax base, les rectifications correspondantes sont effectuées suivant la procédure de rectification contradictoire définie aux articles L. 57 à L. 61 A. Contradictory means exactly what it says: nothing is definitively charged before you have been given the reasons and the opportunity to contradict them.

A. The reasoned proposal, your 30-day reply, and the internal appeals that cost nothing and win often

The central document of the entire procedure is the proposal of rectification (proposition de rectification, the registered letter setting out, tax by tax and year by year, the legal basis, the figures and the penalties the administration intends to apply). The statute demands reasoning, not formulas: L’administration adresse au contribuable une proposition de rectification qui doit être motivée de manière à lui permettre de formuler ses observations ou de faire connaître son acceptation. Reasoned so that you can actually reply — and the courts give that requirement teeth. The Paris administrative court of appeal annulled personal assessments built on a proposal that merely reproduced pages of the company’s own reassessment without explaining the reconstruction method, holding that l’administration doit indiquer au contribuable, dans la proposition de rectification, les motifs et le montant des rehaussements envisagés, leur fondement légal et la catégorie de revenus dans laquelle ils sont opérés, ainsi que les années d’imposition concernées. Because the taxpayer had never received the company’s own proposal and could not usefully discuss figures computed by an undisclosed method, the court concluded that est déchargé, en droits et pénalités, des cotisations supplémentaires d’impôt sur le revenu — full discharge of the additional tax and penalties. For your company the lesson is operational: when the proposal arrives, your counsel’s first reading is not about the numbers but about the reasoning. Does each adjustment state its legal basis, its computation method and the documents it relies on? Are referenced annexes actually attached? Is the method of any turnover reconstruction explained step by step? A proposal that asserts without demonstrating is vulnerable, and saying so precisely in your observations preserves the annulment argument for the judge later.

Your reply deadline is thirty days from receipt, with a thirty-day extension available on written request made before expiry: the general rule sets the period at est fixé à trente jours à compter de la réception de cette notification, and the rectification article adds that ce délai est prorogé de trente jours when you ask in time. From abroad, the discipline is therefore: acknowledge receipt the day the proposal reaches your representative, diary day 25 as the internal deadline for instructing counsel, and systematically request the extension in writing — it is routinely granted and it doubles your preparation time. The reply itself should be built like a court brief, not like a complaint letter: take each adjustment in the administration’s order, concede what is indefensible with corrected figures (goodwill concessions cost little and buy credibility), contest the rest with documents and computations, attach every exhibit with a numbered list, and close by expressly requesting, in the alternative, the hierarchical appeal and the departmental interlocutor interview described below. Send it by tracked means and keep proof of dispatch and receipt: a late or unprovable reply is the single most common self-inflicted wound in the whole procedure. Watch the penalties section of the proposal with equal care. The tax code scales surcharges by behaviour — a. 40 % en cas de manquement délibéré for deliberate failure, rising to c. 80 % en cas de manœuvres frauduleuses for fraudulent manoeuvres — plus late-payment interest. Your observations should therefore always address the penalty qualification separately: even where the principal adjustment stands, showing good faith, disclosed positions and reliance on professional advice can move the file from 40 percent back to interest only, which on a large reassessment saves more than the argument on the principal.

If the administration maintains its position in its formal response to your observations, two internal appeals remain before any judge — both available on simple written request, both handled in Paris for a Paris-registered company, both usable from abroad through your representative. First, the hierarchical appeal (recours hiérarchique, the review of the file by the auditor’s superior) and then the departmental interlocutor (interlocuteur départemental, a senior official designated to hear the taxpayer after the hierarchical stage). These are not favours; they are enforceable guarantees. The highest administrative court confirmed that les dispositions contenues dans la charte sont opposables à l’administration — the charter binds the administration — and that it secures le respect de la même garantie substantielle, qui tient à ce qu’il puisse obtenir, avant la clôture de la procédure de redressement, un débat avec le supérieur hiérarchique du vérificateur, followed if needed by a debate with a higher-ranking official. Being refused these interviews, or being received by someone without the required hierarchical standing, is a procedural irregularity your counsel must record in writing at the time. In practice, these interviews settle or visibly reduce a large share of files: the superior sees the file with fresh eyes, tests whether the adjustments would survive before a judge, and often abandons the weakest points or downgrades penalties. Prepare them like hearings — a short speaking note, a paginated exhibit bundle, three messages maximum — and attend by videoconference where the office allows it, with your representative physically present. Second, where disagreement persists on technical matters such as valuations, accounting methods or turnover reconstructions, you may ask the administration to refer the file to the departmental commission for direct taxes and VAT: Lorsque le désaccord persiste sur les rectifications notifiées, l’administration, si le contribuable le demande, soumet le litige à l’avis of the competent independent body. The commission hears both sides and gives a reasoned opinion that the administration follows in most cases; requesting it also structures the file for the judge if litigation follows. Your counsel will tell you when referral helps — typically where an independent expert eye on figures beats a legal argument — and when it merely delays, because the request must be weighed against the interest clock that keeps running.

B. From collection to the administrative judge: claims, courts and paying wisely while you live abroad

After the contradictory phase closes, the administration issues collection notices (avis de mise en recouvrement, the documents that make the additional tax, penalties and interest legally payable) and the file moves from debate to payment — but payment is not the end of your rights. The next step is the formal claim (réclamation contentieuse, the written claim to the tax administration asking for discharge or reduction of the tax, which must precede any court action). The deadline is generous but strict: claims must reach the administration doivent être présentées à l’administration au plus tard le 31 décembre de la deuxième année suivant celle of the collection, payment or triggering event, depending on the case. Diary that date the day the collection notice arrives, and file the claim well before it with the full reasoning and exhibits — the claim defines the perimeter of the later court case, so arguments omitted there are harder to raise before the judge. The administration has six months to answer; silence for six months counts as an implicit rejection that you may take to court. The court action itself goes to the administrative court (tribunal administratif, the first-instance court for tax disputes), within dans les deux mois à partir de la notification ou de la publication de la décision attaquée. Two months from the express or implicit rejection — the shortest fuse in the whole chain, and the one foreign shareholders most often miss because the rejection letter sits unread in a Paris mailbox. Give your representative standing instructions: every administrative letter is scanned to you within 48 hours, and any rejection triggers an immediate litigation assessment.

The most delicate decision at this stage is whether to pay first and litigate after, or to seek suspension. French tax litigation does not automatically suspend collection: the sums on the collection notice are due even while your claim or court case is pending, and unpaid amounts accrue enforced-recovery measures. Three attitudes are available, and your counsel will price each. Paying the full amount stops interest from running and simplifies recovery with interest if you win — the administration repays overpaid tax with default interest — but it immobilises cash a young company may need. Requesting a payment plan (délai de paiement) from the local collection office spreads the outflow while the dispute runs, and Paris offices grant them routinely on documented cash-flow evidence, provided each instalment is honoured. Offering guarantees in exchange for suspension of enforced recovery protects the company’s bank accounts from seizure while preserving the dispute. What you must never do is simply stop paying without any request: forced recovery — bank seizures (saisies), notices to clients holding your receivables (avis à tiers détenteur) — can paralyse a small company within weeks, and lifting them costs more than negotiating terms upfront. Keep every payment receipt and every plan confirmation: they enter the litigation file as proof of compliance and good faith, which judges notice when assessing penalties.

When the company sits in Paris or the Île-de-France, the litigation geography is an advantage for a well-organised foreign shareholder. The competent first-instance court is the administrative court of Paris for taxes assessed in the capital, and appeals go to the Paris administrative court of appeal (cour administrative d’appel de Paris, the court that decided the discharge for an unreasoned proposal cited above) — the two courts that handle the largest volume of corporate tax cases in France, with specialised tax chambers and predictable case management. Your representative files, exchanges briefs and attends hearings locally; you follow through copies and attend only if a hearing makes it worthwhile, which is rare at first instance since tax cases are decided on the papers. Paris specifics also shape the earlier phases: the departmental interlocutor for a Paris company sits within the Paris tax directorate, the commissions meet regularly with experienced members, and the collection offices process payment plans for foreign-owned companies daily — none of which requires your presence, provided the mandate, the exhibits and the translations are in order. One Paris trap deserves a warning: errands multiply across offices — audit brigade, collection office, claims department, court registry — and letters from each look alike. Centralise everything with one representative who logs every sender, date and deadline in a single table shared with you; most missed deadlines in Paris files come not from legal difficulty but from a letter opened too late. Run this way, a tax audit of a Paris company from a home abroad is entirely manageable: the procedure is written, the deadlines are knowable, the appeals are real, and the judge — as the discharge cases show — annuls reassessments that are unreasoned, unproven or procedurally flawed, wherever the shareholder happens to live.

Conclusion

A tax audit notice received for your French company while you live abroad opens a procedure, not a verdict: the notice must name the years and your right to counsel — Cet avis doit préciser les années soumises à vérification et mentionner expressément, sous peine de nullité de la procédure, que le contribuable a la faculté de se faire assister par un conseil de son choix. — the on-site checks are capped in time, the proposal must reason its figures so you can answer them — L’administration adresse au contribuable une proposition de rectification qui doit être motivée de manière à lui permettre de formuler ses observations ou de faire connaître son acceptation. — and the charter’s guarantees of hierarchical review bind the administration before the file closes. Answer within the thirty days, doubled on request; attack reasoning before numbers; demand the superior’s review, the interlocutor and, where useful, the commission; claim before the 31 December of the second year and appeal within two months; and organise payment so the dispute never paralyses the business. Handled in that order through a mandated professional in France, an audit becomes what French law intends it to be — a contradictory examination where a prepared taxpayer, even one living thousands of kilometres away, holds every card the procedure deals.

Your French company received an avis de verification while you live abroad.
