Months later, a letter from the greffe (the registry office attached to the commercial court) asks for the beneficial owners, or a bank freezes an operation until the register of beneficial owners is in order. The French register of beneficial owners — registre des bénéficiaires effectifs, universally called the RBE — is not an optional transparency statement. Every French commercial company must identify the living individuals who ultimately own or control it, declare them at registration, and update the declaration within thirty days of any change. A founder who lives abroad often discovers the obligation at the worst moment: during a capital increase, a sale of shares, or a court injunction ordering the company to file within one month under a daily penalty.

This article is written for the foreign founder, foreign shareholder or foreign group that owns a French SAS (société par actions simplifiée, the simplified joint-stock company) or SARL (société à responsabilité limitée, the private limited company) while living outside France. It is not a general guide to choosing between an SAS, an SARL, a branch and a subsidiary, and it does not cover the different situation in which a business partner blocks the beneficial-owner filing. It answers three practical questions in order: who counts as a beneficial owner when the capital comes through foreign holding chains, what exactly must be filed, when and through which portal, and what a missing, late or inaccurate filing costs — injunction, strike-off from the RCS, and criminal fines — plus how to fix it from abroad. Every decisive rule is linked to its official text, and the case law is quoted word for word from the Cour de cassation (the French supreme court for civil and commercial matters).

I. Who your beneficial owners are and what France requires you to file

A. How to identify the beneficial owners through foreign holding chains from abroad

French law looks through companies to find living individuals. Article L. 561-2-2 of the Monetary and Financial Code defines the beneficial owner as the natural person or persons who ultimately control the customer directly or indirectly, or for whom an operation is executed or an activity carried on. The official guidance on the Service-public Entreprendre portal makes the test operational for companies: a beneficial owner is the individual shareholder who directly or indirectly holds more than twenty-five percent of the capital or voting rights, or who exercises control by any other means, for example by appointing or removing most of the directors. Where nobody meets either test, the beneficial owner is the legal representative of the company — the president of a SAS or the manager of a SARL — and where that representative is itself a legal person, the individuals who legally represent it. The full official guide is published at Déclaration des bénéficiaires effectifs de la société.

For a foreign-owned French company, identification means drawing the complete chain on paper before touching the portal. Start from the French company and climb: the direct shareholders, then each intermediate holding whether French or foreign, then the individuals at the top with their exact percentages of capital and voting rights at every level. Indirect holdings are multiplied along the chain, and shareholders’ agreements count as control even without capital: a veto on the appointment of the president, a casting vote, or a right to direct the French subsidiary’s strategy can make a minority holder a beneficial owner by control. Three configurations recur in foreign files. First, a single foreign individual owns one hundred percent through a foreign holding: the individual is declared with indirect control, and the holding appears only as the chain. Second, two foreign partners each hold fifty percent: both are declared, each above the threshold. Third, a widely held foreign parent sits above the French subsidiary and no individual reaches twenty-five percent: the file then declares control by other means or, failing that, the legal representative, with an explanation the greffe can verify. A file that stops at the foreign parent and names no individual is incomplete by construction, and it is the most common reason the greffe sends the file back.

The scope of the duty is set by Article L. 561-45-1 of the Monetary and Financial Code, which requires companies established on French territory in accordance with the Commercial Code to obtain and keep accurate and up-to-date information on their beneficial owners. Commercial companies (SARL, SAS and others) and civil companies (SCI and others) with their registered office (siège social) in France are concerned, as are foreign-seated companies with an establishment in France. Listed companies whose securities are admitted to trading on a regulated market, or subject to equivalent transparency rules, are exempt — a narrow exception that almost never helps a founder-owned structure. From abroad, the practical work is documentary: passports of each individual, personal addresses, dates and places of birth, nationalities, the nature and extent of control, and the date on which each person became a beneficial owner, plus the corporate documents proving each link of the chain, with sworn French translations and apostilles where required. Banks apply the same definition when they open or monitor the company account, so the ownership chart prepared for the RBE should match the chart given to the bank exactly; divergent charts are how files get flagged twice.

B. What the RBE filing contains, when it is due and how to file it through the one-stop shop

The declaration is filed with the company itself, not apart from it. Article L. 561-46 of the Monetary and Financial Code requires the companies concerned to declare to the RCS, through the body designated by the Commercial Code — the guichet unique (the one-stop shop for business formalities operated by the INPI, the French industrial-property office) — the information on their beneficial owners, covering identification elements and the personal domicile of those owners as well as the terms of the control they exercise over the company. Article R. 561-55 of the same code fixes the timetable: the information is declared to the registry of the commercial court at the time of the application for registration on the RCS, filed through the single body mentioned in the Commercial Code, and the registered company must request an amending entry within thirty days of any fact or act making it necessary to correct or complete the declared information. A change of address after a move, a change of name after marriage, the arrival of a new owner, a shareholders’ agreement creating control — each restarts the thirty-day clock.

Concretely, the founder declares the beneficial owners in the dedicated section of the online formality, adding one record per individual: surname, given names, date and place of birth, nationality, personal address, nature and extent of the control, and the date on which the person became a beneficial owner, plus the company’s own identification. The filing fee is modest and published on the official page; the cost that matters is delay, because the greffe checks the RBE section like every other exhibit of the registration file. Article L. 561-47 of the Monetary and Financial Code tasks the registrar with verifying that the beneficial-owner information is complete and compliant, matches the supporting documents and annexes, and is consistent with the state of the file for amendment or strike-off requests. A RBE record that contradicts the articles — a shareholder holding forty percent of the capital who is missing from the declaration, or a declared percentage that matches neither the articles nor the share transfer deeds — stops the file as surely as a missing lease. Before clicking through from abroad, reconcile four documents line by line: the articles, the share register or transfer deeds, the bank’s ownership chart, and the RBE draft.

Two timing traps catch founders who live outside France. The first is the company in formation: the first RBE declaration is part of the registration file, signed by the person entitled to carry out the formation formalities, and the commitments made for the future company follow the takeover regime. Sign the RBE section expressly in the name of the company in formation and keep it among the acts the registered company takes over. The second trap is the slow foreign chain: each missing translation or unapostilled parent certificate pushes the filing past the thirty days. Prepare the chain before the triggering event where possible — draft the updated RBE record while the share sale is being negotiated, not after the funds arrive — and file the amendment the week the change takes effect. The BODACC (Bulletin officiel des annonces civiles et commerciales, the official gazette for company registrations and court notices) will later reflect the company’s life, but the RBE itself lives in the RCS file the greffe holds, and counterparts increasingly check it before paying.

II. What a missing, late or wrong filing costs and how to fix it from abroad

A. Which sanctions apply: injunction with daily penalty, strike-off and criminal fines

The enforcement chain starts with the registrar, moves to the court president, and ends with the criminal courts. When beneficial-owner information has not been declared, or is inaccurate or incomplete, the registrar of the commercial court may formally require the company to regularise within three months; failing that, the registrar may strike the company off the RCS on his own motion (radiation d’office), inform the public prosecutor, and transmit the strike-off to the RNE (registre national des entreprises, the national business register that centralises French business data). This is the administrative stage described on the official Service-public page and grounded in Article L. 561-47. In parallel, Article L. 561-48 of the Monetary and Financial Code allows the court president, on his own motion or at the request of the prosecutor or any interested person, to order the company, if necessary under a daily penalty (astreinte), to file or to correct inaccurate or incomplete beneficial-owner information; where the company defies the injunction, the registrar notifies the prosecutor, and the president may have the company struck off the RCS within three months of notification of the decision. Article R. 561-62 of the same code adds the procedure: the president rules by order setting the time for compliance and, where relevant, the rate of the daily penalty, and the order is notified by registered letter with acknowledgment of receipt.

The Cour de cassation has just confirmed how sharp this tool is. In Commercial Chamber, 17 December 2025, appeal no. 24-22.646, a commercial court president had ordered a company to declare its beneficial owners to the RCS “dans le délai d’un mois à compter de la notification de la décision, sous astreinte de cent euros par jour de retard passé ce délai”. The company argued it had already complied when the order was made, and that ordering it to do what was already done exceeded the judge’s powers. The Court rejected the appeal, holding that “Il résulte de l’article R. 561-62 du code monétaire et financier que la décision par laquelle le président d’un tribunal ordonne à une société de déclarer au registre du commerce et des sociétés ses bénéficiaires effectifs n’est pas susceptible de recours”, and that “Un mal jugé par erreur de droit ou de fait ne constitue pas un excès de pouvoir.” For a founder abroad, the message is blunt: the injunction order itself cannot be appealed, an error of fact or law by the president is not an excess of power, and the daily penalty runs while the argument continues. The only efficient response to an injunction is to file a complete and correct declaration inside the ordered time, not to litigate the order’s premises.

Criminal sanctions sit above this administrative machinery, and their scale changed recently. According to the official Service-public guidance, companies that fail to declare, or declare inaccurately or incompletely, face both administrative and criminal penalties. Since 28 May 2026, the legal representative of the company — or the person in charge of the registration formalities — faces a fine of up to 200,000 euros, a management disqualification of up to fifteen years, and a partial deprivation of civil rights; the six-month prison sentence no longer applies from that date. The company itself faces a fine of up to 1,000,000 euros plus complementary penalties such as dissolution or prohibitions on activity. For offences committed before that date and not yet finally judged, the former regime applied: a 7,500 euro fine and six months’ imprisonment for the representative, and a 37,500 euro fine for the company, with the newer milder provisions applying where more favourable. These figures explain why banks, buyers and auditors now check the RBE before moving: a company under injunction or threatened with strike-off is a counterpart nobody wants, and the SIREN number (the nine-digit company identifier issued by INSEE, the French statistics institute) that once opened every door starts closing them. If the registered office is in Paris or elsewhere in Île-de-France (the Paris region), the competent registrar and the competent court president follow the seat — the Paris commercial court for a Paris seat — and a founder outside France answers through a representative holding a written power, in French, with translated exhibits.

B. How to correct and complete the filing from abroad and prove good faith

Correction uses the same portal as creation. An amending entry is requested on the one-stop shop within thirty days of the change, with the corrected record for each individual concerned and the supporting documents that explain the correction: the share transfer deed, the amended shareholders’ agreement, the new passport after a move, the board minutes recording a new controller. Where the registrar has sent a formal requirement to regularise within three months, answer within that time with a complete file and keep dated proof of every upload, because the strike-off power activates on expiry, not on a second warning. Where a court president has issued an injunction with a daily penalty, file inside the ordered period — one month in the 2025 ruling quoted above — and treat the daily amount as running from the first day after expiry. Persons with authorised access to beneficial-owner data include the judiciary, the national financial intelligence unit, and supervised entities performing their vigilance duties under Articles L. 561-5 and following of the Monetary and Financial Code, with detailed access lists in Article R. 561-57 and Article R. 561-58; in practice this means the company’s bank sees the same data as the registrar, so a correction filed with the greffe should be mirrored to the bank the same week to unblock operations.

Good faith is proved with paper, not with explanations. From abroad, assemble a dated bundle: the original declaration and its receipt, the event that triggered the change with its date, the corrected draft reconciled with the articles and the share documents, the translations and apostilles, the powers given to the representative in France, and the filing receipts for both the one-stop shop and the bank notification. Three mistakes destroy good faith most often. The first is filing the amendment with percentages copied from an outdated capitalization table while the signed transfer deed shows different figures; the registrar compares documents, not intentions. The second is declaring the foreign holding as if it were an individual, leaving the individuals section empty or naming a company where a living person is required. The third is waiting for the registrar’s reminder before acting: the thirty-day duty runs from the change, and a file corrected on day twenty-five after a share sale looks diligent, while the same file corrected three months later under a formal requirement looks forced — and the criminal exposure is assessed on the same timeline. A company that was struck off can request reinstatement by proving it has regularised, with the registrar deciding within fifteen days; a refused or unanswered reinstatement can be referred to the court president within fifteen days. Those two fifteen-day windows are the last safety net, and both require the complete corrected file to already exist.

One final discipline protects the whole structure: keep the RBE, the articles, the bank chart and the tax filings telling the same story about who owns the company. Article L. 210-6 of the Commercial Code reserves legal personality to registered companies and loads personal liability onto those who acted for a company in formation without a takeover; the same logic of consistency governs the RBE, where every counterpart cross-checks. Update the internal register of beneficial owners at the same time as the public filing, so the next capital increase, the next sale and the next audit start from a clean record. A founder who lives abroad cannot attend every registry counter, but can maintain one ownership chart, one documentary chain and one filing calendar — and can show, if the registrar or the president ever asks, that every change was declared within thirty days with translated proof. That is what transforms the RBE from a recurring threat into a routine formality.

Conclusion

The register of beneficial owners is the one French formality a foreign owner cannot delegate to memory. Articles L. 561-2-2 and L. 561-45-1 of the Monetary and Financial Code designate the living individuals to find; Article L. 561-46 orders the declaration through the one-stop shop; Article R. 561-55 sets the thirty-day update clock; Articles L. 561-47 and L. 561-48 organise verification, formal requirement, injunction under daily penalty and strike-off; Article R. 561-62 closes the appeal against the injunction order, as the Cour de cassation confirmed on 17 December 2025. Since 28 May 2026, the criminal price of neglect runs to 200,000 euros and a fifteen-year management ban for the representative, and 1,000,000 euros for the company. From abroad, the method is unglamorous: one ownership chart reconciled across articles, bank and registry; every individual identified with translated proof; every change filed within thirty days; every injunction obeyed inside its ordered time. The RBE does not reward clever structures.
