When you needed someone on the ground in France, a developer in Lyon, a designer in Bordeaux, a sales representative covering Paris, hiring a full employee felt heavy: a French employment contract, monthly payslips, social charges at roughly forty percent on top of gross salary, dismissal rules you do not master. So you chose the light path. A talented French freelancer, registered as an auto-entrepreneur (the simplified one-person business regime), sends you a monthly invoice, you wire the money from abroad, no payroll, no payslip, no social charges. Months pass, the collaboration works, and then one of two letters arrives. Either the URSSAF (the network of agencies that collects French social security contributions from employers and the self-employed) announces a control of your company and questions the invoices, or the freelancer files a claim before the conseil de prud’hommes (the French labour court that hears disputes between employers and employees) and asks the judges to declare that he was your employee all along. Both routes lead to the same word: reclassification. A judge or an inspector decides that behind the service agreement there was an employment contract, and years of contributions, back pay and penalties follow. Distance does not protect you: French law applies to work performed in France, and the whole procedure can be handled from abroad with proper representation. This article explains how French courts draw the line between a genuine contractor and a disguised employee, what the financial consequences are when the line is crossed, and how a foreign founder answers an audit or a claim and secures the relationship for the future. If you have not yet chosen your French vehicle, start with our founding guide: Choosing a SAS, SARL, Branch or Subsidiary for France From Abroad.

I. How French courts decide that your French freelancer is really your employee

A. The subordination test that foreign founders fail without realising it

French law does not ask what the contract says. It asks how the work was actually performed, day after day. The decisive criterion is the lien de subordination, the legal subordination that defines an employment contract: one person works under the authority of another who directs, monitors and can punish. The courts apply the definition restated by the Social Chamber of the Court of Cassation (Cass. soc., 28 November 2018, appeal No. 17-20.079, Take Eat Easy): “le lien de subordination est caractérisé par l’exécution d’un travail sous l’autorité d’un employeur qui a le pouvoir de donner des ordres et des directives, d’en contrôler l’exécution et de sanctionner les manquements de son subordonné.” In plain terms, three powers exercised together make an employee: giving orders and instructions, checking how they are carried out, and sanctioning failures. No single document proves or defeats this; the judge looks at reality. Because subordination rarely appears in a signed confession, judges use what case law calls the faisceau d’indices, the bundle-of-indicators method. The Court of Cassation upheld the reclassification on a bundle of such indicators, holding in its widely reported Uber ruling (Cass. soc., 4 March 2020, appeal No. 19-13.316) that the driver’s independent status was fictitious: the operating company had sent him directives, monitored how they were performed and exercised a power of sanction over him. Each fact alone may look innocent; together they can paint an employee.

For a foreign founder managing from abroad, the dangerous indicators are usually digital and therefore perfectly documented. Fixed working hours imposed through shared calendars, mandatory daily stand-up meetings on video, an obligation to be reachable on Slack or Teams within minutes, exclusivity clauses forbidding other clients, integration into your internal teams and tools, prices and fee increases decided unilaterally by you, performance ratings followed by warnings or removal from the rota: each of these points toward direction, control and sanction. The platform cases made this concrete for everyone. A driver who logs into an application that sets the fare, assigns the rides, monitors the route by geolocation, applies rating-based penalties and can disconnect the account is not running an independent business in the eyes of French judges, even though he chose his hours and owned his car. In the Take Eat Easy case (Cass. soc., 28 November 2018, appeal No. 17-20.079), the Court of Cassation overturned an appeal ruling that had denied employment status, noting that “l’application était dotée d’un système de géolocalisation permettant le suivi en temps réel par la société de la position du coursier et la comptabilisation du nombre total de kilomètres parcourus par celui-ci”, combined with a sanctioning power over the courier, which together revealed direction and control characteristic of subordination. In a May 2025 follow-on ruling involving another driver and the Uber companies (Court of Appeal of Paris, 22 May 2025, RG 24/07275), the court likewise sent the dispute back to the labour courts, which kept jurisdiction over the driver’s claims. The message for a foreign-owned company is direct: if your French freelancer works only for you, on your schedule, with your tools, under your daily instructions and your quality ratings, a French court can call him your employee whatever the service agreement says, and the full labour and social security regime attaches. The fact that you gave instructions from London or Dubai changes nothing, because the work, the worker and the alleged subordination are all located in France.

Three misunderstandings are particularly common among foreign founders and each of them loses cases. First, owning a SIRET number (the fourteen-digit registration identifier of a French business) or sending proper invoices proves registration, not independence; inspectors and judges say so openly and look past the paperwork. Second, working remotely or part-time does not exclude subordination: an employee can work from home two days a week or ten hours a month, and a contractor can be controlled through software more tightly than any factory worker. Third, the absence of a written contract helps the worker, not the company: without a service agreement describing a genuine independent mission, the judge reconstructs the relationship from messages, payment history and working conditions, and that reconstruction almost always favours the party who received orders. Keep every message, brief, invoice, payment proof and version of the agreement from the first day, because these documents will be the evidence on both fronts, the URSSAF audit and the labour court claim, and because destroying or backdating them after a control starts is a separate offence that destroys credibility. If your situation already involves an audit letter, our step-by-step guide to the procedure applies directly: Your French Company Is Audited by URSSAF and You Live Abroad.

B. The presumption that protects genuine contractors and the three ways companies lose it

French law does not presume that every freelancer is an employee. It does the opposite: registration as an independent creates a simple presumption of non-employment. Article L8221-6 of the Labour Code lists the persons covered, including individuals registered with the commercial registry, the trades register or the social security collection bodies for family allowance contributions, as well as managers of registered companies and their staff. For them, the statute states the reversal mechanism in these terms: “L’existence d’un contrat de travail peut toutefois être établie lorsque les personnes mentionnées au I fournissent directement ou par une personne interposée des prestations à un donneur d’ordre dans des conditions qui les placent dans un lien de subordination juridique permanente à l’égard de celui-ci.” The presumption is simple, meaning it can be overturned by proof, and the proof is exactly the subordination described above: direct or indirect services performed for one client under permanent legal subordination. The same article adds the criminal sting: “Dans ce cas, la dissimulation d’emploi salarié est établie si le donneur d’ordre s’est soustrait intentionnellement par ce moyen à l’accomplissement des obligations incombant à l’employeur mentionnées à l’article L. 8221-5”. Intentional evasion of employer obligations through a fake contractor turns a civil reclassification into concealed employment, with all the penalties that follow.

In practice companies lose the presumption through three classic configurations. The first is economic dependence disguised as outsourcing: one freelancer, one client, full-time work, month after month, sometimes for years. Nothing in the statute forbids a contractor from having a single client, and many genuine consultants start that way, but a single-client relationship lasting years, combined with fixed schedules and integration, is the profile judges reclassify most often. Early 2025 gave a textbook illustration outside the platform economy: a technician who had worked through successive service companies for the same industrial client asked the labour courts to recognise an employment contract, the first-instance labour court declared itself incompetent on the ground that there was no contract of employment, and the Court of Appeal of Poitiers reversed entirely, holding the labour courts competent to hear his claims. The official decision is published here: Court of Appeal of Poitiers, 6 February 2025, RG 24/01343. The lesson is that reclassification is not a platform-only phenomenon: any long exclusive contractor relationship in industry, IT, sales or consulting can follow the same path. The second configuration is the imposed auto-entrepreneur: a worker who was or should have been hired is told to register as self-employed as a condition of getting the job, sometimes keeping the same desk, the same manager and the same tasks as before. When registration is a fiction imposed by the stronger party, courts sweep it aside quickly. The third configuration is the foreign founder’s blind spot: believing that an English-language consultancy agreement governed by foreign law settles the question. It does not. French courts apply French mandatory employment law to work performed in France, recharacterise the contract under French categories, and ignore choice-of-law clauses that would deprive the worker of protections French law deems fundamental. A final procedural point strengthens the authorities’ hand: during a control, URSSAF inspectors are expressly not bound by the label the parties gave their relationship. The statute says it plainly in article L243-7 of the Social Security Code: “Dans le cadre de leurs missions, ils ne sont pas tenus par la qualification donnée par la personne contrôlée aux faits qui leur sont soumis.” Your invoices say consulting, your agreement says independent contractor, your accountant booked professional fees: the inspector reads the facts, not the labels, and so does the judge.

II. What reclassification costs a foreign-owned company and how to answer it from abroad

A. The three bills: social security reassessment, labour court back pay and the criminal risk

The first bill comes from URSSAF and it is mechanical. Once an employment relationship is established, the worker should have been affiliated to the general social security regime from the first day, because article L311-2 of the Social Security Code requires compulsory affiliation of “toutes les personnes quelle que soit leur nationalité, de l’un ou de l’autre sexe, salariées ou travaillant à quelque titre ou en quelque lieu que ce soit, pour un ou plusieurs employeurs et quels que soient le montant et la nature de leur rémunération, la forme, la nature ou la validité de leur contrat ou la nature de leur statut.” Every euro paid to the freelancer is therefore reanalysed as salary and charged employer and employee contributions retroactively, with late-payment surcharges running from each original due date. On top of the principal, URSSAF applies specific penalties for concealed employment, cancels reductions and exemptions the company may have enjoyed, and can extend the reassessment over several past years. The control itself follows strict rules that also protect you: article R243-59 of the Social Security Code provides that “Tout contrôle effectué en application de l’article L. 243-7 est précédé, au moins trente jours avant la date de la première visite de l’agent chargé du contrôle, de l’envoi par l’organisme effectuant le contrôle des cotisations et contributions de sécurité sociale d’un avis de contrôle.” Read the notice carefully, check its date against the first visit, and note the exception stated in the same article: “Toutefois, l’organisme n’est pas tenu à cet envoi dans le cas où le contrôle est effectué pour rechercher des infractions aux interdictions mentionnées à l’article L. 8221-1 du code du travail.” In hidden-work investigations the inspectors may arrive unannounced, which is precisely why a surprise visit about your contractors should be taken as a serious signal rather than an informal chat.

The second bill comes from the labour court and it is often heavier than the first. The reclassified worker can claim everything an employee in his position would have received: unpaid salary differences if the invoices were below the applicable minimum or conventional wage, overtime for hours beyond the thirty-five-hour week that invoices never recorded, paid leave, bonuses, and, if the relationship has ended, severance pay, notice-period compensation and damages for dismissal without cause or procedure. Two missing formalities aggravate the account systematically. First, no prior hiring declaration was ever filed, whereas article L1221-10 of the Labour Code requires that “L’embauche d’un salarié ne peut intervenir qu’après déclaration nominative accomplie par l’employeur auprès des organismes de protection sociale désignés à cet effet.” That declaration, the DPAE (déclaration préalable à l’embauche, the online pre-hiring notice every French employer files before day one), never existed for your contractor. Second, no payslip was ever issued, whereas article L8221-5 of the Labour Code treats as concealed employment the conduct of an employer who acts as follows: “Est réputé travail dissimulé par dissimulation d’emploi salarié le fait pour tout employeur : 1° Soit de se soustraire intentionnellement à l’accomplissement de la formalité prévue à l’article L. 1221-10 , relatif à la déclaration préalable à l’embauche ;” followed by the payslip and social-declaration limbs of the same article. Each missing payslip and each missing declaration is therefore not a mere administrative gap but a building block of the concealed-employment finding, and labour courts convert them into flat-rate indemnities plus full back pay. The third bill is criminal and reputational. Article L8221-1 of the Labour Code opens the prohibition bluntly: “Sont interdits : 1° Le travail totalement ou partiellement dissimulé, défini et exercé dans les conditions prévues aux articles L. 8221-3 et L. 8221-5 ;” and article L8224-1 attaches the sanction: “Le fait de méconnaître les interdictions définies à l’article L. 8221-1 est puni d’un emprisonnement de trois ans et d’une amende de 45 000 euros.” For companies, fines are multiplied and additional penalties such as exclusion from public contracts or publication of the conviction can follow. Criminal prosecution remains selective and targets intentional, organised schemes, but the labour and URSSAF consequences apply without any criminal case, on proof of subordination alone.

B. Answering the audit and the claim from abroad, then securing the relationship

If the audit letter or the court summons has already arrived, work in order and from where you are. First, preserve the evidence in its current state: export all messages, briefs, schedules, invoices, payment records and successive versions of the agreement, and instruct everyone in the company, in France and abroad, not to delete, rewrite or backdate anything. Second, calendar every deadline on the documents you received: the thirty-day notice before a standard URSSAF visit, the time limit to answer the observation letter with written arguments before the reassessment becomes final, the appeal routes against the formal demand, and before the labour court the conciliation hearing at which article L1411-1 of the Labour Code requires the judges to attempt settlement since “Le conseil de prud’hommes règle par voie de conciliation les différends qui peuvent s’élever à l’occasion de tout contrat de travail soumis aux dispositions du présent code entre les employeurs, ou leurs représentants, et les salariés qu’ils emploient.” Third, appoint counsel in France immediately and give a single power of attorney covering both fronts, because the audit and the labour case feed each other: admissions made to the inspector reappear in the worker’s file, and a labour court finding of employment practically dictates the URSSAF outcome. Representation by a lawyer admitted to the French bar covers hearings, inspector meetings and written exchanges without requiring you to fly in, and courts in Paris and the Île-de-France region, where most foreign-owned companies are registered and where URSSAF Paris-Île-de-France operates, routinely handle files whose directors never set foot in France. Your defence on the merits turns on demonstrating genuine independence: other clients and published offers, schedules set by the contractor, work performed with the contractor’s own equipment and methods, schedules set by the contractor, fees genuinely negotiated rather than imposed, the right to refuse missions and to send a substitute, and a service agreement that describes deliverables and acceptance rather than presence and obedience. Each proved element weakens one strand of the bundle of indicators; none works alone, and witness statements from people who saw the relationship function independently carry real weight.

For the future, choose one of three clean models and document it from day one. The first is genuine outsourcing: a written service agreement in English is fine for business purposes, but make sure its substance is independent, with defined deliverables, acceptance criteria, milestones and a price for results rather than hours of monitored presence. The contractor should keep other clients or at least the visible right to take them, use his own tools and premises, decide his own schedule, and invoice through his own registered business with professional insurance. Review the relationship every six months against the three powers of direction, control and sanction, and correct drift early, because a two-year exclusive collaboration that started clean often ends subordinate. The second model is hiring properly: if the person works full-time for you under your direction, an employment contract is usually cheaper than a reclassification, and the formalities are standardised, with the DPAE filed online before the first day, a written contract, monthly payslips, registration with the applicable pension and welfare bodies, and affiliation declarations handled through the DSN (déclaration sociale nominative, the monthly electronic payroll return). Our dedicated hiring guide walks foreign founders through each step: Hiring Your First Employee in France While Living Abroad. The third model suits missions that need a person without creating employment: portage salarial, the French umbrella-company arrangement in which an approved portage company hires the professional as its employee and bills your company a service fee, giving you flexibility without direct employment risk. Whichever model you choose, centralise the paperwork at your French registered office or with your French counsel, keep proof of the contractor’s independence alongside proof of your compliance, and never pay a supposed freelancer partly in undeclared cash top-ups, which convert a defensible file into an indefensible one. Distance is an organisational detail, not a legal shield: French employment and social security law follows the work performed in France, and a file managed rigorously from abroad wins just as well as one managed from Paris.

Conclusion

Hiring a French freelancer while running your company from abroad is legitimate, and French law presumes the contractor independent. That presumption falls, however, the moment daily reality shows work performed under your orders, monitored by your tools and punished by your decisions, and the fall is expensive on three fronts at once: retroactive social charges with penalties, full employee back pay before the labour court, and in intentional cases criminal liability for concealed employment. The founders who survive audits and claims are not those with the cleverest contract wording but those who can prove independence with documents: other clients, self-set schedules, own equipment, negotiated fees, deliverables accepted rather than hours supervised. When the role genuinely requires direction and integration, hiring the person as an employee from the start almost always costs less than defending a reclassification later. Measure your current contractor relationships against the three powers of direction, control and sanction today, put the chosen model in writing, and keep the evidence where your French counsel can reach it.
