In France, the moment your company rents premises to run its business, a protective legal regime almost automatically applies: the statut des baux commerciaux, the commercial lease regime of the Commercial Code. Foreign founders often discover it too late, either by signing a lease that quietly gives away rights the statute would have granted them, or by learning at renewal that the rent can jump to market value, or that the landlord can refuse renewal altogether. This guide explains, entirely from the official texts and court decisions in force on 9 October 2026, how to choose the right lease, what to negotiate before signing, how the rent moves during the lease, and how a non-renewal ends with either an eviction payment or an orderly exit. Every French acronym is explained as it appears.

I. Take the Right Lease and Lock In Fair Terms Before You Move In

A. Choose Between the 3/6/9 Commercial Lease and the Short-Term Trial Lease

The first question a foreign founder must ask is whether the protective regime applies at all. Article L.145-1 of the Commercial Code states that the chapter applies to leases of buildings or premises in which a business (fonds de commerce, meaning the going concern: customers, lease right, stock and equipment taken together) is operated, provided the business belongs to a trader or industrialist registered with the RCS (Registre du commerce et des sociétés, the French companies register kept by the greffe, the court clerk’s office of the commercial court) or to a craft business registered with the RNE (Registre national des entreprises, the national business register). The official entreprendre.service-public.fr page summarises the test in four cumulative conditions: a lease contract, premises for commercial, craft or industrial use, operation of a business in the premises, and registration of the tenant with the RCS or the RNE (see the official contract page). The practical consequence for a founder living abroad is direct: if your French vehicle is not yet registered, or if you sign the lease in your own name before the company exists and is registered, you may fall outside the protection. Register first, through the INPI (Institut national de la propriété industrielle, which runs the single online business formalities desk, the Guichet unique), obtain the Kbis (the official company identity extract issued by the greffe, the standard proof that your company legally exists), and only then sign in the company’s name. If you are still hesitating between a SAS (société par actions simplifiée, the flexible limited company most foreign founders choose), a SARL (société à responsabilité limitée, the more rigid closed company) or a branch, read our companion guide on choosing between a SAS, a SARL and a branch in France before committing to premises, because the tenant named on the lease should be the vehicle that will actually operate the business.

Once registration is secured, the default instrument is the 3/6/9 lease, so called because it lasts nine years with an exit every three. Article L.145-4 of the Commercial Code provides: “La durée du contrat de location ne peut être inférieure à neuf ans.” The same article gives the tenant the key counterpart right: “le preneur a la faculté de donner congé à l’expiration d’une période triennale, au moins six mois à l’avance, par lettre recommandée avec demande d’avis de réception ou par acte extrajudiciaire.” In plain English: a nine-year minimum term, with the tenant free to leave at the end of each three-year period on six months’ notice sent by registered letter with acknowledgment of receipt or by bailiff’s writ (acte extrajudiciaire, today served by a commissaire de justice, the merged profession of former bailiffs and judicial officers). Note the asymmetry that surprises many foreign tenants: the landlord cannot end the lease at those three-year marks except on narrow statutory grounds such as rebuilding or demolition. Offices-only leases and certain storage premises may lawfully contain contrary clauses, which is why a pure office tenant in Paris La Défense or the Paris central business district must read the termination clause with particular care rather than assume the 3/6/9 rhythm applies in full.

The alternative for testing the French market is the derogatory short lease (bail dérogatoire). Article L.145-5 of the Commercial Code allows the parties, when the tenant takes possession, to set aside the whole protective chapter “à la condition que la durée totale du bail ou des baux successifs ne soit pas supérieure à trois ans.” The official page on short-term derogatory leases confirms the mechanism. This is the instrument of choice for a foreign company that wants a one- or two-year showroom on the rue de Rivoli, a pop-up store, or a pilot workshop before committing to nine years. But the trap is mechanical and unforgiving: if the tenant stays on with the landlord’s tolerance beyond the term, and at the latest one month after expiry, a brand-new lease governed by the full protective regime automatically arises. Many foreign founders who “just stayed a few months longer” discover they have become holders of a nine-year commercial lease, with all the duties that status implies. Diarise the expiry date from abroad, instruct a local contact, and either leave or sign a deliberate new lease before the deadline.

Two entry formalities deserve attention because disputes about them are frequent and expensive. First, the security deposit (dépôt de garantie). According to the official contract page, for any lease signed or renewed from 28 May 2026 the deposit is now capped by law at one quarter of rent, meaning three months. Older leases may still carry higher deposits, so a founder taking over existing premises (cession de bail, assignment of the lease, or cession de fonds, purchase of the going concern with its lease) should check which regime governs. Second, the handover inspection (état des lieux). The official guidance states that an inspection report must be drawn up jointly by landlord and tenant when the tenant takes possession, describing each room and its equipment precisely, with a commissaire de justice splitting the cost if the parties disagree. A founder who cannot fly in for the handover should mandate a representative in writing and keep dated photographs, because without an entry report the tenant is presumed to have received the premises in good repair and will struggle to recover the deposit or contest dilapidation claims at exit.

B. Negotiate the Rent, the Charges and the Works Before You Sign

The initial rent of a new commercial lease is freely agreed between the parties. That freedom makes the surrounding clauses decisive, because each of them will shape what you pay for the next nine years. Three documents must be settled before signature: the rent and indexation clause, the schedule of charges and taxes, and the works programme.

Indexation (clause d’échelle mobile) adjusts the rent each year by reference to an official index published by INSEE (Institut national de la statistique et des études économiques, the national statistics office): the ILC (indice des loyers commerciaux, the commercial rents index) for retail and commercial premises, or the ILAT (indice des loyers des activités tertiaires, the tertiary activities index) for offices and services. A clause that compares mismatched periods, for example a base quarter that does not correspond to the anniversary rhythm of the revisions, can be struck down as unlawful. The Cour de cassation (the supreme court for civil and commercial matters, whose Third Civil Chamber hears commercial lease cases) upheld this discipline in a widely cited ruling: Cass. civ. 3rd, 17 May 2018, appeal no. 17-15.146. The court approved judges who had verified that no distortion existed between the fixed base index and the successive comparison indices, holding that “le juge devrait adapter le jeu de la clause d’échelle mobile à la valeur locative, la révision du loyer ne pouvant elle-même organiser la distorsion prohibée par la loi” (the judge must adapt the indexation clause to the rental value, since the revision of the rent cannot itself create the distortion prohibited by law). The same ruling confirmed that where the rent had risen by more than a quarter since it was last fixed, the landlord’s request to reset the revised rent to rental value was admissible: “le loyer ayant augmenté de plus du quart depuis sa dernière fixation, la demande de fixation du loyer révisé à la valeur locative était recevable”. For a foreign tenant, the lesson is concrete: accept ILC or ILAT with matching quarters and anniversary dates, refuse any exotic private index, and keep every annual indexation notice, because the history of increases will determine who can demand a reset and when.

Charges, taxes and fees are the second negotiation front, and the statute is unusually strict with landlords. Every lease must therefore contain a precise and exhaustive list of charge categories with their allocation between landlord and tenant, followed by an annual summary statement, plus a three-year forward works budget and a three-year backward works record communicated at signature and then every three years. The official page on the allocation of charges, taxes and works details the scheme. From abroad, insist on receiving the backward-looking works statement before signing: it reveals whether a major roof, façade or lift programme is coming and who the lease says pays for it. In Paris and the inner suburbs (petite couronne: Hauts-de-Seine, Seine-Saint-Denis, Val-de-Marne), where service charges in managed office buildings can add 30 to 60 euros per square metre per year, an uncapped charge clause can cost more than the rent increase you thought you had negotiated away.

Finally, verify who owns what ends up attached to the walls. Fit-out works (travaux d’aménagement) paid for by a foreign tenant, air conditioning, kitchens, partitioning, become the landlord’s property by accession at the end of the lease unless the lease says otherwise, and the tenant that removes them must restore the premises. Negotiate a written schedule of authorised works with a waiver of the restoration obligation for agreed improvements, and align it with the landlord’s three-year works budget so that your fit-out is not torn out by a façade programme in year two. If the landlord later decides to sell the walls, be aware that Article L.145-46-1 of the Commercial Code gives the tenant of retail or craft premises a statutory pre-emption right (droit de préférence): the owner must notify the price and conditions by registered letter, and the tenant has one month to accept, then two months, or four with a loan, to complete. A foreign group that likes its Paris shop may one day buy the freehold through this mechanism, but only if it kept its contact address for notifications up to date.

II. Live With the Lease, Control the Rent and Survive Its Ending

A. Pay on Time, Revise Every Three Years and Challenge Unlawful Indexation

During the lease, two clocks run simultaneously: the payment clock, where delay triggers a formidable termination machinery, and the revision clock, where each side periodically resets the rent. Understanding both from abroad, with a local manager or counsel diarising every date, is the difference between a controlled tenancy and a crisis.

The payment clock is governed by the termination clause (clause résolutoire), which most French commercial leases contain. Article L.145-41 of the Commercial Code, in its wording in force since the simplification statute of 26 May 2026 (Law no. 2026-403), states: “Toute clause insérée dans le bail prévoyant la résiliation de plein droit ne produit effet qu’un mois après un commandement demeuré infructueux. Le commandement doit, à peine de nullité, mentionner ce délai.” In practice, after any missed rent, the landlord serves a formal payment order (commandement de payer) through a commissaire de justice; the tenant then has exactly one month to pay the arrears in full, and the order is void if it fails to mention that one-month period. If the tenant pays within the month, the clause is neutralised for that incident. If not, the landlord may ask the court to record (constater) the termination, which operates almost automatically.

A foreign company in temporary cash difficulty must therefore do two things before the first hearing: prove it can clear the arrears and actually resume paying the full current rent. Wire transfers from abroad take time and French landlords’ counsel check bank statements closely, so instruct payment of the current rent immediately upon receiving any commandement, even while negotiating the arrears schedule. The official page on terminating a commercial lease usefully summarises the procedure for non-specialists.

The revision clock entitles each party, every three years, to demand that the rent be reset to rental value (valeur locative, the market rent determined by the characteristics of the premises, their permitted use, the parties’ respective obligations, local commerciality factors and comparable neighbourhood rents). Article L.145-38 of the Commercial Code sets the rhythm: “La demande en révision ne peut être formée que trois ans au moins après la date d’entrée en jouissance du locataire ou après le point de départ du bail renouvelé.” Triennial revision is then capped by default to the movement of the ILC or ILAT index, unless a material change in local commerciality factors moving rental value by more than 10% is proved. At renewal, the logic is parallel but distinct: Article L.145-33 of the Commercial Code states the principle that “Le montant des loyers des baux renouvelés ou révisés doit correspondre à la valeur locative”, while Article L.145-34 caps the renewed rent of a lease of nine years or less to the index movement since the original rent was fixed, unless a notable change in the statutory rental-value factors is shown. The Cour de cassation ruling of 17 May 2018 cited above illustrates the articulation: indexation is policed for distortion, and a rent that has climbed more than a quarter can be pulled back to rental value by the judge. For premises in Paris, where the facteurs locaux de commercialité (footfall, transport, neighbouring brands) move fast, both sides should commission an expert valuation (expertise) before the revision or renewal date rather than exchange bare assertions: the Paris judicial court (tribunal judiciaire de Paris, which has a specialised commercial rents division, the pôle des loyers commerciaux) decides dozens of these valuation disputes each year, and the party with a reasoned expert report almost always frames the debate.

B. Face Renewal or Refusal: Renew, Claim Eviction Compensation or Leave Cleanly

Every 3/6/9 lease ends with the same fork: renewal or departure, and departure with or without compensation. The tenant that has operated its business continuously holds the strong hand. Article L.145-8 of the Commercial Code provides: “Le droit au renouvellement du bail ne peut être invoqué que par le propriétaire du fonds qui est exploité dans les lieux.” Only the owner of the business actually operated in the premises can claim renewal, and the business must have been effectively operated during the three years before expiry, absent legitimate reasons. A foreign company that keeps a Paris lease as a mere brass plaque (plaque) address while operating from abroad, with no genuine activity, no staff and no turnover in the premises, risks losing the renewal right entirely. Keep the shop or office genuinely running, file the accounts, and keep proof of operation: tax returns, employment records, supplier invoices and client contracts tied to the address.

Procedurally, nothing ends without a formal step. Article L.145-9 of the Commercial Code states: “les baux de locaux soumis au présent chapitre ne cessent que par l’effet d’un congé donné six mois à l’avance ou d’une demande de renouvellement.” Without a six-month notice to quit (congé) or a renewal request (demande de renouvellement), a written lease continues by tacit extension (tacite prolongation), during which notice must be given six months ahead for the last day of a calendar quarter. The symmetry is deceptive: the tenant’s renewal request and the landlord’s congé look alike but produce opposite effects, so every notice received while abroad must be forwarded to French counsel the same day. A congé with refusal of renewal must state reasons; the official page on refusal of renewal by the landlord and the page on renewal or tacit extension walk through the steps.

When the landlord refuses renewal, compensation is the rule and refusal without compensation the narrow exception. Article L.145-14 of the Commercial Code states: “payer au locataire évincé une indemnité dite d’éviction égale au préjudice causé par le défaut de renouvellement” The eviction payment (indemnité d’éviction) covers in particular the market value of the business assessed by professional usage, plus standard removal and reinstallation costs and transfer duties for an equivalent business, unless the owner proves the loss is smaller. In Cass. civ. 3rd, 28 June 2018, appeal no. 17-18.756, a landlord had served a notice to quit refusing renewal without offering compensation, and the tenant sued to annul the notice and obtain the eviction payment. The court held that the nullity of such a notice under article L.145-9 is only relative: “la nullité de ce congé prévue par l’article L. 145-9 du code de commerce est une nullité relative qui ne peut être soulevée que par le preneur”. The tenant then has a genuine choice: “celui-ci peut soit renoncer à la nullité du congé en sollicitant une indemnité d’éviction et en se maintenant dans les lieux en l’attente de son paiement en application de l’article L. 145-28 du même code, soit s’en prévaloir en optant pour la poursuite du bail”. Whether the tenant stayed in the premises or not is irrelevant to the effects of the irregular notice. For a founder abroad, the message is operational: an unmotivated or equivocal congé is not a dead letter that you can frame and ignore; it ends the lease, and you must actively elect between pursuing the lease (invoking nullity) and cashing out (waiving nullity and claiming the payment while staying put). Silence is the only losing option, because limitation periods (prescription, two years for most commercial lease claims) run while mail piles up at the Paris address.

When departure is the chosen path, whether at a three-year exit, at expiry, or after a refused renewal with compensation, the exit must be as documented as the entry. Give notice in the statutory form and time, commission a joint exit inspection, photograph everything, stop the direct debits only after the final account (décompte définitif) of charges is settled, and obtain written clearance for the deposit. If the landlord withholds the deposit over alleged damage that the entry report contradicts, the small sums involved often suit the juge des référés (the urgent-applications judge) or the simplified small-claims declaration (déclaration au greffe) rather than a full trial. Throughout, keep a single chronological file, in French or with certified translations, of the lease, amendments, indexation notices, charge statements, works correspondence and every commandement or congé: the Paris courts decide commercial lease cases on paper, and the foreign litigant whose file is complete usually beats the local party whose file is not.

Conclusion

Renting business premises in France from abroad is neither exotic nor perilous once the statute is read as an operating manual. Register the company and sign in its name so the protective regime of article L.145-1 applies; choose deliberately between the nine-year 3/6/9 lease of article L.145-4 with its three-year tenant exits and the short derogatory lease of article L.145-5, never drifting from one into the other by inertia; cap the deposit, list every charge under article L.145-40-2 and budget the works before signing; pay the current rent at the first sign of a payment order and diarise the triennial revision of article L.145-38 within the rental-value principle of article L.145-33; and at the end, either renew under articles L.145-8 and L.145-9 or convert a refused renewal into a funded transition through the eviction compensation of article L.145-14 with the right to remain of article L.145-28. The two Cour de cassation rulings of May and June 2018 show the courts policing indexation distortion and giving the tenant a real choice when faced with an irregular notice. With the dates diarised, the file complete and local counsel copied on every formal notice, the Paris, Hauts-de-Seine or Val-de-Marne premises become what they should be: the French home of a foreign business, not a source of cross-border litigation.

Foreign founder renting offices, shops or workshops in France: 3/6/9 lease or short-term lease, deposit cap, charges, triennial rent revision, termination orders and eviction compensation explained from the official texts.

[80314,80313

post-2143096","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-decryptage","category-doing-business-in-france
<!-- This site is optimized with the Yoast SEO Premium plugin v28.2 (Yoast SEO v28.2) -
