Two weeks later the answer lands in your inbox: the greffe (the registry office of the commercial court) cannot register your company because your birth certificate, your foreign company’s registry extract or your power of attorney is not authenticated for use in France. No Kbis (the official certificate that proves your company exists), no corporate bank account, no invoices with French VAT, and a share-capital deposit sitting frozen at the bank. This is the single most common technical reason foreign founders lose a month on a French incorporation, and it is entirely avoidable once you understand the three-way split French law applies to foreign papers: full legalisation, the shorter apostille stamp, or no formality at all. The rule is general and strict, and the Cour de cassation (France’s highest court for civil matters) has repeated it in three recent decisions: a foreign public act produces effects in France only once it carries the right authentication. This guide follows the only order that works from abroad: first, which of your documents France will reject and under which rule, then where to get the stamp and the sworn translation without boarding a plane, with the exact code provisions, the recent court decisions and the Paris practicalities you need at each step.

I. Which foreign documents does France refuse without an apostille or legalisation?

A. Does your paper need an apostille, full legalisation, or nothing at all?

French law starts from a blunt default. Since the statute of 23 March 2019, the rule is written in black and white: “Sauf engagement international contraire, tout acte public établi par une autorité étrangère et destiné à être produit en France doit être légalisé pour y produire effet.” In plain English, unless an international treaty says otherwise, every public act drawn up by a foreign authority and meant to be used in France must go through legalisation before it has any effect here, as you can read in the Cour de cassation’s restatement of the First Civil Chamber decision of 17 December 2025, appeal no. 24-12.599. The same decision quotes the statutory definition word for word: “La légalisation est la formalité par laquelle est attestée la véracité de la signature, la qualité en laquelle le signataire de l’acte a agi et, le cas échéant, l’identité du sceau ou timbre dont cet acte est revêtu.” Legalisation certifies the origin of the document, the signature and the capacity of the person who signed, never the truth of its content. A legalised birth certificate proves the certificate really comes from the authority whose seal it bears; it does not prove you were born on that date. Keep that distinction in mind, because every French desk that reads your file applies it.

The second question is what counts as a public act, and the official service-public.fr page gives the full list: court decisions, acts drawn up by a court clerk such as a criminal-record extract, civil-status records such as birth certificates, administrative acts such as tax notices, notarial deeds such as powers of attorney, wills and gifts, and official endorsements placed on private deeds, as detailed on the official legalisation page for foreign public acts. For a foreign founder, that list covers nearly the whole incorporation file: your birth certificate, the criminal-record extract some regulated activities require, the notarial power of attorney you signed abroad, and the registry extract proving your foreign parent company exists. Your passport is different: it is an identity and travel document that banks and registries read directly under their customer-identification duties, not a public act submitted as evidence, so it never carries an apostille. Knowing which pile each paper falls into saves you from paying for stamps you do not need and missing the ones you do.

Full legalisation through consulates is only the last resort. It applies when no treaty simplifies anything, typically documents coming from states outside the Hague system with no bilateral arrangement with France. The procedure runs through the foreign ministry of the issuing state and then the French consulate there, which is slow, paper-based and charged per document, so you want to check first whether you qualify for one of the two shortcuts. The first shortcut is the apostille. The Hague Convention of 5 October 1961 replaced the whole legalisation chain with a single square stamp issued by the designated authority of the state where the document originates, for use in every other contracting state. The Cour de cassation stated the mechanism plainly in a 13 June 2019 decision: where the Convention applies, public acts “doivent être revêtus de l’apostille, délivrée par l’autorité compétente de l’Etat d’où émane le document”, and an act presented without it could not produce effects in France, as you can read in the First Civil Chamber decision of 13 June 2019, appeal no. 18-50.055. The United States, the United Kingdom, India, Australia, Japan and most of Latin America are contracting states, so most foreign founders take this road. The second shortcut is the European one: European Union Regulation 2016/1191 removed both legalisation and apostille for certain public documents circulating between Member States, such as birth or marriage certificates, which can be presented with a multilingual standard form, a point the official page confirms when it explains that certain European public documents may be presented in France without any authentication formality, on the same official legalisation page and in the full text of EU Regulation 2016/1191. A German birth certificate therefore travels to the Paris greffe with its multilingual form and no stamp, while an equivalent American certificate needs an apostille from the competent authority of the issuing American state, and a document from a state with no treaty at all needs the full consular chain.

Before spending anything, check the applicable regime for your exact country and document type. The French foreign ministry publishes a summary table of the treaty rules in force for legalisation, which the official page links and which tells you in one glance whether your document needs legalisation, an apostille or nothing, available through the official page linking the treaty summary table and the French embassy or consulate in the document’s country of origin. The Hague Conference itself keeps the authoritative list of contracting states and competent authorities on the HCCH Apostille section official site. Treat these two lookups as step zero of every incorporation from abroad: five minutes there saves five weeks of rejected filings later.

B. Which papers block your Kbis, your bank account and your court case first?

The greffe is your first gatekeeper, and the statute gives it a personal duty to check you. Article R123-94 of the Commercial Code provides: “Le greffier, sous sa responsabilité, s’assure de la régularité de la demande.”, as published on Article R123-94 of the Commercial Code on Légifrance. Since 1 January 2023 every creation file travels as a single electronic dossier through the one-stop shop (guichet unique) run by the INPI (Institut national de la propriété industrielle, the French intellectual-property and business-formalities office): Article L123-33 states that “Ce dossier est déposé par voie électronique auprès d’un organisme unique désigné à cet effet.”, on Article L123-33 of the Commercial Code on Légifrance, and Article R123-1 confirms that “L’organisme unique mentionné à l’article L. 123-33 permet aux entreprises de réaliser l’ensemble des formalités et procédures nécessaires à l’accès et à l’exercice de leur activité.”, on Article R123-1 of the Commercial Code on Légifrance. Filing online does not mean filing loosely: the clerk behind the portal applies the same regularity control as before, and an unauthenticated foreign deed makes the file irregular, which is exactly why the rejection arrives weeks after you thought the company was born. Registration itself is what gives the company its legal existence vis-à-vis third parties, since Article L123-1 keeps the RCS (Registre du commerce et des sociétés, the trade and companies register) in which companies with a seat in France are entered on their own declaration, on Article L123-1 of the Commercial Code on Légifrance. The Kbis extract is simply the certified photograph of that entry, and the BODACC (Bulletin officiel des annonces civiles et commerciales, the official gazette) publishes the registration so that suppliers, landlords and courts can rely on it. Everything downstream, the bank, the landlord, the first hire, waits for that one extract.

The bank is the second gatekeeper, and it rejects foreign papers for a different reason: anti-money-laundering identification. Before entering into a business relationship, banks must identify the customer and where relevant the beneficial owner, and “Vérifient ces éléments d’identification sur présentation de tout document écrit à caractère probant.”, under Article L561-5 of the Monetary and Financial Code on Légifrance. A foreign parent-company extract that the bank cannot authenticate is not probative paper, so the compliance desk asks for the apostilled version, a recent certified translation, and sometimes a fresh extract less than three months old, because registries in many countries issue extracts without any validity stamp and the bank sets its own freshness rule. If banks keep saying no, French law gives you a statutory way out rather than leaving you stranded: “A droit à l’ouverture d’un compte de dépôt dans l’établissement de crédit de son choix, sous réserve d’être dépourvu d’un tel compte en France”, under Article L312-1 of the Monetary and Financial Code on Légifrance, the droit au compte (the statutory right to an account) procedure run through the Banque de France (the French central bank), which designates a bank that must open the account. Prepare the refusal letters from your first applications, because that paper trail is what activates the fallback. Founders who arrive with an apostilled registry extract, a sworn translation and a passport rarely need it; founders who arrive with a simple PDF printout almost always do.

Courts are the third gatekeeper, and they are the strictest of the three. The three Cour de cassation decisions quoted in this article were all decided in nationality disputes, where the stakes on civil status are at their highest, but the rule they state is expressly general. In the December 2025 ruling, the Court held that “les énonciations contenues dans les actes de l’état civil étrangers non dûment légalisés ne peuvent être prises en considération que dans des hypothèses circonscrites.”, adding that one such case is where the act was “légalisé conformément aux pratiques en vigueur dans l’Etat d’origine et selon une procédure présentant des garanties d’authentification suffisantes.”, in the decision of 17 December 2025 quoted above. Six months later the Court confirmed the line: citing that published decision, it repeated that strict evidential requirements confine unlegalised foreign civil-status acts to narrowly defined cases, in the First Civil Chamber decision of 28 May 2026, appeal no. 24-18.464. The lesson for business litigation is direct: if you sue a French supplier or defend a labour claim before the conseil de prud’hommes (the French labour court) waving an unauthenticated foreign board resolution or an unapostilled parent-company extract, the court may simply set the document aside, and your whole evidential chain collapses. But the Court reads that presumption as available only to duly legalised acts, so authentication is the ticket that lets the document into the courtroom at all. For a founder choosing between a SAS (Société par actions simplifiée, the flexible joint-stock company most foreign investors pick), a SARL (Société à responsabilité limitée, the French private limited company) or a branch, the comparison we draw in our guide to choosing between SAS, SARL, branch and subsidiary from abroad already assumes your papers cross these three gates; this article supplies the missing stamps.

II. How do you get the stamp and the translation without flying to France?

A. Where do you get the apostille or legalisation before sending anything to France?

Always start in the country that issued the document, never in France. An apostille is issued exclusively by the authority the issuing state has designated under the Hague Convention: the Secretary of State’s office in most American states, the Foreign, Commonwealth and Development Office in the United Kingdom, the designated courts or ministries elsewhere, with the full directory kept on the HCCH Apostille section official site. Order it before you sign anything else, because processing ranges from same-day counters to several weeks by post, and the French filing clock does not pause while you wait. Ask for the apostille on an original or a certified copy, not on a simple photocopy, since the stamp certifies the signature and seal of the issuing officer and a copy of a copy breaks that chain. Where full legalisation is required, the chain runs from the issuing authority to that country’s foreign ministry and finally to the French embassy or consulate competent for the district, which is why you should telephone or email that consulate first: consular desks confirm the exact chain for your document type and sometimes spot that a bilateral convention spares you the whole exercise. Do not confuse this with the reverse direction. Since 1 September 2025, French public documents meant for use abroad go through notaires (French public-officer lawyers) rather than the foreign ministry, which now handles only acts connected with New Caledonia, French Polynesia, Wallis and Futuna and the French Southern and Antarctic Lands, as announced on the French foreign ministry legalisation hub. That reform concerns your French papers leaving France, not your foreign papers entering it, but founders constantly mix the two up and waste weeks at the wrong counter.

Two practical points decide whether your stamp survives the journey to the greffe. First, freshness. French desks love recent paper: banks routinely demand registry extracts under three months old, and the guichet unique portal applies similar freshness expectations to foreign company documents, so time your apostille request to land just before the filing, not months ahead. An apostille does not expire as a stamp, but the document underneath it ages, and a six-month-old extract invites a supplementary request that costs you another cycle. Second, integrity. Staple, bind or paginate multi-page deeds exactly as issued, because a detached apostille page whose staple has been removed raises the very authenticity doubt the stamp was meant to kill. Scan the complete stapled set in colour at high resolution for the portal upload, and keep the paper originals: the clerk can ask to see them, the bank often wants certified copies, and a court will want the original if the document is ever challenged. Founders based in Paris and the surrounding Île-de-France region file with the Paris commercial-court greffe for a Paris registered office, one of the busiest registries in France, where incomplete foreign files wait the longest, so Paris founders have the most to gain from arriving with the stamp already on the paper.

B. How do you fix a rejected filing from abroad and get registered?

French administrations work in French, so every foreign-language document needs a French translation by a sworn translator (traducteur assermenté, a translator sworn before a French court of appeal and listed as a court expert). A translation done abroad by an uncertified agency, however accurate, does not carry the same weight before the greffe or a court. Commission the translation only after the apostille is fixed to the original, and ask the translator to translate the apostille page too, since clerks check that the stamp’s country, date and authority match the document it certifies. For standard papers, birth certificates, registry extracts, clean criminal records, budget two to five working days plus postage for paper originals; for a long American certificate of good standing with county seals, allow more. Keep the translator’s certification formula, signature and seal on every page set, and upload the original, the apostille and the translation as one coherent file to the portal, in that order, so the clerk reads the chain without hunting.

The second half of the fix is signing power. You do not need to fly to France to sign the incorporation deeds if your mandate is properly drawn. Article 1984 of the Civil Code defines the tool: “Le mandat ou procuration est un acte par lequel une personne donne à une autre le pouvoir de faire quelque chose pour le mandant et en son nom.”, on Article 1984 of the Civil Code on Légifrance. A foreign notarial power of attorney follows the same authentication rules as any other foreign public act, so it needs its own apostille or legalisation before the French notaire, bank or greffe will accept it, and its own sworn translation. Name the powers precisely: incorporating the named company, opening and operating the capital-deposit account, signing the lease or domiciliation contract, and filing with the guichet unique. A vague power inviting the agent to handle all formalities is the classic reason banks send the deed back. Electronic signatures are valid in France where the process reliably identifies the signatory and links the signature to the deed: “Lorsqu’elle est électronique, elle consiste en l’usage d’un procédé fiable d’identification garantissant son lien avec l’acte auquel elle s’attache.”, under Article 1367 of the Civil Code on Légifrance. In practice, use a qualified signature provider for deeds that matter, because a basic click-to-sign log invites exactly the authenticity debate your apostille strategy is trying to avoid. File the corrected dossier through the INPI one-stop shop portal presented on the INPI one-stop shop official page, answer any supplementary request within days rather than weeks, and track the entry until the Kbis issues and the BODACC publishes it. The same authenticated set then serves your next filings with barely any extra work: the beneficial-owner (RBE) declaration, the bank’s periodic know-your-customer refresh, and any URSSAF (Union de recouvrement des cotisations de sécurité sociale et d’allocations familiales, the social-contributions collection agency) registration for your first hire all ask for the same papers.

Conclusion

Run the sequence in this order and the French system stops pushing back. Identify each foreign paper as needing an apostille, full legalisation or nothing, using the treaty table and the HCCH directory before you pay for anything. Get the stamp in the issuing country on an original or certified copy, keep multi-page sets intact, and time the request so the document lands fresh on the clerk’s screen. Add a sworn French translation that covers the stamp page, give your French agent a precise apostilled power of attorney, and file the chain as one coherent upload through the one-stop shop. Then follow the file until the Kbis issues, the gazette publishes, and the bank releases the capital into an operating account. The three recent Cour de cassation rulings say the same thing in different words: France receives foreign documents warmly, but only through the front door of authentication. Walk through it first, and everything you build afterwards, the company, the account, the first employment contract, stands on paper no one can set aside.

Greffe rejected your filing over a foreign paper?
