The president of your SAS has resigned by email and the bank now refuses to act on your payment orders. The gérant of your SARL has stopped answering, or you have fallen out and want him gone before he signs another contract in the company’s name. Clients ask who can legally sign, the accountant asks whose name goes on the payroll declarations, and the old Kbis extract still shows the former boss as the face of the company. This guide explains, in English and in order, how a foreign shareholder removes and replaces the head of a French company without flying to France, and how to make that change effective against banks, clients, the tax office and the courts. It explains every French acronym you will meet: SAS (société par actions simplifiée, the flexible joint-stock company most foreign founders choose), SARL (société à responsabilité limitée, the limited liability company with a stricter statutory frame), gérant (the manager of a SARL), Kbis (the official identity extract of your company, issued by the greffe, the clerk’s office of the commercial court), RCS (registre du commerce et des sociétés, the commercial register), RNE (registre national des entreprises, the national business register), BODACC (bulletin officiel des annonces civiles et commerciales, the official gazette where company changes are published), INPI (Institut national de la propriété industrielle, which runs the online one-stop shop for company formalities), and RBE (registre des bénéficiaires effectifs, the register of beneficial owners). Part I covers the decision itself: who votes, with what majority, and what a removal without proper grounds really costs in an SAS and in a SARL. Part II covers the one-month paperwork that makes the change binding on third parties: the legal announcement, the filing on the Guichet unique (the single online portal for business formalities), the new Kbis, the beneficial-owners update, and how the ousted boss can still fight back. Each decisive statement cites the statute or decision where you can verify it. If you have not yet chosen between these vehicles, read first our guide on how a foreign founder chooses between an SAS, a SARL, a branch and a subsidiary in France, which explains why the choice of vehicle determines everything that follows here.

I. Remove and appoint the boss from abroad: the vote that decides everything

The first question is not paperwork but power: who is legally entitled to dismiss the current boss and appoint the next one, and by what majority. The answer depends entirely on the vehicle, and getting it wrong means the removal can be cancelled and every contract signed by the newcomer called into question. The good news for a shareholder living abroad is that no step requires physical presence in France: votes can be organised by written consultation or videoconference where the statutes allow it, proxies (pouvoirs) can be signed electronically, and minutes (procès-verbaux) can be drawn up, signed and stored from anywhere. What cannot be improvised is the procedure written in your own statutes, because in company changes the statutes outrank convenience.

A. Your company is an SAS: your statutes decide who can remove the president, and how

The SAS is a company whose management is defined first and foremost by its own statutes, not by the statute book. The Commercial Code says only this: Article L. 227-5 of the Commercial Code provides that “Les statuts fixent les conditions dans lesquelles la société est dirigée.” That single sentence shifts the whole burden onto the drafter: the conditions for appointing and removing the president (président), the deciding body, the majority, the notice, the grounds, all of it must be found in, or at least be compatible with, the statutes you signed at incorporation. Where the statutes say nothing, the shareholders’ collective decision can fill the gap, but it can never contradict them. In that case, the shareholders had unanimously appointed a directeur général (general manager) on terms that departed from the statutes’ revocation clause, and the Court quashed the appeal ruling: even unanimity cannot override the statutes. For a foreign shareholder, the lesson is practical and immediate. Before voting anything out, open the statutes and read the clauses on management, revocation (révocation), decision-making and majorities. If the statutes give the power to an associé unique (sole shareholder), a majority shareholder, a committee or a board, that organ alone can act. If the president is named in the statutes themselves, replacing him means amending the statutes as well, with the majority the statutes require for amendments. The administration confirms this reading: the official business-procedure pages state that the decision to change the president of an SAS is taken by the shareholders “dans les conditions prévues dans les statuts” and that the power can also sit with a committee, a board or the majority shareholder, while a president designated in the statutes triggers a statutory amendment procedure described on service-public.fr.

The second clause to read is the one on grounds, because it fixes the price of the dismissal. French SAS practice knows two systems, and your statutes chose one of them, expressly or by silence. The first is removal ad nutum, at any time and without giving reasons: the shareholders can part with the president whenever they wish, and no damages are owed for the mere fact of the removal. The second makes removal conditional on justes motifs (proper grounds) such as misconduct, prolonged absence or a breakdown of trust affecting the company’s interest, and a removal pronounced without such grounds exposes the company to damages. The Court of Cassation leaves this choice entirely to the statutes. In that case Article 18 of the statutes provided that managers other than the president “sont révocables à tout moment par l’associé unique ou, en cas de pluralité d’associés, par l’assemblée générale ordinaire des associés sur proposition du président”, and the Court accepted that, absent any added condition in that clause, the removal did not require proof of proper grounds. Read your clause the same way a judge would: “at any time”, “without reasons” or equivalent wording points to ad nutum; wording such as “for proper grounds”, “for misconduct” or a listed set of causes points to a conditional removal where you must build the file before you vote. Where the statutes are silent on grounds, French courts generally treat the president as removable ad nutum, but silence combined with a generous severance or notice clause can still cost money, so price the exit before convening anyone. A frequent trap for foreign-owned SAS companies deserves emphasis: appointing a newcomer “for an indefinite term” while the statutes cap management mandates, or appointing him by a shareholders’ vote when the statutes reserve appointment to another organ, produces a defective appointment that a counterparty or the ousted president can attack. Mirror the statutes exactly, name the organ that decides, record its majority, and reproduce the statutory wording in the minutes.

The procedure itself can be run entirely from abroad if the statutes permit modern decision-making, which well-drafted foreign-held SAS statutes always do. Check three clauses: decisions by written consultation (consultation écrite), decisions by videoconference or telephone, and electronic signature of minutes. If all three exist, the sole shareholder or the shareholders can deliberate from London, New York or Dubai, sign the minutes electronically with a qualified signature, and appoint the new president the same day. If the statutes still require a physical meeting in Paris, amend that clause first or hold the meeting with the shareholders present or represented: a shareholder can give a written proxy to anyone, including the incoming president, and the proxy can be signed abroad, scanned and emailed, though the original should be kept for the file. The minutes must state the identity of the outgoing and incoming dirigeants, the effective date of the change, the organ that decided, the majority obtained, and, where the statutes name the president, the correlative amendment of the statutes. Attach the updated statutes, have every page initialled or electronically acknowledged according to your practice, and keep proof of convening (notices, emails, waivers) because an ousted president’s first line of attack is always procedural: defective convening, wrong organ, missing majority. One person companies are simpler: Article L. 227-1 of the Commercial Code provides that in a single-shareholder SAS the sole shareholder exercises the powers devolved to shareholders where collective decision-making is provided for, so the foreign sole shareholder signs a one-page decision (décision de l’associé unique), and the removal and appointment are done. Do not forget the personal file of the newcomer: a foreign incoming president must supply a valid passport, proof of address, a signed declaration of non-conviction (déclaration de non-condamnation) and a filiation statement (parents’ names), and where documents are in a foreign language or issued abroad, budget for a sworn translation and, depending on the issuing country, an apostille. Banks and the greffe reject incomplete foreign files more often than French ones, and a rejection costs weeks.

One final warning shapes everything in this section: until the change is published, the outgoing president can still bind the company toward third parties. Article L. 227-6 of the Commercial Code provides that “La société est représentée à l’égard des tiers par un président désigné dans les conditions prévues par les statuts.” and that “Le président est investi des pouvoirs les plus étendus pour agir en toute circonstance au nom de la société dans la limite de l’objet social.” Toward third parties, the company is bound even by acts beyond the corporate object unless it proves the third party knew or could not have been unaware of the excess. In plain terms, a dismissed president who still holds the old Kbis can sign, borrow or terminate, and the company will struggle to disown his acts against a good-faith counterparty. So sequence matters: vote first, file within days, inform the bank the same day the new Kbis issues, and circulate the change to major counterparties without waiting for the gazette. Speed here is not administrative zeal; it is risk management.

B. Your company is a SARL: the majority rules, and the price of removing without proper grounds

In a SARL, the statute book, not the statutes, sets the removal mechanism, and the mechanism favours the majority while billing it for abuse. The starting point is appointment: Article L. 223-18 of the Commercial Code provides that “La société à responsabilité limitée est gérée par une ou plusieurs personnes physiques.” and that “Ils sont nommés par les associés, dans les statuts ou par un acte postérieur, dans les conditions prévues à l’article L. 223-29 .” The cross-reference matters because Article L. 223-29 fixes the ordinary majority for SARL decisions: Article L. 223-29 of the Commercial Code provides that “Dans les assemblées ou lors des consultations écrites, les décisions sont adoptées par un ou plusieurs associés représentant plus de la moitié des parts sociales.” If that absolute majority of the share capital is not reached, and unless the statutes say otherwise, the shareholders are convened or consulted a second time and decide by a majority of the votes cast, regardless of turnout. Removal follows the same majority by default: Article L. 223-25 of the Commercial Code provides that “Le gérant peut être révoqué par décision des associés dans les conditions de l’article L. 223-29 , à moins que les statuts prévoient une majorité plus forte.” Two consequences follow for a foreign majority shareholder. First, holding more than half of the parts sociales (the SARL’s shares) is normally enough to remove the gérant on first call, and even a minority can succeed on second call by majority of votes cast, unless the statutes demand a reinforced majority, which many SARL statutes do for removals. Second, the statutes can only raise the bar, never lower it below the statutory floor, so read the removal majority clause before counting your votes. The administration states the rule identically and adds a point foreign shareholders often miss: a gérant who is also a shareholder may vote in the meeting that decides his own removal, and the mention of his name in the statutes lapses automatically upon the removal vote, with a tidy-up amendment votable at the same ordinary majority (service-public.fr, changing the company dirigeant). Where the gérant is named in the statutes, the shareholders can therefore vote the removal and the clean-up of the statutes in the same meeting.

The distinctive feature of the SARL, compared with the SAS, is what happens when the removal has no proper grounds. The statute does not cancel the removal; it converts it into damages. Article L. 223-25 continues: “Si la révocation est décidée sans juste motif, elle peut donner lieu à des dommages et intérêts.” The Rennes Court of Appeal applied this machinery on 3 February 2026 in a co-managers dispute where a minority co-gérant had been removed by the majority: the court recalled that “L’absence d’un juste motif ne permet pas de remettre en cause le principe même de la révocation” and that “La révocation sans juste motif ne peut ouvrir droit qu’à une indemnisation” (Court of Appeal of Rennes, 3 February 2026, No. 25/00507). The removal stood; only money was at stake. The same decision explains how broadly judges read proper grounds: “La notion de juste motif est plus large que celle de faute et elle recouvre aussi, outre l’empêchement non fautif, les cas dans lesquels l’attitude du gérant compromet l’intérêt social ou le fonctionnement de la société.” In that case the majority invoked the removed manager’s absences and side-project expenses; the court examined each grievance on the evidence and, finding no demonstrated impact on the shop’s operation, treated parts of the file as unproven, which is precisely why a foreign shareholder must build the paper trail before the vote rather than after. Collect dated evidence of what harms the company’s interest: missed filings, unauthorised spending, competing activity, loss of a client, refusal to report, prolonged unavailability while the company needed signatures. A removal file with dated exhibits regularly defeats a damages claim; a removal voted in anger on a bare majority, with the grounds invented later, regularly produces a five- or six-figure award plus moral damages for an abusive or humiliating manner of removal, as the Rennes case itself shows with its separate awards for vexatious circumstances. The statute adds a second route that cuts both ways: “En outre, le gérant est révocable par les tribunaux pour cause légitime, à la demande de tout associé.” Any shareholder, even a minority one, can ask the court to remove the gérant for legitimate cause. For a foreign minority shareholder frozen out by a local manager, this judicial removal is often the only exit; for a foreign majority, it is the mirror risk if the ousted manager holds shares and counter-attacks. Note the asymmetry with the SAS: a SARL gérant can never be removed purely ad nutum free of consequences, whereas an SAS president under an ad nutum clause can. Price that difference into the choice of vehicle and into the timing of the vote.

Running the SARL vote from abroad follows the same practical logic as the SAS, with one statutory rigidity to respect: convening formalities. The gérant convenes the meeting, or the shareholders holding the required fraction demand it; the notice (convocation) states the agenda including the proposed removal and appointment; the removed gérant must be given a fair chance to be heard, because courts punish removals sprung by surprise even where the majority is solid. Send the convening letter by tracked means to the address on file, allow the statutory or contractual notice period, and hold the meeting by videoconference if the statutes permit remote deliberation, which modern SARL statutes routinely do. Record the votes per shareholder with the number of parts sociales held, state the majority reached by reference to Article L. 223-29, name the incoming gérant with his start date, and have the minutes signed. A foreign individual appointed as the new gérant must be a natural person, need not be a shareholder or a French resident, but must produce the same file as an SAS president: passport, proof of address, declaration of non-conviction, filiation statement, plus translation and apostille where applicable. A foreign legal entity cannot be gérant of a SARL, a restriction that occasionally surprises groups that park a holding company in the manager’s seat; designate a named individual. Finally, where the outgoing gérant refuses to cooperate, for example by withholding the company seal, passwords or accounting access, do not wait for the paperwork to recover control: the appointment decision itself empowers the newcomer to demand handover, change bank mandates and revoke accesses, and a short formal letter from counsel citing the minutes unlocks most doors faster than any registry.

II. Make the change real against everyone else: the one-month paperwork that protects you

A removal valid between shareholders is only half the job. French company law distinguishes the internal decision, effective among shareholders from the vote, from its external effects, effective against third parties only once published. As long as the old boss sits on the Kbis and in the gazette, banks follow his signature, counterparties rely on his authority, and the tax and social-security offices write to him. The foreign shareholder’s second task is therefore a race against the old Kbis, run entirely online within a strict one-month deadline, followed by the updates banks, registries and counterparties each require.

A. The legal announcement, the Guichet unique filing and the new Kbis within one month

Three formalities stand between the vote and the new Kbis, and the clock runs from the date of the minutes. First, the incoming dirigeant must publish the change in a legal announcements medium (support d’annonces légales, formerly the journal d’annonces légales): the notice must state the outgoing and incoming names, the reason for the change, the effective date, the company name, form, registered office (siège social), SIREN number (the nine-digit company identifier), share capital and the RCS registration with its city, and it must appear within one month of the decision (service-public.fr, changing the company dirigeant). Order the publication online the day after the vote; the platform returns an attestation de parution (proof-of-publication certificate) that the next step requires. Second, declare the change on the Guichet des formalités des entreprises, the single online portal run through the INPI, again within one month, attaching the minutes showing the outgoing and incoming dirigeants, the publication certificate, the updated statutes where amended, the newcomer’s identity document, declaration of non-conviction and filiation statement (service-public.fr, changing the company dirigeant; see also the INPI guide to amending a company). The statutory backbone of this deadline sits in the regulatory part of the Commercial Code: Article R. 123-66 of the Commercial Code provides that “Toute personne morale immatriculée demande, par l’intermédiaire de l’organisme unique mentionné à l’article R. 123-1 , une inscription modificative dans le mois de tout fait ou acte rendant nécessaire la rectification ou le complément des énonciations prévues aux articles R. 123-53 et suivants .” A change of dirigeant is precisely such an act. Third, the greffe checks the file, amends the RCS entry, feeds the RNE, and issues the new Kbis showing the incoming boss; the greffe then triggers automatic insertion in the BODACC, and that gazette insertion is what makes the change binding on third parties (opposable aux tiers), and the administration explains that it is this automatic Bodacc insertion by the greffe that makes the change of dirigeant binding on third parties. Keep the timeline tight because each link depends on the previous one: no publication certificate, no complete filing; no complete filing, no new Kbis; no new Kbis, no cooperative bank. From abroad, create the Guichet unique account in the declarant’s name early, because identity verification of a foreign declarant is the most common source of delay, and file in French: the portal accepts no English, and machine-translated minutes with inconsistent names generate rejections. Where the outgoing dirigeant held a residence permit tied to his mandate, anticipate the prefecture consequences separately; they belong to immigration law, but the company file should record the date the mandate ended.

Foreign shareholders regularly stumble on four details that French practitioners take for granted. First, the effective date: backdating the change to flatter the accounts or to disown a contract signed last week invites a challenge and confuses the tax office; use the real date of the vote or the future date stated in the minutes. Second, the company name on the announcement must match the Kbis letter for letter, including the SAS or SARL suffix and any sigle (abbreviated name); mismatches bounce between the announcements platform and the greffe for weeks. Third, where the statutes named the outgoing boss, file the amended statutes signed by the competent organ; the greffe compares the published notice, the minutes and the statutes line by line. Fourth, fees: the RCS amendment and the gazette insertion carry registry fees and duties collected at filing, set by decree within the framework of Article L. 123-54 of the Commercial Code, so keep a French payment method available, because a foreign card rejection at midnight Paris time has delayed more filings than any legal difficulty. Once the new Kbis issues, download it, check every line (spelling of the newcomer’s name, start date, capital, address), and circulate it the same day to the bank, the accountant, the payroll provider, the insurer and every counterparty with a signature clause keyed to the dirigeant’s identity. The Kbis is the company’s identity card: whoever it names is who France believes runs the company.

B. The beneficial owners, the bank, the contracts, and how the ousted boss can still fight back

The new Kbis does not finish the job; it starts the second round. Begin with the beneficial-owners register, because the administration asks the question at every filing and getting it wrong carries criminal penalties. A change of dirigeant does not automatically change the bénéficiaires effectifs (the natural persons who ultimately own or control the company), but in foreign-owned companies the boss is often also a shareholder, a party to a shareholders’ pact, or the person exercising control by other means, so the analysis must be redone each time. The rule sits in the Monetary and Financial Code: Article L. 561-46 of the Monetary and Financial Code requires the relevant companies to declare to the commercial register, through the single body, the identification details, personal domicile and control mechanisms of their beneficial owners. On the Guichet unique the beneficial-owners screen appears inside the dirigeant-change form: if nothing changed, tick the box confirming the situation is unchanged; if the shareholding or control moved with the boss, file the new DBE declaration (déclaration des bénéficiaires effectifs) in the same run. The administration warns plainly that failure can lead to heavy sanctions “comme la radiation de la société”, and a foreign shareholder who treats the RBE as optional discovers otherwise at the worst moment, usually during a bank compliance review. Next, the bank: French banks act on the Kbis and on their own mandate files, not on your minutes. Book the appointment or video-call with the business adviser, transmit the new Kbis, the minutes and the newcomer’s identity file, revoke the old signature mandates and the old remote-banking tokens, and reissue them in the newcomer’s name. Until that appointment, assume the outgoing boss can still move money if his tokens work, and say so in writing to the bank the day the new Kbis issues; a dated instruction to freeze the old mandates, even imperfectly executed, changes the later liability discussion. Then the contracts: read every agreement signed intuitu personae with the outgoing boss in mind, management packages, current-account advances (comptes courants d’associés), delegation of banking authority, commercial leases with a personal guarantee, and check change-of-manager clauses that require notifying or seeking consent from the counterparty. Employment contracts signed by the old boss remain valid, but delegations of hiring and firing power (délégations de pouvoirs) granted personally to him lapse or must be reissued, a detail that matters the day the company must dismiss or be inspected. Finally the tax and social-security files: the SIE (business tax office) and URSSAF (the social-security collection body) correspond with the dirigeant on record, so confirm the contact details and the authorised signatory for the professional tax account (espace professionnel on impots.gouv.fr) and the DSN payroll filings, or assessments and audit notices will keep flowing to the person you just removed.

The ousted boss has three weapons, and a careful foreign shareholder neutralises each in advance. First, the procedural attack: defective convening, wrong deciding organ, missed majority, minutes that do not match the statutes. The shield is the file described in Part I: convening proofs, attendance sheet, vote count by shares, minutes mirroring the statutory wording, and, for the SAS, the Cassation rule that even a unanimous shareholders’ decision cannot cure a departure from the statutes, which cuts symmetrically against a sloppy removal. Second, the damages claim: in the SARL, removal without juste motif converts into compensation, and an abusive or humiliating manner adds moral damages, as the Rennes appeal court illustrated by compensating both the groundless removal and its vexatious circumstances; in the SAS, the same risk exists wherever the statutes require grounds or promise notice or severance. The shield is the dated evidence file and a removal conducted with minimum dignity: written notice of the grievances, a hearing, no public humiliation, no simultaneous freezing of owed pay. Third, the lingering-authority attack: contracts or withdrawals signed after the vote but before publication, presented to good-faith third parties waving the old Kbis. The shield is speed of publication plus direct notice: the BODACC insertion makes the change opposable aux tiers, and individual notice to the bank and key counterparties closes the window faster than the gazette. Keep every proof of diligence from abroad: filing receipts with timestamps, publication certificate, greffe correspondence, bank instruction emails, courier slips. If the dispute reaches the commercial court (tribunal de commerce), the judge will ask who did what on which date, and a foreign shareholder with a timestamped electronic file beats a local ex-boss with assertions. Run this sequence once, run it cleanly, and the company emerges with a legitimate boss, a truthful Kbis and a file that survives scrutiny; run it approximately, and the old boss remains, on paper and in practice, the person who can still bind your company.

Conclusion

Replacing the head of a French company from abroad is a two-act operation, and each act has its own logic. The first act is internal and political: identify the organ the statutes or the statute book empower, count the majority honestly, build the dated grounds file where grounds are required, and record a decision that mirrors the governing text word for word, because an SAS removal that departs from the statutes fails even if unanimous, and a SARL removal without juste motif survives but must be paid for. The second act is external and administrative: publish within the month, file on the Guichet unique within the month, obtain the truthful Kbis, update the beneficial-owners register, rotate the bank mandates, and notify counterparties, because until the BODACC speaks, the old boss can still bind the company against good-faith third parties. Foreign shareholders who respect this order, vote first on solid grounds, publish fast, document every date, rarely lose the sequel; those who vote in haste, publish late, or leave the bank mandates untouched, litigate for years about who really ran their company. Read your statutes tonight, convene properly tomorrow, and file the day after: in French company changes, the calendar is the strategy.

Foreign shareholder guide: remove and replace the SAS president or SARL gerant from abroad, file within one month, get the new Kbis and survive a challenge.

[80314,80313

post-2140363","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-decryptage","category-doing-business-in-france
<!-- This site is optimized with the Yoast SEO Premium plugin v28.2 (Yoast SEO v28.2) -
