The invoices look clean, the group has always done it this way, and the amounts are deducted from the French taxable profit. Then a letter arrives from the SIE (service des impots des entreprises, the local corporate tax office): your company will undergo a verification de comptabilite, the on-site audit of its books. Months later, the inspector concludes that those management fees were excessive, partly undocumented or simply a way to shift profit out of France, and reassesses your subsidiary for several years of corporate tax (IS, impot sur les societes), withholding tax and penalties. This scenario is one of the most frequent and most expensive disputes foreign groups face in France, and two recent rulings of the Conseil d’Etat (France’s supreme administrative court) show exactly how inspectors build it and how companies can defeat it. This guide explains, in plain business English, why French inspectors attack intra-group fees, what the courts actually require from each side, and the concrete file your group should assemble to prove the fees, price them correctly and contest a reassessment within the deadlines, even when you live abroad.

I. Why does the French tax office challenge management fees paid to a foreign parent company?

The attack always follows the same legal route, and understanding that route is the key to defending yourself. The inspector does not need to prove fraud or bad intent. A single article of the French Tax Code gives the administration a presumption: once it shows that your French company depends on a foreign group company and that money moved on terms no independent business would have accepted, the transfer is presumed abusive and your subsidiary must prove the opposite. Everything in this first part describes that mechanism, the surcharge it produces, and the court decisions that define its limits today. If you are still hesitating between operating through a subsidiary, a branch or another vehicle, read first our pillar guide on choosing between an SAS, a SARL, a branch or a subsidiary in France as a foreign founder: the vehicle you chose determines which entity the inspector audits and which profit it can reassess.

A. What is the article 57 presumption of indirect transfer of profits and how does the tax office prove it?

Article 57 of the CGI (Code general des impots, the French Tax Code) applies to any French business that is dependent on, or controls, companies located outside France. Its opening words, which every reassessment notice quotes, state: “Pour l’établissement de l’impôt sur le revenu dû par les entreprises qui sont sous la dépendance ou qui possèdent le contrôle d’entreprises situées hors de France, les bénéfices indirectement transférés à ces dernières, soit par voie de majoration ou de diminution des prix d’achat ou de vente, soit par tout autre moyen, sont incorporés aux résultats accusés par les comptabilités.” In other words, profits indirectly shifted abroad, whether by inflating or cutting purchase or sale prices or by any other means, are added back to the French taxable result. The provision applies to corporate tax through Article 209 of the CGI on Legifrance, under which taxable corporate profits are determined by the rules of Articles 34 to 45 and 53 A to 57 “en tenant compte uniquement des bénéfices réalisés dans les entreprises exploitées en France”, taking into account only profits earned by businesses operated in France. The rate at stake in every reassessment is the standard corporate rate, since Article 219 of the CGI on Legifrance provides: “Le taux normal de l’impôt est fixé à 25 %.”

In practice, the inspector must establish two things, and only two. First, a link of dependence: your French SAS (societe par actions simplifiee, the flexible limited company most foreign founders choose) or SARL (societe a responsabilite limitee, the traditional limited company) is wholly or majority owned by the foreign parent, shares directors with it, or follows its instructions. In a classic parent-subsidiary structure, this first step takes the inspector one paragraph. Second, a practice falling within Article 57: an advantage granted to the foreign company that an independent business would not have granted, such as management fees with thin supporting evidence, brand royalties disconnected from any service, or a margin squeezed between inflated purchase prices and capped resale prices. The Conseil d’Etat formulates the consequence in settled terms, repeated in its ruling of 23 November 2020, No. 425577, published here: Conseil d’Etat, 23 November 2020, No. 425577 on Legifrance. Once the administration proves dependence plus a covered practice, a presumption of indirect profit transfer arises, and the French company can only defeat it by proving it received real consideration in return. The same ruling adds the sentence every foreign group should memorise: “Peut constituer une telle pratique l’insuffisante rémunération perçue par une entreprise établie en France qui expose des charges contribuant au développement de la valeur d’une marque appartenant à sa société mère établie hors de France.” Under-remuneration of a French company that spends money developing a foreign parent’s asset is itself the suspect practice. Replace brand costs with undocumented management services and the reasoning applies invoice by invoice: the auditor shows dependence, points to fees with thin supporting evidence, and the burden flips to you.

The second pillar of the inspector’s case is comparison. Where the administration has no precise elements to compute the adjustment, the statute itself orders the method: “A défaut d’éléments précis pour opérer les rectifications prévues aux premier, deuxième et troisième alinéas, les produits imposables sont déterminés par comparaison avec ceux des entreprises similaires exploitées normalement” — taxable income is then determined by comparison with similar companies operating normally, meaning independent companies with no dependence link. The Conseil d’Etat confirmed and refined this method in its ruling of 4 October 2021, No. 443133, published here: Conseil d’Etat, 4 October 2021, No. 443133 on Legifrance. That case concerned a French manufacturer of custom bearings controlled by a Swedish group, reassessed on the prices at which it sold its products to the group’s foreign distributors. The court states the rule in terms that apply directly to management fees billed the other way round: “lorsqu’elle constate que les prix facturés par une entreprise établie en France à une entreprise étrangère qui lui est liée – ou ceux qui lui sont facturés par cette entreprise étrangère -, sont inférieurs – ou supérieurs – à ceux pratiqués par des entreprises similaires exploitées normalement, c’est-à-dire dépourvues de liens de dépendance, l’administration doit être regardée comme établissant l’existence d’un avantage qu’elle est en droit de réintégrer dans les résultats de l’entreprise française, sauf pour celle-ci à justifier que cet avantage a eu pour elle des contreparties au moins équivalentes.” When prices charged between related companies depart from those between comparable independent companies, the administration is regarded as having established an advantage it may add back, unless the French company shows consideration of at least equivalent value. The court expressly blesses modern financial comparison: the administration may “se fonder sur la comparaison d’un ratio financier pertinent de l’une ou l’autre entreprise, tel que le taux de marge sur ces transactions, avec celui d’entreprises similaires exploitées normalement, c’est-à-dire dépourvues de lien de dépendance”, rely on comparing a relevant financial ratio such as the margin rate on the transactions with that of similar independent companies. In that case the inspector had applied a transactional net margin method, comparing the French company’s net margin on turnover with eight independent comparables. Your management fees will be tested the same way: the inspector compares your subsidiary’s margin after fees with independent distributors or service companies, and a persistent gap becomes the presumed advantage.

The same ruling gives you the only escape route the court recognises at this stage. A gap between your prices and independent prices is not an advantage without consideration if it is explained by risks your company was meant to assume within the group and which affect its profitability. But then the burden is entirely yours: the company must show both that, given its functions in the group, it was meant to assume those risks, and that the gap between its ratios and independent ratios is explained by those risks materialising. A French subsidiary that is structurally loss-making while paying heavy head-office fees, as in the 2020 case where the company had been continuously in deficit for over a decade while bearing prestige staff and rental costs for the group’s benefit, starts the dispute in the worst possible position. Conversely, a subsidiary whose margin sits within the independent range and whose fees correspond to identified services forces the inspector to prove an unjustified gap to market value without the benefit of the presumption, which is a far harder case to build. The official tax doctrine tells auditors to test exactly this: the BOFiP (Bulletin officiel des finances publiques, the binding published commentary of the French tax administration, hosted on bofip.impots.gouv.fr) lists payments disconnected from any real consideration among the practices auditors must test, alongside the reality of the service and its benefit to the French entity. Every audit of management fees opens on that question.

B. Can reassessed management fees become a deemed dividend with French withholding tax?

The bill is heavier than the corporate tax refill alone. Rejected fees are routinely treated as money the French company gave its parent outside any business reason, hence as distributed income, and that reclassification triggers a second tax: withholding at source. All sums made available to shareholders and not taken from profits count as distributed income. Management fees the inspector regards as having no real consideration fall straight into the second limb: money made available to the parent, which is the shareholder, outside profits. A withholding tax, the retenue a la source, is therefore levied on the reclassified amounts paid to a person seated abroad, which is exactly your parent company, at the rate set by Article 187 of the CGI on Legifrance. In the 2020 case above, the dispute covered both the corporate tax supplement and the withholding levied on the same years, and the minister’s appeal put both back in play together, which shows how the two charges travel as a pair. A tax treaty between France and the parent’s country may reduce the withholding rate, but it never removes the need to prove the underlying service, and claiming a treaty rate on a payment the auditor calls a disguised distribution invites a second fight about who really benefits from the payment.

A third withholding line threatens the fees even before any reclassification. Article 182 B of the CGI on Legifrance imposes withholding on sums paid by a debtor operating in France to persons or companies with no permanent professional establishment in France, and it expressly covers: “Les sommes payées en rémunération des prestations de toute nature fournies ou utilisées en France”, sums paid for services of any kind supplied or used in France. Head-office services consumed by your French subsidiary fall squarely within that wording, so the French company should in principle withhold at payment unless a treaty exempts the service income and the exemption formalities are completed. Groups that wire gross fees for years without withholding discover this article during the audit, when the inspector adds it to the reassessment. The practical lesson is double: document the service to defend deductibility under Article 57, and secure the treaty paperwork to neutralise Article 182 B at the payment stage.

Finally, the documentation failure itself is fined. Where the company does not answer a formal request for its transfer pricing documentation, Article 1735 ter of the CGI on Legifrance applies: “Le défaut de réponse ou la réponse partielle à la mise en demeure mentionnée au III de l’article L. 13 AA et au second alinéa de l’article L. 13 AB du livre des procédures fiscales entraîne l’application, pour chaque exercice vérifié, d’une amende pouvant atteindre, compte tenu de la gravité des manquements, le plus élevé des deux montants suivants : 1° 0,5 % du montant des transactions concernées par les documents ou compléments qui n’ont pas été mis à disposition de l’administration après mise en demeure ; 2° 5 % des rectifications du résultat fondées sur l’ article 57 du présent code et afférentes aux transactions mentionnées au 1° du présent article.” For each audited year, the fine can reach the higher of 0.5 percent of the undocumented transactions and 5 percent of the Article 57 adjustments on those transactions, and the statute closes the door on symbolic penalties: “Le montant de l’amende ne peut être inférieur à 50 000 €.” The minimum is 50,000 euros per year. A group that ignores a documentation request therefore pays three times: corporate tax on the add-back, withholding on the deemed distribution, and a documentation fine that starts at 50,000 euros. The rest of this guide shows how to avoid each layer.

II. How do you defend management fees and challenge a transfer pricing reassessment from abroad?

Defence starts long before the dispute and continues long after the audit notice, and every step can be handled from abroad if you organise representation early. The method below mirrors what the two court rulings reward: real services, priced like independent dealings, evidenced in writing, then defended through each procedural stage without missing a deadline. It applies whether your French entity is an SAS or a SARL, whether the parent sits inside or outside the European Union, and whether the fees cover strategy, finance, human resources, IT, or brand.

A. How do you prove that head-office services are real and charged at an arm’s length price?

The courts apply a service test before any pricing test: was a real service rendered to the French company, did it benefit that company specifically, and would an independent company have paid for it? Shareholder activities fail this test. General group supervision, the cost of the parent’s own board meetings, or instructions the parent gives in its own interest as shareholder are not services to the subsidiary, even when head-office staff spend time on them. What passes is identified work performed for the French entity: monthly financial reporting prepared for and used by the subsidiary, recruitment campaigns run for its positions, IT systems it actually uses, legal support on its contracts, or brand assets that demonstrably drive its sales. For each fee line, keep the intercompany agreement describing the scope, the persons involved on both sides, timesheets or activity reports, deliverables such as reports, dashboards and email advice, and evidence of use, such as management decisions taken on the basis of the deliverable. The 2020 ruling is a warning against the reverse situation: a French company bearing prestige salary and rental costs that developed a foreign parent’s brand without full compensation saw those costs treated as the suspect advantage. Your file must show the opposite flow, with each euro billed matched to work received.

Pricing comes second, and it must mimic independent dealing. The OECD transfer pricing principles, which French courts cite as guidance and which the 2021 ruling expressly endorses for margin comparisons, offer five standard methods, of which three dominate management fee disputes. The comparable uncontrolled price method suits services with a market, such as IT support or payroll processing, where external quotes anchor the fee. The cost-plus method suits back-office support: the parent’s documented cost base plus a markup observed between independent providers of similar services. The transactional net margin method, used by the inspector in the 2021 case, tests the result instead of the price: the subsidiary’s net margin after fees should sit within the range of independent comparables performing similar functions with similar risks. Whichever method you choose, commission or prepare a benchmark study before the audit, keep it updated each year, and make sure the fee follows the study rather than a round monthly number unchanged for five years. Flat fees that never move while turnover doubles, fees charged as a fixed percentage of sales without any link to cost or market, and year-end true-up invoices with no timesheet behind them are the three patterns inspectors attack first, because each one suggests the price was set to move profit rather than to pay for a service.

Documentation has two layers, and both matter. Large groups face statutory transfer pricing documentation duties whose breach triggers the formal request and the fine described above, but even a small subsidiary needs a functional file: agreement, scopes, timesheets, deliverables, cost calculations, markup justification, benchmark, and board minutes approving the policy. Build this file contemporaneously, in English with French summaries where the finance team needs them, and store it where your French accountant can produce it within days of an auditor’s request. If the fees were never documented, reconstruction is still worth attempting before the auditor closes the audit: gather email trails, calendar entries, project files and witness statements from the staff who performed the work, and align them with the invoices month by month. Courts judge the reality of services on evidence, not on the date the binder was assembled, and a late but coherent file beats silence. At the same time, never fabricate: backdated agreements and invented timesheets, once exposed by metadata or testimony, destroy the credibility of the whole defence and can turn a pricing dispute into a penalty case. An honest file showing imperfect but real services, priced near the market range, regularly wins partial relief, with the judge keeping the documented portion and rejecting only the excess.

Three drafting reflexes protect the file going forward. First, describe services by output, not by label: replace “management fees” and “strategic support” with a monthly group reporting pack, 40 hours of HR support, or hosting of the ERP used by the French entity and attach the corresponding deliverables. Second, separate shareholder costs from billable costs in the parent’s accounting before computing any markup, so the inspector cannot taint the whole fee by pointing to one non-billable element. Third, review the policy each year against the subsidiary’s results: a company in sustained losses that keeps paying rising head-office fees reproduces the exact pattern the 2020 ruling punished, while a company whose margin stays within the independent range deprives the inspector of the presumption altogether. Groups that apply this discipline often settle at the audit stage, because an inspector facing a complete file with a benchmark knows the adjustment would struggle before the judge.

B. What is the procedure and which deadlines apply to challenge the reassessment from abroad?

The reassessment arrives as a proposition de rectification, the reasoned adjustment notice, and the statute makes reasoning a duty, not a courtesy: Article L. 57 of the LPF on Legifrance (LPF, Livre des procedures fiscales, the Tax Procedure Code) states: “L’administration adresse au contribuable une proposition de rectification qui doit être motivée de manière à lui permettre de formuler ses observations ou de faire connaître son acceptation.” The notice must be reasoned so that you can reply or accept. Read it as the inspector’s battle plan: it names the dependence link, the covered practice, the comparables or the unjustified gap, and the amounts per tax and per year. Your reply, called observations, must answer each point with documents, not adjectives: attach the missing timesheets, correct a wrong comparable with a better one, show the consideration the inspector overlooked, and quantify the alternative adjustment you accept, if any. The same article gives you time beyond the standard reply period: “Sur demande du contribuable reçue par l’administration avant l’expiration du délai mentionné à l’article L. 11 , ce délai est prorogé de trente jours.” Ask in writing before the deadline and you gain thirty extra days, which matters when evidence sits with the parent abroad. Use them to collect, not to wait.

After the reply, the dispute moves through mandatory stages, and each stage is an opportunity before it becomes a deadline. The inspector answers, and you can escalate within the administration through the hierarchical appeal to the inspector’s superior and, for transfer pricing matters, request an interview at the appropriate level of the audit directorate. These internal steps cost nothing, suspend nothing by themselves, and often narrow the dispute, because a superior reviewing a complete file sometimes abandons the weakest years or the withholding line. If the assessment is then confirmed and collected, the formal claim, the reclamation, opens: Article L. 190 of the LPF on Legifrance provides: “Les réclamations relatives aux impôts, contributions, droits, taxes, redevances, soultes et pénalités de toute nature, établis ou recouvrés par les agents de l’administration, relèvent de la juridiction contentieuse lorsqu’elles tendent à obtenir soit la réparation d’erreurs commises dans l’assiette ou le calcul des impositions, soit le bénéfice d’un droit résultant d’une disposition législative ou réglementaire.” Claims seeking correction of assessment or calculation errors follow the contentious track, which ends before the administrative court if the administration rejects or ignores them. In plain terms, you generally have until 31 December of the second year following collection or notification to file, and missing that date ends the case whatever its merits. Diarise it the day the notice arrives.

Living abroad changes none of these rights but requires organisation. Appoint a representative in France at the audit stage, typically your French accountant together with counsel, with a written mandate to receive correspondence, attend meetings and sign replies, because notices sent to the French registered office produce effects even if you learn of them weeks later. Keep a French-language contact point the auditor can reach, answer information requests within the stated time even with a partial reply announcing supplements, and never let a formal request for documentation go unanswered, since silence triggers the per-year fine described above. Companies registered in Paris will generally litigate before the Paris administrative court, which decides transfer pricing cases every month and applies exactly the case law discussed here, so frame the claim around dependence, practice, consideration and comparables rather than general complaints about the audit. For a broader view of the recurring obligations that keep a French company audit-ready, from accounts approval to filings, see our guide to the annual legal calendar of a French company managed from abroad. Groups that combine clean yearly documentation with disciplined deadline management turn the management fee dispute from an existential threat into a negotiable technical disagreement, which is exactly what it should be.

Conclusion

French inspectors attack management fees because the law lets them: once dependence and a suspect practice are shown, Article 57 presumes the profit shift and your subsidiary must prove real consideration, margin comparisons decide the rest, rejected fees become deemed dividends with withholding, and missing documentation draws a fine of at least 50,000 euros per year. But the same case law draws the defence map with equal clarity. Prove each service by deliverables, price it against independent comparables, separate shareholder costs from billable work, keep the subsidiary’s margin within the market range, and answer every procedural stage with documents inside the deadlines. A foreign group run this way does not avoid audits, yet it wins them, in whole or in large part, and often settles before the court stage. Start the file this quarter: list every fee line, match it to its evidence, and close the gaps the inspector would otherwise price for you.

Reassessed on management fees your French subsidiary pays its foreign parent?
