You are not president, not general manager, not registered manager — on paper you are a shareholder, an adviser, a consultant calling in from London, New York, Dubai or Singapore. Yet you sign contracts, approve hires, move money between accounts and tell the local team what to do every morning. French law has a name for this situation, and it is not adviser. It is dirigeant de fait — the de facto director — and once an URSSAF inspector (URSSAF, unions de recouvrement des cotisations de sécurité sociale et d’allocations familiales, the agencies that collect social contributions and run inspections) or a liquidator attaches that label to you, the bills that follow are the same as if you held the title: social security affiliation with back contributions, personal liability for the company’s shortfall, and even personal bankruptcy proceedings. Distance does not protect you, because the evidence is in the filings, the gazette and the bank mandates, all reachable from Paris without meeting you.

This guide explains, for a foreign founder or investor who steers a French company from abroad without a formal mandate, which acts turn help into de facto management, which roles stay safe, what the label costs in social security and insolvency law, and how to challenge it or avoid it entirely. The question is practical, not theoretical: in two 2025 rulings, the Court of Cassation drew the exact line between controlling and directing, between advising and managing, and inspectors now work directly from those decisions. If you have not yet chosen your formal vehicle, read first our guide to choosing between an SAS, an SARL, a branch and a subsidiary when you invest from abroad — an SAS (société par actions simplifiée, the flexible joint-stock company) and a SARL (société à responsabilité limitée, the limited liability company with a stricter frame) allocate powers differently, and that allocation is the first exhibit in every de facto file.

I. When Does Helping Your French Company From Abroad Make You a De Facto Director Under French Law?

The definition fits in one sentence, and the litigation fills libraries. A de facto director is whoever actually directs without the title, and courts recognise that person through what they do, not what they are called. For a foreign founder, the danger zone covers the everyday reflexes of an owner-operator: countersigning supplier contracts because the local manager is junior, keeping sole electronic signature on the bank account, deciding recruitments and dismissals over video calls, negotiating the lease, or appearing on filings as able to bind the company. Each of these acts is normal ownership behaviour in many countries. In France, accumulated and performed independently, they are management, and management without a mandate is the textbook definition of the role you never wanted.

A. Which Acts Turn an Adviser Into a Director: Independent Management, Repeated Decisions and the Evidence Trail?

The Commercial Chamber of the Court of Cassation states the test without ambiguity: “Le dirigeant de fait est celui qui exerce en toute indépendance une activité positive de gestion et de direction de la personne morale” (Cass. com., 26 March 2025, No. 24-11.190). Three elements matter, and each must be proved with precise acts. The activity must be positive management and direction, not influence, charisma or family pressure. It must be exercised independently, meaning you decide rather than suggest, and the formal director merely executes. And it must be characterised by specific, repeated acts — a bundle of evidence is not enough without identified decisions. In that March 2025 case, the appeal court had painted a vivid portrait of influence over a nephew-manager, yet the Court of Cassation quashed the ruling precisely because the judges had proceeded “sans relever d’actes positifs précis de nature à caractériser l’immixtion”, so that “la cour d’appel n’a pas donné de base légale à sa décision.” Influence without documented acts fails; documented acts without independence fail; both together succeed.

The social security courts apply the same logic with their own vocabulary, and a June 2025 ruling shows exactly which papers build the file. The Second Civil Chamber recalled that “Selon l’article L. 311-3, 23°, du code de la sécurité sociale, dans sa rédaction applicable au litige, sont obligatoirement affiliés aux assurances sociales du régime général les présidents et dirigeants des sociétés par actions simplifiées”, then held that members of a supervisory board, whose task is only to control, are not affiliated unless they really direct (Cass. 2e civ., 5 June 2025, No. 23-13.887). The chairman lost because three exhibits converged: the BODACC — the Bulletin officiel des annonces civiles et commerciales, the official gazette publishing company registrations, appointments and the names of persons empowered to bind the company — designated him as a person with standing power to commit the company, the M2 modification filing named him as a director, and he held decisive power over large investments. The Court concluded from its sovereign assessment that “ces actes positifs de gestion et de direction étaient accomplis en toute indépendance” and that the chairman “exerçait en réalité une fonction de direction, en sorte que le redressement était justifié.” For a founder abroad, the message is concrete: every BODACC entry naming you, every M2 form ticking your box, every bank mandate granting you habitual signature, and every set of minutes voting you an annual remuneration will be photocopied before any legal debate begins.

Company law explains why these papers weigh so heavily. Third parties, banks and agencies rely on the published representative, so anyone else who behaves as representative must expect to be treated as one. In a SARL the frame is similar: Article L. 223-18 of the Commercial Code states that “La société à responsabilité limitée est gérée par une ou plusieurs personnes physiques”, and the person who in fact manages alongside or instead of them steps into the same exposure. Before signing anything from abroad, ask who the published representative is and whether your signature adds a second one — because it does.

The evidence trail inspectors follow is remarkably stable across cases, and you can audit it in an afternoon. They collect the Kbis extract — the registration certificate issued by the greffe, the clerk’s office of the commercial court — with its list of directors, then the BODACC notices, the M2 and M3 filings, the articles of association and their updates, the bank signature cards and the list of actual signatories on transfers, the employment contracts you signed on behalf of the company, the dismissal letters, the lease, and the email headers showing who decided. A founder who appears on none of these and decides nothing in writing is hard to label; a founder who appears on five of them while holding no mandate is already labelled, with only the court date missing. Clean the trail before the control, not after, because corrections made during an inspection read as confessions.

B. Which Roles Stay Safe: Shareholder Votes, Supervisory Control and Genuine Employment Contracts?

Not every intervention from abroad is management, and the safe roles share one feature: they stay inside a defined legal frame with written limits. The shareholder who votes in general meetings, approves the accounts, appoints and removes the formal director and decides dividends exercises ownership, not direction — even with one hundred percent of the capital, even by video link, even every month. Keep those decisions inside shareholders’ minutes, separate from management correspondence, and never sign an operational document in the same week under a different hat. The supervisory board member who controls without managing is equally protected in principle: “ayant pour seule mission de contrôler les organes de direction de la société sans en assumer la gestion, les membres du conseil de surveillance ne sont en principe pas affiliés aux assurances sociales du régime général, sauf à démontrer qu’ils exercent en réalité une fonction de direction” (Cass. 2e civ., 5 June 2025, No. 23-13.887). Protection lasts exactly as long as the control stays control: request reports, question strategy, approve investments above a threshold through the board’s collective vote — but do not select suppliers, negotiate prices or give daily orders, because each operational act moves you across the line the ruling draws.

The salaried executive from the foreign group who works inside the French company can also stay safe, provided the employment contract is genuine and subordinate. French courts accept that a director holds an employment contract alongside a mandate only for technical duties genuinely distinct from the corporate office, performed under real subordination with working-time records and orders received. 2e civ., 15 May 2025, No. 23-13.763). Mirror the reasoning for your own position: if you are posted from the parent as commercial director with a job description, a local supervisor or board to report to, timesheets and a salary processed through payroll, the file shows employment; if you answer to nobody, set your own targets and sign as the company toward banks, the file shows direction, whatever the contract’s title. The March 2025 commercial ruling confirms the method from the other side: a commercial-director title did not save a person whose continuous power over assets, staff and strategic decisions exceeded the job, and it did not condemn him either until precise independent acts were identified — the title never decides, the acts always do.

Three practical arrangements keep founders on the safe side of the line. First, concentrate your power in shareholding and board decisions: written shareholder resolutions, board minutes with collective votes, appointment letters defining the formal director’s delegated powers with thresholds, and your countersignature reserved for the shareholder-level approvals the articles require. Second, formalise advice as advice: engagement letters describing a consulting mission with deliverables, invoices from your foreign vehicle, reports and recommendations addressed to the formal director who decides in writing — an adviser who writes opinions that the director follows after documented review looks nothing like a hidden manager. Third, strip the operational evidence: no habitual bank signature, no employment contracts or dismissal letters signed by you, no BODACC mention as empowered person, no remuneration voted to you outside a formal office. Each removed exhibit is one fewer weapon in a future file, and together they draw a consistent picture that inspectors and judges recognise immediately.

II. What Does the De Facto Label Cost and How Do You Fight It From Abroad?

Once the label sticks, three machineries start at once, and each runs on its own track. The social security machinery affiliates you and bills back contributions. The insolvency machinery makes your personal assets answer for the company’s shortfall. The sanctions machinery can bar you from managing. All three can reach a person living abroad, because affiliation follows activity on French territory and liability follows the management acts, not the residence. Understanding each track separately is the only way to defend on all three without contradiction.

A. Which Bills Follow the De Facto Director: Forced Affiliation, Shortfall Liability and Management Bans?

The social security bill arrives first and needs no insolvency. Article L. 311-3 of the Social Security Code covers “Les présidents et dirigeants des sociétés par actions simplifiées et des sociétés d’exercice libéral par actions simplifiées”, and courts extend the reasoning to whoever really directs: once direction in fact is established, affiliation to the general scheme follows, with contributions assessed on the remuneration attributed for each period under Article L. 242-1 of the Social Security Code, which provides that “Les cotisations de sécurité sociale dues au titre de l’affiliation au régime général des personnes mentionnées aux articles L. 311-2 et L. 311-3 sont assises sur les revenus d’activité”. The June 2025 supervisory-board case validated exactly this chain, upholding the reassessment because real direction had been proved. Amounts you drew without payroll — transfers labelled as advances, consulting payments without substance, expenses that look like pay — are reclassified as remuneration and billed with surcharges back over the control period, which commonly spans three years. A founder who took informal drawings from abroad for two years can therefore receive a single demand covering the whole period, and the detailed defence of that demand is described in our guide to URSSAF audits run from abroad.

The insolvency bill arrives when the company collapses, and it targets your personal assets. Article L. 651-2 of the Commercial Code provides that the shortfall may be borne “par tous les dirigeants de droit ou de fait, ou par certains d’entre eux, ayant contribué à la faute de gestion“, where liquidation shows an asset shortfall and a management fault contributed to it. Two nuances matter enormously. First, the court may declare several directors jointly and severally liable by reasoned decision, so the foreign de facto director can answer for the whole shortfall alongside the formal manager. Second, “en cas de simple négligence du dirigeant de droit ou de fait dans la gestion de la personne morale, sa responsabilité au titre de l’insuffisance d’actif ne peut être engagée” — mere negligence is not enough, and the claimant must prove a management fault that contributed to the shortfall. Your defence file in this track is therefore the mirror of the affiliation file: board papers showing informed decisions, accounts monitored, warnings given to the formal director in writing, and restructuring advice sought in time all push the story from fault toward mere business failure or simple negligence.

The sanctions track can bar you from the driver’s seat for years. Article L. 653-1 of the Commercial Code makes the personal-bankruptcy and management-ban chapter applicable to “Aux personnes physiques, dirigeants de droit ou de fait de personnes morales”, with a three-year limitation running from the opening judgment. Personal bankruptcy — faillite personnelle — and the management ban — interdiction de gérer — prohibit directing, managing or controlling any commercial enterprise, and they are published, which foreign banks and partners notice. The March 2025 ruling illustrates both the threat and the shield: the prosecution sought personal bankruptcy against an alleged de facto manager, and the Court of Cassation quashed the order for lack of precisely identified independent acts. The lesson is symmetrical — the label exposes you to the heaviest sanctions in French business law, but each sanction requires the same proof of precise independent management acts, so starving the file of such acts defends all three tracks at once.

B. How Do You Challenge the Label From Abroad: Control Notice, Formal Demand and the Paper That Proves Advice?

The challenge runs through the same rigid sequence as any social security dispute, and each stage has its own clock running from receipt — including receipt at an address abroad. The control must be announced: Article R. 243-59 of the Social Security Code provides that “Tout contrôle effectué en application de l’article L. 243-7 est précédé, au moins trente jours avant la date de la première visite de l’agent chargé du contrôle, de l’envoi par l’organisme effectuant le contrôle des cotisations et contributions de sécurité sociale d’un avis de contrôle.” Keep the envelope and transmission records proving the date, appoint a representative in France with a written mandate so registered letters are collected the same day, and answer the letter of observations within its deadline with documents rather than arguments alone. At this stage the winning move is evidentiary: produce the engagement letter, the consulting invoices, the board minutes showing collective decisions by the formal director, and the bank records showing you never signed — each document removes one alleged act of direction from the inspector’s draft.

If the agency persists, it issues a formal demand — mise en demeure — and this document is the most frequently annulled paper in French social security litigation. Article L. 244-2 of the Social Security Code provides that “ledit avertissement est remplacé par une mise en demeure adressée par lettre recommandée ou par tout moyen donnant date certaine à sa réception par l’employeur ou le travailleur indépendant.” The Court of Cassation reads this strictly: “la mise en demeure, qui constitue une invitation impérative adressée au débiteur d’avoir à régulariser sa situation dans le délai imparti, doit permettre à celui-ci d’avoir connaissance de la nature, de la cause et de l’étendue de son obligation” (Cass. 2e civ., 10 April 2025, No. 23-11.799), and the demand must state “à peine de nullité, la nature et le montant des cotisations et contributions réclamées et la période à laquelle celles-ci se rapportent, sans que soit exigée la preuve d’un préjudice.” Read every demand line by line from abroad: nature of contributions, amounts, periods, reference to the observations. Where a mention is missing, plead nullity without needing to show harm. Where the demand treats you as director, attack the qualification first — no precise independent acts, no affiliation — because a demand addressed to the wrong debtor falls entirely, not partially.

After the demand comes enforcement through a constraint — contrainte, the enforceable order — opposed before the judicial court, with a prior appeal to the friendly-appeal commission — CRA (commission de recours amiable), the internal board that re-examines the agency’s decision before court action — as the mandatory gateway in most contribution disputes. Article L. 142-1 of the Social Security Code frames this social security litigation, heard by the social division of the judicial court — the pôle social — where representation is strongly advised for a party living abroad. Calendar every deadline from receipt, prove each sending by registered letter with acknowledgement or any means giving certain date, and never let a deadline expire while requesting explanations, because expired recourse stays closed even with a perfect case. In parallel insolvency proceedings, coordinate defences immediately: the same management-acts file serves on both fronts, and a concession made to shorten the social security dispute can resurface as an admission before the commercial court.

The file that wins from abroad is built in peacetime and has five drawers. Drawer one, status: articles of association, Kbis extract, BODACC history, filings, and a register of who holds which mandate with exact dates. Drawer two, decisions: shareholders’ minutes and board minutes separating ownership votes from management acts, delegation letters with thresholds granted to the formal director, and written traces of your recommendations being reviewed before adoption. Drawer three, money: payroll records, consulting engagement letters with deliverables, invoices paid to your foreign vehicle, bank signature cards without your name, and transfer authorisations signed by the formal director alone. Drawer four, people: genuine employment contracts with job descriptions and subordination evidence where they exist, and hiring and dismissal letters signed by the formal office-holder. Drawer five, procedure: control notice with its date, observations with your dated reply, formal demand with its envelope, commission receipts and court filings. A founder in another time zone with these five drawers beats a founder in Paris with none, because French judges decide on paper and distance is never an excuse.

Conclusion

Directing from abroad without a title is the most dangerous seat in French business law: all the exposure of a director with none of the tools of one. The test is public and stable — independent, positive, repeated management acts proved precisely — and the evidence comes from filings, gazettes, bank mandates and signatures you can audit in an afternoon. Concentrate your power in shareholding and collective board votes, formalise advice with engagement letters and invoices, strip habitual signatures and operational signings, and keep the five-drawer file in France. If the inspector or liquidator knocks anyway, fight the qualification first with the March and June 2025 rulings, fight the demand’s mandatory mentions second with the April 2025 ruling, and meet every deadline from receipt even across borders.
