You live in London, New York, Dubai or Singapore, the French subsidiary or SAS (société par actions simplifiée, the flexible joint-stock company most foreign founders choose) is dormant or loss-making, and you want to shut it down cleanly without flying back and forth to Paris. French law allows exactly that, but it does not allow you to simply walk away. Closing a French company is a two-stage legal operation: dissolution, the collective decision to end the company, then liquidation, the winding-up during which assets are sold, creditors are paid, employees are dismissed, tax returns are filed and whatever is left is shared out before the company is struck off the register. Each stage requires publications, filings with the commercial court registry (the greffe, the clerk’s office of the tribunal de commerce) through the online one-stop shop (the Guichet unique, the single electronic filing portal), and tax clearance. Skip a step and the company survives as a legal zombie that keeps generating tax returns, social charges and directors’ liability. This guide explains, for a foreign owner living abroad, how to vote the dissolution remotely, how to run the liquidation through a liquidator you appoint, how to dismiss staff and clear the final French tax and URSSAF (the social security collection agency) bills, and how to obtain the final striking-off (radiation) from the Trade and Companies Register (the RCS, registre du commerce et des sociétés). Where Paris and the Île-de-France region add local specifics, they are flagged in the text.

I. Vote the dissolution and put the company into liquidation without flying to France

A. How foreign shareholders validly decide to dissolve: votes, minutes and the first filings

Dissolution is a decision of the shareholders, and in a SAS it is the articles of association (statuts) that set how collective decisions are taken: in person, by video call, by written consultation or by unanimous written consent. Whatever the method, the decision must be real, recorded in minutes signed by the shareholders, and kept with the company books, because the greffe and the tax office will ask for it. French company law is explicit that in a SAS the powers normally given to shareholder meetings of a public limited company in matters of capital, merger, demerger, dissolution, change of corporate form, appointment of auditors, annual accounts and profits are exercised collectively by the shareholders under the conditions laid down in the articles. The exact statutory wording provides that “les attributions dévolues aux assemblées générales extraordinaires et ordinaires des sociétés anonymes, en matière d’augmentation, d’amortissement ou de réduction de capital, de fusion, de scission, de dissolution, de transformation en une société d’une autre forme, de nomination de commissaires aux comptes, de comptes annuels et de bénéfices sont, dans les conditions prévues par les statuts, exercées collectivement par les associés” (Article L227-9 of the Commercial Code). In practice, this means a foreign sole shareholder of a SASU (the one-member SAS) records the early dissolution in a written decision, and several foreign shareholders sign minutes of a video meeting, with attendance sheet, provided the articles allow remote deliberation, which modern articles almost always do. For a SARL (société à responsabilité limitée, the limited liability company with stricter statutory rules), early dissolution is voted at an extraordinary general meeting, usually by a three-quarter majority of the shares, and the minutes must state the appointment of the liquidator. The Civil Code lists early dissolution decided by the shareholders among the events that end a company: “Par la dissolution anticipée décidée par les associés” (Article 1844-7 of the Civil Code).

The same minutes must appoint the liquidator (liquidateur amiable), who can be one of the shareholders, the former president (président) or manager (gérant), or an outside professional, and can perfectly well act while you remain abroad. The appointment, like the dissolution itself, only becomes effective against third parties once published. The Commercial Code states that “La dissolution d’une société ne produit ses effets à l’égard des tiers qu’à compter de la date à laquelle elle est publiée au registre du commerce et des sociétés” (Article L237-2 of the Commercial Code). Until that RCS publication, creditors, the landlord and the tax office are entitled to treat the company as fully alive, so the filing sequence matters: first, publish a dissolution notice in a legal announcements journal (journal d’annonces légales, known as JAL) authorised in the department of the registered office (siège social); second, file the dissolution on the Guichet unique portal, attaching the minutes, the liquidator’s acceptance letter and identity documents; third, check that the RCS entry and the company extract (the extrait Kbis, the official identity card of a French company) now show the liquidation status. From that moment the company name must be followed by the words “société en liquidation” on every letter, invoice and document, since “Sa dénomination sociale est suivie de la mention ” société en liquidation “” (Article L237-2 of the Commercial Code), and “La mention ” société en liquidation ” ainsi que le nom du ou des liquidateurs doivent figurer sur tous les actes et documents émanant de la société et destinés aux tiers, notamment sur toutes lettres, factures, annonces et publications diverses” (Article R237-1 of the Commercial Code). A foreign owner should understand the core principle recalled by the Cour de cassation in its ruling of 20 September 2023 (No 21-14.252, full decision): under Article L237-2 of the Commercial Code, a dissolved company keeps its legal personality for as long as its corporate rights and obligations have not been fully wound up. Dissolution does not kill the company; it opens the winding-up, and the legal person survives for the needs of the liquidation. If you formed the company through the standard step-by-step formation route of bank account, Kbis, VAT and first hire, closing is that route in reverse, with the same registries watching. And if you are still hesitating between vehicles, the comparison of SAS, SARL, branch and subsidiary for a foreign investor reminds you that a branch (succursale) closes differently, by simple deregistration, while a company must go through liquidation.

B. What the liquidator must do while you stay abroad: debts, staff, contracts and the three-year clock

Once appointed, the liquidator replaces the president or manager for everything concerning the winding-up: he or she sells the assets, collects receivables, pays creditors, dismisses employees, terminates contracts, files tax returns and prepares the accounts. Where the articles are silent, the Commercial Code provides that failing specific clauses or express agreement, “la liquidation de la société dissoute est effectuée conformément aux dispositions de la présente section” (Article L237-14 of the Commercial Code), and more generally that “la liquidation des sociétés est régie par les dispositions contenues dans les statuts” (Article L237-1 of the Commercial Code). In practice the articles of a foreign-owned SAS say little about liquidation, so the statutory default applies in full, and the liquidator works under the supervision of the shareholders, who must be convened at least once a year to approve the annual liquidation accounts. During each financial year the liquidator draws up the annual accounts and a written report on the operations of the year, since the statute requires that “Le liquidateur, dans les trois mois de la clôture de chaque exercice, établit les comptes annuels au vu de l’inventaire qu’il a dressé des divers éléments de l’actif et du passif existant à cette date et un rapport écrit par lequel il rend compte des opérations de liquidation au cours de l’exercice écoulé” (Article L237-25 of the Commercial Code). A liquidation that drags on therefore keeps producing paperwork and professional fees, which is why a foreign owner should push for a fast, clean process, ideally closed within twelve months.

The strictest duty is paying the debts in full before anything is distributed to shareholders. A voluntary liquidation is only available to a solvent company: every known creditor must be paid, and disputed or pending claims must be secured by a provision until the proceedings end. If the assets cannot cover the liabilities, the liquidator must not close; he must ask the court to open insolvency proceedings, and closing an insolvent company as if it were solvent exposes him personally. The statute is blunt: “Le liquidateur est responsable, à l’égard tant de la société que des tiers, des conséquences dommageables des fautes par lui commises dans l’exercice de ses fonctions” (Article L237-12 of the Commercial Code), and the same court recalled that “L’engagement de la responsabilité personnelle du liquidateur suppose que soient établie l’existence d’une faute, d’un préjudice et d’un lien de causalité entre la faute et le préjudice” and that “selon l’article L. 237-12 du code de commerce, le liquidateur est responsable, à l’égard tant de la société que des tiers, des conséquences dommageables des fautes par lui commises dans l’exercice de ses fonctions” (CA Colmar, 24 February 2025, RG 24/00518, full decision). In that case a creditor who had sued the voluntary liquidator of a SAS for unpaid lease arrears lost on the merits, but only after the court examined in detail whether the liquidator had committed a fault in closing, which shows that creditors do sue liquidators and that courts check the file. A foreign shareholder who appoints himself liquidator to save fees therefore takes on a real personal risk, and appointing a French-based professional liquidator is often the safer commercial choice.

Employees are the most sensitive file. Closing the business ends the jobs, and each dismissal must follow French redundancy rules: written invitation to a preliminary meeting, notification by registered letter, severance pay at least equal to the statutory minimum, notice period worked or paid, final payslips, work certificate and proof of employment termination for the unemployment office. The economic reason is straightforward here, since the statute defines as economic any dismissal “effectué par un employeur pour un ou plusieurs motifs non inhérents à la personne du salarié résultant d’une suppression ou transformation d’emploi” (Article L1233-3 of the Labour Code), and a closure is the textbook example of a job suppression unrelated to the employee. But the procedure cannot be improvised from abroad: letters must be sent by registered mail with acknowledgement of receipt, deadlines run from presentation, and any flaw can turn a closure dismissal into an unfair dismissal claim before the labour court (conseil de prud’hommes), which survives the company since claims can be directed at the liquidation. The detailed dismissal mechanics for a first hire have been explained for foreign employers dismissing from abroad, and the same discipline applies at closure, with the added duty to inform and consult staff delegates where they exist. Commercial contracts, office leases and supplier agreements must be terminated individually under their own notice clauses, deposits recovered, and the company bank account kept open until the last payments clear, because a liquidator without a bank account cannot pay creditors or receive the final receivables. A foreign owner who lets the file sleep for three years can find the public prosecutor asking a judge to finish the job at the company’s expense. One practical warning on correspondence: when shareholders, creditors or former directors are scattered across countries, serve every important notice properly and keep proof, because French courts enforce service rules strictly. Registered letters to a stale address, unanswered emails and unsigned minutes are how clean closures become disputed ones.

II. Pay the last taxes, clear the social charges and strike the company off the register

A. The final tax and URSSAF bills: corporate tax, VAT, payroll and the partition duty

Dissolution triggers immediate taxation. As soon as the company is dissolved, the corporate income tax (impôt sur les sociétés, IS) on profits that have not yet been taxed becomes due at once. The Tax Code provides that “En cas de dissolution, de transformation entraînant la création d’une personne morale nouvelle, d’apport en société, de fusion, de transfert du siège ou d’un établissement dans un Etat étranger autre qu’un Etat membre de l’Union européenne ou qu’un Etat partie à l’accord sur l’Espace économique européen ayant conclu avec la France une convention d’assistance mutuelle en matière de recouvrement ayant une portée similaire à celle prévue par la directive 2010/24/UE du Conseil du 16 mars 2010 concernant l’assistance mutuelle en matière de recouvrement des créances relatives aux taxes, impôts, droits et autres mesures, l’impôt sur les sociétés est établi dans les conditions prévues aux 1 et 3 de l’article 201” (Article 221 of the General Tax Code). In plain terms, the liquidator must file a final corporate tax return covering the period from the start of the current financial year to the date of dissolution, pay the balance, and the same acceleration applies at the later cessation of activity. Taxpayers must warn the administration quickly, since “Les contribuables doivent, dans un délai de quarante-cinq jours déterminé comme il est indiqué ci-après, aviser l’administration de la cession ou de la cessation et lui faire connaître la date à laquelle elle a été ou sera effective” (Article 201 of the General Tax Code). A foreign owner should diary these deadlines from the dissolution date, because late filing draws surcharges and interest that the liquidator will have to pay out of the remaining assets, and the company tax office (the SIE, service des impôts des entreprises) will refuse any tax clearance certificate while returns are missing.

Value added tax (TVA) needs its own closure. The liquidator files the last VAT returns (CA3 for monthly filers, CA12 for the simplified regime), declares the VAT collected on the sale of liquidation assets such as stock, equipment and vehicles, and repays or claims back the balance. VAT deducted on assets that are kept, transferred or scrapped may have to be adjusted, and the company must request removal from the VAT system and, where relevant, close its EU VAT identification. Where the French company sold across borders, Intra-Community recapitulative statements (DEB, now EMEBI response survey) and EC sales lists must be brought up to date, or the customs office will keep asking questions long after the RCS is closed. Local business tax (cotisation foncière des entreprises, CFE) is due for the year of cessation, and the liquidator settles it pro rata. If the liquidation surplus (boni de liquidation) is distributed to shareholders, the distribution is taxed in the hands of the recipients under their own regime, and non-resident shareholders face French withholding tax subject to the applicable double tax treaty, a point to check before wiring the money abroad.

Sharing the remaining assets among shareholders is a partition (partage), and partitions pay a registration duty. The Tax Code states that “Les partages de biens meubles et immeubles entre copropriétaires, cohéritiers et coassociés, à quelque titre que ce soit, pourvu qu’il en soit justifié, sont assujettis à un droit d’enregistrement ou à une taxe de publicité foncière de 2,50 %” (Article 746 of the General Tax Code). The 2.50 percent duty applies to the net assets shared, so a company with significant retained cash or real estate generates a material cost that foreign shareholders often discover too late. The partition deed, where real estate is involved, must go through a notary (notaire) and be published at the land registry, with notary fees on top. On the social side, the final payroll must be run: last payslips, final social declarations (DSN, déclaration sociale nominative, the monthly electronic payroll return), settlement of employer and employee contributions with URSSAF, the pension funds and the unemployment insurer, dismissal indemnities correctly coded, and a request for the clearance certificate (attestation de vigilance) that proves the company owes nothing. Any URSSAF audit already open continues against the liquidation, and assessments already analysed for foreign companies facing a URSSAF audit from abroad can still land during the winding-up. Only when the SIE and URSSAF files are clean should the liquidator call the final shareholders’ meeting.

B. The closing meeting, the filings and the striking-off: ending the legal existence for good

The final act belongs to the shareholders again. They are convened at the end of the liquidation to approve the final liquidation accounts, grant the liquidator discharge for his management (quitus) and record the closure. The statute provides that “Les associés, y compris les titulaires d’actions à dividende prioritaire sans droit de vote, sont convoqués en fin de liquidation pour statuer sur le compte définitif, sur le quitus de la gestion du liquidateur et la décharge de son mandat et pour constater la clôture de la liquidation” (Article L237-9 of the Commercial Code), adding that “A défaut, tout associé peut demander en justice la désignation d’un mandataire chargé de procéder à la convocation”. For a foreign owner this is the last collective decision, and it can be taken remotely under the same articles-based rules as the dissolution vote, with minutes, attendance sheet and, for a sole shareholder, a single written decision recording the final accounts, the quitus and the closure. The quitus matters: it is the shareholders’ approval of the liquidator’s work, and while it does not erase liability for concealed faults, it closes the door on complaints about management the shareholders knowingly approved. Refusing quitus without reason at this stage helps nobody, because any shareholder can then ask a judge to appoint an agent to convene the meeting, adding cost and delay.

The filing sequence then mirrors the opening in reverse. First, publish a closure notice in the same authorised legal announcements journal. Second, file the closure on the Guichet unique portal: final minutes, final liquidation balance sheet, the liquidator’s closing report and the tax and social clearance documents the greffe routinely requests. Third, the greffe registers the closure and the official gazette for commercial notices (the BODACC, Bulletin officiel des annonces civiles et commerciales) publishes it, and the RCS entry is deleted: this deletion is the radiation, the striking-off that ends the company’s legal existence. Only at that point may the Kbis be surrendered, the bank account closed and the company archives boxed. French law requires the books and records to be kept, in practice for at least ten years for accounting and tax documents, and the former shareholders should designate in the closing minutes who keeps them and where, because a tax audit can still revisit closed years and a forgotten creditor can still surface. In Paris and the Île-de-France region, two local specifics deserve attention: the competent greffe is the registry of the Paris commercial court (or Versailles, Nanterre, Bobigny or Créteil depending on where the siège social sits), whose examiners check Guichet unique filings strictly and return incomplete files without mercy, and the JAL must be a journal authorised for the department of the registered office, so a Paris-registered company cannot publish in a Lyon journal. Foreign owners who moved the siège to a domiciliation address (adresse de domiciliation) should verify that the domiciliation contract is still current at closure, since an expired domiciliation blocks filings.

Two traps remain after the radiation. The first is the forgotten creditor. If a creditor appears after closure, the quitus does not make the debt vanish: the creditor can ask a judge to appoint an ad hoc agent to represent the wound-up company, and can pursue the former liquidator personally if a fault is shown, under the same Article L237-12 principles the Colmar court applied. The second is the tax tail. The SIE can audit the final returns and the partition within the standard reassessment periods, and a distribution to a non-resident shareholder without the correct withholding or treaty form will be reassessed with penalties. Keep the liquidation bank statements, the final balance sheet, the quitus minutes, the JAL certificates and the BODACC references together for years, and keep a French correspondence address or representative reachable, because letters from the administration do not stop at the border. A company whose closure was handled properly leaves nothing behind: no RCS entry, no Kbis, no VAT number, no payroll account, no pending return.

Conclusion

Closing a French company from abroad is entirely possible, and it follows a fixed order that protects everyone: shareholders vote the dissolution remotely and appoint a liquidator, the dissolution is published and filed so it binds third parties, the liquidator pays every creditor and dismisses staff lawfully, the final corporate tax, VAT and social returns are filed and paid, the partition duty is settled, the shareholders approve the final accounts and grant quitus, and the closure is published and filed until the RCS deletes the company. The legal person survives for the needs of the liquidation and not one day longer than necessary, the liquidator answers for his faults to the company and to third parties, and the three-year clock pushes slow files toward the judge. Foreign owners fail when they treat closure as an administrative formality: stopping activity, emptying the bank account and ignoring the registries creates a zombie company that keeps accruing tax, social and criminal exposure for its directors. Done properly, with minutes that record every decision, publications that make each step effective against third parties, and tax and social files closed before the final meeting, the French company ends cleanly, the shareholders recover the surplus after the 2.50 percent partition duty and the correct withholding, and no letter from a greffe, a SIE or URSSAF will disturb life abroad afterwards.

You live abroad and want to shut your French SAS or SARL cleanly: remote dissolution vote, liquidator duties, staff dismissal, final corporate tax, VAT and URSSAF bills, partition duty, and RCS strike-off.

[80314,80313

post-2138910","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-decryptage","category-doing-business-in-france
<!-- This site is optimized with the Yoast SEO Premium plugin v28.2 (Yoast SEO v28.2) -
