You own a French subsidiary, usually a SAS (société par actions simplifiée, the flexible French joint-stock company), controlled by your foreign holding company. Every quarter, the parent sends an invoice for management fees: strategic supervision, finance support, human resources help, IT systems, brand use. Your French accountant books the invoices as deductible charges and the French subsidiary pays them by bank transfer. Then a letter arrives from the French tax office: a vérification de comptabilité (full on-site audit of your accounts) is opened, the auditor questions the management fees, and a few months later you receive a proposition de rectification (formal notice of reassessment) that adds the fees back to taxable profit, charges additional corporation tax, late interest and penalties, and sometimes adds a deemed dividend withholding tax. This article explains, entirely from official French sources, why this happens, what proof the French courts require, and how you can challenge the reassessment from abroad without flying to Paris for every deadline.

French acronyms used in this article are explained at first use. CGI means Code général des impôts (French Tax Code). LPF means Livre des procédures fiscales (Tax Procedure Code). IS means impôt sur les sociétés (French corporation tax). TA means tribunal administratif (administrative court of first instance). CAA means cour administrative d’appel (administrative court of appeal). CE means Conseil d’État (France’s supreme administrative court). OECD means Organisation for Economic Co-operation and Development. Kbis means the official company identity extract issued by the greffe (registry of the commercial court). INPI means Institut national de la propriété industrielle (French intellectual property office, which also runs the company registration desk known as Guichet unique). URSSAF means the social security collection agency, which is not involved here but is mentioned so readers do not confuse a tax audit with a social audit. BODACC means Bulletin officiel des annonces civiles et commerciales (official gazette for company life events).

If you are still choosing between a French subsidiary, a branch (succursale) and a foreign company operating without a French entity, read first our guide on how a foreign founder chooses between a SAS, a SARL and a branch to do business in France, which explains why most foreign groups prefer a SAS subsidiary and how that choice creates the transfer-pricing exposure described below. Why the French Tax Office Attacks Management Fees Billed by Your Foreign Parent

A. How Article 57 CGI Turns Your Intra-Group Invoices Into Presumed Profit Shifting

Article 57 of the CGI is the central weapon. In English: for companies dependent on or controlling foreign companies, profits indirectly transferred abroad, whether by increasing or decreasing purchase or sale prices or by any other means, are added back to the declared accounting results. The provision applies to corporation tax through Article 209 CGI, and the full text is available at Article 57 CGI.

Two points make this provision dangerous for management fees. First, dependence is almost automatically met inside a group: your French SAS is controlled by its foreign parent, so the first condition is satisfied without discussion. Second, the phrase “par tout autre moyen” (by any other means) covers service fees, royalties, interest on intra-group loans and cost recharges, not only goods. A management fee that the auditor considers excessive or unjustified is therefore treated exactly like an overpriced purchase from the parent.

Once dependence and a suspicious practice are shown, the Conseil d’État recognises a presumption. In the Ferragamo France case the Court held that these provisions institute, once dependence and a practice within Article 57 are established, “une présomption de transfert indirect de bénéfices qui ne peut utilement être combattue par l’entreprise imposable en France que si celle-ci apporte la preuve que les avantages qu’elle a consentis ont été justifiés par l’obtention de contreparties.” In English: a presumption of indirect profit transfer that the French taxable company can only rebut by proving that the advantages it granted were justified by obtaining consideration in return. The decision is Conseil d’État, 9th and 10th chambers combined, 23 November 2020, No. 425577, available at CE 23 November 2020 No. 425577 Ferragamo France. The same case adds that “Peut constituer une telle pratique l’insuffisante rémunération perçue par une entreprise établie en France qui expose des charges contribuant au développement de la valeur d’une marque appartenant à sa société mère établie hors de France.” In other words, bearing costs that increase the value of the foreign parent’s brand without sufficient compensation can itself be treated as an Article 57 practice.

The SKF Holding France case states the comparison method even more directly. The Conseil d’État, 8th and 3rd chambers combined, 4 October 2021, No. 443133, holds that when prices charged or invoiced between related French and foreign companies are lower or higher than those of similar independent companies, “l’administration doit être regardée comme établissant l’existence d’un avantage qu’elle est en droit de réintégrer dans les résultats de l’entreprise française, sauf pour celle-ci à justifier que cet avantage a eu pour elle des contreparties au moins équivalentes.” In English: the administration is regarded as establishing an advantage it may add back to the French company’s results, unless the company proves it received at least equivalent consideration. The full decision is at CE 4 October 2021 No. 443133 SKF Holding France.

The Property Investment Holding France case applies the same logic specifically to holding-company fees. The Conseil d’État, 8th and 3rd chambers combined, 25 June 2018, No. 407232, holds that where prices paid by a French company to its related foreign company exceed those charged between independent parties, without the difference being explained by the different situation of the suppliers, “l’administration doit être regardée comme établissant l’existence d’un avantage qu’elle est en droit de réintégrer dans les résultats de l’entreprise établie en France, sauf pour celle-ci à justifier que cet avantage a eu pour elle des contreparties au moins équivalentes.” The decision is at CE 25 June 2018 No. 407232 Property Investment Holding France. In that case the administration had challenged the deductibility of fees paid by the French property holding company to its Dutch parent on the ground that the services were not useful to the French company, and the Court confirmed the analytical framework.

Practical consequence: the auditor does not need to prove that you intended to evade tax. Showing control plus an abnormal price or an unsubstantiated service is enough to shift the burden to you. From that moment, it is your French subsidiary that must prove reality, usefulness and normal pricing, from abroad, with documents.

The deduction itself is governed by Article 39 CGI, which states “Le bénéfice net est établi sous déduction de toutes charges” (net profit is determined after deducting all charges), but only genuine charges incurred in the interest of the business. General expenses, personnel costs and rents are deductible in principle, yet remuneration and fees are admitted “dans la mesure où” (only to the extent that) they correspond to real work and are not excessive. A management fee without a real service, or with a price no independent company would accept, fails this test and is added back to IS taxable profit under Articles 39, 57 and 209 combined.

The reassessment rarely stops at corporation tax. When the administration treats the disallowed fee as money made available to the foreign parent without consideration, it can reclassify it as a deemed distributed dividend under Article 109 CGI, which states “Sont considérés comme revenus distribués : 1° Tous les bénéfices ou produits qui ne sont pas mis en réserve ou incorporés au capital” (amounts not placed in reserves or added to capital are treated as distributed income). That reclassification can trigger dividend withholding tax under Article 119 bis CGI at the rate set by Article 187 CGI, unless a tax treaty reduces or eliminates it and the parent proves beneficial ownership and substance. Interest paid to a parent in a low-tax jurisdiction faces the additional filter of Article 238 A CGI on payments to privileged tax regimes. This is why a single management-fee reassessment can produce three layers: extra IS, withholding tax, and penalties plus late interest.

B. What Your French Subsidiary Must Prove: Real Services, Own Interest and a Normal Price

French administrative courts apply a triple test to intra-group services, even though the three questions overlap: were the services actually rendered, were they in the French subsidiary’s own interest rather than only the group’s, and was the price one that independent companies would have agreed?

Reality comes first. The auditor will ask for the contract, the detailed invoices, time sheets, travel records, emails showing requests and delivery, reports, board presentations, and evidence that French staff actually used the parent’s work. A one-line quarterly invoice labelled “management fees” with no description almost always triggers a full challenge. In the Property Investment Holding France litigation, the administration argued that the services billed by the Dutch parent were not useful to the French company, which shows how the debate starts: if the French company cannot describe what it received month by month, the fee looks like a disguised profit transfer. Keep every engagement letter, statement of work, and acceptance email. If the parent’s chief financial officer flies to Paris to negotiate a bank loan for the French SAS, keep the boarding passes, the meeting minutes and the loan offer that followed.

Own interest comes second. Even a real service is rejected if it was rendered in the sole interest of the parent or of the group as shareholder. Classic examples are group strategy meetings that only concern the parent’s portfolio, listing costs, or controls the parent imposes to monitor its investment. The French subsidiary must show a concrete benefit: higher sales, lower costs, access to know-how it lacked, or time saved for its own team. Duplicate services are a frequent ground for reassessment: if your French SAS already employs a full-time finance director and a marketing team, paying the parent again for finance and marketing without explaining the split of tasks suggests duplication. Document who does what, with organisation charts on both sides and a written allocation of responsibilities.

Normal price comes third. The price must be what independent parties would agree under comparable circumstances, using an OECD-recognised method: comparable uncontrolled price, cost-plus, transactional net margin, or profit split, depending on the service. For routine support, cost plus a modest margin is common; for high-value strategy or proprietary technology, a higher price may be justified but needs benchmarking. The SKF decision shows the method: the administration compared the French company’s prices and margins with those of similar independent companies and treated the gap as an advantage to add back unless equivalent consideration was proven. The Ferragamo decision shows the mirror image: unusually high French costs (highly qualified sales staff, prestigious shop leases) that increased the Italian parent’s brand value without full compensation through the gross margin were treated as an advantage granted to Italy. In both directions, comparison with independent companies is decisive.

Documentation is not optional in practice. During an audit the administration can issue a formal information request under Article L13 B LPF. That article provides that requests must be precise and indicate the country, the company and the amounts concerned, and that “Ce délai, qui ne peut être inférieur à deux mois, peut être prorogé sur demande motivée sans pouvoir excéder au total une durée de trois mois.” In English: the reply period cannot be less than two months and can be extended on reasoned request up to three months total. If the reply is incomplete, the administration sends a formal demand to complete within thirty days, warning of sanctions. For large companies, the full transfer-pricing documentation can also be required, and Article 57 itself warns that where documentation is missing or partial, the administration assesses the relevant taxable bases from the information available to it, following the adversarial procedure of Articles L57 to L61 LPF. In plain terms, silence lets the auditor estimate, and the estimate is rarely generous.

Small and mid-size foreign groups often believe documentation duties only concern multinationals with hundreds of millions in turnover. The threshold for the heaviest automatic documentation is high, but Article L13 B requests can target any company where the auditor presumes an indirect transfer, whatever its size. A French SAS with two million euros in turnover that pays eight hundred thousand euros in management fees to its sole foreign shareholder will attract the same questions as a larger group. Prepare a light but serious file from day one: group chart, intercompany agreement with pricing formula, annual description of services rendered with dates and names, cost base and margin calculation, and two or three independent comparables or quotes.

Two traps specific to foreign founders deserve emphasis. First, shareholder activities billed as services: attending the annual general meeting (assemblée générale, the yearly shareholders’ meeting that approves the accounts), preparing consolidated accounts for the parent, or reporting that the parent requires as owner are shareholder costs, not deductible services to the subsidiary. Second, brand and know-how: if the French subsidiary pays both a royalty for the brand and management fees that include brand development, the administration will argue double charging. Separate the two flows in distinct contracts with distinct calculation methods, and ensure the royalty itself has a written licence recorded where needed.

II. How to Defend and Challenge the Reassessment From Abroad

A. How to Build a Proof File That Survives a French Tax Audit

Start before the audit. The most successful files share the same structure: a signed intercompany services agreement, annual work programmes, monthly or quarterly activity reports, and a pricing memo. The agreement should identify the provider and recipient, describe each service in concrete verbs (prepare payroll, negotiate purchasing contracts, maintain the enterprise software, train sales staff), set the pricing formula (hourly rates by seniority plus costs, or cost base plus a stated margin), explain the allocation key between group entities (headcount, turnover, time spent), and state invoicing and payment terms. Update it when services change; an agreement signed in 2021 that still describes IT migration completed in 2022 undermines credibility for 2024 fees.

Activity reports are the backbone. For each quarter, list who rendered the service (name, role, employer), for whom in the French subsidiary, on which dates, for how many hours, with which deliverable attached. Attach the deliverables: financial models, recruitment shortlists, IT tickets resolved, marketing campaigns launched, legal memos on French compliance. Show use: the French president’s email thanking the parent’s team, the French management committee minutes adopting the parent’s recommendation, the bank’s revised offer after the parent’s negotiation. The question the judge will ask is simple: what would the French company have paid an independent consultant for the same work, and can it prove it received it?

Pricing proof needs external anchors. Collect independent quotes for comparable services in France, salary benchmarks for the roles concerned, and, where the amounts justify it, a short benchmarking study. Explain the margin: if the parent applies cost plus eight percent, show that independent business-process providers in France charge similar or higher margins for similar work. If the fee is fixed, show the budget calculation and the year-end true-up. Avoid round numbers repeated identically every quarter for years without any time record; auditors read them as dividends in disguise. If the French subsidiary is loss-making while paying high fees, prepare a stronger explanation, because persistent losses combined with fees to a profitable foreign parent is the fact pattern the Ferragamo and SKF cases teach auditors to pursue.

Separate shareholder costs explicitly. Create a schedule that lists parent costs not recharged (investor relations, group listing, acquisition search) and explain why. This voluntary restraint increases the credibility of what is recharged. Similarly, if the parent seconds an employee to France, do not mix secondment payroll, posted-worker formalities and management fees in one invoice. Secondments involve French payroll, DPAE (déclaration préalable à l’embauche, the pre-hiring declaration), payslips and social charges; management fees are cross-border services. Mixing them confuses both the tax auditor and, in case of a joint audit, the labour inspector.

Language and form matter for a founder living abroad. Keep contracts in French or bilingual French-English, because the auditor works in French and the TA and CAA judge in French. Keep English originals with certified translations for key pieces. Store everything in a shared drive your French accountant and your lawyer can access within days, because Article L13 B deadlines run from receipt in France and your accountant will be the first recipient. Give your accountant a standing power of attorney to receive audit mail, forward it the same day, and alert you on messaging with the deadline date. Many reassessments become worse simply because a founder discovers the auditor’s request two months late in a mailbox nobody monitors.

Finally, coordinate tax and accounts. The management fees must appear consistently in the French statutory accounts (comptes annuels filed with the greffe), the IS return (relevé de solde), the VAT returns (CA3) where applicable, and any country-by-country or related-party schedules. Inconsistencies between the amount deducted for IS and the amount declared for VAT, or between the contract currency and the booked amount, invite deeper checks. If the fee includes recharged third-party costs, keep the third-party invoices and show the pass-through without hidden margin, or with a disclosed handling fee that the contract authorises.

B. How to Reply to the Reassessment and Appeal Without Living in France

The procedure follows a strict sequence set by the LPF. After the audit, the administration sends a proposition de rectification. Under Article L57 LPF, “L’administration adresse au contribuable une proposition de rectification qui doit être motivée de manière à lui permettre de formuler ses observations ou de faire connaître son acceptation.” In English: the administration sends a reasoned adjustment proposal enabling the taxpayer to submit observations or accept. You normally have thirty days to reply in writing, with the possibility of an extension. This reply is the most important document of the whole dispute: it fixes your arguments, attaches your proof, and will be read by every later judge. Do not reply with general statements. Answer each fee, each year, each amount, with exhibit numbers.

Your reply should follow the court’s own structure: contest dependence only if seriously arguable (rare inside a group), then attack the comparison (the companies the auditor chose are not similar, operate at different functional levels, or bear different risks), then prove consideration (list services, attach deliverables, quantify benefit), then contest the price method (your cost-plus is documented while the auditor’s margin has no source). Cite the three decisions above for the framework that helps you: SKF and Property Investment Holding France place the burden on the administration to make a real comparison first, and Ferragamo shows that later profitable years without changed pricing can support the taxpayer where the administration’s comparison is weak. If the auditor did not compare with independent companies at all, say so explicitly and quote the SKF formula about the administration being regarded as establishing an advantage only after such a comparison.

If the administration maintains the reassessment, request a hierarchical appeal (recours hiérarchique) to the auditor’s superior and, for transfer-pricing matters, the departmental interlocutor. These internal appeals are free, suspend nothing by themselves, but often reduce penalties or narrow the amounts, and they create a record of good faith. A meeting can be held by video with your French counsel present in person; prepare a ten-page summary with exhibits rather than reading the full thirty-day reply again.

Collection follows assessment unless you act. After the mise en recouvrement (issuance of the tax bill), you must pay or secure the amounts, then file a réclamation (formal claim) to the tax office, and then appeal to the TA within two months of the rejection. The TA judges on documents; personal attendance is not required and foreign companies are routinely represented by French counsel with a power of attorney. The CAA re-examines facts and law, and the CE reviews legal errors on pourvoi (further appeal). The Ferragamo, SKF and Property Investment Holding France cases all reached the CE after TA and CAA stages, which shows the timeline: several years from audit to final decision. Budget for this duration in cash planning, and discuss with counsel whether a bank guarantee can suspend enforced collection, because enforced recovery against the French subsidiary’s bank account while the case is pending can paralyse the business.

Withholding tax needs a parallel defence. If fees are reclassified as deemed dividends under Article 109, challenge both the distribution characterisation and the withholding rate. Produce the applicable tax treaty, the parent’s tax residence certificate, proof of beneficial ownership and substance (offices, staff, decision-making), and the dividendvouchers where relevant. Check whether the EU Parent-Subsidiary regime or a reduced treaty rate applies to genuine dividends; it does not automatically save a reclassified fee, but the argument structure and the documentary burden are similar. Interest and penalties should be contested separately: request remission (remise gracieuse) for part of penalties where good faith and first-time documentation efforts can be shown, while maintaining the principal challenge before the judge.

Throughout, keep the French company alive and compliant. An auditor who discovers late filing of accounts at the greffe, missing Kbis updates after a change of president, or undeclared beneficial owners in the RBE (registre des bénéficiaires effectifs, the beneficial-owner register) will be less inclined to accept that transfer pricing is the only weakness. Our corporate tax and legal-calendar guides explain these parallel duties. Keep the registered office (siège social) address monitored, because every procedural deadline is sent there, and a founder living abroad who misses a registered letter can lose an appeal right in weeks.

Two practical tools help founders abroad. First, a one-page audit mailbox rule: every letter from the tax office is scanned the same day by the accountant to you and your lawyer, with the deadline written in the subject line. Second, a yearly transfer-pricing closing meeting, by video each January, where the parent and the French subsidiary review services rendered, sign the activity report, adjust the budget for the new year, and archive the file. Courts reward contemporaneous documents far more than reconstructions prepared after the auditor arrives.

Conclusion

Management fees from a foreign parent are not forbidden, but in France they are presumed guilty until proven useful and normally priced. Article 57 CGI, applied through Article 209, lets the administration add back fees where control and an abnormal price or an unsubstantiated service are shown, and the Conseil d’État in Ferragamo, SKF Holding France and Property Investment Holding France confirms that only proof of at least equivalent consideration rebuts the presumption. The same facts can then be reclassified as deemed dividends under Article 109 with withholding tax under Articles 119 bis and 187. The defence that works from abroad is documentary and procedural: a precise intercompany contract, quarterly activity proof, an explained margin with independent anchors, separation of shareholder costs, fast replies to Article L13 B requests within the two-to-three-month window, a detailed reply to the Article L57 proposal within thirty days, and then hierarchical appeal, claim and court appeals handled by French counsel while you decide from abroad on the basis of same-day scans. Build that file this quarter, before the auditor writes, because after the proposition de rectification arrives the only question the judge will ask is what your papers already prove.

Your French subsidiary pays management fees to its foreign parent and the tax office adds them back under Article 57 CGI.
