French law gives the buyer a powerful but strictly time-limited weapon: the délai de rétractation (cooling-off period) of ten days. Used correctly and on time, it lets you walk away freely and recover every euro paid. Missed or mishandled, it disappears — and the agreement becomes fully binding, with the seller able to force the sale or claim a penalty. This guide explains, step by step, how the ten-day right works, how the courts apply it, what happens to your deposit, and which exit routes remain once the ten days have expired.

I. The ten-day cooling-off right: who is protected and how the clock runs

A. A statutory right reserved to the non-professional buyer of residential property

The right of withdrawal comes from Article L. 271-1 of the Code de la construction et de l’habitation (Construction and Housing Code). The text provides: “l’acquéreur non professionnel peut se rétracter dans un délai de dix jours à compter du lendemain de la première présentation de la lettre lui notifiant l’acte”, which means that a buyer who is not acting in a professional capacity may withdraw within ten days counted from the day after the first presentation of the letter notifying the agreement to them. Three conditions therefore define the scope of the protection: an act whose purpose is the acquisition of a residential building (immeuble à usage d’habitation), a buyer who is a non-professional, and a notification carried out in the forms required by law. The rule covers both the compromis de vente and the promesse unilatérale de vente (unilateral promise to sell); where a preliminary contract precedes the final deed, only that preliminary contract triggers the withdrawal period. Foreign buyers acquiring a French holiday home or pied-à-terre are fully covered: the statute looks at the nature of the property and the non-professional status of the buyer, not at nationality or tax residence.

The ten-day period is counted in calendar days from the day after the first presentation of the notification letter, and it is the regularity of that notification that starts the clock. The statute requires notification by lettre recommandée avec demande d’avis de réception (registered letter with acknowledgement of receipt) or by any other means offering equivalent guarantees for establishing the date of receipt or delivery, and the withdrawal itself must be exercised in those same forms. Two rulings of the Cour de cassation show how strictly — and how pragmatically — the courts police these formalities. In a decision of 9 July 2020 (Cass. Civ. 3e, 9 July 2020, no. 19-18.943), the Court held that “la cour d’appel qui a ajouté à l’exigence légale de notification de l’acte une condition qu’elle ne comporte pas, a violé le texte susvisé”, meaning that a court of appeal which adds to the statutory notification requirement a condition the statute does not contain violates the law — in that case, the lower court had wrongly required a cover letter to accompany the copy of the signed agreement, whereas sending the copy of the act itself by registered letter was sufficient. Sellers therefore cannot defeat the buyer’s right by inventing extra formalities, but buyers cannot complain about the absence of formalities the law never required.

Conversely, a notification that never properly reaches the buyer never starts the clock at all. On 30 September 2021, the Third Civil Chamber ruled that notification of a sale promise by registered letter “n’est régulière que si la lettre est remise à son destinataire ou à un représentant muni d’un pouvoir à cet effet”, which means that notification is only valid if the letter is handed to its addressee or to a representative holding authority for that purpose (Cass. Civ. 3e, 30 Sept. 2021, no. 20-18.303). In that case the two letters had been received together by another occupant of the buyers’ home, and the Court of Cassation rejected the theory of apparent authority: delivery to a family member or another person living at the address, without a proper power of attorney (procuration), does not purge the withdrawal right. For a foreign buyer who is rarely at the French address stated in the agreement, the practical lesson is direct: give a written proxy to someone who can receive registered mail for you, or arrange notification through your notaire, because a letter collected by a well-meaning relative may leave your ten-day period unstarted — which sounds protective, but as will be seen, an unstarted clock creates years of uncertainty for both sides.

There is one lawful shortcut around registered mail. Where the agreement is concluded through a professional instructed to assist with the sale — typically the estate agent or the notaire — the act may be handed directly to the buyer, and the period then runs from the day after that handover, evidenced in the manner fixed by decree. Article D. 271-6 of the Construction and Housing Code requires the buyer to handwrite on the document that it was delivered to them, with the place and date, together with the handwritten statement “Je déclare avoir connaissance qu’un délai de rétractation de dix jours m’est accordé par l’article L. 271-1 du code de la construction et de l’habitation, et qu’il court à compter du lendemain de la date de remise inscrite de ma main sur le présent acte, soit à compter du…”, meaning that the buyer declares knowing that a ten-day withdrawal period applies from the day after the handover date written in their own hand. The Montpellier Court of Appeal confirmed the validity of this method on 25 September 2025 (RG 21/01954): the notaire’s office had handed the draft agreement and its annexes to the buyer on the day of signature with the handwritten statement, and the buyer’s much later attempt to withdraw was rejected because the period had long expired. Hand delivery with the proper handwritten mention is therefore just as effective as a registered letter, and a buyer who signs that acknowledgement cannot later claim ignorance of the deadline.

B. Exercising the withdrawal: forms, effects and the refund of the deposit

To be effective, the withdrawal must be sent before the tenth day expires, in the same forms as the notification: registered letter with acknowledgement of receipt, or any means offering equivalent guarantees, or service by a commissaire de justice (judicial officer, formerly huissier de justice) where the agreement allows it. Email and ordinary post are dangerous: unless the agreement expressly provides for withdrawal by email with reliable proof of the sending and receipt dates, a buyer who relies on an email risks being unable to prove the date, and therefore the timeliness, of the withdrawal. From abroad, the safest course is a registered letter with international acknowledgement of receipt sent well before the deadline, doubled if necessary by service through a judicial officer in France. Keep every receipt: the postmark of first presentation and the acknowledgement slip are the evidence on which the whole mechanism turns.

The effects of a timely withdrawal are radical and protective. The agreement simply falls away: neither party owes the other anything, the seller cannot demand the penalty clause, and any sum paid in advance must be returned. Article L. 271-2 of the Construction and Housing Code provides: “Si l’acquéreur exerce sa faculté de rétractation, le professionnel dépositaire des fonds les lui restitue dans un délai de vingt et un jours à compter du lendemain de la date de cette rétractation”, which means that if the buyer exercises the right of withdrawal, the professional holding the funds must return them within twenty-one days from the day after the withdrawal. The same article prohibits anyone from receiving any payment from the non-professional buyer, directly or indirectly, before the withdrawal period expires — with criminal exposure of a 30,000 euro fine for demanding or receiving money in breach of that prohibition — and any deposit agreed between the parties is legally structured as paid under a condition precedent (condition suspensive) of handing over the sums on the agreed date. In practice, the deposit (séquestre, the escrowed deposit) is therefore either paid after the ten days to the notaire, or paid immediately only into the hands of a professional holding a financial guarantee for the refund of deposited funds.

The courts draw the full consequence: a buyer who validly withdraws owes no penalty. On 14 February 2018, the First Civil Chamber of the Cour de cassation held that where the buyers had refused to complete the sale after exercising their withdrawal right, the seller’s claim for the penalty clause had been definitively rejected, and the seller’s subsequent damages action against the notaire failed with it (Cass. Civ. 1re, 14 Feb. 2018, no. 17-10.514). The withdrawal, regularly exercised, extinguishes the seller’s right to any contractual penalty: the sale is treated as never having bound the buyer.

The most striking recent illustration of the mechanism comes from Metz. On 20 March 2025, the Metz Court of Appeal (RG 23/00414) confirmed a judgment ordering sellers to refund a 20,000 euro deposit to a buyer domiciled in Germany, rejecting the sellers’ claims for the penalty clause as well as for moral and material damages. The buyer had exercised the withdrawal right through his lawyer’s filings in December 2021 — more than two years after the October 2019 preliminary agreement — and the courts accepted it, because the agreement had never been validly notified to him under Article L. 271-1: the ten-day clock had simply never started. The case is a double-edged lesson. For buyers, it shows that a missing or irregular notification preserves the withdrawal right indefinitely, even years later. For sellers, it shows that neglecting the notification formalities leaves the sale exposed to collapse at any moment, with the deposit refundable in full. And for foreign buyers, it confirms that distance is no obstacle: the right can be exercised from abroad through a French lawyer, provided the period is still open.

II. After the ten days: the remaining exit routes and their traps

A. The loan condition, good faith and the fate of deposits and penalties

Once the withdrawal period has expired without exercise, the compromis de vente binds both parties, and walking away becomes a question of contract law rather than statutory protection. The most important remaining exit is the financing condition. Where the agreement states that the price is paid even partly with a loan, Article L. 313-41 of the Consumer Code converts that statement into a mandatory condition precedent lasting at least one month from signature, and provides: “toute somme versée d’avance par l’acquéreur à l’autre partie ou pour le compte de cette dernière est immédiatement et intégralement remboursable sans retenue ni indemnité à quelque titre que ce soit”, which means that any sum paid in advance by the buyer must be refunded immediately and in full, with no deduction or indemnity on any ground, if the loan condition fails. A buyer whose French mortgage application is refused therefore recovers the deposit in full — but only if the refusal is genuine and documented. Buyers who apply half-heartedly, to a single bank, for terms different from those stated in the agreement, or who sabotage their own file, lose that protection: Article 1304-3 of the Civil Code provides that “La condition suspensive est réputée accomplie si celui qui y avait intérêt en a empêché l’accomplissement”, meaning a condition precedent is deemed fulfilled where the party who had an interest in it prevented its fulfilment. A buyer who engineers the loan refusal in bad faith is treated as if the condition had been met — and therefore remains bound to buy.

The lower courts apply that good-faith requirement with concrete consequences for the money at stake. On 23 January 2025, the Montpellier judicial court (RG 24/00148) dealt with buyers who had signed a second preliminary agreement after two banks refused the first loan, then failed to produce the new loan offer despite formal notice: the court released the 9,600 euro escrowed deposit to the seller and applied the penalty clause, albeit reducing its amount. The decision illustrates the two faces of the post-deadline regime. First, the deposit follows the party entitled under the contract when the buyer is at fault. Second, the penalty clause (clause pénale, the fixed sum promised for non-performance) can be moderated by the judge: Article 1231-5 of the Civil Code provides that “le juge peut, même d’office, modérer ou augmenter la pénalité ainsi convenue si elle est manifestement excessive ou dérisoire”, meaning the court may on its own motion reduce or increase an agreed penalty that is manifestly excessive or derisory. Penalty clauses of 10 percent of the price are standard in French practice and usually survive review, but a judge asked to enforce one retains the power to cut it down — as the Montpellier court did — where the circumstances warrant.

Buyers should also understand the exact legal nature of what they paid, because three different mechanisms are easily confused. True arrhes (earnest money) give each party a priced right to walk away: Article 1590 of the Civil Code states that “Si la promesse de vendre a été faite avec des arrhes chacun des contractants est maître de s’en départir”, meaning that where the promise to sell was made with earnest money, each party is free to withdraw — the buyer by forfeiting the sum, the seller by returning double. But courts construe the label strictly against the party invoking it: in a 1973 ruling the Third Civil Chamber upheld judges who had set aside Article 1590 and ordered the seller to refund the buyer, after a sovereign assessment that the parties had not truly intended earnest money (Cass. Civ. 3e, 6 Mar. 1973, no. 71-12.888). An acompte (down payment), by contrast, binds the buyer to complete and exposes them to forced performance plus damages. And the indemnité d’immobilisation (lock-in payment) of a unilateral promise compensates the seller for taking the property off the market during the option period: it is forfeited if the buyer does not lift the option, but it is credited against the price if the sale proceeds. Read the agreement to identify which of the three you signed — the heading alone is not decisive.

Finally, the seller’s position after the ten days must not be underestimated. Article 1589 of the Civil Code provides that “La promesse de vente vaut vente, lorsqu’il y a consentement réciproque des deux parties sur la chose et sur le prix”, meaning a promise to sell counts as a sale once both parties have agreed on the property and the price. A compromis de vente is precisely such a reciprocal promise: after the withdrawal period, the seller — who never had any withdrawal right — can sue to force completion of the sale before the court, claiming the price plus damages for delay, rather than settling for the penalty. A buyer who simply refuses to attend the final deed without a valid contractual ground therefore risks far more than the deposit: a court order to buy, and liability for the seller’s losses. The realistic negotiated exits at that stage are a mutual termination agreement (résiliation amiable) splitting the loss, or the failure of a genuine condition precedent such as the loan refusal, the non-exercise of a public pre-emption right, or the discovery of a serious title defect. For defects discovered after purchase, the separate regime of hidden defects applies, as explained in our broader step-by-step guide to buying property in France as a foreign buyer.

B. The foreign buyer’s checklist: counting days, proving dates and Paris practice

For a buyer living outside France, the ten-day mechanism creates four practical traps, each avoidable with preparation. First, counting: the period runs in calendar days, including Saturdays, Sundays and public holidays, from the day after first presentation of the notification letter — not from signature, not from when you actually read the letter, and not from when you return to France. A letter first presented on a Monday starts a period running from Tuesday; mark the deadline on receipt and act at least three days early, because international postal delays are your risk, not the seller’s. Second, proof: send the withdrawal by registered letter with international acknowledgement of receipt and keep the slip, or instruct a French lawyer or judicial officer to serve it within the period. If two co-buyers signed — a frequent situation for couples buying together — each buyer holds a personal withdrawal right and each must be notified; make sure the withdrawal is sent in both names where both signed, since a notice from one co-buyer alone may not release the other.

Third, the deposit circuit: never transfer money directly to the seller before the ten days expire, whatever pressure the agent applies — Article L. 271-2 prohibits it under threat of a 30,000 euro fine. The funds should go to the notaire’s escrow account or to a professional holding a statutory financial guarantee, and the agreement should name that holder expressly. After a valid withdrawal, chase the 21-day refund deadline in writing: the holder must return the funds within twenty-one days from the day after withdrawal, and a reminder letter fixes the starting point for late-payment interest. Fourth, language and powers: the notification letter and the withdrawal formalities are in French, and the handwritten acknowledgement for hand delivery must be completed in French. If you cannot be present, grant a written proxy (procuration) to a trusted person for receiving registered mail — remembering the 2021 ruling that delivery to an unauthorised occupant is worthless — and have your lawyer review the withdrawal letter before sending.

In Paris and the Île-de-France, three local specificities deserve attention. Competition for flats is fierce, and buyers are often pressed to sign the compromis within days of the offer being accepted, sometimes before their French mortgage file is complete: insist that the loan condition states the exact amount, maximum rate and maximum term you applied for, with a duration of at least 45 to 60 days rather than the one-month legal minimum, because Paris banks currently take longer to issue refusals in writing. Disputes over withdrawal, deposits and penalty clauses for Paris property fall to the Paris judicial court (tribunal judiciaire de Paris), and summary proceedings (référé) can order the release of an escrowed deposit within weeks where the right to it is clear — a useful remedy when a notaire or agent hesitates to release funds after a valid withdrawal. Finally, Parisian sales frequently involve co-owned buildings (copropriété), pre-emption rights of the City of Paris and extensive annexes: use the ten days to have the co-ownership documents, the planning certificate and the diagnostic reports reviewed, so that the withdrawal right serves its true purpose — a final informed decision — rather than a panicked escape. For the full purchase process from offer to final deed, including the role of each professional, see our Paris real estate practice at real estate law attorneys in Paris for international buyers.

Conclusion

The ten-day cooling-off right is the foreign buyer’s strongest protection in a French property purchase — and the most unforgiving deadline in the transaction. Within the period, withdrawal is free, form-based and fully refunded within twenty-one days; outside it, exit depends on the loan condition, good faith, and the precise nature of the sums paid, with the seller able to force the sale or claim a moderated penalty. Three reflexes decide everything: verify how and when the agreement was notified to you, exercise any withdrawal in provable registered form before the last day, and never let money reach the seller outside the statutory escrow circuit. Where the deadline has passed, document every loan application and refusal, read the penalty and deposit clauses to the letter, and negotiate a mutual termination before positions harden.
