Congratulations, and be careful: the day your appointment takes effect, French law assigns you a personal social security status, a tax treatment for every euro you take out of the company, a list of filings with your name on them, and a personal liability regime that follows you even though you sleep outside France. Foreign founders often discover these four layers one by one, usually when URSSAF, the French social contributions collector, sends a demand, when the bank freezes the file for a missing beneficial owner declaration, or when a company difficulty turns into a claim against the director personally. This guide explains, entirely from the point of view of a non-resident director, which status applies to you depending on the vehicle you chose, how your French social charges are computed and challenged, how your remuneration and dividends are taxed, which registry filings keep you safe, and where your personal assets are genuinely at risk. Every French acronym you will meet is explained: the Kbis is the official identity card of your company, the greffe is the clerk office of the commercial court that keeps the company register, URSSAF is the body that collects social contributions, BODACC is the official gazette where company events are published, the RBE is the register of beneficial owners, the RCS is the trade and companies register itself, and the INPI is the national institute that now runs the one-stop company formalities desk known as the guichet unique.

I. Which director status applies to you and what it costs in French social charges

The first question is never where you live. It is what office you hold and how much of the capital you control. French social security law sorts company directors into two worlds: the assimilated-employee regime, called assimilé salarié, attached to the general social security system, and the self-employed regime, called travailleur non salarié or TNS, attached to the social security for the self-employed. The difference in contribution rates, in daily allowances, in pension accrual and in what happens when URSSAF disagrees with you is large enough that choosing a SAS or a SARL without understanding this point is one of the most expensive mistakes a foreign founder can make.

A. SAS président or minority SARL manager: the assimilated-employee regime and how to prove it to URSSAF

If you chose the SAS, the simplified joint-stock company, you are normally its président. The Commercial Code states that “La société est représentée à l’égard des tiers par un président désigné dans les conditions prévues par les statuts”, and adds that “Le président est investi des pouvoirs les plus étendus pour agir en toute circonstance au nom de la société dans la limite de l’objet social” (Article L227-6 of the Commercial Code). These are wide powers toward third parties, and they explain why banks, landlords and suppliers ask for your identity documents: you commit the company by your signature. For social security purposes, however, a paid SAS président is not treated as self-employed. The Social Security Code lists among persons covered by the general regime “Les présidents et dirigeants des sociétés par actions simplifiées et des sociétés d’exercice libéral par actions simplifiées” (Article L311-3, 23 degrees, of the Social Security Code). In practice this means that a SAS président who receives remuneration pays employee-type and employer-type contributions through the company payroll, is declared in the monthly DSN payroll return, appears on real pay slips, and contributes to the general health, family and basic pension branches. Two warnings matter for a founder living abroad. First, this affiliation is not unemployment insurance: a company director, even assimilated, does not contribute to and does not benefit from the French unemployment scheme, so losing your mandate gives you no allocation chômage. Second, a président who takes no remuneration pays no contributions and accrues no rights, which is common in year one but leaves the director without French health coverage or pension quarters for that period. Keep the appointment decision, the pay slips and the DSN receipts together: when URSSAF audits the company, and it does audit young companies with foreign directors more often than founders expect, these three documents are the proof that the assimilated-employee status was real and that contributions were paid on the right base. The same assimilated-employee treatment protects the minority manager of a SARL, the limited liability company. The Code covers “Les gérants de sociétés à responsabilité limitée et de sociétés d’exercice libéral à responsabilité limitée à condition que lesdits gérants ne possèdent pas ensemble plus de la moitié du capital social” (Article L311-3, 11 degrees, of the Social Security Code). A gérant who holds half or less of the capital with any co-managers is therefore on the general regime too, provided the management function is actually remunerated. Note the corporate rule behind the title: “La société à responsabilité limitée est gérée par une ou plusieurs personnes physiques” (Article L223-18 of the Commercial Code), so the manager must be a human being, never another company, and the appointment, the remuneration and any dismissal follow the associates vote under the same article. For a foreign founder this yields a practical matrix: SAS président with pay equals general regime, SARL manager holding half or less equals general regime, unpaid mandates equal no contributions and no rights. If you live outside the European Union and keep your personal tax residence abroad, French affiliation still follows the work performed for the French company, and any double coverage question depends on the social security treaty or EU coordination rules applicable to your country of residence, which is why founders splitting time between two countries should settle the applicable-legislation question in writing before the first payroll runs rather than after URSSAF qualifies the situation for them.

B. Majority SARL manager: the self-employed regime, contribution base and how to challenge a URSSAF assessment from abroad

The picture reverses when you manage a SARL in which you hold, alone or together with your spouse, civil partner or minor children, more than half of the capital. You are then a majority gérant, and French law treats you as self-employed for social security. Your contributions are not computed on a salary but on your professional income, since the Code provides that “Les cotisations de sécurité sociale dues par les travailleurs indépendants non agricoles ne relevant pas du dispositif prévu à l’article L. 613-7 sont assises sur l’assiette définie à l’article L. 136-3” (Article L131-6 of the Social Security Code). Contributions are called provisionally on the past income and adjusted once the real income is known, which produces the classic shock of year two, when the adjustment bill arrives just as the provisional calls continue. Health, family, basic and supplementary pension, disability and daily-allowance contributions each follow their own rate and ceiling, and the overall burden on a majority manager is structurally different, often heavier at modest incomes, than the payroll charges on an assimilated SAS président. Courts apply this boundary strictly, including through holding chains that foreign groups love to build. In a judgment of 27 February 2025, RG 23/02635, the Grenoble Court of Appeal confirmed that managers of limited liability companies who are not assimilated as employees for social security purposes are compulsorily affiliated to the self-employed base funds, and held that a manager who controlled the single associate of the SARL through a SAS he himself chaired was indeed exercising a majority management activity giving rise to the disputed contributions and affiliation, rejecting an arrangement of stacked companies that amounted to creating artificial intermediaries to hold the SARL shares (Grenoble Court of Appeal, social protection chamber, 27 February 2025, RG 23/02635). The lesson for a foreign founder is direct: placing a holding company between yourself and your French SARL does not move you into the comfortable employee regime if you remain the person who manages and controls the chain. When URSSAF notifies you, the procedure from abroad is the same as from Paris but the deadlines punish distance. A formal demand, called mise en demeure, precedes the enforceable order, called contrainte; the opposition against a contrainte goes before the judicial court, and it must be filed within fifteen days of service, with reasons and with payment or guarantee strategy decided at once. From abroad, give your French counsel a standing power to receive the acts, calendar every registered letter, and never let a contrainte become final by default: once final, you argue only about enforcement, no longer about the principle of the affiliation or the computation. Ask for the full assessment file, check the period, the base and the rate applied, verify whether dividends subjected to contributions above the threshold were correctly identified, and contest each head separately so that a partial victory reduces the bill even if the affiliation itself is confirmed.

II. Getting paid, staying registered and keeping your personal assets safe

Status determines contributions, but money and liability are the two subjects that keep non-resident directors awake. How you extract value from the French company, what the company must file about you, and what happens if the business fails are three questions governed by three different sets of rules, and a foreign director who confuses them pays twice: once in tax or penalties, once in personal exposure.

A. Director pay, dividends and tax: what the company deducts and what you declare

A director remuneration is not a dividend and a dividend is not a salary, and French tax law treats the two channels in opposite ways. Salaries and management fees voted to a majority SARL manager are deductible for the company when the general conditions are met, but they are then taxed at the personal level of the beneficiary, since the Tax Code states that “Les traitements, remboursements forfaitaires de frais et toutes autres rémunérations sont soumis à l’impôt sur le revenu au nom de leurs bénéficiaires s’ils sont admis en déduction des bénéfices soumis à l’impôt sur les sociétés par application de l’article 211” (Article 62 of the General Tax Code), and this applies even where the company closes the year in deficit. SAS présidents fall under the same logic through the parallel provisions applicable to their office: deductible at company level when regularly decided and commensurate with the duties, taxable as employment-type income at the personal level, with French withholding at source operated through the PAYE system known as prélèvement à la source. The decision process matters as much as the amount. In a SARL, your own remuneration as manager is fixed by the associates, which means that a majority manager votes on his own pay under the related-party procedure, and the resolution should be minuted, dated and filed with the annual records. In a SAS, the articles or the associates decision set the rule, and any parallel employment contract for technical duties distinct from the corporate office must correspond to real subordinate work, which courts examine with suspicion when the président claims both a mandate and a salary for the same tasks. Dividends follow the opposite path: not deductible for the company, taxed at the shareholder level under the single flat-rate levy or, on election, under the progressive scale, with possible social charges depending on your residence and on treaty allocation. For a non-resident director-shareholder, French-source remuneration for duties actually performed in France remains taxable in France before any treaty relief, while dividends paid abroad may suffer French withholding with a treaty-reduced rate and a refund procedure that must be started in time. Practically, foreign founders should decide the mix before the year starts: a modest fixed remuneration that builds French pension and health rights plus dividends voted after the accounts give both coverage and flexibility, whereas an all-dividend strategy saves company charges in the short term but leaves the assimilated président without any French social record and concentrates the tax proof on the shareholder. Document every payment with the resolution that authorized it, keep the bank traces matching the payroll journal, and reconcile the company tax return, the payroll returns and your personal return every year, because the first thing a tax auditor compares when a foreign director is paid from Paris while living abroad is exactly the triangle between those three filings.

B. Kbis, beneficial owners and BODACC: the filings that protect you, and the personal liability if you neglect them

Your company exists toward third parties through paper, and in France that paper is public. Registration in the trade and companies register is the founding act, since the Code keeps “un registre du commerce et des sociétés auquel sont immatriculés, sur leur déclaration” companies with their seat in a French department (Article L123-1 of the Commercial Code). The Kbis extract is the identity card drawn from that register: company name, legal form, capital, seat, managers with names and birth details, and activity. The greffe, the clerk office of the local commercial court, issues it and records every later change, and the BODACC gazette publishes the events third parties are deemed to know, from creation to transfer of seat to court proceedings. Since 2023 all filings pass through the INPI guichet unique, the single online desk, which forwards them to the competent greffe. Two filings concern you personally and immediately. First, the register of beneficial owners, the RBE: any natural person holding more than twenty-five percent of capital or voting rights, or otherwise controlling the company, must be declared at registration, with identity, domicile and control methods, because the Monetary and Financial Code requires companies to declare “au registre du commerce et des sociétés, par l’intermédiaire de l’organisme mentionné au deuxième alinéa de l’article L. 123-33 du code de commerce, les informations relatives aux bénéficiaires effectifs” (Article L561-46 of the Monetary and Financial Code). The official business guidance confirms that beneficial owners must be indicated at registration and that any change must be filed within thirty days through the formalities desk (Service-public Entreprendre, declaration of beneficial owners; see also INPI, beneficial owners of a company). Banks check this register before releasing funds, which is why foreign founders whose capital deposit is blocked are very often missing exactly this declaration. The sanction is not administrative folklore: failure to declare, or filing inexact or incomplete information, “Est puni d’une amende de 200 000 euros le fait de ne pas fournir aux personnes mentionnées à l’ article L. 561-2 , dans le cadre des mesures de vigilance prévues à la section 3 du chapitre Ier du titre VI , ou de ne pas déclarer au registre du commerce et des sociétés ou, le cas échéant, dans un registre mentionné à l’article L. 561-46-1 les informations relatives aux bénéficiaires effectifs requises en application du premier alinéa de l’ article L. 561-46 ou de l’ article L. 561-46-1 , ou de déclarer des informations inexactes ou incomplètes” (Article L574-5 of the Monetary and Financial Code). For a Paris-seated company, the competent office is the greffe of the Paris commercial court, and experienced founders diary three recurring checks: Kbis conformity after every change, BODACC publication within days of filing, and RBE consistency whenever capital, shareholders or the director domicile move. Second, the liability layer: limited liability protects the shareholder, not the guilty director. SARL managers answer “Les gérants sont responsables, individuellement ou solidairement, selon le cas, envers la société ou envers les tiers, soit des infractions aux dispositions législatives ou réglementaires applicables aux sociétés à responsabilité limitée, soit des violations des statuts, soit des fautes commises dans leur gestion” (Article L223-22 of the Commercial Code), and SAS présidents face the same exposure because “Les règles fixant la responsabilité des membres du conseil d’administration et du directoire des sociétés anonymes sont applicables au président et aux dirigeants de la société par actions simplifiée” (Article L227-8 of the Commercial Code), which points to the classic liability of board members stated in Article L225-251 of the Commercial Code. Criminal law adds its own edge for managers who distribute fictitious dividends or present false accounts, since the Code punishes with “un emprisonnement de cinq ans et d’une amende de 375 000 euros” the listed abuses of the corporate form (Article L241-3 of the Commercial Code). And when the company enters judicial liquidation with assets insufficient to pay creditors, the court may order the directors at fault to bear the shortfall: the statute applies where “la liquidation judiciaire d’une personne morale fait apparaître une insuffisance d’actif” and a management fault contributed to it, so that “le montant de cette insuffisance d’actif sera supporté, en tout ou en partie, par tous les dirigeants de droit ou de fait, ou par certains d’entre eux, ayant contribué à la faute de gestion“, while “en cas de simple négligence du dirigeant de droit ou de fait dans la gestion de la personne morale, sa responsabilité au titre de l’insuffisance d’actif ne peut être engagée” (Article L651-2 of the Commercial Code). A recent illustration comes from Nimes: on 21 March 2025, RG 24/02577, the court of appeal recalled that the shortfall action sanctions prior conduct of the directors which contributed to aggravating the asset deficiency, and that a causal link must be established between the management fault and the deficiency (Nimes Court of Appeal, 4th commercial chamber, 21 March 2025, RG 24/02577). Late declaration of cessation of payments, continuation of a loss-making activity and neglect of wage and tax payments were the faults examined there, which is exactly the pattern a distant director falls into when nobody watches the cash position from Paris. Living abroad changes nothing to these exposures: French courts reach the de jure and the de facto foreign director alike, serve through international channels, and enforce on French assets first, then abroad through recognition procedures.

Conclusion

A foreign founder who directs a French company from abroad holds four files, not one. The social file decides whether you are an assimilated employee under the general regime or a self-employed manager taxed on professional income, and the Grenoble case shows that holding chains do not move that boundary. The pay file decides the split between deductible remuneration taxed at your personal level and dividends voted after the accounts, with treaty relief to claim rather than assume. The registry file, Kbis, RBE within thirty days of any change, and BODACC publications through the INPI desk and the Paris greffe, is what banks and courts read before they trust you, and the two-hundred-thousand-euro sanction for missing beneficial owner information shows that this file is not paperwork. The liability file, from management faults to the shortfall action where a causal link between fault and deficiency must be proved, is what turns a failed subsidiary into a personal bill. Put the four files in order at appointment, review them at each year end, and mandate someone in France to receive and calendar every registered letter, because distance never suspends a fifteen-day opposition period or a thirty-day filing duty.

Foreign founder directing a French SAS or SARL from abroad: assimilated-employee vs self-employed status, URSSAF charges, pay and dividends tax, Kbis and beneficial owner filings, personal liability.

[80314,80313

post-2138097","post","type-post","status-publish","format-standard","has-post-thumbnail","hentry","category-decryptage","category-doing-business-in-france
<!-- This site is optimized with the Yoast SEO Premium plugin v28.2 (Yoast SEO v28.2) -
