The resignation letter is on your desk, the bank still shows the old name, suppliers keep asking who can sign, and the online filing portal asks for documents you do not have in French format. This guide explains, entirely for a foreign shareholder living abroad, how to replace the president of a French SAS lawfully, how to make the change enforceable against third parties within the one-month deadline, and how to close the bank, beneficial-owner and liability gaps that remain after the departure. You will see why the articles of association decide almost everything in a SAS, which formalities go through the INPI Guichet unique (the single online company formalities portal that replaced the old CFE centres), what the greffe (the registry office of the commercial court that keeps the RCS, the Registre du commerce et des sociétés, the French trade and companies register) publishes in the BODACC (Bulletin officiel des annonces civiles et commerciales, the official gazette of company notices), what the new Kbis (the official company identity extract issued by the greffe) must show, and when the outgoing director remains exposed to a claim for insufficiency of assets or personal bankruptcy. The reasoning follows verified French statutes and recent case law, with practical checklists for signing from abroad, apostille and sworn translation, and remote bank updates.

I. How do you replace the president of a French SAS when you live abroad?

A. Who can remove and appoint the SAS president and what majority do you need from abroad?

In a French SAS, the answer is never in the statute book alone. It is in your articles of association. Article L227-5 of the Commercial Code states in one sentence: “Les statuts fixent les conditions dans lesquelles la société est dirigée.” That means the articles decide who appoints the president, who removes the president, for how long, for what pay, for what cause and with what majority. If you bought an off-the-shelf template without reading that clause, the resignation crisis is the moment you pay for it. If you drafted a careful clause with removal at will, removal only for cause, notice periods and severance, that clause governs.

This freedom contrasts sharply with the SARL (société à responsabilité limitée, the limited liability company with a more rigid legal regime) and the SA (société anonyme, the public limited company). In a SAS you can provide that the sole shareholder decides alone, that a 50% majority suffices, that a qualified 75% majority is needed, that a foreign holding company as shareholder votes by written consultation, or that decisions can be taken by video call from abroad. You can also create a general manager or deputy general manager position. Article L227-6 of the Commercial Code explains the baseline: “La société est représentée à l’égard des tiers par un président désigné dans les conditions prévues par les statuts.” The same article adds: “Le président est investi des pouvoirs les plus étendus pour agir en toute circonstance au nom de la société dans la limite de l’objet social.” And it closes the loop on internal limits: “Les dispositions statutaires limitant les pouvoirs du président sont inopposables aux tiers.” In plain English for a foreign owner: you can limit the president internally as much as you want, but a third party acting in good faith can still rely on the president’s signature beyond the corporate purpose unless you prove the third party knew or should have known.

When the president is a legal entity rather than a person, for example your foreign parent company appointed as president of the French SAS, Article L227-7 of the Commercial Code provides: “Lorsqu’une personne morale est nommée président ou dirigeant d’une société par actions simplifiée, les dirigeants de ladite personne morale sont soumis aux mêmes conditions et obligations et encourent les mêmes responsabilités civile et pénale que s’ils étaient président ou dirigeant en leur nom propre, sans préjudice de la responsabilité solidaire de la personne morale qu’ils dirigent.” A foreign founder who hides behind a foreign company therefore does not escape French director duties. The individual who actually represents the corporate president carries the same civil and criminal exposure, and the parent company is jointly liable.

Practical step one from abroad is to pull three documents: the up-to-date articles, any shareholders’ agreement, and the minutes that appointed the departing president. Check four points. First, who is competent: sole shareholder, all shareholders, a defined majority, or a board-like body if you created one. Second, how the meeting can be held: physical meeting in Paris, video conference, telephone, written consultation, or electronic vote. Most modern SAS articles allow remote decisions, and if yours do not, amend them at the same meeting. Third, whether removal can happen at any time without cause or only for serious misconduct, and whether an indemnity is due. Fourth, who appoints the successor at the same meeting or in a second decision. Do not accept a resignation orally on WhatsApp. Ask for a signed resignation letter dated and timed, stating the effective date, confirming handover of keys, codes, chequebooks and online accesses, and authorising the company to file the departure. If the president refuses to resign and you must remove him, follow the contractual process to the letter: convening notice period, agenda mentioning removal and appointment, right to be heard where the articles or case law require it, vote count, and minutes signed by the chair of the meeting.

Recent case law shows how strictly courts enforce the articles on removal pay. In a widely discussed SAS dispute, the Court of Cassation, Commercial Chamber, 9 July 2025, appeal No. 23-21.160, published on courdecassation.fr, dealt with a general manager of a SAS who claimed a 535,000 euro contractual indemnity after early revocation. The court of appeal had rejected the claim because the investment protocol contradicted the articles, which provided that the manager was revocable without any indemnity. The Court of Cassation quashed on procedural grounds but left the core lesson intact, quoting the lower court’s finding that the protocol was “contraire à l’article 16 des statuts de la Sogecler, lequel stipule que le directeur général est révocable sans aucune indemnité.” The quoted phrase, word for word from the decision, is your warning: any side promise of severance that contradicts the articles risks being set aside. If you promised the outgoing president money in an email or a shareholders’ pact, align it now with a proper shareholder resolution or expect litigation.

For a parallel view on how French founders structure the whole entry, see this practical companion on setting up a company in France as a foreign founder, from bank account and Kbis to VAT and first hire, which explains the Kbis, the greffe and the early bank steps that the director change will later update.

Signing from abroad requires method. French registries accept electronic signatures with a qualified certificate, but many foreign founders still sign on paper. If you sign abroad, print the minutes, sign by hand, have each foreign public document apostilled under the Hague Convention where required, and add a sworn French translation by a traducteur assermenté (sworn translator listed on a French court of appeal list) for any identity document or power of attorney not in French. Keep a full chain: passport copy of each signatory, proof of address under three months, criminal record or sworn declaration of non-conviction for the incoming president, and, where the new president is a foreign company, its own incorporation certificate with translation plus the name of its permanent individual representative in France. Missing nationality declarations are the most common reason the Guichet unique bounces a director change filed from abroad.

B. What filings prove the change within one month: legal notice, Guichet unique, BODACC and new Kbis?

Once the shareholders have voted, you have one month to make the change public. The official Service Public Entreprendre page on changing a company director states the rule plainly: the change must be published in a legal announcements medium within one month, and it must be declared within one month on the Guichet des formalités des entreprises (the INPI single portal). After the filing, registration by the greffe leads to automatic insertion in the BODACC, which makes the new director enforceable against third parties. That sequence matters because France distinguishes internal validity from external enforceability. Between shareholders, the new president can act from the vote. Against a bank, a customer or a court, only the updated Kbis and the BODACC notice count.

The legal basis for the single portal is Article L123-33 of the Commercial Code, which provides: “toute entreprise se conforme à l’obligation de déclarer sa création, la modification de sa situation ou la cessation de ses activités auprès d’une administration, d’une personne ou d’un organisme mentionnés à l’article L. 123-32 par le dépôt d’un seul dossier comportant les déclarations qu’elle est tenue d’effectuer.” Since 1 January 2023, that single file is electronic, lodged with the designated single body, now operated by the INPI (Institut national de la propriété industrielle, the French intellectual property and companies office that runs the portal). In practice you log in, select modification of directors, upload the signed minutes, the amended articles if the president’s name appeared in them, the legal notice certificate, the new president’s ID and non-conviction declaration, and the beneficial-owner follow-up described below. The portal routes to the competent greffe, which checks and registers, then pushes to the RCS and to the BODACC.

The legal notice (annonce légale, the paid notice in an authorised newspaper or online service) must contain the old and new situation: company name, SAS form, share capital, RCS number and city of the greffe, registered office address, the full name and address of the outgoing president and the incoming president, the effective date, and the article number amended. One month is strict. File late and you face a greffe rejection, a bank freeze on signature updates, and a period where the former president can still bind the company vis-à-vis third parties because the RCS still shows his name. Keep the attestation of publication; the Guichet unique will ask for it.

The greffe then issues a new Kbis showing the incoming president. Read it line by line when you receive it from abroad. Check spelling of names, date of birth, nationality, personal address, start date, and whether any general manager or deputy remains listed. Errors on foreign names with accents, double surnames or transliteration are frequent. If the Kbis is wrong, file a correction immediately; every day with a wrong Kbis is a day your new president cannot open a bank sub-account, sign a commercial lease or pass payroll.

From abroad, anticipate three classic blocks. First, the portal asks for a French-format address and phone. Provide the French registered office (siège social, the legal address of the company) and a reachable email; do not use a temporary hotel. Second, the portal asks whether beneficial owners change. Always answer; ticking that nothing changed when the departing president was also a 30% shareholder triggers a later RBE mismatch. Third, the portal may route to a greffe clerk who asks for an original apostille. Send a tracked courier with the paper set while keeping certified scans online, and keep the courier slip as proof of diligence if a deadline slips.

Keep a closing file with time stamps: signed resignation, convening notices and proof of sending, attendance sheet or written consultation forms, vote tally, minutes, updated articles, legal notice invoice and text, Guichet unique receipt with dossier number, greffe acknowledgment, BODACC excerpt, and old and new Kbis. A foreign shareholder who can produce this chain in English and French wins bank and court arguments in days, not months.

II. How do you secure the bank, the beneficial owners and liability after a director change?

A. How do you update the bank, the beneficial owners register and the tax and social portals from abroad?

The Kbis is only half the job. Money, tax and social bodies still point to the old director until you tell them otherwise. Start with the bank, because a SAS without an empowered signatory cannot pay salaries, VAT or suppliers. French banks apply strict anti-money-laundering checks on any new director, heavier when the director or shareholder lives abroad. Expect the bank to ask for the new Kbis under one month old, the BODACC excerpt, the minutes appointing the new president, a full ID pack with certified translation, proof of the new signatory’s personal address abroad with English original plus French translation, the updated beneficial-owner declaration, and a board-style resolution listing exact signing powers and limits. Many banks also require a fresh signature card signed in branch or before a notary, or a qualified electronic signature. From abroad, book the video identification slot early, ask whether the bank accepts a foreign notary certification or an apostilled power of attorney for a local authorised signatory, and never close the old signatory’s access before the new one is active. Companies that revoke online access on day one and wait three weeks for compliance approval end up unable to pay URSSAF (Union de recouvrement des cotisations de sécurité sociale et d’allocations familiales, the social contributions collection agency) and VAT on time.

Next, the beneficial owners. French law requires companies to declare their bénéficiaires effectifs (the natural persons who directly or indirectly hold more than 25% of capital or voting rights or exercise control) to the RCS through the single portal. Article L561-46 of the Monetary and Financial Code provides that covered companies “déclarent au registre du commerce et des sociétés, par l’intermédiaire de l’organisme mentionné au deuxième alinéa de l’article L. 123-33 du code de commerce, les informations relatives aux bénéficiaires effectifs.” The official guidance adds that a director change does not automatically change beneficial owners, but where the director is also a shareholder the two moves often coincide. On the Guichet unique the beneficial-owner question is always asked during the director filing. If nothing changed, tick that the situation is unchanged. If the outgoing president sold shares, donated, or dropped below 25%, or if the incoming president subscribed shares crossing 25%, file a new DBE (déclaration de bénéficiaires effectifs, the beneficial-owner form) with full identity, personal domicile and control mechanics. From abroad, collect foreign proof of the chain of ownership: foreign register extract with apostille, group chart, and transfer deed. An RBE mismatch is now a standard bank blocking reason and a red flag in any later tax audit.

Then update tax and social access. The new president becomes the legal representative for impots.gouv.fr (the French tax authority portal), for VAT returns and corporate tax, for the DSN (déclaration sociale nominative, the monthly payroll social declaration) via Net-entreprises, and for URSSAF. Change the delegated users, revoke the former president’s personal login rights, and create rights for the new president or your French accountant with a dated power of attorney. If the company has employees, inform payroll immediately: the new president signs employment documents, and old templates with the former name must be replaced. If the company holds regulated authorisations, licences or sector registrations tied to the person of the director, notify each authority separately; the RCS update does not propagate automatically to all regulators.

Do not forget insurance and contracts. Professional liability, director liability, commercial leases with intuitu personae clauses (clauses that take the person of the director into account), loan covenants that define a change of control or change of manager as an event of default, and key customer contracts that require notice of a new legal representative all need a short notice letter with the new Kbis attached. From abroad, send by email with acknowledgment plus registered letter with acknowledgment of receipt where a penalty or termination right is at stake. Keep English courtesy translations, but the French version governs.

Finally, protect data and systems. Rotate all admin passwords, revoke the former president’s access to the bank, accounting, payroll, tax portal, domain registrar and cloud admin, and log the rotation. Courts and insurers treat a former director who can still move money or access personal data months after departure as evidence of poor governance, which later feeds liability claims.

B. What liability stays with the outgoing president and what traps create a de facto director?

Changing the Kbis does not wipe the slate clean. French law attaches liability to the period of management, not to the current title. Article L227-8 of the Commercial Code states: “Les règles fixant la responsabilité des membres du conseil d’administration et du directoire des sociétés anonymes sont applicables au président et aux dirigeants de la société par actions simplifiée.” In other words, the SAS president answers under the same liability principles as directors of larger companies, including liability for management faults against the company and, in insolvency, against creditors through specific actions.

The heaviest insolvency action is liability for insufficiency of assets. Three elements matter for a foreign owner reading this after a departure. First, the action targets both de jure directors (the titled president on the Kbis) and de facto directors (anyone who actually ran the company without title). Second, simple negligence is now expressly excluded: the same article adds that in case of mere negligence the action cannot succeed. Third, the claim is time-barred three years from the judgment opening liquidation. An outgoing president who delayed filing for insolvency, continued a loss-making activity, kept no accounts, or mixed personal and company funds remains exposed for acts during his term even after a clean RCS exit. A proper handover with dated accounts, inventory, creditor list and bank statements is therefore not courtesy; it is evidence.

Personal bankruptcy and management bans are the second layer. Article L653-4 of the Commercial Code provides: “Le tribunal peut prononcer la faillite personnelle de tout dirigeant, de droit ou de fait, d’une personne morale, contre lequel a été relevé l’un des faits ci-après”. The list that follows includes using company assets as one’s own, doing business under the corporate cover for personal interest, using company property or credit against its interest for personal ends or to favour another business, abusively continuing a deficit operation that could only lead to cessation of payments, and diverting assets or fraudulently increasing liabilities. A foreign shareholder who let the former president use the company card for personal travel, or who kept a loss-making French branch alive for prestige while insolvent, should regularise and document before the change, not after.

The de facto director trap is the most underestimated risk for foreign groups. After the Kbis change, the former president sometimes keeps signing, keeps the bank token, keeps negotiating with the landlord, or keeps giving orders to staff while the new president, living abroad, only rubber-stamps. French courts can then treat the former as still directing in fact and the foreign owner or the new titular president as negligent for letting him do so. In one SAS example, the Paris Court of Appeal, 23 November 2023, RG No. 22/17879, concerning SAS Vosges Matelas, confirmed a lower judgment which had found de facto management and imposed a five-year management ban for failure to cooperate with the liquidator and for withholding mandatory information, after a free consultancy arrangement had turned into day-to-day control of the company. The lesson for a group with a Paris SAS and a London or Dubai owner is blunt: titles follow the Kbis, but liability follows real power. Cut off old powers on day one, in writing, with third parties notified.

From abroad, run a ninety-day aftercare plan. Week one: new Kbis checked, bank signatories swapped, old tokens revoked, payroll and accountant mandates updated, RBE confirmed, key contracts notified. Week two to four: former president returns all property against receipt, final expense claims closed, variable pay and indemnity calculated strictly per articles and resolutions, tax and URSSAF logins rotated, insurance updated. Day ninety: closing accounts or interim statement signed by both outgoing and incoming presidents, with reserves for disputed items. Keep every proof for at least the insolvency limitation period. If litigation over removal pay starts, the file described here decides whether the company pays the 535,000 euros discussed in the 2025 Cassation case or nothing because the articles said “révocable sans aucune indemnité”.

Paris and Ile-de-France specifics help when you cannot travel. The competent greffe is the one of the registered office, for Paris the Paris commercial court registry, for the inner suburbs Créteil, Nanterre or Bobigny. Legal notices must be placed with a medium authorised in the department of the seat. BODACC publication times are usually a few days after greffe registration if the file is complete. If you need certified Kbis copies for a foreign bank, order them from the greffe or Infogreffe with delivery abroad and keep the electronic PDF with its verification code. For sworn translations, use a translator on the Paris Court of Appeal list when the greffe is Paris; provincial lists are valid but Paris clerks check them more slowly.

Conclusion

Replacing the president of a French SAS from abroad succeeds when you treat the articles as the constitution, the one-month publicity as the shield, and the aftercare as the insurance. Read the articles before you vote, appoint and remove in the same documented decision, publish within one month, file once through the INPI Guichet unique, check the BODACC and the new Kbis, then update the bank, the beneficial-owner register, tax and social portals, contracts and passwords. Remember that liability sticks to the management period and to real power, not just to the name on the Kbis: an outgoing president answers for faults committed during his term, and anyone who keeps directing after departure risks being treated as a de facto director with personal bankruptcy exposure. A foreign shareholder who keeps dated minutes, apostilled powers, translated IDs, filing receipts and handover accounts can change leadership without flying to Paris and without leaving the company exposed to banks, creditors or courts.

Your SAS president resigned and you live abroad.
