Your French company runs in Paris, Lyon or Bordeaux with a local accountant, and everything seemed to work. Then a letter arrives from the commercial court: the greffe, the clerk’s office of the commercial court that keeps the registre du commerce et des sociétés (the French companies register), notes that your annual accounts were never filed, and a judge may order you to file under a daily financial penalty. This guide explains, in plain English, what that letter means, how much time you really have, what the French astreinte (a court-ordered daily penalty payment) can cost, and how to fix a late filing from abroad without boarding a plane. Every French acronym is explained, every decisive legal statement is tied to an official text you can open yourself, and the procedure described here reflects the law in force on 28 September 2026.

The situation is more common than foreign founders expect. In France, approving the accounts and filing them at the greffe are two separate duties with two separate deadlines. Your accountant may have prepared the balance sheet, but if no shareholders’ meeting approved it, or if the approved documents were never sent to the greffe, the company is late. The delay becomes visible because filing is public: competitors, suppliers, banks and public bodies can see on the companies register and in the BODACC (the Bulletin officiel des annonces civiles et commerciales, the official gazette where company filings are announced) that nothing was published for a given financial year. Any interested person, and the public prosecutor, can then ask the president of the court, ruling in référé (fast-track interim proceedings), to order filing under astreinte. The leading decision of the commercial chamber of the Cour de cassation (the French supreme court for civil and commercial matters), dated 3 March 2021, appeal no. 19-10.086, confirms that this court-order route sits alongside the ordinary obligation to file, and that the order can target the company itself. Once you understand that mechanism, the fix is methodical: rebuild a valid approval, file late through the official single portal, deal with the penalty, and protect the company’s credit standing. Our companion guides put this crisis in context: the general guide to setting up a company in France as a foreign founder explains the Kbis (the official extract that proves your company exists), the bank account and VAT registration, while the annual legal calendar of a French company gives the full year-round timetable. This article focuses on the one emergency foreign directors fear most: the missed filing and the court order that follows.

I. You Missed the Filing Deadline in France: What the Greffe Injunction and Daily Penalty Mean

A. How Long Do You Have to Approve and File Accounts When You Run a French Company From Abroad

French company law gives you six months after the financial year ends to approve the annual accounts, then one or two months after approval to file them. The six-month approval rule applies across company forms, with wording adapted to each. In a SARL (société à responsabilité limitée, the French limited liability company with intuitu personae shares), Article L223-26 of the Commercial Code provides that the management report, the inventory and the annual accounts drawn up by the managers are submitted to the approval of the shareholders meeting within six months of the year end, unless a court extends the deadline. In a SA (société anonyme, the public limited company form), Article L225-100 of the Commercial Code states that the ordinary general meeting is held at least once a year, within six months of the year end, subject to extension by court decision. In a SAS (société par actions simplifiée, the flexible joint-stock company most foreign founders choose), Article L227-9 of the Commercial Code leaves the articles of association to organise collective decisions, but keeps the same six-month approval horizon: in a single-shareholder SAS, the sole shareholder approves the accounts within six months of the year end, and where a natural person who is the sole shareholder also chairs the company, filing the signed inventory and accounts with the companies register within the same period counts as approval.

For a foreign founder, three practical points follow. First, the six-month clock runs from the closing date in the articles, usually 31 December, so approval is normally due by 30 June. If your accountant is still adjusting entries in July, you are already late on approval, and only a court order can extend the period. The extension is requested from the president of the commercial court before the deadline expires, through a local lawyer, and it is routinely granted for a few extra months when justified by objective reasons such as a change of accountant, a first audit, or group consolidation. Second, approval from abroad is valid if the articles allow it: written consultation, videoconference minutes, or a sole-shareholder decision signed electronically all work, provided the formalities in the articles are followed and the documents listed by law (accounts, management report where required, auditors’ report if any, proposed resolutions) were actually communicated to the shareholders in advance. A one-line email saying “accounts approved” is not an approval. Third, related partnerships have their own filing article with the same one-month and two-month cadence: Article L232-21 of the Commercial Code imposes on certain SNC (société en nom collectif, the general partnership) structures the same filing rhythm for annual and where relevant consolidated accounts, the group management report and the allocation decision.

Filing itself is the second step, and it has its own shorter deadline. In practice, paper filing gives one month from approval, electronic filing gives two months, and electronic filing is now the normal route through the guichet unique (the single online portal operated with the INPI, the Institut national de la propriété industrielle, which now runs the companies formalities gateway). Article R123-111 of the Commercial Code confirms the same cadence at regulatory level, setting the filing period at one month from approval by the ordinary meeting for the accounting documents covered by Articles L. 232-21 to L. 232-23, extended when filing electronically The documents to file are the annual accounts, the management report where publication is required, the statutory auditors’ report where one exists, the proposed allocation of profits submitted to the meeting and the allocation resolution actually voted. Where approval was refused, a copy of the refusal decision is filed within the same period. Micro-enterprises and small companies can ask for confidentiality of the profit and loss account or even of the full accounts under separate provisions, but the filing itself remains mandatory; confidentiality only limits public access, it never excuses absence of filing.

Foreign directors often confuse three documents that sound alike. The Kbis is the identity card of the company, issued by the greffe, and it does not prove that accounts were filed. The BODACC announcement proves that a filing was published. The filing receipt (récépissé de dépôt) proves the date of filing for penalty purposes. When a bank renews an overdraft, when a landlord checks a guarantee, or when a public buyer examines a tender, the reviewer looks for recent published accounts, not merely a valid Kbis. A company with a clean Kbis but two missing filing years looks dormant or distressed, and credit insurers downgrade it quietly. That commercial damage usually hurts more than any court fine, and it starts before any judge is involved.

B. What Happens When the President of the Court Orders Filing Under Astreinte

The injunction mechanism is short, sharp and designed for exactly this situation. Any interested person means what it says: a minority shareholder, a former business partner, a supplier, a competitor in a dispute, or the public prosecutor acting on a report from the greffe. The president rules in référé, which means weeks rather than months, on papers and short argument, without deciding the merits of any wider dispute. The order can also appoint an agent (mandataire) to carry out the formality if the management cannot be trusted to do it. For a director living abroad, the summons arrives at the registered office, is often forwarded late by the domiciliation agent, and the first hearing can feel sudden. It is not sudden in law: the register showed the gap for months, and the claimant only had to point at it.

The Cour de cassation clarified the scope of this action in a decision every foreign director should know. In Commercial Chamber, 3 March 2021, appeal no. 19-10.086, suppliers of a SASU (single-shareholder SAS) asked the president of the commercial court in interim proceedings to order the company, under astreinte, to file years of accounts, management reports, auditors’ reports and profit-allocation documents. The company objected that only its manager could be ordered. The Court rejected the appeal, holding that the special actions against the manager do not block the ordinary action against the company: “les actions prévues par ces dispositions spéciales ne sont pas exclusives de celle fondée sur les dispositions de droit commun prévues par l’article L. 232-23 du code de commerce, qui font obligation à toute société par actions, et non à son dirigeant, de déposer ses comptes.” In plain terms, the court can order the company itself to respect its filing duty under Article L232-23 of the Commercial Code, and the claimants only need to show a legitimate interest in acting. The Versailles Court of Appeal had imposed a provisional astreinte of 500 euros per day of delay, running for three months from one month after service. Multiplied out, that is up to roughly 45,000 euros for one order covering several years, before any liquidation debate. Your case may set a different daily rate, but the arithmetic method is the same, and it concentrates the mind.

Understanding the astreinte itself removes half the fear. An astreinte is not a fine paid to the State; it is a private penalty that pressures compliance and is ultimately paid to the claimant. Article L131-1 of the Code of Civil Enforcement Procedures states: “Tout juge peut, même d’office, ordonner une astreinte pour assurer l’exécution de sa décision.” The judge sets a provisional rate per day or per week of delay, usually with a grace period and a cap period, then later liquidates (liquider, i.e. fixes the final amount of) the penalty. At liquidation, Article L131-4 of the same Code directs the judge to consider behaviour and difficulties: “Le montant de l’astreinte provisoire est liquidé en tenant compte du comportement de celui à qui l’injonction a été adressée et des difficultés qu’il a rencontrées pour l’exécuter.” A director who files within days of the order, documents the steps, and explains genuine obstacles (change of accountant, portal rejection, waiting for an auditor) can obtain a sharp reduction of the provisional total. A director who ignores the order, leaves the registered-office mail unopened, or files nothing for months pays far closer to the full arithmetic amount. Foreign residence is not a legal excuse, but documented diligence from abroad counts as behaviour.

Two further consequences complete the picture. Criminal law targets the failure to draw up accounts at all in larger companies: Article L242-8 of the Commercial Code punishes with a 9,000 euro fine the chairman, directors or general managers of a SA who fail, for any financial year, to draw up the inventory and establish annual accounts and a management report. Separately, giving false or incomplete information to the companies register in bad faith carries its own penalty under Article L123-5 of the Commercial Code, which punishes such conduct with a 4,500 euro fine and six months’ imprisonment, plus possible loss of voting and eligibility rights in commercial institutions for up to five years. Backdating minutes, inventing an approval meeting that never happened, or filing truncated accounts as if they were complete would fall far closer to that second provision than to a simple delay, and must never be used as a shortcut. The parallel with the approval duty is also direct: where the shareholders were never convened within six months, Article L223-26 of the Commercial Code for the SARL and Article L225-100 of the Commercial Code for the SA each allow the prosecutor or any interested person to ask the president, again in référé and where appropriate under astreinte, to order the managers to convene the meeting or to appoint an agent to do so. Late approval and late filing therefore feed each other, and a single letter from the court can trigger both chains.

II. How to Fix a Late Filing From Abroad Without Flying to Paris

A. How to Rebuild Approval and File Late Through the Guichet Unique

The fix follows a strict order: approve first, then file, then handle the penalty. Filing unapproved draft accounts does not cure anything, and filing invented minutes creates criminal exposure. Start by establishing the exact gap. Ask your accountant for a year-by-year table: financial year end, date of the approval decision if any, date of filing if any, filing receipt number, and BODACC publication reference. Cross-check against the public record on the data diffusion platforms and the INPI portal, because accountants sometimes confuse sending a draft with completing the portal filing. Identify also whether any year ended with a refusal of approval, since Article L232-23 of the Commercial Code requires filing the refusal decision itself within the same one-month or two-month period. For each missing year, collect the full packet: signed balance sheet and profit and loss account, annex, management report where the company cannot omit it, auditors’ report where the company has auditors, text of the proposed allocation and text of the voted allocation resolution. Where the company is a SAS with a sole shareholder who is a natural person and also president, remember the shortcut in Article L227-9 of the Commercial Code: filing the signed inventory and accounts within six months of year end counts as approval, properly recorded. Everywhere else, a formal collective decision is needed, even if late.

Rebuilding approval late is valid if the formalities are genuinely performed now. Convene the shareholders for each missing year separately, even if you hold all the meetings on the same day from abroad by videoconference. Send the full document packets within the notice periods in the articles, hold the vote, sign minutes that state the date, the quorum, the documents reviewed and the exact allocation of profits, and record sole-shareholder decisions in the statutory register where required. If the six-month approval deadline has already passed, which it has by definition in a late-filing case, ask a local lawyer to seek a retrospective extension order from the president of the court for the most recent year, or at least to document why the delay is now cured; courts grant such extensions when the request is made in good faith and the meeting can be held promptly. Do not fabricate earlier dates: minutes dated today that approve the accounts today are lawful, while minutes falsely dated last June are not. Where auditors exist, they must be convened and their reports attached; where none is required, say so in the file so the greffe does not reject the packet as incomplete. Keep proof of every convocation email, every signed minute and every portal submission, because that behaviour file is what later reduces the astreinte under Article L131-4 of the Code of Civil Enforcement Procedures.

Filing itself now goes through the guichet unique formalities portal connected to the INPI, which forwards to the competent greffe. In practice, your French accountant or lawyer uploads the approved packet per financial year, pays the filing fee per year, and receives an electronic receipt per deposit. Expect three common rejections and prepare for them. First, name mismatches: the company name, SIREN (the nine-digit company identification number) and registered office on the accounts must match the register exactly, including accents and legal-form suffix. Second, missing allocation papers: the portal expects both the proposed allocation and the voted resolution, and packets without them bounce. Third, wrong confidentiality option: micro and small companies may request non-publication of the profit and loss account or of the accounts, but the option must be ticked with the separate declaration; ticking it by mistake for a larger company, or forgetting it for a company that wanted discretion, causes rework. File year by year rather than merging years into one PDF, keep each receipt, and check a few days later that each filing appears in the company’s public filing history with a BODACC reference. The one-month and two-month periods in Article R123-111 of the Commercial Code no longer protect you once you are late, but the date of actual filing stops the clock for the astreinte going forward and starts the cure for commercial purposes.

While the filing is in progress, manage the court track in parallel. If you have received a summons for référé proceedings, instruct a local lawyer immediately and do not let default judgment be entered. The standard defence from abroad is not to contest the duty, which is clear, but to show that compliance is under way: produce the convening notices, the signed approvals, the portal receipts, and a timetable for the remaining years. Judges routinely grant a short grace period before the astreinte starts running, and often appoint no mandataire when the director demonstrates credible progress. If an order under Article L123-5-1 of the Commercial Code has already been issued, diary the exact start date of the astreinte (usually one month after service in recent orders), file before it starts if humanly possible, and if not, file as fast as possible afterwards to minimise the liquidated amount. Where the order targeted the manager personally, coordinate with the company filing so both obligations are satisfied by the same deposits. Keep the registered-office mail monitored daily during this window: domiciliation agents forward with delay, and an astreinte that starts because a letter sat unopened is the most expensive envelope in French company life.

B. How to Stop the Astreinte, Limit the Damage and Protect Your Kbis, Bank and Contracts

Once the accounts are filed, the penalty phase begins, and behaviour decides the bill. The claimant will ask the judge to liquidate the provisional astreinte, converting the daily rate into a final sum. Your file should show prompt compliance, genuine difficulties overcome, and no defiance. Concretely, produce the chronology: date of the order, date of each approval meeting, date of each portal filing, receipt numbers, and any portal rejections with resubmission dates. Cite Article L131-4 of the Code of Civil Enforcement Procedures through your lawyer and invite the judge to weigh your conduct and the obstacles encountered. Courts reduce provisional totals substantially where filing followed quickly, and they can partly or wholly cancel the penalty where delay came from an outside cause. Conversely, a file that shows months of silence after service, unanswered lawyer letters, or selective filing of only the most recent year invites liquidation near the full amount. Negotiate in parallel: many claimants, especially minority shareholders or former partners who used the injunction as leverage in a wider dispute, accept a settlement that records the filings, allocates costs, and waives or caps the astreinte balance. Any settlement should be written, filed where appropriate, and drafted so it covers all missing years, not just the one named in the summons.

Beyond the courtroom, repair the commercial footprint year by year. Banks score French SMEs partly on the freshness of published accounts: after filing, send the new BODACC references to your account manager, your credit insurer and any lender with covenants tied to financial disclosure. If an overdraft renewal or a loan disbursement was suspended pending publication, reapply with the filed packet attached rather than waiting for databases to update. If the company bids for public contracts, update the candidate file immediately, since buyers check filing compliance during selection. Review dividend history with your accountant: profits can only be distributed on the basis of properly approved accounts, and a late approval reconstructed now may reveal that an interim dividend or a distribution voted informally lacked a lawful basis, which must be regularised rather than hidden. Check also the tax side: late approval does not change the corporate income tax return timetable, but inconsistent figures between the tax return and the newly approved accounts trigger questions, so reconcile them before the tax office asks. None of these steps requires your presence in France; each requires a named person in France with a mandate, a calendar and access to the portal.

Finally, build the system that prevents recurrence, because French formalities punish disorganisation more than bad faith. Move the registered office mail to a domiciliation agent that scans daily, with an escalation address that reaches you personally abroad. Put the approval and filing dates in a shared calendar anchored on the year end: internal draft accounts by month four, convocation by month five, meeting in month six, portal filing within days of approval under the one-month and two-month rule of Article R123-111 of the Commercial Code. Give your accountant a written standing instruction to warn you in month five if the draft is not ready, and to prepare the extension request rather than staying silent. Keep a one-page compliance sheet per year with the approval date, filing date, receipt number and BODACC reference, and review it each autumn with your lawyer alongside the broader timetable in the annual legal calendar guide. Foreign founders who run this routine spend one videoconference a year on approvals; those who do not spend one court case every three years on injunctions. The Kbis stays clean either way, but only the first group keeps the bank, the suppliers and the register aligned.

Conclusion

A missed filing in France is a curable emergency, not a fatal one. The law gives six months to approve and one to two months to file, the president of the court can order late directors to comply under a daily astreinte at anyone’s request, and the Cour de cassation confirms the order can bind the company itself. The way out from abroad is disciplined rather than dramatic: map the missing years, hold genuine late approvals, file complete packets through the guichet unique, manage the court timetable through a local lawyer, then liquidate or settle the penalty with a documented behaviour file. Do it once, do it completely for every missing year, and convert the scare into a routine that protects your financing and your contracts. Kept in that order, the French system rewards compliance quickly: the register publishes, the BODACC records, the astreinte stops running, and your company reads again as what it is, an active business run from abroad with its paperwork in order.

Missed French annual accounts filing from abroad?
