Salary or dividends, that is the real question, and the French answer is never simply a matter of taste. A salary paid to a director (<em>dirigeant<\/em>) who lives outside France triggers French payroll returns, the monthly nominative social declaration known as the <em>DSN<\/em> (<em>d\u00e9claration sociale nominative<\/em>), and contributions collected by <em>URSSAF<\/em> (<em>Unions de recouvrement des cotisations de s\u00e9curit\u00e9 sociale et d&#8217;allocations familiales<\/em>, the social contributions collection agency). Dividends trigger a different machinery: a vote in a general meeting, a flat tax known as the <em>PFU<\/em> (<em>pr\u00e9l\u00e8vement forfaitaire unique<\/em>), social levies, and, because you are not a French tax resident, a withholding tax (<em>retenue \u00e0 la source<\/em>) whose rate depends on tax treaties. Choose the wrong channel, vote the distribution incorrectly, or forget one filing, and the bill can be heavy: back payment of social charges with penalties, dividends reclassified as salary, or, in the worst cases, a criminal prosecution for distributing fictitious dividends. The short answer is that most foreign founders combine both, but each euro must travel through its own legal pipe, and the pipes do not communicate. Salary rewards work; dividends reward capital. Confusing the two is the single most expensive mistake a non-resident founder can make, because URSSAF and the tax administration each have the power to reclassify what you paid yourself and to charge the difference with interest and penalties.<\/p>\n<h3>A. Can You Pay Yourself a Salary as a Non-Resident Director and What Does It Really Cost?<\/h3>\n<p>Yes, a foreign founder can be paid as the president of a <em>SAS<\/em> (<em>soci\u00e9t\u00e9 par actions simplifi\u00e9e<\/em>, the flexible joint-stock company most foreigners choose) or as the manager (<em>g\u00e9rant<\/em>) of a <em>SARL<\/em> (<em>soci\u00e9t\u00e9 \u00e0 responsabilit\u00e9 limit\u00e9e<\/em>, the limited liability company with stricter statutory rules), even while living outside France. The president of a SAS is treated, for social security purposes, as an employee-like person (<em>assimil\u00e9 salari\u00e9<\/em>) and falls under the general social security scheme. The majority manager of a SARL is a self-employed worker (<em>travailleur ind\u00e9pendant<\/em>, formerly <em>travailleur non salari\u00e9<\/em>). That single distinction changes the entire cost structure, so it must be settled in the articles of association (<em>statuts<\/em>) and in the appointment decision before the first euro is paid.<\/p>\n<p>If you are president of a SAS and affiliated to the general scheme, the legal basis of the charges is straightforward: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053282401\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053282401\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 242-1 of the Social Security Code<\/a> provides that &#8220;Les cotisations de s\u00e9curit\u00e9 sociale dues au titre de l&#8217;affiliation au r\u00e9gime g\u00e9n\u00e9ral des personnes mentionn\u00e9es aux articles L. 311-2 et L. 311-3 sont assises sur les revenus d&#8217;activit\u00e9&#8221;. In practice, for 2026, employer plus employee contributions on a director&#8217;s salary represent roughly 70 to 80 percent of the net amount on top of it, depending on the level of pay, the supplementary pension (<em>retraite compl\u00e9mentaire Agirc-Arrco<\/em>) and the unemployment insurance of company directors, which for a <em>mandataire social<\/em> (corporate officer) is optional and private. A gross monthly salary of 4,000 euros therefore costs the company around 5,600 to 5,800 euros before corporate tax deduction, and the salary itself is deductible from the company&#8217;s taxable profit, which lowers the corporate tax (<em>imp\u00f4t sur les soci\u00e9t\u00e9s<\/em>). Every month the company must file the DSN, pay URSSAF, and withhold personal income tax at source (<em>pr\u00e9l\u00e8vement \u00e0 la source<\/em>) even for a director who lives abroad, subject to the applicable tax treaty.<\/p>\n<p>If you are majority manager of a SARL, contributions are computed on a different base: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048683707\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 131-6 of the Social Security Code<\/a> states that &#8220;Les cotisations de s\u00e9curit\u00e9 sociale dues par les travailleurs ind\u00e9pendants non agricoles ne relevant pas du dispositif pr\u00e9vu \u00e0 l&#8217;article L. 613-7 sont assises sur l&#8217;assiette d\u00e9finie \u00e0 l&#8217;article L. 136-3&#8221;. Roughly 40 to 45 percent of your professional income goes to social charges, paid provisionally during the year and adjusted once the real income is known. The trap for a founder living abroad is dual affiliation: if you also work in another European Union state, European coordination rules designate a single competent state, and paying in the wrong country means paying twice before you can claim a refund. Before fixing any salary, ask in writing where your social security affiliation (<em>affiliation<\/em>) lies, keep the A1 posting certificate (<em>certificat de d\u00e9tachement A1<\/em>) or the affiliation certificate, and file it with the company&#8217;s records.<\/p>\n<p>Three practical warnings follow. First, a salary must correspond to real management work (<em>fonctions effectives de direction<\/em>). A fictitious salary paid to someone who never manages anything can be reclassified as an abnormal management act (<em>acte anormal de gestion<\/em>) and added back to taxable profit. Second, the salary of a corporate officer must be decided by the competent body: in a SAS, the articles decide who fixes the president&#8217;s pay, and <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051322706\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051322706\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 227-9 of the Commercial Code<\/a> recalls that &#8220;Les statuts d\u00e9terminent les d\u00e9cisions qui doivent \u00eatre prises collectivement par les associ\u00e9s dans les formes et conditions qu&#8217;ils pr\u00e9voient&#8221;. If nobody is designated, the shareholders decide collectively, and the decision must be written down. Third, if you live abroad and perform your duties partly from your home country, document where each board decision is taken, keep travel records and meeting minutes, because the place of effective management (<em>si\u00e8ge de direction effective<\/em>) determines both corporate residence and your own social and tax position.<\/p>\n<h3>B. How Are Dividends Voted, Paid and Taxed When You Live Abroad?<\/h3>\n<p>Dividends are not a salary and cannot be paid casually by bank transfer with the word &#8220;dividends&#8221; in the reference line. French company law imposes a strict sequence: close the financial year, draw up the annual accounts (<em>comptes annuels<\/em>), have them approved by the shareholders within six months of the year end, verify that distributable sums exist (<em>sommes distribuables<\/em>), and only then vote the distribution. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006229031\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L. 232-12 of the Commercial Code<\/a> states the rule in one sentence: &#8220;Apr\u00e8s approbation des comptes annuels et constatation de l&#8217;existence de sommes distribuables, l&#8217;assembl\u00e9e g\u00e9n\u00e9rale d\u00e9termine la part attribu\u00e9e aux associ\u00e9s sous forme de dividendes&#8221;. The same article adds the sanction: &#8220;Tout dividende distribu\u00e9 en violation des r\u00e8gles ci-dessus \u00e9nonc\u00e9es est un dividende fictif&#8221;. A fictitious dividend is not a paperwork defect; it is a criminal offence punishable by up to five years&#8217; imprisonment and a 375,000 euro fine for the directors who arranged it, and the company can be ordered to repay.<\/p>\n<p>The Cour de cassation (the French supreme court for civil and criminal matters) applies this rule without mercy. On 12 February 2025, in a case numbered 23-11.410 concerning shareholders who had voted dividends taken from a retained earnings account (<em>report \u00e0 nouveau<\/em>, profits carried forward) outside the meeting that approves the accounts, the Commercial Chamber recalled that &#8220;le b\u00e9n\u00e9fice distribuable est constitu\u00e9 par le b\u00e9n\u00e9fice de l&#8217;exercice, diminu\u00e9 des pertes ant\u00e9rieures, ainsi que des sommes \u00e0 porter en r\u00e9serve en application de la loi ou des statuts, et augment\u00e9 du report b\u00e9n\u00e9ficiaire&#8221;, and it held that the meeting which had not approved the accounts of the year could not distribute those carried-forward profits (<a href=\"https:\/\/www.courdecassation.fr\/decision\/67ac552f91acc6fabdb2cf1b\">Cass. com., 12 Feb. 2025, No. 23-11.410<\/a>). The same judgment recalls a principle every foreign shareholder should frame on the wall: &#8220;les d\u00e9lib\u00e9rations d&#8217;une soci\u00e9t\u00e9 commerciale s&#8217;imposent aux associ\u00e9s tant que la nullit\u00e9 n&#8217;en a pas \u00e9t\u00e9 prononc\u00e9e&#8221;. In plain English: even a defective distribution produces legal effects until a court annuls it, which means the tax and social levies are collected immediately while you argue about validity for years. Vote it right the first time, with the accounts, the auditor&#8217;s report (<em>rapport du commissaire aux comptes<\/em>) where one exists, and a written resolution that states the exact distributable amount.<\/p>\n<p>Once validly voted, dividends paid to a founder who is a French tax resident face the flat tax: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036428175\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036428175\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 117 quater of the General Tax Code<\/a> provides that French resident individuals &#8220;qui b\u00e9n\u00e9ficient de revenus distribu\u00e9s mentionn\u00e9s aux articles 108 \u00e0 117 bis et 120 \u00e0 123 bis sont assujetties \u00e0 un pr\u00e9l\u00e8vement au taux de 12,8 %&#8221;, to which 17.2 percent of social levies (<em>pr\u00e9l\u00e8vements sociaux<\/em>, CSG-CRDS) are added, for a total of 30 percent, unless the shareholder opts for the progressive income tax scale. The general architecture of that flat taxation is set by <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053546896\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000053546896\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 200 A of the General Tax Code<\/a>, which states that &#8220;L&#8217;imp\u00f4t sur le revenu d\u00fb par les personnes physiques fiscalement domicili\u00e9es en France au sens de l&#8217;article 4 B \u00e0 raison des revenus, gains nets, profits, distributions, plus-values et cr\u00e9ances \u00e9num\u00e9r\u00e9s aux 1\u00b0 et 2\u00b0 du A du pr\u00e9sent 1 est \u00e9tabli par application du taux forfaitaire pr\u00e9vu au B du pr\u00e9sent 1&#8221;. The official enterprise portal summarises the practical side of these rules for shareholders in its page on the taxation of dividends received by shareholders (<a href=\"https:\/\/entreprendre.service-public.fr\/vosdroits\/F32963\">service-public.fr, Fiscalit\u00e9 des dividendes per\u00e7us par les associ\u00e9s<\/a>), and its page on directors&#8217; income usefully distinguishes salary from dividends (<a href=\"https:\/\/entreprendre.service-public.fr\/vosdroits\/F36065\">service-public.fr, Revenus du dirigeant d&#8217;une soci\u00e9t\u00e9<\/a>).<\/p>\n<p>Because you live abroad, a second layer applies: the withholding tax on dividends paid to non-residents. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218411\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218411\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article 119 bis of the General Tax Code<\/a> provides that &#8220;Les produits vis\u00e9s aux articles 108 \u00e0 117 bis donnent lieu \u00e0 l&#8217;application d&#8217;une retenue \u00e0 la source dont le taux est fix\u00e9 par l&#8217;article 187 lorsque leurs b\u00e9n\u00e9ficiaires effectifs sont des personnes qui n&#8217;ont pas leur domicile fiscal ou leur si\u00e8ge en France&#8221;. And <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218440\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218440\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article 187 of the same Code<\/a> fixes the rate at &#8220;12,8 % pour les b\u00e9n\u00e9ficiaires personnes physiques&#8221;, with higher rates for companies resident outside the European Union and outside cooperating states. Your tax treaty (<em>convention fiscale<\/em>) may reduce that rate, typically to 15 percent or even 5 percent for substantial corporate shareholders, but the reduction is never automatic: you must deliver a certificate of residence (<em>attestation de r\u00e9sidence fiscale<\/em>) to the paying company before the payment, or claim the refund afterwards with the treaty reclaim forms (the well-known forms 5000 and 5001 on <a href=\"https:\/\/www.impots.gouv.fr\">impots.gouv.fr<\/a>). Social levies add a further subtlety: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218166\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000051218166\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">article L. 136-6 of the Social Security Code<\/a> provides that &#8220;Les personnes physiques fiscalement domicili\u00e9es en France au sens de l&#8217;article 4 B du code g\u00e9n\u00e9ral des imp\u00f4ts sont assujetties \u00e0 une contribution sur les revenus du patrimoine assise sur le montant net retenu pour l&#8217;\u00e9tablissement de l&#8217;imp\u00f4t sur le revenu&#8221;. If you are not domiciled in France for tax purposes, that contribution on capital income in principle does not apply to you, but the paying company may still have deducted it, and recovering it requires a formal claim.<\/p>\n<h2>II. What Happens When the French Administration Disputes Your Salary or Dividends?<\/h2>\n<p>Disputes arrive by registered letter, usually at the worst moment: an URSSAF audit notice (<em>avis de contr\u00f4le<\/em>) pinned to the company&#8217;s door, a tax reassessment proposal (<em>proposition de rectification<\/em>) questioning the dividends paid to a shareholder in London or Delaware, or a summons because the balance sheet shows a distribution the accounts cannot support. From abroad, everything is harder: deadlines run in French working days, the online mailboxes (<em>messagerie<\/em>) require French authentication, and silence counts as acceptance. The good news is that French procedure gives you real weapons, provided you use them in order and on time.<\/p>\n<h3>A. URSSAF Reassessment, Fictitious Dividends and Criminal Risk: How Do You Respond?<\/h3>\n<p>URSSAF controls start with a notice sent at least fifteen days before the first visit, continue with an adversarial phase (<em>phase contradictoire<\/em>) in which you can answer every finding, and end with a formal demand (<em>mise en demeure<\/em>) that you can challenge before the social security court (<em>p\u00f4le social du tribunal judiciaire<\/em>). The most frequent findings against foreign-founded companies are undeclared work by the founder who &#8220;helps out&#8221; without a contract, salaries paid without DSN filings, flat-rate allowances (<em>allocations forfaitaires<\/em>) reclassified as wages, and dividends paid to a working shareholder recharacterised as disguised salary. Each reassessment carries late-payment surcharges (<em>majorations de retard<\/em>) of 5 percent plus 0.4 percent per month, and the limitation period (<em>prescription<\/em>) is normally three years. Never ignore the adversarial phase: observations filed within thirty days of the control report often cut the final bill more effectively than a two-year court case, because the inspector can still abandon a point before the formal demand is issued.<\/p>\n<p>The criminal side is rarer but far more dangerous. Distributing dividends that the accounts do not allow exposes directors to prosecution for distributing fictitious dividends and for forgery (<em>faux<\/em>) where the accounts were dressed up to allow the payment. On 12 June 2025, the Criminal Chamber of the Cour de cassation examined a case, numbered 24-81.263, in which the lower court had, in its own words, &#8220;condamn\u00e9 le premier, pour faux et complicit\u00e9 de r\u00e9partition de dividendes fictifs, \u00e0 15 000 euros d&#8217;amende, le second, pour r\u00e9partition de dividendes fictifs, faux et usage, \u00e0 six mois d&#8217;emprisonnement avec sursis et une confiscation&#8221; (<a href=\"https:\/\/www.courdecassation.fr\/decision\/684a6eb43a448ddf7d79c15a\">Cass. crim., 12 June 2025, No. 24-81.263<\/a>). The lesson for a foreign founder is direct: an interim balance sheet (<em>bilan interm\u00e9diaire<\/em>) certified by the statutory auditor is compulsory before any interim dividend (<em>acompte sur dividendes<\/em>), the auditor&#8217;s alert (<em>signalement du commissaire aux comptes<\/em>) can trigger a criminal investigation, and a share sale signed on the basis of inflated interim accounts can turn a commercial dispute with the buyer into a criminal file against the seller. If an auditor refuses to certify, if equity (<em>capitaux propres<\/em>) has fallen below half of the share capital (<em>capital social<\/em>), or if the buyer asks you to &#8220;arrange&#8221; the interim figures before closing, stop the payment and take advice before you sign anything.<\/p>\n<p>Your practical shield has four layers. First, keep a distribution file (<em>dossier de distribution<\/em>) for every payment: approved accounts, shareholders&#8217; resolution with the exact distributable amount, bank proof, withholding tax return (form 2777 for the <em>retenue \u00e0 la source<\/em>), and the residence certificates of non-resident shareholders. Second, publish what must be published: annual accounts are filed with the <em>greffe<\/em> and announced in the <em>BODACC<\/em> (<em>Bulletin officiel des annonces civiles et commerciales<\/em>, the official gazette of company filings); late filing costs a fine and, above all, alerts every administration at once. Third, register the company correctly from day one on the <em>Guichet unique<\/em> (the single online company registration portal operated by the <em>INPI<\/em>, the <em>Institut national de la propri\u00e9t\u00e9 industrielle<\/em>), because a company whose beneficial owners (<em>b\u00e9n\u00e9ficiaires effectifs<\/em>) are undeclared or whose directors are outdated is audited first. Fourth, if URSSAF or the tax office knocks, answer in French, within the deadline, contest point by point, pay what is clearly due to stop interest running, and expressly reserve the rest in writing; a partial payment made &#8220;under protest&#8221; (<em>sous toutes r\u00e9serves<\/em>) never means you accept the principle.<\/p>\n<h3>B. How Do You Recover Overpaid Withholding Tax and Challenge a Reassessment From Abroad?<\/h3>\n<p>Overpaid withholding tax is recoverable, but only through the correct channel and within the time limit. If the treaty rate is lower than the rate actually applied, file a refund claim (<em>r\u00e9clamation<\/em>) with the non-residents&#8217; tax office (<em>service des imp\u00f4ts des particuliers non-r\u00e9sidents<\/em>), attaching the residence certificate, the dividend vouchers (<em>justificatifs de versement<\/em>), and the treaty reclaim forms. The general tax claim deadline (<em>d\u00e9lai de r\u00e9clamation<\/em>) is 31 December of the second year following collection, and missing it kills the claim regardless of its merits. Where no treaty reduction exists, check whether the European Union Parent-Subsidiary directive (<em>directive m\u00e8re-fille<\/em>) or the domestic participation exemption (<em>r\u00e9gime m\u00e8re-fille<\/em>) exempts the distribution entirely for a qualifying corporate shareholder; the conditions on shareholding percentage and holding period are strict, and one missing month can cost the whole exemption.<\/p>\n<p>Against a reassessment itself, French tax procedure offers a ladder with four rungs. First rung: reply to the rectification proposal within thirty days, extendable on request, with documents and legal reasoning; many files die here because the inspector accepts the evidence. Second rung: go to the hierarchical superior (<em>recours hi\u00e9rarchique<\/em>) and then to the departmental interlocutor (<em>interlocuteur d\u00e9partemental<\/em>), two internal remedies before the administration that suspend nothing but often halve the adjustment. Third rung: file a formal claim (<em>r\u00e9clamation contentieuse<\/em>) after receiving the collection notice (<em>avis de mise en recouvrement<\/em>), which opens the way to court.
