The business never took off, the project ended, or you simply want to cut the meter that keeps running: accountant fees, the CFE local business tax, bank charges, a lease you no longer need. French law gives you a clean way out, called dissolution-liquidation followed by strike-off, and you can run the whole procedure from abroad without boarding a plane. The filings go through the Guichet unique, the single online company formalities portal operated by the INPI, the French intellectual property and companies office, and a representative in France can sign and file on your behalf. But two traps destroy most do-it-yourself closures. The first is to close a company that can no longer pay its debts: an insolvent company must go through court-supervised insolvency proceedings, and voting a voluntary dissolution instead exposes you to a management ban. The second is to rush the closure while creditors, the tax office or a former employee still have claims: the liquidator answers personally for an incomplete liquidation. This guide explains, step by step, how a foreign owner dissolves a solvent French SAS, SARL or SASU, what blocks the procedure when money is owed, and what the exit really costs.<\/p>\n<h2>I. How to dissolve and liquidate a solvent French company from abroad without travelling<\/h2>\n<h3>A. Vote the early dissolution, appoint the liquidator and file on the Guichet unique<\/h3>\n<p>Everything starts with a decision of the shareholders. Article 1844-7 of the Civil Code lists the ways a company ends, including <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000028724345\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000028724345\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Par la dissolution anticip\u00e9e d\u00e9cid\u00e9e par les associ\u00e9s&#8221;<\/a>, early dissolution decided by the shareholders. For a foreign-owned SAS, the French simplified joint-stock company, or SARL, the French limited liability company, the vote follows the articles of association and the applicable majority rules, so read your statutes before convening anyone. The minutes must record three things: the decision to dissolve early, the appointment of the liquidator, and the registered office kept for the liquidation period, which is usually the former head office or the liquidator&#8217;s address. The liquidator is very often the foreign president of the SAS or the manager of the SARL, or a trusted third person in France, and that choice matters because the liquidator will carry personal duties until the last filing.<\/p>\n<p>French law then requires the appointment to follow a precise regime. Article 1844-8 of the Civil Code states that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444186\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444186\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;La dissolution de la soci\u00e9t\u00e9 entra\u00eene sa liquidation&#8221;<\/a>, dissolution of the company leads to its liquidation, and that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444186\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444186\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Le liquidateur est nomm\u00e9 conform\u00e9ment aux dispositions des statuts. Dans le silence de ceux-ci, il est nomm\u00e9 par les associ\u00e9s ou, si les associ\u00e9s n&#8217;ont pu proc\u00e9der \u00e0 cette nomination, par d\u00e9cision de justice.&#8221;<\/a> In plain English: the statutes decide first, the shareholders decide second, and the court decides only if the shareholders cannot. Article L. 237-1 of the Commercial Code confirms the logic by providing that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230061\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230061\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;la liquidation des soci\u00e9t\u00e9s est r\u00e9gie par les dispositions contenues dans les statuts&#8221;<\/a>, so a well-drafted SAS shareholders&#8217; agreement or SARL statutes will already describe who liquidates and how. From the moment of dissolution, Article L. 237-2 of the Commercial Code provides that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230063\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230063\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;La soci\u00e9t\u00e9 est en liquidation d\u00e8s l&#8217;instant de sa dissolution pour quelque cause que ce soit&#8221;<\/a>, and that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230063\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230063\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Sa d\u00e9nomination sociale est suivie de la mention &#8221; soci\u00e9t\u00e9 en liquidation &#8220;&#8221;<\/a>. Every invoice, letter and notice must therefore carry the company name followed by the words &#8220;soci\u00e9t\u00e9 en liquidation&#8221;, and the official service-public guidance warns that missing this mention is punished by a fine of 1,500 euros. The same article adds that dissolution produces effects against third parties only from publication at the Trade and Companies Register, the RCS, the French company register kept by the greffe, the registry office of the commercial court. Until publication, you cannot rely on the dissolution against a creditor or a contracting party.<\/p>\n<p>One common foreign-owner situation deserves special attention: the single-shareholder company. If your French SASU, the one-person SAS, or EURL, the one-person SARL, has a company as its sole shareholder, dissolution does not go through a liquidation phase at all. Article 1844-5 of the Civil Code provides that dissolution in that case <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444165\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444165\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;entra\u00eene la transmission universelle du patrimoine de la soci\u00e9t\u00e9 \u00e0 l&#8217;associ\u00e9 unique, sans qu&#8217;il y ait lieu \u00e0 liquidation&#8221;<\/a>. The parent company directly receives all assets and all debts. But creditors are protected: <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444165\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444165\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Les cr\u00e9anciers peuvent faire opposition \u00e0 la dissolution dans le d\u00e9lai de trente jours \u00e0 compter de la publication de celle-ci.&#8221;<\/a> During those thirty days, any creditor can go to court to demand payment or guarantees, and the assets transfer only once the deadline expires or the court rejects the opposition. If, on the contrary, the sole shareholder is a natural person, meaning you own the SASU or EURL directly as an individual, this shortcut does not apply, because the Code states that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444165\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444165\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Les dispositions du troisi\u00e8me alin\u00e9a ne sont pas applicables aux soci\u00e9t\u00e9s dont l&#8217;associ\u00e9 unique est une personne physique.&#8221;<\/a> You must then run the full dissolution-liquidation described in this guide.<\/p>\n<p>The first filing is done online, and this is where distance stops being a problem. Within the month following the dissolution vote, the liquidator must declare the dissolution on the Guichet unique, the one-stop online portal for company formalities, attaching the signed minutes, a publication certificate for the dissolution notice in a SHAL, a legal announcements support authorised to publish company notices, plus identification of the liquidator. The greffe, the court registry, checks the file, and the new status appears on the company&#8217;s Kbis extract, the official identity card of a French company, which will then show the company &#8220;en liquidation&#8221;, alongside a notice in the BODACC, the official bulletin where company creations, dissolutions and closures are published for creditors to see. A shareholder living abroad can sign the minutes electronically or by power of attorney given to a lawyer or agent in France; when a signature is made outside France, banks, registries and notaries sometimes ask for an apostille, the international stamp that authenticates a foreign public document, or a certified translation, so prepare those papers before the vote rather than after a rejection. Run the liquidation: settle every liability, approve the accounts and strike the company off<\/h3>\n<p>Dissolution changes nothing about what the company owes; it only changes who acts for the company. The liquidator replaces the president or manager, collects receivables, sells stock and equipment, terminates contracts, pays suppliers, repays loans and shareholder current accounts, and sets aside money for disputed claims. French courts are strict about this sequence. The Court of Cassation holds that <a href=\"https:\/\/www.courdecassation.fr\/decision\/69b10ef7cdc6046d473d53d8\">&#8220;la liquidation amiable d&#8217;une soci\u00e9t\u00e9 impose l&#8217;apurement int\u00e9gral du passif, les cr\u00e9ances litigieuses devant, jusqu&#8217;au terme des proc\u00e9dures en cours, \u00eatre garanties par une provision&#8221;<\/a>. A voluntary liquidation therefore requires full settlement of liabilities, and any disputed debt must be covered by a reserve until the court case ends. A liquidator who distributes the remaining cash to the shareholder while a supplier, a lender or the tax office is still unpaid commits a fault, and the price is personal. Article L. 237-12 of the Commercial Code provides that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230090\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230090\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Le liquidateur est responsable, \u00e0 l&#8217;\u00e9gard tant de la soci\u00e9t\u00e9 que des tiers, des cons\u00e9quences dommageables des fautes par lui commises dans l&#8217;exercice de ses fonctions.&#8221;<\/a> In the case that produced the ruling quoted above, decided on 11 March 2026 under appeal number 24-21.461, an individual liquidator closed the liquidation of his one-person company while a customer&#8217;s damages claim was pending, without keeping any provision, and the Court of Cassation recalled that where assets are insufficient he must postpone closure and, where needed, ask for insolvency proceedings to be opened against the company. Closing early to get rid of a dispute is exactly what the law punishes.<\/p>\n<p>While the liquidation runs, the company keeps a lighter but real accounting life. Article L. 237-25 of the Commercial Code requires that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000025559625\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000025559625\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;le liquidateur convoque selon les modalit\u00e9s pr\u00e9vues par les statuts, au moins une fois par an et dans les six mois de la cl\u00f4ture de l&#8217;exercice l&#8217;assembl\u00e9e des associ\u00e9s qui statue sur les comptes annuels&#8221;<\/a>. Each year the liquidator draws up inventory and annual accounts, reports on operations, and has the shareholders approve them. If the shareholders never meet, the report must be filed at the greffe and any interested person can read it, and a liquidator who skips these duties can lose part of his fees and be removed by the court. Creditors are not passive spectators either: Article L. 237-14 of the Commercial Code allows a court to order that the liquidation follow the statutory regime at the request of <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230093\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006230093\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Des cr\u00e9anciers sociaux&#8221;<\/a>, the company&#8217;s creditors, which means an unpaid creditor can ask a judge to take control of the process. The whole phase cannot drift forever: Article 1844-8 of the Civil Code provides that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444186\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006444186\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Si la cl\u00f4ture de la liquidation n&#8217;est pas intervenue dans un d\u00e9lai de trois ans \u00e0 compter de la dissolution, le minist\u00e8re public ou tout int\u00e9ress\u00e9 peut saisir le tribunal, qui fait proc\u00e9der \u00e0 la liquidation ou, si celle-ci a \u00e9t\u00e9 commenc\u00e9e, \u00e0 son ach\u00e8vement.&#8221;<\/a> After three years without closure, the public prosecutor or any interested person can send the file to the court.<\/p>\n<p>Closure itself is a second shareholder decision. Once all assets are sold and all known debts paid or provisioned, the liquidator prepares the final liquidation accounts, convenes the shareholders, and asks them to approve the accounts, give the liquidator discharge, record the end of his mandate, and allocate the liquidation surplus, the boni de liquidation, the cash left after all debts are paid. Then comes the last filing: within one month of publication of the liquidation closure, the liquidator files the strike-off, the radiation, on the Guichet unique, publishes a closure notice in a SHAL, and the greffe removes the company from the RCS with a final BODACC notice. Only at that point does the legal person disappear and the Kbis extract become a Kbis de radiation, the strike-off certificate that banks, landlords and tax offices accept as proof that the company no longer exists. Note the boundary drawn by the Court of Cassation on 1 October 2025 under appeal number 24-14.109: <a href=\"https:\/\/www.courdecassation.fr\/decision\/68dce205bc55f2c6aba50197\">&#8220;\u00e0 compter de la cl\u00f4ture de la liquidation, le liquidateur n&#8217;a plus qualit\u00e9 pour repr\u00e9senter la soci\u00e9t\u00e9 en d\u00e9fense ou en demande.&#8221;<\/a> After closure, the liquidator can no longer act for the company in court; only a court-appointed representative can. Declare a claim or start proceedings before closure, not after.<\/p>\n<h2>II. What blocks, costs and traps a foreign owner when the company owes money, employs staff or faces tax<\/h2>\n<h3>A. Debts, creditor opposition and the forbidden shortcut of closing an insolvent company<\/h3>\n<p>The voluntary route described above is reserved for companies that can pay. French law defines the frontier with a cash test. Article L. 631-1 of the Commercial Code states that a debtor who <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045178110\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045178110\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;dans l&#8217;impossibilit\u00e9 de faire face au passif exigible avec son actif disponible, est en cessation des paiements&#8221;<\/a> is in cessation of payments, the French insolvency trigger. Available cash is compared with debts already due; credit lines and payment delays granted by creditors can be counted, but future hopes cannot. If your French company cannot pay salaries, suppliers, VAT or social charges with the money actually available, it is insolvent in the French sense even if its balance sheet still shows valuable equipment or a strong brand, and you must not vote a voluntary dissolution. The manager must declare cessation of payments to the court within forty-five days. Article L. 653-8 of the Commercial Code punishes any person who <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031013446\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000031013446\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;a omis sciemment de demander l&#8217;ouverture d&#8217;une proc\u00e9dure de redressement ou de liquidation judiciaire dans le d\u00e9lai de quarante-cinq jours \u00e0 compter de la cessation des paiements&#8221;<\/a> with a ban on managing, directing, administering or controlling any business. The Court of Cassation applies this firmly: on 12 January 2022, under appeal number 20-21.427, it upheld a seven-year management ban against a manager who had, in the court&#8217;s words, <a href=\"https:\/\/www.courdecassation.fr\/decision\/61de7d4cfc57de8d136e0670\">&#8220;omis sciemment de d\u00e9clarer la cessation des paiements dans le d\u00e9lai de quarante-cinq jours pr\u00e9vu par l&#8217;article L. 653-8, alin\u00e9a 3, du code de commerce&#8221;<\/a>, noting unpaid employer social charges from the first half of 2015, unpaid VAT from the last quarter, and wages unpaid for four months before the filing. Living abroad changes nothing to this duty, and unawareness of the exact date of insolvency does not protect a manager who could see that charges, VAT and wages were going unpaid.<\/p>\n<p>Insolvency also changes who pays for the hole. When a court-ordered liquidation shows that assets do not cover liabilities, Article L. 651-2 of the Commercial Code provides that <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045178209\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000045178209\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">&#8220;Lorsque la liquidation judiciaire d&#8217;une personne morale fait appara\u00eetre une insuffisance d&#8217;actif, le tribunal peut, en cas de faute de gestion ayant contribu\u00e9 \u00e0 cette insuffisance d&#8217;actif, d\u00e9cider que le montant de cette insuffisance d&#8217;actif sera support\u00e9, en tout ou en partie, par tous les dirigeants de droit ou de fait&#8221;<\/a>. A foreign president, manager or de facto director who kept trading while insolvent, paid some creditors in preference to others, or stripped assets before closure can be ordered to cover all or part of the shortfall from personal funds, with joint liability possible where several directors are involved. Simple negligence alone is not enough since the 2016 reform, but knowingly delaying the filing, hiding the situation from the court, or closing shop quietly will be read as management fault. The practical lesson is blunt: before voting dissolution, draw up an honest cash position with your accountant. In the single-shareholder shortcut, the thirty-day opposition window of Article 1844-5 lets any creditor freeze the universal transfer until the court orders payment or guarantees. In a standard liquidation, creditors can challenge a closure voted while their claim is pending, ask the court to supervise the liquidation under Article L. 237-14, or sue the liquidator personally under Article L. 237-12 if the remaining assets were distributed without paying or provisioning their debt. Landlords, banks and the URSSAF, the French agency that collects employer and self-employed social charges, watch BODACC publications closely and react fast. From abroad, the safe method is to notify known creditors individually before the dissolution vote, agree payment schedules or settlements where needed, keep written proof of every payment, and provision each disputed amount in the liquidation accounts until the dispute ends. A closure with no creditor surprise is a closure that survives.<\/p>\n<h3>B. Tax bills, employees and the final cost of a clean exit from abroad<\/h3>\n<p>Dissolution triggers immediate tax duties that many foreign owners discover too late.
