Without that extract, nothing moves: no client invoicing with French VAT, no payroll, no lease in the company name. The SAS borrows this regime through <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048535177\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000048535177\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L.227-1 of the Commercial Code<\/a>, which makes SA rules applicable to the SAS except for listed exceptions. Contributions in kind in a SAS or SA must be fully paid at issue. The depositary issues an attestation de d\u00e9p\u00f4t, the deposit certificate listing each subscriber and amount paid, which the INPI portal requires for registration. From abroad, the sequence is therefore: choose the depositary before signing the statuts, send the subscriber list with exact amounts, wire the funds from the founder account with a reference matching the subscriber name, provide certified identification for each subscriber, and obtain the certificate. Ce d\u00e9p\u00f4t vaut d\u00e9claration aupr\u00e8s du destinataire d\u00e8s lors que le dossier est r\u00e9gulier et complet \u00e0 l&#8217;\u00e9gard de celui-ci.&#8221; The filing itself is made on <a href=\"https:\/\/procedures.inpi.fr\/\">the INPI Guichet Unique portal<\/a>, and the INPI help pages for <a href=\"https:\/\/www.inpi.fr\/realiser-demarches\/formalites-dentreprises\/creer-une-entreprise\">creating a company<\/a> list the supporting documents by company type. A foreign founder files from abroad with an electronic signature; no travel to France is required at this stage. The greffe verifies the statuts, the deposit certificate, the registered office proof, the identity and criminal-record documents of the directors, and the declaration of beneficial owners for the RBE, the Registre des B\u00e9n\u00e9ficiaires Effectifs, the register identifying the natural persons who ultimately own or control the company. When the file is complete, the greffe registers the company in the Registre du Commerce et des Soci\u00e9t\u00e9s (RCS), the French trade and companies register, and issues the Kbis extract: company name, legal form, capital, registered office, directors, and RCS number. Answer observations within days, because the file lapses if left dormant.<\/p>\n<p>Between the deposit and the Kbis, the company has no legal personality, and founders act at their own risk. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222358\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000006222358\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L.210-6 of the Commercial Code<\/a> states that &#8220;Les soci\u00e9t\u00e9s commerciales jouissent de la personnalit\u00e9 morale \u00e0 dater de leur immatriculation au registre du commerce et des soci\u00e9t\u00e9s&#8221;, and that persons who acted in the name of a company in formation before registration &#8220;sont tenues solidairement et ind\u00e9finiment responsables des actes ainsi accomplis, \u00e0 moins que la soci\u00e9t\u00e9, apr\u00e8s avoir \u00e9t\u00e9 r\u00e9guli\u00e8rement constitu\u00e9e et immatricul\u00e9e, ne reprenne les engagements souscrits&#8221;, in which case the commitments &#8220;sont alors r\u00e9put\u00e9s avoir \u00e9t\u00e9 souscrits d\u00e8s l&#8217;origine par la soci\u00e9t\u00e9.&#8221; The Cour de cassation confirmed this mechanism in a published 2023 ruling: &#8220;Il r\u00e9sulte de ces textes que les soci\u00e9t\u00e9s commerciales jouissent de la personnalit\u00e9 morale \u00e0 dater de leur immatriculation au registre du commerce et des soci\u00e9t\u00e9s. Three consequences matter for a founder abroad. First, every pre-registration contract, office lease, bank pre-agreement, supplier order, should state expressly that it is signed in the name of or on behalf of the company in formation, so the company can later take it over through reprise, the formal takeover of pre-registration commitments. Second, the statuts should list the commitments already made, because reprise can be automatic through the signed statuts once the company is registered. Third, the deposited capital stays frozen until the Kbis is issued; only after registration may the legal representative order the depositary to release the funds to the new corporate account, which is exactly why a missing corporate account after registration becomes an emergency rather than an inconvenience.<\/p>\n<h2>II. What Can You Do When a French Bank Refuses to Open an Account for Your Foreign-Owned Company?<\/h2>\n<h3>A. How Do Anti-Money-Laundering Checks Explain the Refusal, and How Do You Fix the File?<\/h3>\n<p>Most refusals have nothing to do with your business plan. They come from the anti-money-laundering and counter-terrorist-financing duties, abbreviated LCB-FT in France, that bind every bank before any relationship starts. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033517742\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000033517742\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L.561-5 of the Monetary and Financial Code<\/a> requires banks, before entering into a business relationship, to identify the client and, where relevant, the beneficial owner, and to verify those identities against probative written documents: &#8220;Identifient leur client et, le cas \u00e9ch\u00e9ant, le b\u00e9n\u00e9ficiaire effectif au sens de l&#8217;article L. 561-2-2&#8221; and &#8220;V\u00e9rifient ces \u00e9l\u00e9ments d&#8217;identification sur pr\u00e9sentation de tout document \u00e9crit \u00e0 caract\u00e8re probant.&#8221; Where the bank cannot satisfy these duties, <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041577826\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000041577826\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L.561-8 of the same Code<\/a> is categorical: &#8220;elle n&#8217;ex\u00e9cute aucune op\u00e9ration, quelles qu&#8217;en soient les modalit\u00e9s, n&#8217;\u00e9tablit ni ne poursuit aucune relation d&#8217;affaires&#8221;, meaning it performs no transaction and establishes or continues no business relationship, and it may file a suspicious-transaction report. A foreign-owned file concentrates every risk factor the bank scoring matrix dislikes: a non-resident director it has never met, identification documents it cannot read, a parent company registered in a jurisdiction it cannot query, a beneficial owner behind several layers, an activity description in English with no French tax history, and expected cross-border wires from day one. The compliance officer therefore asks for more documents, the branch delays, and after weeks the answer is a polite refusal or silence, sometimes explained by internal-risk appetite rather than any suspicion about you.<\/p>\n<p>The repair is methodical and can be done entirely from abroad. Build the file the compliance officer dreams of: certified passport copy of each director and each shareholder holding, directly or indirectly, more than 25 percent, with a certified translation where the document is not in French or English; proof of personal address abroad dated within three months plus a French correspondence address where available; the signed statuts with the subscriber list; the draft or issued deposit certificate; the registered-office contract, called domiciliation contract when provided by a domiciliation company, with the approval number of that company; the criminal-record or sworn declaration documents the greffe requires; the group chart showing the chain from the ultimate natural person to the French company; the source-of-funds proof for the capital, bank statements, sale deed, dividend resolution or intra-group loan agreement; the expected activity memo in French, one page, describing clients, suppliers, invoice volumes and the reason a French account is needed; and for American founders or American-owned groups, the completed FATCA self-certification and tax identification numbers, because French banks apply the US Foreign Account Tax Compliance Act and the OECD Common Reporting Standard automatically. Send this file in one batch, in French or bilingual form, through the branch in charge of professionals rather than the retail counter, and ask for the written acknowledgment of receipt. Meet the manager by video call with originals on camera where the bank accepts remote identification; several banks now accept electronic identification under their own procedures, while others still require a visit, in which case schedule one focused day in Paris combining the bank appointment, the notary if relevant, and the domiciliation visit. When the refusal arrives, demand the written refusal statement immediately, because that document is the key to the next stage.<\/p>\n<h3>B. A French-registered company with its si\u00e8ge social, its registered office, in France is a legal person domiciled in France and therefore qualifies, even where its shareholders and directors live abroad. The same article organises the procedure: the refusing bank must provide, systematically, without charge and without delay, a written refusal statement and inform the applicant of the right to ask the Banque de France to designate a bank: &#8220;une attestation de refus d&#8217;ouverture de compte et l&#8217;informe qu&#8217;il peut demander \u00e0 la Banque de France de lui d\u00e9signer un \u00e9tablissement de cr\u00e9dit pour lui ouvrir un compte.&#8221; The designated bank must open the account within three working days of receiving the complete file: &#8220;Ils proc\u00e8dent \u00e0 l&#8217;ouverture du compte de d\u00e9p\u00f4t dans les trois jours ouvr\u00e9s \u00e0 compter de la r\u00e9ception de l&#8217;ensemble des pi\u00e8ces qui lui sont n\u00e9cessaires \u00e0 cet effet.&#8221; The account opened this way carries the services bancaires de base, the basic banking services whose content is fixed by regulation, and <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036769238\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000036769238\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article D.312-5 of the same Code<\/a> lists them: account opening, maintenance and closing, one address change per year, bank identity statements on request, direct-debit domiciliation, a monthly statement, cheque and transfer collection, SEPA payments, remote balance consultation, cash deposits and withdrawals, and a payment card allowing internet payments and cash withdrawals in the European Union.<\/p>\n<p>In practice, file the request at the Banque de France counter or through its published channels with the refusal statement, the company file described above, and the form for legal persons. The official service-public guidance on <a href=\"https:\/\/www.service-public.gouv.fr\/particuliers\/vosdroits\/F2417\">refusal of account opening and the right to an account<\/a> explains the steps and treats a bank silence beyond fifteen days as a refusal, which matters where the bank simply stops answering a foreign applicant. Choose, where the form allows, a place near the registered office: for a Paris-registered company, the Paris offices of the Banque de France and a bank branch in Paris or the \u00cele-de-France, the Paris region, simplify later cash operations and cheque deposits. The designation typically arrives within one working day of the complete file, and the designated bank then has three working days to open. Expect a basic-services account, not a full credit line: it receives the released share capital, pays suppliers and the URSSAF, the French social-security collection agency, and collects client transfers, which is everything a young company needs. Where the designated bank resists or imposes abusive delays, write with acknowledgment of receipt referring expressly to Article L.312-1, copy the Banque de France office that designated it, and escalate to the bank mediator, called m\u00e9diateur bancaire, whose details appear in the account agreement. Keep every letter, because the paper trail also protects the directors against later claims that they left the company without resources.<\/p>\n<p>Once the account exists, French law also protects it against abrupt closure. <a href=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000027643288\" class=\"kohen-legifrance-popup-link\" data-kohen-legifrance-url=\"https:\/\/www.legifrance.gouv.fr\/codes\/article_lc\/LEGIARTI000027643288\" data-kohen-legifrance-title=\"Texte officiel Legifrance\" target=\"_blank\" rel=\"noopener\">Article L.313-12 of the Monetary and Financial Code<\/a> provides that any open-ended credit facility, other than occasional, granted by a bank to a company &#8220;ne peut \u00eatre r\u00e9duit ou interrompu que sur notification \u00e9crite et \u00e0 l&#8217;expiration d&#8217;un d\u00e9lai de pr\u00e9avis fix\u00e9 lors de l&#8217;octroi du concours&#8221;, and that &#8220;Ce d\u00e9lai ne peut, sous peine de nullit\u00e9 de la rupture du concours, \u00eatre inf\u00e9rieur \u00e0 soixante jours&#8221;, meaning a minimum sixty-day written notice failing which the termination is void, except for seriously reprehensible conduct or an irreversibly compromised situation. The same article requires the bank to give, on request, the reasons for the reduction or interruption: &#8220;l&#8217;\u00e9tablissement de cr\u00e9dit ou la soci\u00e9t\u00e9 de financement fournit, sur demande de l&#8217;entreprise concern\u00e9e, les raisons de cette r\u00e9duction ou interruption&#8221;. The Cour de cassation drew the practical consequence in 2022: &#8220;Il r\u00e9sulte de l&#8217;article L. 313-12 du code mon\u00e9taire et financier que l&#8217;entreprise qui subit la r\u00e9duction ou l&#8217;interruption d&#8217;un concours bancaire peut, m\u00eame apr\u00e8s l&#8217;expiration du d\u00e9lai de pr\u00e9avis, en demander les raisons \u00e0 la banque et qu&#8217;\u00e0 d\u00e9faut de r\u00e9ponse, la banque est susceptible de voir sa responsabilit\u00e9 engag\u00e9e.&#8221; The official decision is <a href=\"https:\/\/www.courdecassation.fr\/decision\/63870199bf732905d49c4ffb\">Cour de cassation, Commercial Chamber, 30 November 2022, appeal no. 21-17.703<\/a>. Concretely, a bank that closes the account of your French subsidiary without the contractual notice, or that cuts an overdraft from one day to the next without reasons after your written request, exposes itself to damages, and the sixty-day rule is voidness-level protection, not a mere recommendation. Separate from credit facilities, Article L.312-1 itself restricts termination of a basic-services account opened after designation to six listed cases, including illegal use, inaccurate information, loss of domicile conditions, a second account, repeated incivility or anti-money-laundering termination, with a minimum two-month notice and a reasoned letter, a copy for information to the Banque de France.<\/p>\n<h2>Conclusion<\/h2>\n<p>A French company without a bank account is not a failure, it is a file stuck at one of three gates, and each gate has a legal key. Where the capital is not yet deposited, the key is the depositary circuit: pay the mandatory fraction, at least one fifth of cash shares in a SARL and at least half in a SAS or SA, lodge the funds with a bank, a notary or the Caisse des D\u00e9p\u00f4ts within the eight-day limit of Article L.225-5, and obtain the nominative certificate that the Guichet Unique demands.
